About this file

This is a Modification and Exception Form response submitted by a bidder for RFP 1214 regarding an Idahoana Public Television Transmission Encoder System procurement. The document addresses the contractor's concerns regarding the milestone-based payment schedule outlined in Exhibit 2, Section 8 of the RFP. The bidder proposed a revised two-phase payment structure to address cash flow constraints associated with procuring manufacturer-supplied hardware, software licenses, and related equipment costs that must be paid in advance of system commissioning.

The contractor requested modification of the payment terms to provide 70% payment upon equipment delivery and verification against the approved bill of materials, with the remaining 30% payment due upon successful commissioning, system acceptance by Idaho Public Television, completion of training, implementation of the service and maintenance agreement, and thirty days of successful production operation. However, the State of Idaho rejected this proposed modification, and Exhibit 2, Section 8 will remain as written in the original RFP Administrative Document, requiring the contractor to defer substantially all equipment cost payments until commissioning and system acceptance are completed.

Modification & Exception Form - RFP1214 – IDPTV Transmission Encoder System

Section Number
Section Title
Rationale Why Language Is Unacceptable
Proposed Modification, Alternative, or Exception
Response
Exhibit 2, Section 8
Milestone based Payment Schedule
The proposed payment schedule requires the Contractor to procure, configure, stage, ship, and deliver the complete hardware and software solution while deferring payment for substantially all equipment costs until commissioning and system acceptance have been completed. Because the majority of the project cost consists of manufacturer-supplied hardware, software licenses, and associated procurement expenses that must be paid well in advance of commissioning, the current payment structure places the entire procurement burden on the Contractor for an extended period. This financing requirement is not directly related to the successful completion of the engineering, installation, commissioning, training, or warranty obligations that remain the Contractor's responsibility.
Propose that the State of Idaho replace Sec on 8 with the following language: Phase 1 – Equipment Delivery – 70% Payment Upon delivery of the Transmission Encoder System equipment to Idaho Public Television, and verification that the equipment has been received in accordance with the approved bill of materials, the Contractor shall be entitled to payment of seventy percent (70%) of the contract price. Phase 2 – Delivery, Commissioning, Acceptance, Training, and Support – 30% Payment Upon successful commissioning of the system, Idaho Public Television's acceptance of the Transmission Encoder System, completion of required training, implementation of the service and maintenance agreement, and thirty (30) calendar days of successful production operation, the Contractor shall be entitled to payment of the remaining thirty percent (30%) of the contract price.
The State will not accept the proposed modification to the Milestone Payment Terms. Exhibit 2, Section 8 will remain as written in the RFP Administrative Document.
