About this file
This is a Sole Source Justification Form submitted to the Procurement Coordination Unit (PCU) by the Colorado Department of Public Health and Environment (CDPHE), Air Pollution Control Division (APCD) for the procurement of SSP Legacy System Maintenance services from Mission Critical Software, LLC. The project involves maintenance of a legacy data system and database while APCD migrates to a new platform utilizing Salesforce and AWS. The contract is proposed as an original agreement with a two-year term beginning July 1, 2026, and ending June 30, 2028, with no renewal options indicated. The vendor, Mission Critical Software, LLC, is located at 146 Shagbark Rd, Glastonbury, Connecticut.
The estimated dollar amount for the life of the project is $240,000 over the two-year contract period. The justification for sole source procurement is based on the proprietary nature of the software platform, which has been developed and maintained exclusively by the incumbent vendor (originally through TRC, now through Mission Critical Software, LLC) over approximately 20 years. The system supports critical APCD operations including permit tracking, emissions inventory, billing and invoicing, and regulatory compliance functions, and contains custom code and configurations not accessible to other vendors. The APCD determined that Mission Critical Software, LLC is the only vendor capable of efficiently supporting and maintaining the system during the transition period, as alternative vendors would require significant redevelopment, training, and cost. The form indicates that pricing comparisons and cost/price analysis documentation were not provided, and no conflict of interest was identified.

B. Explain in terms of 1 through 4, above, the basis for your identifying this as a sole source? A sole source is justified in the instance that this is the only vendor - not what the program may determine to be the best vendor. Is this the only vendor? Explain (See form instructions)…
Yes, the current president of Mission Critical, LLC (MC) used to work for TRC and started their own company - Mission Critical, LLC. When this occurred, TRC started subcontracting with Mission Critical, LLC. TRC has subcontracted with MC for several years. In April 2026, APCD was notified that TRC made the business decision to no longer contract with CDPHE. TRC indicated that MC is interested in continuing to support the CAIS platform, APCD and taking over the contract. At the time, TRC was informed that establishing a new vendor and contract would be required as this isn’t as simple as handing it to a sub-contractor.
MC is the only vendor capable of efficiently supporting and maintaining the system. This system was initially developed in-house to track APCD specific emissions information and was later enhanced by TRC, subcontracted by MC, to meet evolving operational and regulatory requirements.
Over the past ~20 years, TRC subcontracted by MC, has been solely responsible for developing, maintaining and enhancing the system, including architecture, workflows and functionality. The custom code and platform are proprietary to APCD and OIT and other vendors do not have access to this system.
TRC, subcontracted by MC, has extensive knowledge and expertise of the system which not only supports our work but provides us the ability to ensure regulation compliance. This would require significant redevelopment, training and cost if another vendor was engaged, as well as create several problems for internal staff by impacting workload across the division.
MC’s continued to support is essential during the two-year transition to our new data system as this will ensure a seamless handoff to the new platform and reliance on MC will be phased out.
C. What makes this good or service unique to meeting your needs?
This software platform is the only software used by the APCD Stationary Sources Program for the last ~20 years. This system supports many different operations and functions within the division; including permit tracking, emissions inventory and billing and invoicing. Furthermore, this system has been configured to support and inform on various compliance with emissions tracking, reporting requirements and is responsible for the largest part of revenue that is generated by the division. The system also has direct configurations to other systems, including content management and financial systems used within the division and the State.
The system’s proprietary code, configuration and documentation support various needs and requirements of the division and have evolved over time to better support the division.
The critical operations and functions of the system are being modernized to a new system which is essential for the division.
D. Is the Good or Service Proprietary (product or technology entirely owned by the individual/company and usually protected by trademark or copyright)?
Yes x No ☐
Sole Source Justification 3 Version A2021
E. What type of required, specific and exclusive experience, certifications, licenses etc. are possessed by this vendor that directly relate to the good or service to be procured?
MC’s knowledge of the programming language and business processes make them the only candidate to be able to complete this work for APCD. MC has been solely responsible for developing, maintaining and enhancing the system, including architecture, workflows and functionality. The code and platform are proprietary and OIT or other vendors do not have access to this system. MC’s knowledge and expertise of the system not only supports our work but provides us the ability to ensure regulation compliance.
F. What research has the program conducted to justify this sole source?
G. Do you have an actual or potential conflict of interest in this purchase?
(For example, is an individual from the Department or a family member affiliated with the vendor as an employee, board member, volunteer, etc.?)
Yes ☐ No ☐
If Yes: Please Explain. (This space is limited – please provide additional documentation if applicable.)
H. This Section is Required – You must answer “Yes” to at least one.
1. Did you compare prices/rates to established catalog prices or market prices? (If “Yes”, attach documentation)
Yes ☐ No ☐
2. Did you compare prices/rates to historical prices or rates for similar items or services procured in the past? (If “Yes”, attach documentation)
Yes ☐ No ☐
3. Did you conduct a cost/price analysis? (If “Yes”, attach documentation) Yes ☐ No ☐
If No to #3 above:
4. Do you know if the cost is "fair and reasonable"? Yes ☐ No ☐
