About this file

This document is a Contracting Officer's determination for other than full and open competition under the Revolutionary Federal Acquisition Regulation Overhaul (RFO) 12.102(a), authorizing a sole-source acquisition.

The Defense Logistics Agency (DLA) Troop Support intends to award a one-year Indefinite Delivery, Indefinite Quantity (IDIQ) fixed-price contract for fresh bread and bakery items supporting Department of War customers engaged in the SOUTHCOM Operation Southern Spear mission in Puerto Rico. The estimated contract value is $157,570.00, with a maximum value of $315,140.00 (including a 200% contingency). The guaranteed minimum is 10% of the one-year estimate ($15,757.00). Required items include nine product lines: white bread, flour tortillas, hamburger rolls, sweet bread rolls, whole wheat bread, whole grain bread, hamburger rolls (whole wheat), honey bun cakes, and vanilla cupcakes, with annual usage estimates ranging from 1,008 to 16,233 packages. The contract period is approximately August 29, 2026, through August 28, 2027.

The sole-source determination is based on market research indicating only one responsible source can meet requirements. A previous competitive solicitation (SPE300-25-R-X015) in August 2025 resulted in a size protest that delayed award processing due to a federal government shutdown and SBA backlog. The resulting contract (SPE300-26-D-W004) expired before a new fully competitive acquisition could be properly executed, which requires an estimated 9-12 months for a five-year contract strategy. The selected vendor is the incumbent contractor with seven years of proven performance, is the only LPTA offeror from the previous solicitation with necessary manufacturing capabilities and government systems access, and performed outstandingly during recent troop surge operations. Market research via a Request for Information (RFI) published May 19, 2026, received six responses; five respondents could not provide a full product line, while only the selected vendor indicated capability to manufacture and distribute all required items. The contracting officer intends to conduct a fully competitive five-year acquisition concurrently with this interim one-year award.

1. Defense Logistics Agency (DLA) Troop Support, Subsistence Supply Chain, is the contracting activity.

2. The action being approved is the ability to solicit for DLA requirements on an Other than Full and Open Competition basis.

3. DLA Troop Support intends to enter an Indefinite Delivery, Indefinite Quantity (IDIQ) fixed price contract for Fresh Bread and Bakery items in support of Department of War customers currently engaged in the SOUTHCOM Mission in the United States Territory of Puerto Rico using Other than Full and Open Competition procedures under RFO 12.102 for a period of one year commencing approximately August 29, 2026, through August 28, 2027. The period of performance will be one year in length, starting from contract award. Fresh Bread and Bakery items provide both caloric/dietary needs and maintain positive morale. The following is the description of the supplies required to meet DLA’s customers’ needs:

The estimated value of the awarded contract will be $157,570.00. The maximum value of the awarded contract will be $315,140.00. The estimates were made based on the latest contract usage of seven months. The usage was then divided by 7 and multiplied by 12 to arrive at an estimate for one year of usage. This maximum dollar value would cover the estimated quantities of the items for the one-year period that the contract will be in place. This includes a 200% maximum estimate which will cover potential increases in demand related to more Troop customers joining

4. This document serves as the contracting officer’s determination that only one responsible source and no other supplies or services will satisfy agency requirements e, and the basis for that decision, as required by RFO 6.103-1. Pursuant to the authority cited in RFO 6.103-1, agencies may contract without providing full and open competition when the supplies or services required by the agency are available from only one responsible source and no other type of supplies or services will satisfy agency requirements.

5. The use of this authority is necessary to provide continuous Fresh Bread and Bakery items to support the ongoing SOUTHCOM Operation Southern Spear mission.

A fully competitive, 100% small business set-aside, acquisition for Fresh Bread and Bakery Items was solicited in August 2025. The solicitation number was SPE300-25-R-X015. A size protest was lodged against the who presented the only technically acceptable offer. At the time the protest was lodged in November 2025, the Federal Government was shut down which meant that the Small Business Administration (SBA) was unable to process the protest. After delays from the shutdown, the resultant back log, and communication issues with the vendor, a decision was not received regarding the protest until February 24, 2026. During this timeframe, the prior awarded contract was set to expire, so a non-competitive award was put in place since they were the only offeror that met the technical acceptability requirements of the solicitation and had proven performance and ability to provide all items required by the Troop customers in this zone. This non-competitive action was put in place for a period of 270 days, through August 28, 2026, in order to account for time to receive the response from the SBA and continue with the planned award. However, the decision of the SBA was not as expected and by the time it was received, not enough time remained on the contract that was put in place, SPE300-26-D-W004, to allow DLA to issue a fully competitive solicitation. While the SBA decision was received in February 2026, transitioning to a 5-year unrestricted acquisition significantly extends the required procurement lead time. This strategic shift will remove the acquisition from Simplified Acquisition Procedures (SAP) timelines. The new 5-year long-term contract strategy requires conducting extensive, unrestricted market research. It will require drafting and routing a new, comprehensive formal Acquisition Plan. There will be extended solicitation posting times mandated for higher-dollar, non-SAP acquisitions. Also, there will be more complex proposal evaluations and formal source selection procedures. The procedural requirements for a 5-year, long-term contract take an estimated 9 to 12 months to be executed properly therefore, the remaining time was vastly insufficient. The FTPA team has only had one

Contracting Officer for several years and an average of 10-12 acquisitions in progress at any given time accompanied by a team of recent hires with little or no acquisition history. This requires additional time for training those individuals, which increases the time required to successfully solicit and award new contracts. It is our intent to put this one-year non-competitive action in place and immediately start work on a new, fully competitive five-year acquisition.

The proposed action will result in the award of a one-year contract under the authority of RFO 6.103-1 (Only one responsible source and no other supplies or services will satisfy agency requirements) with is the incumbent for this contract and has a proven contract performance record over the last seven years with regards to on-time deliveries and product quality. In the recent solicitation, was found to be the Lowest Price Technically Acceptable (LPTA) offeror and was the only LPTA offeror who has the necessary production, technical equipment and facilities, and qualified personnel to perform this contract.

performed at an outstanding level during the recent surge of Troops into Puerto Rico.

is the only known vendor on the island with guaranteed Government systems access and the required manufacturing and logistical capabilities to meet the urgent requirements of this mission with little to no implementation.

It is in the best interest of these brave customers to award the interim while the contracting office conducts updated market research and resolicits this need for a five-year contract.

6. A pre-solicitation notice was not posted in Contract Opportunities (www.SAM.gov). IAW the exemption at RFO 5.101(b)(1)(i) the Contracting Officer is not required to post a presolicitation notice to the GPE when the proposed contract action is valued at or below the simplified acquisition threshold (SAT) and the solicitation will be posted to the GPE in accordance with RFO 5.201; and permit the public to respond to the solicitation electronically.

7. As the contracting officer, I hereby determine that the anticipated cost to the Government will be fair and reasonable based on submission and analysis of acceptable documentation of other than certified cost or pricing data.

8. Market research has indicated that the only source that is reasonably available for Fresh Bread and Bakery items in the SOUTHCOM Mission in the United States Territory of Puerto Rico is

A Request for Information (RFI) was published on www.SAM.gov on May 19, 2026, for a period of thirteen (13) days. The RFI contained a questionnaire for interested vendors to fill out and describe their agency’s ability to fulfill the Fresh Bread and Bakery requirements.

Six (6) responses were received. However, five of the respondents indicated they are not manufacturing a full line of bread and bakery items. , expressed interest and indicated that they can manufacture and distribute all required schedule of items for this acquisition. Additionally, is the only known vendor on the island of Puerto Rico with guaranteed Government systems access and the required manufacturing and logistical capabilities to meet the urgent requirements of this mission with little to no implementation.

Further research has indicated that receiving products directly from the manufacturer allows for better traceability. confirmed during market research they are currently manufacturing a full line of fresh Bread and Bakery products. As the affirmed its status as a current and functioning commercial distributor of bread and bakery items. The Contracting Officer verified valid and current third-party warehouse audit. This requirement is outlined in the solicitation. If there are any quality issues or concerns the Government can track the products directly back to the source. Additionally, DLA Troop Support, Subsistence Market Fresh Acquisitions’ contracting initiative is to solicit support as close to the commodity’s source as possible. This protects the Government from any additional distribution costs or upcharges associated with acquiring product from a redistributor or third-party logistics company that would source the commodity in need and resell to the Government. This also reduced the risk of fraud by reducing middlemen in the supply chain.

9. There are no other facts supporting the use of the authority for other than full and open competition.

10. expressed interest and indicated they could completely manufacture and distribute all the required schedule of items for this acquisition. The requirement for Fresh Bread and Bakery items cannot be met by any other firm other than

No other firm indicated they would be able to manufacture and distribute the required items.

11. The agency has evaluated potential barriers to competition associated with this acquisition.

It is anticipated that all future acquisitions for these requirements will be completed on a full and open competition basis. This one-year, Indefinite Delivery, Indefinite Quantity (IDIQ) fixed price contract would provide additional time to the Government to fully solicit a competitive acquisition that would be five years in length.
