This Amendment shall: 1) modify L.2.1 Format, Paragraph 1 in order to eliminate the requirement for a redacted version of the Request for Proposal (RFP); 2) change the title; 3) incorporate the Questions and Answers in respect to the RFP; and 4) provide instructions for the Information Session.

5) The following paragraph:

“L.2.1. Format

A complete proposal consists of two (2) separate volumes: Volume 1: Technical and Volume 2: Price. Offerors are required to submit 4 hard copies and 1 electronic copy of a redacted proposal. Redacted proposals must be free of any and all identifying marks, to include: company name, address, identity of employees/contingent employees, corporate logos, etc.”

is deleted in its entirety to be replaced by:

6) In all instances of this Request for Proposal the Title is modified to reflect:

“Environment, Social, and Resettlement Services.”

7) The Questions and Answers for MCC-13-RFP-0082:

1. If a company would like to bid for all three components (1.Environmental Assessment and Management; 2.Social

Assessment and Management; and 3. Resettlement), could you clarify whether they must submit a separate offer for each component (i.e. three separate offers), or may they submit one combined offer that covers all three components?

ANS: Offers may submit one combined offer that covers all three components.

2. Section L.2.1. requests that “A complete proposal consists of two (2) separate volumes: Volume 1: Technical and

Volume 2: Price. Offerors are required to submit 4 hard copies and 1 electronic copy of a redacted proposal”. Could you please confirm whether all electronic and hard copy proposals are to be fully redacted, or whether only the electronic copy is to be redacted?

ANS: The requirement for a redacted proposal is no longer required for this RFP MCC-13-RFP-0082.

3. Section H.14 (A and B) mentions that “Contractor candidates hired to work under contracts awarded by MCC and require access to MCC Headquarters, MCCNet, Sensitive But Unclassified (SBU), Foreign Government Information

(FGI) or other MCC-Sensitive information must be U.S. citizens or have Permanent Resident Status in the U.S.”; and

“Contractor candidates hired to work under contracts awarded by MCC who do not require access to MCC Headquarters are preferred to be U.S. citizens or have Permanent Resident Status in the U.S”. Could you please clarify whether this requirement will be stipulated for this specific contract (MCC-13-RFP-0082)?

ANS: At the present time, we do not anticipate that contractor personnel will work on a full time basis at MCC

Headquarters or that it will be necessary for contractor personnel to have access into MCC Systems. However, any Security Requirements will be contained in each specific Request for Task Order Proposal.

4. Section L.2.4 states that “Offeror’s are asked to provide contact information for at least five individuals who, as the representatives for client organizations, were responsible for overseeing the offer’s previous work”. Could you please clarify whether a company may provide contact references for individuals who represent the same client? For instance, may a company provide contact details for three individuals that manage three separate contracts on behalf of the same bilateral client?

ANS: Yes.

5. If a company has a recent hire who had very relevant experience for a previous employer and who will play a role on the proposed team, will the MCC accept a project reference for this person as equivalent to a company reference even though the work was undertaken and completed before joining the company bidding?

6. Is it correct that this RFP is in response to your solicitation MCC-12-RFP-0012 issued last August? We responded to your request for information in September 2012.

7. It is stated that there will be no less than 5 awards under this IDIQ. Does this mean a total of 5 or up to 5 per the three technical support categories?

ANS: The Government intends to award no less than 5 IDIQ contracts.

8. The obligated amount for the IDIQ is $15million. Does that mean $15million per award or the overall IDIQ amount?

ANS: $15M will be the maximum amount of each IDIQ contract awarded. Funds will be obligated on task orders issued under the IDIQ contract.

9. Is this a rebid of previous IDIQ contract? If so, who were the awardees and what was the total of the awards to date?

ANS: No.

10. The RFP indicates a full and open procurement but does not list out the small business subcontracting goals that may be required? Does MCC expect teaming and subcontracting for specialties on this IDIQ?

ANS: See Clause H.23 MCC Subcontracting Goals. Any teaming and subcontracting arrangements will be decided by the offeror.

11. Are the labor categories provided in the RFP fixed and all must respond to these categories or is the bidder allowed to place his own categories with appropriate descriptions and disciplines?

ANS: See Section L.2.4. Volume I Technical “Firms… are encouraged to supplement the listing with other job categories the firm anticipates are required to support the SOW.”

12. Section B.3. (page 3) Can MCC estimate the number of RFTOPs that might be issued across the contract life or annually?

13. Section B.4. (page 4) Does MCC mean the minimum obligation will be $2,500 or $2,500,000?

ANS: Per B.4 $2,500.00.

14. B.6. (page 4) Can possession of an advanced degree be substituted for a number of years of work experience? If so, could MCC please prescribe how that can be calculated?

ANS: Yes. The amount of time pursuing an advanced degree can be applied to the required number of years of experience for each level.

15. Section H.2.d. (page 17) The fixed labor rates are for the full period of performance (POP). Should MCC decide to extend the POP will rates be re-visited at that point?

16. Section L.2.1. (page 50) MCC indicates that the 3-page CVs are not count included in the page count. Can they be placed in an annex? Additionally, are other Annexes allowed? If so, please confirm they will not count towards the maximum of 50 pages for Volume I.

ANS: Yes. Annexes do not count towards the 50 page maximum.

17. Ibid (p.50) states that electronic copies may be submitted in MS Office 2003 or 2007 or Portable Document

Format (PDF). Section L.2.2. states that the electronic text shall be in MS Word 2010. Please clarify the preferred format for submission.

ANS: MCC’s MS Office is version 2010. All proposals shall be submitted in 2003, 2007 or 2010, but shall be compatible with MS Version 2010. Any proposal that cannot be accessed by the MCC MS Office 2010 shall be considered unresponsive.

18. Ibid (page 50) states that Offerors are to submit electronic copies on a CD. Section L.6 (page 54) states that

Offerors are to submit electronic copies via e-mail to Ms. Williams. Please clarify how MCC prefers to receive Offerors’ electronic proposal submissions.

ANS: Offerors should submit one electronic copy via e-mail to Ms. Marilyn Williams.

19. Section L.2.3 (page 51) instructs Offerors to submit a 1-2 page Cover Section. Please clarify whether this Cover

Section should be bound separately from Volume I and Volume II of the proposal.

ANS: Cover Section may be included at the beginning of Volume I, but will not be included in the Volume page count.

20. Section L.2.4. (page 51) Please confirm that under Factor A Offerors are expected to demonstrate their capacity to carry out the activities described in the Scope of Work outlined in Section C.3. in terms of past organizational experience and experience and expertise of illustrative staff only

21. Ibid (page 52) Is there a requirement that the illustrative CVs are of staff included in the labor rates?

22. Ibid (p.52) Factor B states that large businesses should submit a subcontracting plan. Please confirm that this should be submitted as part of the Offeror’s Cost Proposal

ANS: The subcontracting plan should be submitted with Volume 1.

23. Section M.1 (last paragraph on page 58) lists the three functional areas and says that bidders may submit for one, two, or all three areas. It then states: “These contracts shall be awarded as a full or partial award depending on mitigation of effort.” Please clarify “partial award” and “mitigation of effort.”

ANS: MCC anticipates multiple awards. Awards may be made for one functional area, any two functional areas or all three functional areas.

24. Section M.2. (page 58) MCC indicates that there are three technical factors and price will be used to determine proposal adequacy. Can MCC provide numeric values indicating the relative contribution of each of these factors?

ANS: See M.2.1. The evaluation factors are listed in descending order of importance. There are no weights assigned and proposals will not be numerically scored.

25. Section B.6. (p.4) the levels of seniority in Table 1 progress from ‘Junior’ to ‘Mid-Career 2’ to ‘Mid-Career 1’ to

‘Senior’ whereas the tables in Section J Attachment 2 follow ‘Junior’ to ‘Mid-Career 1’ to ‘Mid-Career 2’ to ‘Senior.’

Please clarify which order is correct and which Mid-Career level corresponds with what minimum years of experience?

ANS: The correct progression is Junior to Mid-Career 1 to Mid-Career 2 to Senior. Table 1 on page 4 should read as follows:

TABLE 1: GENERAL QUALIFICATIONS - SENIORITY

General Qualifications

Senior 20+ years professional experience relevant to the labor category

Professional Designation as appropriate.

Mid-Career 2 12- 20 years relevant professional experience.

Professional Designation as appropriate.

Mid-Career 1 5-12 years relevant professional experience

Professional Designation as appropriate.

Junior Zero to five (5) years relevant professional experience.

26. Do we need to have relevant references from MCC-projects within the consortium? Would these references be the only one that has to be filled in using the “Past Performance Survey Form (Attachment 4)

ANS: Offerors may provide relevant references from any of the members of a proposed consortium. The Past

Performance Survey Form is not limited to just MCC-funded projects.

26. Section J, Attachment 2 provides the costing tables to be used in the Pricing Volume (Volume II). Please specify the following:

a. Should the proposer provide rate tables for each of the contract years, or should identification of an annual escalation rate suffice?

ANS: Offerors should provide one rate per labor category. Rates will not be escalated during the three year contract period.

b. Do you request the prime to submit individual (i.e., separate) rate tables for each subcontractor?

27. In Section J, Attachment 2, MCC requests an ODC Burden Rate percentage (%).

a. Is the ODC Burden Rate % intended to reflect the current DCAA rate for the bidding year, or is MCC intending for it to be a proposed ceiling rate?

ANS: Ceiling rate.

b. Shall we provide a ODC Burden Rate % for each year of performance, or shall we provide a single rate which will dictate a fixed percentage rate for all three years?

ANS: Offers should provide a single rate.

c. In our experience, T&M contracts typically do not allow fee on ODCs; however, FFP contracts have no such limitations. Given that this RFP states both types of contracting may occur, please specify whether the ODC Burden Rate % is to include G&A plus fee or solely G&A?

ANS: Solely G&A.

28. MCC has specified in Section L.2.1 Format, that paper size is to be 8.5” X 11”. To improve readability of graphics in the technical proposal and excel sheets in the Cost Volume, will MCC accept 11X17 fold outs?

29. L.2.4 – Factor C: Past Performance: The RFP states that references should forward Past Performance Survey Forms directly to MCC POC. Please indicate the due date for receipt of these completed Past Performance Survey Forms?

ANS: Before Proposal Submission, June 10, 2013, 2:00PM EST.

30. L.2.1 Format: Do we understand correctly that the 50-page limit for the technical proposal covers all three functional areas? If we plan to propose services in only one of the three technical areas outlined in the RFP, what is the suggested page limit for the technical proposal?

ANS: The page limit is 50 pages for all proposals regardless of proposed services.

31. H.2.e. mentions an ODC burden rate as specified in Section B. However, neither section B nor Section J

Attachment 2 mention an ODC burden rate.

ANS: A line for the ODC burden rate is on the last page of Section J Attachment 2.

32. Do large business subcontractors (to a small business prime) need to submit a subcontracting plan?

33. It does not appear that any backup to support the proposed rates is being requested. Please confirm.

ANS: Confirmed.

34. Section L.2.4 Volume 1 Technical, Factor B: Management

Can MCC please provide a definition of “short term advisors?” This section is the only reference to this term.

ANS: Disregard the term “short term advisors”. The sentence should read as follows: The structure should identify prime and subcontractor office locations, illustrate its ability to implement the scope of work and strategy, identify roles and relationships between the project lead and home office staff and subcontractors.

35. Section H.23 MCC Subcontracting Goals

Are the goals outlined in this section a percentage of total contract value or a percentage of total subcontracted value?

ANS: MCC’s Small Business goal is 30% of the total contract value; and each sub-goal is a percentage of the

Small Business goal.

36. Section L.2.1 Format and Section L.2.4 Volume 1 Technical, Factor B: Management

For Unrestricted responses, will the subcontracting plan be included in the page count, even though it is to be included in

Factor B?

ANS: The subcontract plan is not included in the page count

37. Are the Past Performance Surveys to be included as part of the page count?

ANS: Please follow L.2.4 Factor C, Paragraph 2 for the submittal instructions for the Past Performance Surveys.

38. Under Resettlement page 5, item h. Legal issues (resettlement), what specific legal issues support is anticipated?

ANS: Legal support may include, inter-alia, the assessment of host country laws and regulations governing expropriation, imminent domain, land tenure, land registry, etc.

39. Under Resettlement page 5, item j. Asset valuation, what specific asset valuation support is anticipated?

ANS: Asset valuation support may include, inter-alia, the development and execution of processes to assess and value assets (e.g., homes, crops, etc) subject to resettlement/loss/relocation.

40. Is the MCC Contractor Non-Disclosure Form to be completed with the proposal or at the stage of task order assignment?

ANS: Non-Disclosure Forms will be completed after award of the IDIQ and at the Task Order level.

41. Page 29 of the RFP states, “Within two (2) business days after notice of award from the contracting officer, contractor shall provide a list of all contractor candidates (and subcontractor candidates) working under the contract

(unless otherwise stated in the contract) including the information and documentation required herein. This requirement does not include clerical of administrative support staff (unless otherwise stated in the contract.) Does this mean that the entirety of Clause H14 is not to be submitted as part of this RFP but only after notice of award is received?

ANS: The requirements of Clause H.14 are applicable after notice of award is received.

42. Are there a minimum number of projects required?

43. Are there a minimum number of representatives required?

44. Are the Reps and Certs required only for the Prime Contractor?

47. Page 40 of the RFP states, “The offeror must establish fixed hourly rates using separate rates for each category of labor to be performed by each subcontractor and for each category of labor to be performed by the offeror, and for each category of labor to be transferred between divisions, subsidiaries, or affiliates of the offeror under a common control.

Unless exempt under paragraph (d) of this provision, the fixed hourly rates for services transferred between divisions, subsidiaries, or affiliates of the offeror under a common control – 1. Shall not include profit for the transferring organization; but 2. May include profit for the Prime Contractor. Does this mean that the Prime can charge profit on

Subcontractors?

48. Page 52 of the RFP lists the 12 CVs requested by MCC. May we provide more than one CV under each category?
