TO

PURCHASE SINGLE/SOLE SOURCE COMMODITIES AND SERVICES

The following commodities and services listed below may be a “Single Source” or a “Sole Source” (only one (1) source from which to purchase the commodities and services).

This NOTICE OF INTENT TO PURCHASE SINGLE/SOLE SOURCE shall serve as a notification that a recommendation will be made to The School Board of Hillsborough County, Florida (the “School Board”) to award this single or sole source procurement to the referenced vendor of the commodities and contractual services described in Exhibit A: SINGLE/SOLE SOURCE COMMODITIES AND SERVICES. The description of the commodities and contractual services intended for purchase from a single/sole source is posted in accordance with Rule 6A-1.012(12)(d), Florida Administrative Code. It will remain posted for seven (7) business days.

This is not a request for proposals, and no competitive solicitation is available. HCPS will not consider any response to be a proposal. Any responses received because of this notice will be considered solely to determine whether competition exists.

Interested firms or individuals may identify their interest and capability to respond to the requirement by uploading EXHIBIT B: RESPONSE TO PURCHASE SINGLE/SOLE SOURCE COMMODITIES AND SERVICES and all relevant documents via www.vendorlink.com. “Like” shall mean equal, equivalent, or identical. Interested firms will be considered only if they provide clear and convincing documentation demonstrating they can meet or exceed the requirements. All responses received within seven (7) business days after the publication of this Notice of Intent to Purchase Single/Sole Source will be reviewed by HCPS.

A determination by the General Manager of Procurement Services, or designee, and the Procurement Officer not to publish a competitive solicitation for this proposed action based on the responses to this notice is solely within the discretion of the General Manager of Procurement Services.

Notice of Intent to Sole Source: If Procurement Services does not receive “like” commodities and services information during the Single/Sole Source posting period above, the purchase request shall be issued to the School Board or renewed as approved by the School Board. This section shall serve as notice of the intended decision to enter a single/sole source contract in the manner specified in § 120.57(3), Florida Statutes. It may negotiate the best terms and conditions with the single/sole source vendor. HCPS shall submit a recommendation to the School Board (www.hillsboroughschools.org/Page/3643) requesting approval to waive the solicitation process and proceed with the single/sole source purchase. Decisions concerning multiple-year sole sourcing are valid for one year after approval by the School Board and must be re-posted and validated before the renewal period.

Failure to file a protest within the time prescribed in § 120.57(3), Florida Statutes, or failure to post the bond or other security required by law within the time allowed for filing a bond shall constitute a waiver of proceedings under Chapter 120, Florida Statutes. Any protest concerning HCPS’ decision must be timely received by the General Manager of Procurement Services at 901 E. Kennedy Blvd., Tampa, FL 33602.

EXHIBIT A

SINGLE/SOLE SOURCE COMMODITIES AND SERVICES

1. Describe what the commodity and service is and how it is to be used by HCPS.

MagicSchool AI is a purpose-built software-as-a-service (SaaS) artificial intelligence platform designed for K–12 schools.

Unlike general AI tools, which are open-ended and broad, MagicSchool is an education-specific ecosystem that wraps complex AI models into structured, safe, and highly practical workflows for teachers and students.

Hillsborough County Public Schools will use Magic School AI to provide teachers with a platform for instructional preparation, developing accommodations for students, designing communication to stakeholders, and other tasks.

For students, Magic School provides students with a safe, structured, and monitored way to interact with AI at their teacher's discretion.

For the district, Magic School will provide a standardized AI experience for all users while integrating with district systems, like Canvas, Classlink, and others. Additionally, HCPS will add instructional content and materials into Magic School AI, ensuring that AI-generated content is aligned with state standards and district-developed teaching materials.

2. What feature or particular condition of this commodity and service is unique and cannot be obtained from any other source?

• An AI platform that utilizes multiple frontier Al models, safe and responsibly built.

• 80+ AI tools for teachers and 50+ AI tools for students, and growing.

• Raina (Educational Al Chatbot)

• RAG technology.

• Data analytics tool (currently in beta).

• AI for students that can be monitored by their classroom teacher and HCPS

• Student moderation features.

• Integration to Student Information Systems (SIS), Learning Management Systems (LMS), and rostering platforms.

• Writing feedback guided by the teachers' inputs and attachments.

• Every tool on the platform is fully customizable with context provided by the educator.

• The only Al platform where multiple Al tools can be launched by teachers in a student room.

• The only Al for Schools platform with built-in Adobe image generation that is safe for schools from the ground up.

• The only AI for Schools platform that allows for the ability to upload curriculum, rubrics, or policies into one central "knowledge" system where all information will be applied to all tools created or used in Magic School without tool-by-tool customization.

• The only AI for Schools platform that allows for side-by-side viewing of the prompt and output.

• The only AI for Schools platform that allows for batch upload of writing, or any files, to provide three unique types of rubric-aligned feedback to students securely within the platform, not via a browser extension. The feedback includes student and class-level analytics based on the rubric, which can be uploaded by the teacher or created by MagicSchool itself.

3. Vendor-provided information.

Magic School is a sole-source product, manufactured, sold, and distributed exclusively by Magic School, Inc. The Magic School product is copyrighted by Magic School. No division of Magic School, Inc, nor any other company, makes a similar or competing product.

This product must be purchased directly by institutions from Magic School, Inc at the address listed above. There are no agents or dealers authorized to represent this product. There is no other item or product available for purchase that would serve the same purpose or function and there is only one price for the above-named item or product because of exclusive distribution or marketing rights.
