About this file

This is Amendment 0002 to solicitation M6740025Q0007, which provides responses to 20 contractor questions and updates the Performance Work Statement (PWS) for barge transportation services between Naha Military Port and Ie Shima Port in Okinawa, Japan.

The amendment clarifies that the contractor will provide 14 round-trip barge movements (reduced from 28 one-way movements) consisting of 7 deployment trips during April 1-10, 2025 and 7 redeployment trips during November 23-30, 2025. Each trip can transport up to 400 square meters of military cargo. The contractor is responsible only for maritime transportation, while the U.S. government handles loading/unloading. The amendment adds equipment values for insurance purposes, clarifies inspection procedures using form DD626, confirms "cargo riders" will be available to assist, and specifies that scheduling must be completed within 72 hours for emergent requirements rather than the actual movement. Contractors must submit quotes by March 17, 2025 at 10:00 AM JST via email to the designated contracting officers. The contractor must obtain necessary port access credentials and coordinate with port authorities for routes and scheduling. Price quotes must be in Japanese Yen and remain valid for 90 days.

ATTCH 5 QA RESPONSE 27 FEB

Question Page Section Vendor Question USG Response

1 3 1.0

Is it correct to assume that the U.S. gov’t will handle the transportation of equipment to each port and that all loading and unloading onto and off ships will be conducted using government-owned equipment by military personnel? Is it correct that contractor's sole responsibility is maritime transportation?

a. Yes. The U.S. gov’t will handle the transportation of equipment to each port and that all loading and unloading onto and off ships will be conducted using government-owned equipment by military personnel. (PWS 1.0 and 3.0)

b. Yes. The contractor's sole responsibility is maritime transportation.

2 3 1.0

Since barge routes and operation times vary depending on the specific route, we assume there is an established agreement between the U.S. and Japan regarding these routes. Has the exact route been determined?

a. The port authorities dictate routes for at sea movements. (PWS sections 3.1, 3.2.2, 5.2, and 7.2)

b. Contractor will be required to work with the port authorities to establish at sea route. (Added PWS section 3.2.2)

The Prospective Contractor is encouraged to account for the risk of changes to route and port arrival/departure times. The USG recommends that the Prospective Contractor's risk considerations be explained in the quoter's narrative as this will be considered during evaluation.

c. REMOVED use of SPOE/SPOD language in PWS 2.0.

3 3 3.0

Under Japanese regulations and standard marine cargo insurance policies, damages to cargo resulting from a collision at the quay after loading are typically covered by insurance.

However, damages caused by rough seas or extreme weather conditions during maritime transportation are not insurable under standard policies. Currently, the contract does not account for this insurance limitation. Given that weather-related damages are beyond the contractor’s control and cannot be insured, we request an amendment to the contract to clarify that liability for such damages falls under the U.S. Government’s responsibility. If not, please specify expectations or risk mitigation measures, as liability for acts of God is outside the contractor’s ability to cover through commercially available insurance.

a. See Clause 52.247-22 Contractor Liability for Loss of and/or Damage to Freight other than Household Goods.

b. PWS section 3.0: "The Contractor is responsible for ensuring permissible sea state and tide conditions for safe travel."

4 3 3.0

Is it correct to assume that the U.S. Gov’t will be responsible for arranging and securing the cargo inside the vessel? Will a supervisor or an expert in maritime transport be present to ensure proper loading, weight distribution regulations are followed?

a. No. See PWS section 3.0.

b. Yes. A trained Embarkation Specialist will be on site for all loading/offloading. (Added to PWS 3.0)

5 3 3.0

The contract states that the contracting officer will notify the contractor of material support requirements 60 days in advance. If transportation is scheduled to begin on April 1, 2025, wouldn’t it be necessary to clarify this at this stage?

Please provide the breakdown of the sequence and number of transportation trips (14 trips in total) for the cargo (machinery, etc.)

a. The USG is planning (7) round trips from Naha Military Port to Ie Village Port between 1-10 April 2025. It is the USG's intent to complete offloads NLT 10 April at Ie Village Port. (See PWS section 4.1-

4.5 with added clarifications)

b. The USG initially listed (28) separate one-way movements between Naha Military Port and Ie Village Port as part of CLIN 0001.

After review, the (28) separate movements were consolidated into

(14) total round trip movements.

(7) round trip movements are planned to be used for deployment between 1-10 April 2025. (7) round trip movements are planned to be used for redeployment between 23- 30 November 2025. (See PWS section 4.1-4.5 with added clarifications)

The Prospective Contractor is encouraged to account for the risk of USG cargo and movement dates uncertainty. The USG recommends that the Prospective Contractor's risk considerations be explained in the quoter's narrative as this will be considered during evaluation.

6 3 3.0 How many tons of cargo will be loaded onto the barge per trip?

a. The USG plans to load no more than 400 square meters of cargo with the estimated dimensions listed in the example equipment list (3.0.1) per barge trip. (Added PWS sections 3.0.1 and 4.5)

7 4 3.1.2

For emergency transportation requirements, is it mandatory to complete transport within 72 hours? Additionally, could you define what constitutes an 'emergent' in this context?

a. No. For emergency transportation requirements, it is not mandatory to complete transport within 72 hours. Scheduling of the movement must be completed within 72 hours. (Clarified in PWS

3.1.2 and CLIN 0002 extended item details)

b. "Emergent" is defined as "a situation that has arisen, especially one that requires immediate action." (Added PWS Section 3.3.2)

c. 52.212-1 ADDENDUM TO

INSTRUCTIONS TO OFFERORS--

COMMERCIAL ITEMS (NOV 2021)

Section C.2.(b)(ii).

8 4 3.1.2

Will U.S. military personnel be on board during transport to ensure that the cargo remains secure or assist in the movement of heavy equipment that may be required in the event of an emergency?

a. Yes, "Cargo riders" will be available to ride on the barge for emergencies and to assist in offloads upon arrival at the port of debarkation. (Added PWS section 5.4)

9 5 3.3.5

The contract states “Delivery shall be postponed due to typhoon or weather conditions that suspend barge or ferry transportation. Contractor shall reschedule delivery once barge/ferry transportation is operational and provide the updated barge movement schedule within 72 hours.”

Would the contractor be entitled to equitable adjustments for idling times?

a. Requests for Equitable Adjustment may be submitted for review. Clause 252.243-7002 Requests for Equitable Adjustment is included in this solicitation. The USG would review the Contractor's Requests for Equitable Adjustment at the time they are submitted by the Contractor. The USG cannot determine all scenarios in which Requests for Equitable Adjustment would be approved or denied but will fairly evaluate the Contractor's request at the time of submission.

USG recommends Prospective Contractors consider the risk of rescheduling/idling time when providing their quote. he USG recommends that the Prospective Contractor's risk considerations be explained in the quoter's narrative as this will be considered during evaluation.

10 5 5.0

The PWS states: "If the Contractor’s scheduled or unscheduled maintenance results in USG losing use of equipment for more than 24 hours, the contractor shall provide replacement equipment of a comparable make and model in order to fulfill requirements outlined in this PWS." Please clarify if the term “equipment” in this context refer to contractor-provided transportation equipment (e.g., tugboats, barges, securing gear), or is this referring to the U.S.

Government-owned cargo and machinery being transported?

a. CHANGED PWS 5.1: Changed "equipment" to "shipping". The Contractor shall provide replacement shipping for the USG's equipment. The Contractor will not be required to replace any USG equipment in the event of delays.

11 6 8.0

According to the schedule, equipment transportation is planned to begin on April 1, 2025. Will it be possible to obtain the necessary passes for crew members to enter Naha Military Port in time?

a. Please contact Naha Military Port personnel listed in section 7.0.

Upon award, the Contractor will be expected to be able to obtain access to the port for movements as early as 1 April 2025.

b. 52.212-1 ADDENDUM TO

INSTRUCTIONS TO OFFERORS--

COMMERCIAL ITEMS (NOV 2021)

Section C.2.(b)(v).

12 5 4.1

Can the April schedule be provided now, as opposed to after contract award? Without knowing the pick-up/drop-off times, it is difficult to properly establish a delivery schedule.

a. Reservations have been made for embarkation at Naha Military Port and debarkation at Ie Village port for 1 to 10 April 2025. Upon award, Contractor shall schedule for specific times directly with the port authorities in PWS section 7.2 and in coordination with the USG-appointed COR. (Added to PWS 4.0)

b. 52.212-1 ADDENDUM TO

INSTRUCTIONS TO OFFERORS--

COMMERCIAL ITEMS (NOV 2021)

Section C.2.(b)(v).

13 6 8.0 Will base passes be necessary for this contract?

a. Please contact Naha Military Port personnel listed in section 7.0.

Upon award, the Contractor will be expected to be able to obtain access to the port for movements as early as 1 April 2025. (PWS 4.0)

14 5 4.1

Section 4.1 (Tentative Schedule) has overlapping dates. Does this mean that multiple deliveries will be required on certain days?

a. Yes, multiple deliveries will likely be required on certain days.

(Added PWS section 3.1.3)

15 3 3.0

The provided equipment list is not exhaustive. Can the Government clarify the maximum cargo dimensions or weight that may be expected, to allow proper planning for stowage?

a. Yes. See PWS sections 3.01.

(Added PWS 3.0.2)

16 4 3.1.2

For emergent movements under CLIN 0002, are there specific operational scenarios or equipment types anticipated, or should contractors assume similar equipment profiles as listed for planned movements?

a. Emergent movements are expected to contain equipment similar to that listed in section 3.0 of the PWS "Example Equipment List". The most likely scenario for CLIN 0002 emergent movements is an unplanned breakdown of a piece of equipment listed in section 3.0 requiring an operational replacement to quickly be moved via barge from Naha Military Port to Ie Village Port. The purpose of this movement occurring quickly is to ensure the construction project is not delayed due to the loss of critical pieces of military equipment.

17 3 3.0

The PWS outlines the transportation of various Government owned equipment but does not specify whether the Government will conduct inspections of the equipment before loading and after unloading. To clarify liability concerns, will the Government perform formal inspections of the equipment at both Naha Military Port and Ie Shima Port before and after each movement? If so, will inspection reports be provided to the contractor to document the equipment's condition and mitigate potential liability disputes?

a. USG will utilize form DD626 Motor Vehicle Inspection form via COR or ACOR for all inspections.

(Added PWS 6.1)

18 3 3.0

Regarding license, registration, permit, and insurance requirements, under Japanese regulations, cargo insurance is not considered part of the contractor's duties. In the unlikely event that cargo is damaged due to rough seas during maritime transportation, would this be covered by the U.S. government’s insurance, given that the cargo is owned by the U.S. government?

a. Clause 52.247-22 Contractor Liability for Loss of and/or Damage to Freight other than Household Goods. (Added PWS 6.2)

19 4 3.1

Have the necessary procedures, such as port entry/exit permissions, operational permits, and notifications to relevant agencies, been completed in preparation for the transportation start date of April 1, 2025?

-Additional Note: Given the short period for coordination with relevant agencies after the contract award, starting transportation on April 1, 2025, may be challenging. If the U.S.

government coordinates with the relevant agencies before the bidding stage, the schedule could potentially be relaxed.

a. USG has contacted the Naha Military Port and Ie Village Port authorities to reserve pier spaces and prepare them for the upcoming requirements with target movement dates between 1-10 April 2025. The USG cannot prepare the detailed scheduling required by the Contractor upon award and understands that the timeline for scheduling is constrained. As part of Clause 52.212-1, the USG has focused on evaluating the Quoter's plans for (a) Communications and (b) Scheduling. Section B outlines the benefit to the USG of a quoter who provides a reliable and safe plan for beginning movements on 1 April 2025.

b. 52.212-1 ADDENDUM TO

INSTRUCTIONS TO OFFERORS--

COMMERCIAL ITEMS (NOV 2021)

Section C.2.(b)(v).

20 3 3.0

Given that insurance providers require the declared value of cargo to issue appropriate coverage, would the Government be able to provide a cost breakdown of all equipment to be loaded per trip? Alternatively, if exact values cannot be provided, would the Government establish the scope of insurance, and the minimum coverage amount per trip to ensure that the contractor can obtain suitable insurance?

a. Dollar values provided as part of table 3.0.1. for contractor to use for insurance estimates. (Added column to PWS 3.0.1-example equipment list, added PWS 6.2)

NOTE* This list is not exhaustive and only represents a sample of the most likely items to be transported via barge. The USG reserves the right to transport other military equipment that safely fits on contracted barges that are not listed in this PWS.

3.0.2 USG will not exceed the above listed dimensions without the Contractor's approval prior to embarkation.

3.1 Specific Tasks. The Contractor shall be responsible for coordinating schedule requirements with port authorities upon notification of movement requirements by the Government, in accordance with this PWS. Due to time constraints for scheduling with port authorities, movement dates for the month of April 2025 will be reserved by the

USG at both Naha Military Port and Ie Village Port. All additional movement requirements will be scheduled and managed by the Contractor. Barge transportation movements will be defined by two CLINS of the resulting Contract and are described as follows:

3.1.1 Movements between Naha Military Port and Ie Shima Port (CLIN 0001)

• The Contractor shall provide a maximum of 14 round trip movements between Naha Military

Port and Ie Shima Port within the period of performance specified in the PWS. The

Contracting Officer Representative (COR) will notify the Contractor of support requirements

60 days prior to the date of each required movement.

3.1.2 Emergent Movements between Naha Military Port to Ie Shima Port (CLIN 0002)

• The Contractor shall provide up to 10 movements for emergent requirements within the period of performance of the contract. Emergent requirements could be identified for scheduling within 72 hours.

3.1.3 Overview of Movements. CLIN 0001 includes (14) total round trip movements between Naha Military Port and Ie Shima Port. These (14) round trip movements will be utilized in two phases (1) Deployment and (2)

Redeployment.

• During the Deployment phase, the USG is expecting to complete up to (7) roundtrip deployment movements via barge between 1 to 10 April 2025. The round trip movements include (7) trips from Naha Military Port to Ie Village Port and (7) trips from Ie Village Port to Naha Military Port.

• During the Redeployment phase, planned between 23 to 30 November 2025, USG is expecting (14) roundtrip redeployment movements via barge which include (7) trips from

Naha Military Port to Ie Village Port and (7) trips from Ie Village Port to Naha Military Port.

Based on the days scheduled for deployment and redeployment, the USG expects that multiple movements will be required to complete the required movements during the established movement dates.

3.2 Management. Contractor is required to coordinate with the COR, Ie Village Port Management, Okinawa

Defense Bureau, and Naha Military Port. This contract is in support of a large USG project on Ie Shima Training

Facility. The project includes several contracted support services that also utilize barge movements at Ie Village

Port. Due to the amount of barge movements related to this project, the Ie Village Port is expected to be consistently congested. The Contractor is required to manage scheduling, resolve scheduling conflicts, and reschedule barge movements by coordinating with all stakeholders throughout the period of performance. The contractor shall provide a single point of contact (POC) that is responsible for coordination with USG.

3.2.1 Kick Off. Contractor shall attend a kick-off meeting with the USG that will be scheduled after award.

3.2.2 Port Authorities. The established ports of embarkation/debarkation are Naha Military Port and Ie Shima Port.

The USG will be embarking and debarking military equipment from both ports during the duration of the period of performance for this contract. The USG does not control the at sea routes. The Contractor must coordinate movement details with the appropriate port authorities listed in paragraph 7.2 after receiving movement requests from the USG. The USG does not have the authority to direct an established route. The Contractor must work with the port authorities to establish at sea routes and control port dwell times.

3.3 Scheduling. The Contractor shall schedule barge movements effectively and support changes to schedule following weather and USG proposed changes is a critical component to this contract. The Ie Shima Training

Facility project is highly susceptible to delays caused by weather. The Contractor shall coordinate for an adjusted barge schedule when directed by the COR within up to 72 hours.

3.3.1 CLIN 0001. Barge movements associated with CLIN 0001 are planned events with an established schedule for movement of USG equipment via barge to/from Ie Village Port/Naha Military Port. These movements, while planned, are subject to change due to weather and scheduling conflicts with other movements. The Contractor shall provide a responsive plan for rescheduling of barge movements within 72 hours.

3.3.2 CLIN 0002. Barge movements associated with CLIN 0002 are “emergent”. The USG requires the contractor to coordinate schedule details with all stakeholders to provide expeditious movement of USG equipment between Ie

Village/Naha Military Port via barge. The Contractor shall provide a responsive plan for scheduling of emergent movements within 72 hours.

3.3.2.1 "Emergent" is defined as "a situation that has arisen, especially one that requires immediate action."

3.3.3 Contractor proposed changes to schedule. All proposed changes to schedule shall be coordinated with the USG immediately and an amended delivery schedule will be signed by the Contracting Officer Representative (COR) and

52.229-12 are included in this solicitation. This provision and clause concern the imposition of a 2 percent Federal excise tax withholding on any resultant contract award or payment request. B. USG Expectations for Prospective Contractor.

The USG is seeking a responsible Contractor who displays the technical understanding of the required services, a plan to effectively communicate between the several process owners, and an ability to manage the scheduling of multiple congruent barge movements throughout the period of performance.

Management of the communications between USG, ODB, Ie Village, and the Naha Military Port are critical components for success of the project this contract is supporting. The ability of the prospective contractor to show their understanding of how communications will be managed to support this contract is critical. The barge support provided by this contract will be utilizing the congested port at Ie Village as a point of embarkation and debarkation during this period of performance. Delays and cancellations for barge movements due to weather and military operations are likely in this Pacific Island environment and during rainy and typhoon seasons. The prospective contractor’s understanding that the scheduled barge movements are likely to change and the ability of the prospective contractor to outline how they intend to adjust to the new schedule are critical components during the evaluation.

The USG is seeking a Contractor who displays a keen understanding of the USG’s requirement for barge movements to/from Ie Village and Naha Military Port and the ability to adapt quickly to schedule changes. The ideal awardee would show that they understand the April pre-established move schedule. They would provide a description in their narrative about how they have communicated with the Ie Village Port, Naha Military Port, and understand their role with the USG as the embarking/debarking unit. They would provide a description of their understanding of how onload/offload will be conducted and what roles/responsibilities are being completed by the contractor and those being completed by the USG. Lastly, the ideal awardee will define an overall understanding of the process for schedule changes and confirm their ability to adjust throughout the period of performance. A reading of the quote should leave an evaluator with a detailed, clear understanding of all aspects of the quote. The prospective contractor’s attention is directed to the PWS, which describes the USG’s requirements.

C. Submittal Requirements.

Prospective contractor shall submit the following documents in response to this RFQ:

1. Completed coversheet utilizing format in Attachment 1.

2. Technical information: As part of the prospective contractor’s Management Approach to communication and scheduling, the prospective contractor shall provide the following information in sufficient detail for technical evaluation.
