Under Japanese regulations and standard marine cargo insurance policies, damages to cargo resulting from a collision at the quay after loading are typically covered by insurance.
However, damages caused by rough seas or extreme weather conditions during maritime transportation are not insurable under standard policies. Currently, the contract does not account for this insurance limitation. Given that weather-related damages are beyond the contractor’s control and cannot be insured, we request an amendment to the contract to clarify that liability for such damages falls under the U.S. Government’s responsibility. If not, please specify expectations or risk mitigation measures, as liability for acts of God is outside the contractor’s ability to cover through commercially available insurance.

The contract states that the contracting officer will notify the contractor of material support requirements 60 days in advance. If transportation is scheduled to begin on April 1, 2025, wouldn’t it be necessary to clarify this at this stage?
Please provide the breakdown of the sequence and number of transportation trips (14 trips in total) for the cargo (machinery, etc.)
a. The USG is planning (7) round trips from Naha Military Port to Ie Village Port between 1-10 April 2025. It is the USG's intent to complete offloads NLT 10 April at Ie Village Port. (See PWS section 4.1-
4.5 with added clarifications)
b. The USG initially listed (28) separate one-way movements between Naha Military Port and Ie Village Port as part of CLIN 0001.
After review, the (28) separate movements were consolidated into
(14) total round trip movements.

Would the contractor be entitled to equitable adjustments for idling times?
a. Requests for Equitable Adjustment may be submitted for review. Clause 252.243-7002 Requests for Equitable Adjustment is included in this solicitation. The USG would review the Contractor's Requests for Equitable Adjustment at the time they are submitted by the Contractor. The USG cannot determine all scenarios in which Requests for Equitable Adjustment would be approved or denied but will fairly evaluate the Contractor's request at the time of submission.
USG recommends Prospective Contractors consider the risk of rescheduling/idling time when providing their quote. he USG recommends that the Prospective Contractor's risk considerations be explained in the quoter's narrative as this will be considered during evaluation.

The PWS states: "If the Contractor’s scheduled or unscheduled maintenance results in USG losing use of equipment for more than 24 hours, the contractor shall provide replacement equipment of a comparable make and model in order to fulfill requirements outlined in this PWS." Please clarify if the term “equipment” in this context refer to contractor-provided transportation equipment (e.g., tugboats, barges, securing gear), or is this referring to the U.S.
Government-owned cargo and machinery being transported?
a. CHANGED PWS 5.1: Changed "equipment" to "shipping". The Contractor shall provide replacement shipping for the USG's equipment. The Contractor will not be required to replace any USG equipment in the event of delays.

For emergent movements under CLIN 0002, are there specific operational scenarios or equipment types anticipated, or should contractors assume similar equipment profiles as listed for planned movements?
a. Emergent movements are expected to contain equipment similar to that listed in section 3.0 of the PWS "Example Equipment List". The most likely scenario for CLIN 0002 emergent movements is an unplanned breakdown of a piece of equipment listed in section 3.0 requiring an operational replacement to quickly be moved via barge from Naha Military Port to Ie Village Port. The purpose of this movement occurring quickly is to ensure the construction project is not delayed due to the loss of critical pieces of military equipment.

The PWS outlines the transportation of various Government owned equipment but does not specify whether the Government will conduct inspections of the equipment before loading and after unloading. To clarify liability concerns, will the Government perform formal inspections of the equipment at both Naha Military Port and Ie Shima Port before and after each movement? If so, will inspection reports be provided to the contractor to document the equipment's condition and mitigate potential liability disputes?
a. USG will utilize form DD626 Motor Vehicle Inspection form via COR or ACOR for all inspections.

Regarding license, registration, permit, and insurance requirements, under Japanese regulations, cargo insurance is not considered part of the contractor's duties. In the unlikely event that cargo is damaged due to rough seas during maritime transportation, would this be covered by the U.S. government’s insurance, given that the cargo is owned by the U.S. government?

Have the necessary procedures, such as port entry/exit permissions, operational permits, and notifications to relevant agencies, been completed in preparation for the transportation start date of April 1, 2025?
-Additional Note: Given the short period for coordination with relevant agencies after the contract award, starting transportation on April 1, 2025, may be challenging. If the U.S.
government coordinates with the relevant agencies before the bidding stage, the schedule could potentially be relaxed.
a. USG has contacted the Naha Military Port and Ie Village Port authorities to reserve pier spaces and prepare them for the upcoming requirements with target movement dates between 1-10 April 2025. The USG cannot prepare the detailed scheduling required by the Contractor upon award and understands that the timeline for scheduling is constrained. As part of Clause 52.212-1, the USG has focused on evaluating the Quoter's plans for (a) Communications and (b) Scheduling. Section B outlines the benefit to the USG of a quoter who provides a reliable and safe plan for beginning movements on 1 April 2025.

PERFORMANCE WORK STATEMENT
1.0 BACKGROUND
The purpose of this Performance Work Statement (PWS) is to outline the requirement to transport equipment, included in section 3.0 of this PWS, via barge transportation in support of Marine Wing Support Squadron 172 in order to deploy capabilities to Ie Shima in support of the Ie Shima Coral Runway Project (ISCRP) at Ie Shima
Training Facility, Japan. The contracted barge shall be a roll-on/roll-off type vessel with a minimum of 400 square meter deck space capable of transporting the equipment list stated in paragraph 3.0 of this PWS. The contracted assets will transport cargo in accordance with the below specifications. The on-load/off-load of cargo will be a responsibility of the United States Government (USG). USG personnel will operate all USG-owned equipment, adhering to safety procedures established by the port for loading and offloading equipment.

3.0 SCOPE OF WORK:
Contractor shall provide barge support that meets license/registration/permit/insurance requirements as per the host country regulations. Contractor is responsible for the safe transportation of equipment while loaded on barge, to include securing the load. Contractor is responsible for employing the barge, transportation, and all supporting equipment and personnel in accordance with this PWS. The Contractor is responsible for ensuring permissible sea state and tide conditions for safe travel. The Contractor is responsible for scheduling with authorities in charge of the
Naha Military Port and the Ie Shima Port after receipt of scheduling requests made by the Government, in accordance with this PWS paragraph 4.0.
USG is responsible for coordinating final scheduling requests with the Contractor via the Contracting Officer
Representative (COR). USG will provide the appropriate Mobility and Embarkation personnel to assist in securing military equipment at the discretion of the Contractor. A trained Embarkation Specialist will be on site for all loading/offloading.

NOTE* This list is not exhaustive and only represents a sample of the most likely items to be transported via barge. The USG reserves the right to transport other military equipment that safely fits on contracted barges that are not listed in this PWS.
3.0.2 USG will not exceed the above listed dimensions without the Contractor's approval prior to embarkation.
3.1 Specific Tasks. The Contractor shall be responsible for coordinating schedule requirements with port authorities upon notification of movement requirements by the Government, in accordance with this PWS. Due to time constraints for scheduling with port authorities, movement dates for the month of April 2025 will be reserved by the
USG at both Naha Military Port and Ie Village Port. All additional movement requirements will be scheduled and managed by the Contractor. Barge transportation movements will be defined by two CLINS of the resulting Contract and are described as follows:
3.1.1 Movements between Naha Military Port and Ie Shima Port (CLIN 0001)
• The Contractor shall provide a maximum of 14 round trip movements between Naha Military
Port and Ie Shima Port within the period of performance specified in the PWS. The
Contracting Officer Representative (COR) will notify the Contractor of support requirements
60 days prior to the date of each required movement.
3.1.2 Emergent Movements between Naha Military Port to Ie Shima Port (CLIN 0002)
• The Contractor shall provide up to 10 movements for emergent requirements within the period of performance of the contract. Emergent requirements could be identified for scheduling within 72 hours.
3.1.3 Overview of Movements. CLIN 0001 includes (14) total round trip movements between Naha Military Port and Ie Shima Port. These (14) round trip movements will be utilized in two phases (1) Deployment and (2)
Redeployment.
• During the Deployment phase, the USG is expecting to complete up to (7) roundtrip deployment movements via barge between 1 to 10 April 2025. The round trip movements include (7) trips from Naha Military Port to Ie Village Port and (7) trips from Ie Village Port to Naha Military Port.
• During the Redeployment phase, planned between 23 to 30 November 2025, USG is expecting (14) roundtrip redeployment movements via barge which include (7) trips from
Naha Military Port to Ie Village Port and (7) trips from Ie Village Port to Naha Military Port.
Based on the days scheduled for deployment and redeployment, the USG expects that multiple movements will be required to complete the required movements during the established movement dates.
3.2 Management. Contractor is required to coordinate with the COR, Ie Village Port Management, Okinawa
Defense Bureau, and Naha Military Port. This contract is in support of a large USG project on Ie Shima Training
Facility. The project includes several contracted support services that also utilize barge movements at Ie Village
Port. Due to the amount of barge movements related to this project, the Ie Village Port is expected to be consistently congested. The Contractor is required to manage scheduling, resolve scheduling conflicts, and reschedule barge movements by coordinating with all stakeholders throughout the period of performance. The contractor shall provide a single point of contact (POC) that is responsible for coordination with USG.
3.2.1 Kick Off. Contractor shall attend a kick-off meeting with the USG that will be scheduled after award.
3.2.2 Port Authorities. The established ports of embarkation/debarkation are Naha Military Port and Ie Shima Port.
The USG will be embarking and debarking military equipment from both ports during the duration of the period of performance for this contract. The USG does not control the at sea routes. The Contractor must coordinate movement details with the appropriate port authorities listed in paragraph 7.2 after receiving movement requests from the USG. The USG does not have the authority to direct an established route. The Contractor must work with the port authorities to establish at sea routes and control port dwell times.
3.3 Scheduling. The Contractor shall schedule barge movements effectively and support changes to schedule following weather and USG proposed changes is a critical component to this contract. The Ie Shima Training
Facility project is highly susceptible to delays caused by weather. The Contractor shall coordinate for an adjusted barge schedule when directed by the COR within up to 72 hours.
3.3.1 CLIN 0001. Barge movements associated with CLIN 0001 are planned events with an established schedule for movement of USG equipment via barge to/from Ie Village Port/Naha Military Port. These movements, while planned, are subject to change due to weather and scheduling conflicts with other movements. The Contractor shall provide a responsive plan for rescheduling of barge movements within 72 hours.
3.3.2 CLIN 0002. Barge movements associated with CLIN 0002 are “emergent”. The USG requires the contractor to coordinate schedule details with all stakeholders to provide expeditious movement of USG equipment between Ie
Village/Naha Military Port via barge. The Contractor shall provide a responsive plan for scheduling of emergent movements within 72 hours.
3.3.2.1 "Emergent" is defined as "a situation that has arisen, especially one that requires immediate action."
3.3.3 Contractor proposed changes to schedule. All proposed changes to schedule shall be coordinated with the USG immediately and an amended delivery schedule will be signed by the Contracting Officer Representative (COR) and
Contractor documenting bilateral concurrence for each change to schedule within 72 hours of notification.
3.3.4 USG proposed changes to schedule. The COR will notify Contractor to reschedule movements for USG convenience in writing within (72) hours prior to scheduled movement. The Contractor shall respond to the adjusted delivery schedule in writing. If Contractor disagrees with the schedule change, the COR will provide alternate means for delivery to maintain the original schedule, or the Contracting Officer will be notified to negotiate a resolution.
3.3.5 Weather Delays. Delivery shall be postponed due to typhoon or weather conditions that suspend barge or ferry transportation. Contractor shall reschedule delivery once barge/ferry transportation is operational and provide the updated barge movement schedule within 72 hours.
3.3.5.1 Typhoon Conditions. Japan-based military installations close when Tropical Cyclone Condition of Readiness
1C (TCCOR 1C or TC-1C) is declared by Military Weather Station authorities. The Contractor shall depart military bases, remain indoors, and monitor radio/television to determine when the TCCOR changes to TCCOR SW (Storm
Watch) or TCCOR AC (All Clear). When TCCOR SW is declared by Military Weather Station authorities, the
Contractor shall restart the service within 2 hours. If that occurs after normal business hours, services shall begin the next normal workday at 7:30am.
3.3.6 Holidays. The Contractor may be required to work during local and/or United States holiday periods.
4.0 PERIOD OF PERFORMANCE:
The period of performance for this requirement is 1 April 2025 to 31 March 2026. The COR for this Contract will register movements and schedule necessary dates for support with the Contractor. The Contractor shall be prepared to execute the first movement by 1 April 2025. Reservations have been made for embarkation at Naha Military Port and debarkation at Ie Village port for 1 to 10 April 2025. Upon award, Contractor shall schedule for specific times directly with the port authorities in PWS section 7.2 and in coordination with the USG-appointed COR.
4.1 Tentative Schedule. The below schedule is tentative and subject to change. Final dates for April movements will be provided upon contract award per PWS 3.1.

4.2 Deployment Movements. The USG is planning (7) round trips from Naha Military Port to Ie Village Port between 1-10 April 2025. Upon award, the awardee will be required to coordinate with the port authorities to coordinate the remaining details. The USG will provide the equipment listings for all movements to the awardee.
4.3 Redeployment Movements. The USG is planning (7) round trips from Ie Village Port to Naha Military Port between 23-30 November 2025. Upon award, the awardee will be required to coordinate with the port authorities to coordinate the remaining details. The USG will provide the equipment listings for all movements to the awardee.
4.4 Emergent Requirements. During the period of performance, (10) one-way trips may be coordinated per CLIN
0002 instructions in PWS 3.1.2 and 3.3.2.
4.5 Each trip may be requested for up to 400 square meters of cargo with example equipment dimensions provided in PWS 3.0.1.
5.0 MAINTENANCE AND SAFETY
The Contractor is responsible for all fees required for transport throughout the duration of the contract period. The
Contractor is responsible for the maintenance of the supporting equipment to ensure performance of the service. The vessel and all associated equipment shall be seaworthy, properly and efficiently manned, equipped, supplied, and prepared to perform the service required.
5.1 Safety Items. The Contractor must maintain equipment pursuant to local city and country safety requirements.
The Contractor is responsible for all scheduled and unscheduled maintenance of supporting equipment. The
Contractor shall provide all parts and labor necessary to complete required maintenance tasks at no additional cost to any already agreed upon/negotiated lease rate. Maintenance shall be performed according to the manufacturer’s recommended maintenance schedule. If the Contractor’s scheduled or unscheduled maintenance results in USG losing use of equipment for more than 24 hours, the contractor shall provide replacement shipping of a comparable make and model in order to fulfill requirements outlined in this PWS.
5.2 Local Procedures, Laws, And Regulations. Contractor shall act in accordance with local procedures and regulations applicable in the region.
5.3 Health Protection. Contractor shall ensure strict compliance to the rules and procedures in the region regarding the health protection of all personnel. Contractor shall provide all necessary consumables, materials or equipment to ensure compliance to health protection order within the region.
5.4 Cargo Riders. USG "Cargo riders" will assist the Contractor as special equipment operators on board the barge to ensure they are readily available in cases of emergency. Additionally, they will be available at the point of debarkation to offload equipment to minimize delays in port operations.
6.0 DAMAGES
All Contractor claims for damage by the USG should be submitted to the contracting officer for consideration.
6.1 Inspections and Chain of Custody. USG vehicle operators will conduct a walkaround inspection with the contractor to annotate any discrepancies with the embarking Military Equipment on the DD626 Motor Vehicle
Inspection form (COR or ACOR will be present for all inspections). Upon debarkation, the COR/ACOR and contractor will confirm the status of the Military Equipment and annotate any discrepancies. If the contractor and
COR/ACOR identify issues, they will be raised to the Contracting Officer for resolution.
6.2 Liability and Insurance. See Clause 52.247-22 Contractor Liability for Loss of and/or Damage to Freight other than Household Goods. Dollar values provided as part of table 3.0.1. for contractor to use for insurance estimates.
7.0 POINTS OF CONTACT AND AUTHORITIES
7.1 Contracting Officer Authorities. The Contracting Officer is the only person authorized to approve any changes to the requirements of this contract and not withstanding provisions contained elsewhere in this contract, the authority remains solely with the Contracting Officer. In the event the Contractor effects any change at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in the contract price as a result of the change.
7.2 Other Authorized Personnel. The following personnel are authorized to coordinate directly with the Contractor in support of contract requirements contained herein.

8.0 BASE PASSES
The Contractor is responsible for providing all necessary identification to the USG POC in sufficient time to coordinate base access as necessary. Should the contractor have difficulty obtaining the necessary passes, they must contact the Contracting Officer immediately.

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)
(a) The USG will make an award to the responsible prospective contractor whose quote conforms to the solicitation and is determined to be the best value to the USG, considering both price and the non-price evaluation factors set forth in this solicitation. The USG will evaluate quotes in accordance with provision herein:
(1) The basis for award is PRICE AND OTHER FACTORS per FAR 13.106-1(a)(2).
(2) Evaluation procedures per FAR 13.106-2(b)
The USG will award a contract resulting from this solicitation to the responsible prospective contractor whose quote is most advantageous to the USG. The following factors will be used to evaluate quotes: (i) Management Approach
(ii) Past Performance and (iii) Price.
(i) Management Approach: The USG will evaluate the prospective contractor’s understanding of the scope and objectives of the requirement, including how they plan to meet the technical requirements of the PWS. This consists of their Management Approach to (a) Communication and (b) Scheduling.
(i.a) Communication: The USG will evaluate the prospective contractor’s ability to effectively manage the execution of duties established in the contract. This includes the prospective contractor's approach for communicating with the USG Contracting Office and COR, ODB, Ie Village, and Naha Military Port.
(i.b) Scheduling: The USG will evaluate the prospective contractor’s approach to scheduling and adapting to schedule changes per PWS section 3.0.
(ii) Past Performance: The USG will evaluate the prospective contractor’s Past Performance in accordance with
FAR 13.106-2(b)(3)(ii) and DFARS 213.106-2(b)(i). This will include an evaluation of the recency, relevancy, and quality of the prospective contractor's past performance on contracts of similar size, scope, and complexity. Recent contracts are defined as contracts performed within five years from the issuance date of this solicitation. Prospective contractors without a record of recent and relevant past performance will not be evaluated favorably or unfavorably for its past performance history.
(iii) Price: Before making the award, the Contracting Officer will use FAR 13.106-3(a) to determine that the apparent successful, prospective contractor’s quoted price is fair and reasonable. The price should reflect the total price to meet all requirements as outlined in the PWS, including labor, materials, equipment, overhead, and any other costs necessary for providing the described services.
The award decision will be based on an integrated assessment of the prospective contractor's price and non-price factors. The USG will consider the entire quote to determine which offer represents the best value, ensuring that the selected prospective contractor provides the optimal combination of price and technical capabilities to meet the
USG’s needs in the most efficient and effective manner.
(b) Options. The USG will evaluate quotes for award purposes by adding the total price for all options to the total price for the basic requirement. Evaluation of options shall not obligate the USG to exercise the option(s).
