SECTION I

GENERAL

1.1 Introduction. Government-owned large and small automatic vehicle washers streamline the process of keeping MTB's 1,300 non-tactical vehicles clean, helping maintain the vehicles' longevity and improve operational efficiency. Ensuring the vehicle washers are properly maintained and serviced well is an essential function that ensures MTB facilitates uninterrupted services that provide essential life-support services, such as food, supplies, and mail deliveries, to military personnel, dependents, and the civilian workforce.

1.2 Scope of Work. The Contractor shall provide all qualified personnel, supervision, supplies, materials, parts, components, equipment, tools, and transportation to perform preventative maintenance and repair services on the Government owned small size vehicle washer (MK Seiko XF504ZP60), large size vehicle washer (MK Seiko CW300Z), and Water Softener Machine (Culligan G10) in accordance with this Performance Work Statement (PWS). The Contractor shall perform preventative maintenance and repair work on the Government owned vehicle washers (MK Seiko XF504ZP60 and MK Seiko CW300Z) and two water softener machines (Culligan G10). The Contractor shall thoroughly inspect all equipment parts for deterioration, excessive wear, misalignment, loose joints, improper adjustments, or any other defects that affect machine operability, replace and correct them in accordance with the manufacturer’s specifications parts to ensure the vehicle washers are fully operational according to the manufacturer’s original specifications of the Original Equipment Manufacturer (OEM).

1.3 Period of Performance. The period of performance of this contract is April 2025 to May 2030.

1.6 Specific Tasks for Preventative Maintenance.

The preventative maintenance services shall include, but not limited to, the items listed below:

1.7 Service Report

Upon the completion of maintenance services, the Contractor shall submit a service report including a list of inspection checklist (listed in paragraph 1.5) and/or documentation for replacement parts. The service report shall be signed and dated by the contractor’s technician and the COR or COR Supervisor.

1.8 Routine Call Support

A routine call may be made when the vehicle washer is operational but requires attention, either due to a chemical imbalance, not enough chemicals in tank(s), leaks, non-critical system warning indicators, or an adjustment to the system is needed to perform at optimal level. The Contractor shall respond to the COR No Later than 72 hours of receipt of a routine call.

1.9 Emergency Call Support

An emergency call may be made when the vehicle washer is in an inoperative state (to include activation of critical warning indicators) and the requesting agency's personnel cannot correct internally. The Contractor shall respond to the COR within 24 hours of receipt of an emergency call.

1.10 Emergency Repair Services

The Contractor shall provide on-site emergency repair services, if the problem cannot be resolved through use of the routine/emergency call support. The repair services shall be provided by certified technician(s). The Contractor shall coordinate with the COR and determine the schedule (estimated hours of work and date/time) for the repair service and inform of the repair type outlined in paragraph

1.10. (Note: The emergency repair services shall not be considered as a part of the preventative maintenance services and shall be conducted separately from the routine maintenance services.)

1.11 Parts and Materials for Repairs

To cover all serviced equipment outlined in paragraph 1.5, the contractor shall provide the Government with fair and reasonable price for both minor and major repair. The contractor will classify repair work into two categories: minor repair and major repair. A minor repair includes the total cost of repair, labor and materials, is less than 3% of the service equipment value. A major repair includes the total cost of repair, labor and materials, is less than 7% of the service equipment value.

The contractor will shall submit a repair work order to the COR, notifying him/her of what services are needed. The COR and contracting officer will review the work order and make the determination if the work is considered a minor repair or major repair. Contractor shall not begin any repairs until approval is given by the contracting officer and the COR.

Work Order Must include:

- 1) Machine Model requiring service

- 2) Date of last Service Report on the machine that requires repairs

- 3) Parts affected that require repair or replacement

- 4) Total Cost of parts and labor

- 5) Estimated time to source parts and complete repair

1.12 Warranty

The Contractor shall provide a warranty of services for repaired/replaced parts for at least one year from the date of acceptance by the Government.

1.13 Qualification/Experience

The Contractor shall be an authorized dealer of the manufacturer (MK Seiko) and shall be able to obtain the required parts and materials for the maintenance and repair services. The Contractor’s technician shall be certified to conduct the required services on the MK Seiko vehicle washing machine.

1.14 Clean Up

The Contractor shall remove all materials and other debris such as used filters and mud, accumulated while providing the maintenance and/or repair services. When any hazardous waste is generated, the Contractor shall notify the Government. The Government will properly dispose of any hazardous waste generated as a result of Contractor activities in accordance with applicable regulations.

1.15 Preventative Maintenance Schedule

The Contractor shall provide preventative maintenance services during the specified months and years as follows:

SECTION II

The Contractor service deliverables and requirements are summarized into performance objectives that relate directly to standards of performance required to meet mission essential needs. For the Performance Objective to be met, service delivery shall be in substantial compliance with applicable performance standards. The Acceptable Quality Level (AQL) describes the minimum overall levels of service delivery required for acceptable quality control. 3.2 Quality Control

The Contractor shall be responsible for controlling the quality of services that conform to the contract specifications. The Contractor shall establish procedures and processes to include, but not limited to, inspection to ensure all contract requirements are met in accordance with this PWS.

3.3 Safety

The Contractor shall be responsible for ensuring the safety of its personnel along with any other personnel who enters the worksite. While conducting the service on the Government facilities, the Contractor shall be adhered the Safety Requirements as specified in the publications listed below:

3.4 Place of Performance

Main place of performance will be MCB Butler, Motor Transport Branch (MTB) on Camp Foster in Okinawa Japan.

3.5 Hours of Operation

The contract service shall be performance during normal business hours; 0800 to 1600, Monday through Friday.

3.6 Applicable Documents

It shall be the Contractor’s sole responsibility to perform all work under the contract in compliance with the most current edition/revision of the Japanese Environmental Governing Standards (JEGS). Contractor shall strictly adhere to all JEGS requirements regarding maintenance services.

3.7 Contracting Officer (CO)

US Government official authorized to enter into, make changes to, or terminate contracts on behalf of the US Government. Contracting officers are responsible for ensuring performance of all necessary actions for effective contracting, ensuring compliance with the terms of the contract, and safeguarding the interests of the United States in its contractual relationships.

3.8 Contracting Officer Representative (COR)

Government liaison appointed in writing by the Contracting Officer and designated in the contract, who functions as the requirements representative monitoring cost/price, delivery and performance of the Contractor. The COR is not authorized to enter into any agreements, obligate the Government or direct any changes to the contract.

3.9 Defective Service

A service output that does not meet the standard of performance specified in the contract for that particular service.

3.10 Standard

The point that divides acceptable and unacceptable performance of a task according to the Performance Requirement Summary (PRS). It is the number of defectives or maximum percent defective in the lot that is deemed acceptable.

SECTION IV

SPECIAL INSTRUCTIONS AND ADMINISTRATION INFORMATION

4.1. Non-Personal Services. This is a non-personal services, performance-based contract. The contractor bears responsibility to manage its employees and guard against any actions that could be characterized as personal services as defined in FAR 37.104, or which convey the perception that personal services are being delivered. No provisions are implied nor provided in this contract for any benefits such as medical care, retirement, or worker’s compensation, other than those incorporated through enumerated clauses.

4.2. Identification of Contractor Personnel and Equipment. In accordance with DFARS 211.106, contractor personnel performing non-personal services on DoD installations or other government facilities shall ensure that they are readily identifiable as contractor employees (including subcontractors and consultants). All contractor employees shall comply with the following at all times:

4.2.1. Telephone Identification. Identify themselves as contractor personnel at the onset of every telephone call made from a Government telephone or any other phone if the call is made in support of Government-related requirements and activities.

4.2.2. Recorded Messages. Identify themselves as contractor personnel in all recorded messages including those, which are heard by callers attempting to contact contractor employees via answering machines or voicemail.

4.2.3. Meetings, Conferences and Events. Identify themselves as contractor personnel at the onset of every meeting, conference or any other gathering attended in support of any Government related requirements or activities.

4.2.4. Correspondence. Identify themselves as contractor personnel on any correspondence, documents, or reports accomplished or sent in support of any service provision to the Government, including, but not limited to, correspondence sent via the U.S. Mail, facsimile, or electronic mail (email) inclusive of out-of-office replies.

4.2.5. Personal and Corporate Identification. Wear or display contractor provided nametags, badges or attire which display, at a minimum, the name of the contractor and their respective company.

4.3. Designated Third Country Nationals (DTCN). Persons from certain countries are considered

DTCN and are generally restricted from entering Marine Corps Bases Japan (MCBJ) Camps, Air Stations, or facilities. A listing of DTCN countries and other related information regarding this policy can be found in USFJ Instruction 31-204 (Designated Third Country Nationals), which can be made available upon request.

4.4. Exemption from Japanese Taxes. Pursuant to the U.S. – Japan Status of Forces Agreement and the

Joint Committee, the governments of the United States and Japan have agreed that the procurement in Japan of materials, supplies, equipment and services for official purposes may be except from certain Japanese taxes. When incorporated, paragraph c. of the clause FAR 52.229-6, “ TAXES – FOREIGN FIXED PRICE CONTRACTS” and/or DFARS 225.229-7001 ‘TAX RELIEF’ stipulate that contract/order pricing shall not include the Consumption Tax. Submission of, and/or incorporation into the contract of, your offer, certifies that pricing does not contain any cost related to the Consumption Tax. Questions concerning this matter should be directed to your local Japanese Tax Office.

4.5. Subcontract Management. The contractor shall be responsible for any subcontract management necessary to integrate work performed on this requirement and shall be responsible and accountable for subcontractor performance on this requirement. The prime contractor will manage work distribution to ensure there are no Organizational Conflict of Interest (OCI) considerations.

Contractors may add subcontractors to their team after notification to the Procuring Contracting Officer (PCO) or Contracting Officer Representative (COR). Cross teaming may or may not be permitted.

4.6. Mission Essential Personnel / Tasks. Unless specified otherwise in this Performance Work

Statement, contractors supporting this contract/order are not considered “Mission Essential” personnel (as defined in DFARS 237.76) who would be required during crisis or emergency operations.

4.7. Hazardous Materials and Safety. The Contractor and its subcontractors shall comply with all applicable laws, including Public Law 91-596 (Occupational Safety and Health Administration (OSHA)) and DOD Directive 4715.1E, Environmental, Safety, and Occupational Health (ESOH)).

Contractor personnel performing services on a DOD installation shall participate in local Voluntary Protection Programs (VPP). Information on the VPP is available at http://www.osha.gov/dcsp/vpp/index.html

4.8. Installation Access and Personnel Credentialing

4.8.1. Motor Vehicles. Vehicle licensing, registration, and insurance requirements must all be conducted in accordance with host nation law, USFJ Instruction 31-205, and applicable local installation policies.

4.8.1.1. Registration/Permits. Vehicle registration on Okinawa, Japan is conducted with the Provost

Marshal via the Joint Services Vehicle Registration Office (JSVRO) at Bldg. 5638, Marine Corps Base, Camp Butler. Information may be obtained at JSVRO website at:

https://www.mcbbutler.marines.mil/Base-Information/Vehicle-Registration/, or by calling +81- (0)98-970-7481.

4.8.1.2. Registration Termination. Vehicle permits will expire upon termination date of this contract/order, expiration of an individual base pass or DBIDS ID, expiration of vehicle inspection sticker, or termination of their employment (whichever occurs first). Permits issued to individuals who overstay any of these authorized dates become void and invalid.

4.8.1.3. Insurance. Vehicle permitting procedures require that all vehicles, personal or corporate, must be properly inspected and insured in accordance with Japanese Compulsory Insurance (JCI) requirements. Additionally, for SOFA status personnel and U.S. corporate vehicles, the Contractor or SOFA status individual is required to procure and maintain, during the entire period of performance under this contract, the following minimum insurance on each vehicle used by the Contactor at the work site:

Automobile Property Damage Insurance Amount: ¥30,000,000 (or U.S. Dollar equivalents) Bodily

Injury Insurance Amount: ¥30,000,000 Yen (or U.S. Dollar equivalents)

Prior to the commencement of work, the Contractor shall furnish to the Contracting Officer a certificate or written statement of the above required insurance for any and all corporate vehicles to be used. The policies evidencing required insurance shall contain an endorsement to the effect that cancellation or any material change in the policies adversely affecting the laws of the state in which this contract is to be performed and in no event less than thirty (30) days after written notice thereof to the Contracting Officer.

4.8.1.4. Road Laws. All personnel operating motor vehicles under this contract/order are subject to U.S.

military installation regulations and Japanese Road Laws. Failure of the contractor, its employees, or its sub-contractors, to comply, may result in revocation of driving privileges or other legal action.

4.8.1.5. Vehicle Disposal. Personnel protected under the Status of Forces Agreement (SOFA) are required by regulation to properly dispose of vehicles prior to departure from Japan. For individuals performing under this contract, the contractor may be held financially liable for vehicles abandoned, or vehicles not disposed of properly, in accordance with vehicle regulations as agreed with the Government of Japan.

4.8.2. Personnel Access / Credentialing. Access to local installations is inherently required to accomplish specified tasks under this contract/order. The contractor shall therefore ensure all necessary actions are taken to obtain such access by its personnel in time to affect access in accordance with the requirements of the PWS and POP. Failure to complete such actions in a timely manner, some of which may occur prior to the POP or individual mobilization/relocation to the place of performance, shall not constitute excusable delay. Upon request, the Contracting Officer will provide a ‘check-in’ sheet that summarizes required actions.

4.8.2.1. Common Access Cards (CAC). Provided the clause 52.204-9 is incorporated, personnel performing on this contract/order may require a CAC. Pursuant to FAR 52.204-9, the CAC is DoD’s Personal Identity Verification (PIV) system; DoD procedures for CAC issuance are applicable and incorporated herein, as governed by DODI/M series 1000.13, DODI 5200.46, and other regulations. All personnel to be issued CAC must meet eligibility and suitability criteria as specified in the references; accordingly, the vetting procedures and required personnel actions may often begin well before the contract/order POP. The contractor and its employees and/or subcontractors are responsible for ensuring timely action and suitability to obtain CACs, and any resultant access issues from non- compliance shall not constitute excusable delay.

4.8.2.2. Base Passes and/or Defense Biometrics IDentification System (DBIDS) cards. Personnel that do not qualify for CAC require an alternate credential for installation access, as governed by Marine Corps Installations Pacific Order 5512.2, which can be provided upon request. The process to request access requires approval from the Contracting Officer in an access request letter.

4.8.2.3. Return and/or Disposal of Access Credentials. The contractor’s employees shall return to the applicable issuing office all base passes, DBIDS cards, and/or CAC, immediately upon termination of employment or completion of this contract and certification of receipt shall be obtained and submitted to the Contracting Officer. The Contractor shall submit a listing of employees terminated under this contract to the Contracting Officer within seven (7) days of the effective date of termination.

4.8.2.4. Status of Forces Agreement. Possession of a CAC or other credential does not, alone, determine the legal status of personnel performing under this contract. Additionally, unless specifically identified on the CAC, the credential does not necessarily authorize logistical support privileges such as commissary/exchange access. The individual status of personnel performing under this contract, and the privileges authorized, are governed in accordance with United States Force Japan Instructions (predominantly USFJI 64-100), applicable credentialing regulations, and the information prescribed via DFARS clauses regarding Contractor Personnel in Japan, as contained herein.

4.9. Privacy Act. Pursuant to FAR clause 52.224-3, as incorporated, DoD requires agency-specific

Privacy Act training as prescribed in DODM 5400.11-R. DODM 5400.11-R also prescribes required actions regarding information and privacy, which are applicable to the contractor and its personnel performing under this contract/order. The regulation may subject the contractor and/or contractor's personnel to criminal liability under Title 18, Section 793 and 7908 of the United States Code.

4.10. Classified information. Any classified work products shall be handled in accordance with DoD

Instruction 5220.22-M. The contractor’s procedures for protecting against unauthorized disclosure of information will not require DoD employees or members of the Armed Forces to relinquish control of their work product, whether classified or not, to the contractor. The contractor may also have access to, and be required to safeguard, For Official Use Only (FOUO), sensitive, confidential, and/or classified information and material.

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES

The following instructions are to ensure the prospective contractor submits the information necessary for the USG to fully understand and evaluate quotes. Prospective contractor shall review all information contained in this RFQ and all attachments and follow the detailed instructions carefully.

A. General Instructions.

1.The quote shall contain all requested services, as the contract award will be made in aggregate. Therefore, any quote received without all services priced will be considered non-responsive.

2. SYSTEM FOR AWARD MANAGEMENT REGISTRATION: All prospective contractors are required to be registered in SAM at https://www.sam.gov at the time their quotation is submitted. Prospective contractor with no active SAM registration upon receipt of their quotation shall be considered ineligible for award. A contract cannot be awarded to a Contractor unless registered in SAM with ACTIVE status. Remember to review the NAICS codes listed in your record and make sure that you have listed the NAICS Code for this procurement.

3. AMENDMENTS AND NOTICES TO THE SOLICITATION: Amendments and notices will be posted to the website https://www.sam.gov. It is the prospective contractor’s responsibility to check the website periodically for any amendments to the solicitation. Please note that notices do not change the solicitation. Changes to the solicitation can only be made officially by the issuance of amendments. The Prospective contractor must acknowledge all amendments issued under this solicitation by signing the SF30 form and submitting it with the prospective contractor’s quotation.

4. SOLICITATION SUBMITTAL REQUIREMENTS: Prospective contractors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to comply with the terms and conditions of the solicitation may result in a prospective contractor being ineligible for award. Quotations must be complete, self-sufficient, and respond directly to the requirements of this solicitation.

5. QUOTATION CURRENCY: Quotations shall be priced only in Japanese Yen. Quotations not priced in Japanese Yen shall be deemed nonresponsive and will not be eligible for award.

6. PERIOD OF ACCEPTANCE OF QUOTATIONS: The prospective contractor agrees to hold the prices in its quotation firm for 90 days from the RFQ due date.

7. AUTHORIZATION TO OPERATE AND CONDUCT BUSINESS IN JAPAN: The clause DFARS 252.225-7042 applies to this acquisition. Any contract resulting from this solicitation will be awarded and performed in its entirety in the country of Japan. Prospective contractors must be duly authorized to operate and conduct business in Japan and must fully comply with all laws, decrees, labor standards, and regulations of Japan during the performance of the contract. Prospective contractors will be required to provide verification on required permit(s)/license(s) within 90 days of award of any contract to the contracting officer if such information is not already on file with or available to the contracting officer.

8. INCURRED EXPENSES: By submitting a quotation, the prospective contractor understands that the USG is not responsible for any costs incurred associated with the preparation and submission of a quotation in response to this solicitation.

9. FAR PROVISION 52.229-11 AND FAR CLAUSE 52.229-12: FAR provision 52.229-11 and FAR clause 52.229-12 are included in this solicitation. This provision and clause concern the imposition of a 2 percent Federal excise tax withholding on any resultant contract award or payment request. This rule applies to Federal Government contracts for goods or services that are awarded to foreign persons. It implements the Department of the Treasury final regulations published in the Federal Register at 81FR 55133 on August 18, 2016, under section 5000C of the Internal Revenue Code relating to the 2 percent tax on payments made by the U.S.
