Officer Candidates School

Building Power Washing

Statement of Work (SOW)

1.0. Background: Officer Candidates School (OCS) requires power washing on key buildings in order to maintain a professional look for this showcase institution. The Officer Candidates School (OCS), Marine Corps Base (MCB)

Quantico, Virginia educates and trains the Officers of the USMC. We have ceremonies at least 5 times per year for over 2,000 Graduating Officers and their family members in attendance. OCS has 3 & 4 Star Generals and other dignitaries coming to tour the obstacle courses and classrooms that train these Officers. Since we are on the back of

Quantico the exterior surfaces of our buildings are constantly exposed to harmful elements, both man-made and natural. Ultraviolet light rays, wind, rain, dirt, and grime physically attack surfaces causing them to degrade, discolor, oxidize or chalk over time. Mold, mildew, birds, insects, wasps and spiders can add to these effects. Then comes the assault caused by man-made elements such as industrial pollution and automotive exhaust, acid rain.

These take their toll on buildings over time.

1.1 Purpose: Professional power washing using high pressure water and low-pressure rinse. The cleaning and focus areas will include: windows, brick, stucco, trim areas, roof lines, window frames, screens, doors, light fixtures, eves, soffits, overhangs, pillars, entrances, boot scrapers, inside and outside of gutters. Non-marking tires will be used on any high/low lift as to prevent tire marks on the sidewalk. Non-toxic, environmentally friendly cleaning products designed for cleaning brick and other noted surfaces shall only be used. All garden hoses, cleaning supplies and lifts will be provided by contractor. Power washing shall only be performed on weekends to limit the disturbance of OCS candidates and staff. Paint must not be damaged when cleaning occurs or it is the contractor’s responsibility to repair. Use a 40ft high/low lift to assist in the cleaning of the unit’s high areas. Cleaning to occur every Spring and Autumn. This effort shall include all labor, tools, ordering and delivery of materials needed to complete the cleaning on each building.

1.2. Objective: Power wash the following buildings:

1. 2189N (Wilson Hall),

2. 2189A (OCS Maintenance Bldg.),

3. 3083 (Yeckel Hall),

4. 3083A (Academics Offices),

5. 3065 (Taylor Hall),

6. 2187 (Branch Hall),

7. 2118 (Armory)

8. 5005 (Bobo Chow Hall).

*A mandatory site visit will be conducted on Tuesday, May 11th, 2021 from 09:00am-11:00am at the above locations. Quotes will only be accepted by contractors who attend the site visit. Contractors who wish to attend can RSVP to jeffrey.a.sisk@usmc.mil and michael.bogatyr@usmc.mil by Monday, May 10th , 2021 at

3:00pm. The meeting place will be at the OCS parking lot.

Due to COVID restrictions: masks MUST be worn at ALL times while on base. Practice safe social distancing

– Please limit to one person per contractor due to COVID restrictions.

AUTHORIZED CHANGES ONLY BY THE CONTRACTING OFFICER

Except as specified in paragraph (b) below, no order, statement, or conduct of Government personnel who visit the Contractor's facilities or in any other manner communicates with Contractor personnel during the performance of this contract shall constitute a change under the Changes clause of this contract.

a. The Contractor shall not comply with any order, direction, or request of

Government personnel unless it is issued in writing and signed by the

Contracting Officer or is pursuant to specific authority otherwise included as a part of this contract.

b. The Contracting Officer is the only person authorized to approve changes in any of the requirements of this contract and notwithstanding provisions contained elsewhere in this contract, said authority remains solely the

Contracting Officer's. In the event the Contractor effects any change at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in the contract price to cover any increase incurred as a result thereof.

2.0. Requirements: The Contractor shall manage all phases of the project including product delivery, parts inventory, receipt inspection, installation supervision, and quality assurance.

2.1 Trash Removal: The Contractor shall clean-up and dispose of all refuse materials and trash in accordance with this SOW and applicable federal, state, and local regulations, standards, codes and laws. The Contractor shall keep the job site clean, including staging and storage areas and free from accumulations of debris, packing materials and scrap. All project related trash must be removed on a daily basis to deter and eliminate potential safety hazards.

The work site shall be vacuum cleaned and dusted upon completion of the project. The Contractor is not authorized to utilize disposal containers within the OCS fenced compound, or those located on MCB Quantico. Any fees or charges incurred for disposal of materials shall be paid by the Contractor.

2.2 Quality Assurance: Contractor must take precautions to avoid peeling paint or damaging buildings when pressure washing. If peeling or damages occur, it is the contractor’s responsibility to repair the damages at their expense. Contractor must have valid Certificate of Liability Insurance to be eligible for award and to perform all stated work. Contractor must also provide a list of completed projects and at least three references from General

Contractors.

Two (2) business days after contract award the Government will host a kick off meeting with the Contractor at the

OCS facility to review equipment and installation requirements. Within Five (5) days after award, the Contractor shall provide a schedule which clearly illustrates a planned timeline from work start to final inspection and acceptance. Dates and times for work shall be in accordance with the schedule coordinated between the Contractor and the Government Technical Point of Contact. However, all work shall be scheduled to occur within the 24 hour period of any day of the week to minimize disruption to Government personnel and mission.

3.0. Security Considerations: All Contractor personnel entering the OCS facility must be U.S. citizens.

Contractors may have permanent pass access Identification to Quantico Base Quantico Virginia or escorts are required for personnel during all installation visits to the OCS. All Contractor personnel are responsible for staying within the immediate boundaries of the worksite and within sight of the assigned escort. The Contractor shall coordinate access to the OCS in advance with the Government’s Technical POC and shall comply with all security regulations. All equipment that enters the OCS facility is subject to inspection.

4.0. Place of Performance: Officer Candidates School, MCB Quantico, VA 22134, Buildings 2189N (Wilson

Hall), 2189A (OCS Maintenance Bldg.), 3083 (Yeckel Hall), 3083A (Academics Offices), 3065 (Taylor Hall), 2187

52.212-1 ADDENDUM: INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS

GENERAL INTENTION

Marine Corps Installations – National Capital Region (MCI-NCR) has a requirement for Power Washing Services at the Officer Candidates School campus. In accordance with FAR Part 12 and 13, the MCI-NCR Regional

Contracting Office is issuing a solicitation for power washing Services. Required specifications are listed in

Schedule of Supplies/Services within this solicitation.

PROCUREMENT APPROACH

The Contractor’s quoted item descriptions shall reflect the characteristics and level of quality that will satisfy the

Government’s need as described in the Schedule of Supplies/Services. A single firm-fixed price contract will be issued and it is the Government’s intent to award on an “all-or-none” basis to satisfy this requirement.

TECHNICAL COMPLIANCE

a) Quotes must provide product literature, brochures, or documentation that clearly demonstrate that the items quoted meet all of the salient characteristics identified in this solicitation. A mere statement that the quoter will meet the Government’s requirement is NOT sufficient.

b) Clearly state whether the quoter can meet the required performance of two cleanings annually (Spring and

Autumn). Vendors who cannot meet the required Period of Performance will not be considered technically acceptable.

c) In order for a quote to be considered, the contractor must have attended the mandatory site visit on 11 May, 2021, referenced in paragraph 1.2 of the Statement of Work.

NOTE: Failure to provide any of the above “Technical Compliance” documentation above may result in the quote being deemed technically unacceptable.

FAR 52.212-2 ADDENDUM – EVALUATION – COMMERCIAL ITEMS

EVALUATION

The quote(s) will be evaluated on (1) Technical Capability and (2) Price. The Government intends to make a single

Firm Fixed Price award to satisfy this requirement. The Government reserves the right to award no contract at all, depending on the quality of offers submitted.

The Government intends to evaluate quotes and award a contract without discussions with vendors. Vendors should not expect requests for clarification or additional information from the Government. Award will be based on the initial evaluation of quotes received in response to the solicitation. Therefore, quoters are cautioned that their initial quotes should contain their best terms from a technical and price standpoint. However, the Government reserves the right to conduct discussions with vendors if later determined by the Contracting Officer to be necessary. The

Government may reject any or all quotes if such action is in the public interest; and may waive informalities and minor irregularities in quotes received.

The following ratings/definitions will be utilized;

RATING DEFINITION

Acceptable Quote meets the requirements of the solicitation.

Unacceptable Quote does not meet the requirements of the solicitation.

The Government may use information such as Contractor Performance Assessment Reporting System (CPARS), DoD PPIRS and the FAPIIS data available from Government sources to evaluate a Quoter's past performance.

PRICING

The price quote should avoid ambiguities of inclusion, exclusion, or content. Freight or delivery cost must be included in the quoters overall price.

The Government will evaluate Quoter’s quoted prices, but this factor will not be given an adjectival rating. Quotes will be evaluated on completeness, accuracy, and reasonableness. Evaluation of the quoted prices for the services will be based on a comparison of quoted prices received in response to the solicitation and may also be based on a comparison to the Independent Government Cost Estimate (IGCE) along with any other relevant price analysis techniques defined in FAR 15.404-1(b). Note, that while FAR Part 15 does not apply to this procurement, the price analysis techniques defined in FAR 15.404-1 will be utilized as appropriate.

Completeness and Accuracy. The Government will review the pricing tables for completeness and accuracy. A determination will be made as to whether the Quoter properly completed the pricing tables.

The Quoter’s quote will be checked for mathematical correctness to include the following:

1) Checking arithmetic in all computations; and

2) Ensuring all prices are summarized correctly

3) Pricing shall not exceed two decimal places for cents.

4) Spreadsheets and formulas shall not be password protected.

SUBMISSION OF QUOTES

Quotes shall be submitted no later than the time and date specified on Block 8 of page 1 of the SF1449 solicitation.

Where do I register for DBIDS?

Individuals must pre-enroll, go to https://dbids-global.dmdc.mil/enroll#!/ and complete the registration process (PMO bldg. 2043 or at the Commercial

Vehicle Inspection Lot near the MCCS Outdoor Adventures Center and Game Check Station) within 30 Days. Print out the online confirmation and bring to the base to complete the process.

To complete your DBIDS processing and receive your DBIDS credential, visit the MCB Quantico Commercial

Vehicle Inspection (CVI) Lot or the Provost Marshal's Office bldg. 2043. Please allow 10 days from your online pre-registration date for Processing of your information, and bring your pre-registration confirmation printout.

Does everyone in a vehicle need to be registered in DBIDS?

All individuals requiring routine access to the installation will need to register.

What happens if I don't pre-enroll?

Pre-enrollment helps to expedite the processing time before checking in at the Provost Marshal's Office or CVI-Lot.

There will be additional delays if the pre-enrollment is not completed in advance.

How long does registration take?

Registration times will vary. If you complete pre-enrollment before coming to Quantico, registration should only take a few minutes.

If I have a DBIDS card at another base, do I need to register again for Quantico?

Yes, go directly to PMO or the CVI Lot with your DBIDS card to receive MCB Quantico permissions.

1. Situation. An effective access control policy is necessary to ensure the safety and security of Marine

Corps Installations National Capital Region- Marine Corps Base Quantico (MCINCR-MCBQ) personnel and property.

a. Access to MCINCR-MCBQ properties and facilities is limited for authorized purposes only. Authorized purposes include performance of official duties; performance of approved contractor and employment activities aboard MCINCR-MCBQ; authorized dependent and guest access to family housing areas, medical facilities, and

Department of Defense Schools; authorized patronage of Marine Corps Community Services (MCCS) activities; the

National Museum of the Marine Corps (NMMC) and Marine Corps Heritage Center activities; and authorized participation in private organizations and conservation activities registered aboard MCINCR-MCBQ.

b. MCINCR-MCBQ is not a public forum, and protest and partisan political activities, of any kind are not permitted.

c. Town of Quantico. Because the Town of Quantico is located within the geographical boundaries of

MCINCR-MCBQ, Fuller Road, between Jefferson Davis Highway (Route 1) and Potomac Avenue, is accessible to the public for the sole purpose of transiting to and from the Town of Quantico.

This limited public use does not allow any detour, deviation, or access to any other part of MCINCR-MCBQ, nor does it provide authority for any uses other than transit. Individuals who present appropriate identification may access the Town of Quantico via Fuller Road between Jefferson Davis Highway (Route 1) and Potomac Avenue.

There is no right of public access via other Gates. Personnel transiting MCINCR-MCBQ to the Town of Quantico are subject to routine and random security checks at access control points and in route.

d. Marine Corps Heritage Center (MCHC). The 135-acre MCHC is MCINCR-MCBQ property. Though the

National Museum of the Marine Corps, which is part of the MCHC, is open to the public, MCINCR-MCBQ may establish access control points, as needed, to ensure compliance with this Order.

2. Mission. MCINCR-MCBQ executes comprehensive access control procedures in order to ensure the safety and security of installation personnel and property.

3. Execution

a. Commander’s Intent

(1) Purpose. To establish effective and efficient access control policy that ensures individuals granted access to MCINCR-MCBQ are properly identified and vetted in accordance with the references.

(2) Method. MCINCR-MCBQ will establish procedures that allow for scalable enforcement of access control procedures based on the threat, traffic/safety conditions and special event considerations.

(3) End-state. MCINCR-MCBQ access control policies and procedures ensure that base personnel and property are better protected by minimizing access to the base by unauthorized persons.

b. Concept of Operations

(1) All individuals that access MCINCR-MCBQ property are subject to access control measures that include identity proofing, vetting, vehicular searches, personnel searches, and other security regulations. Screening and vetting may take place at installation entry control points, as part of the application process for employment, as part of an application for a hunting license, during random checks of workplaces and job sites, and at other venues as determined by the base commander.

(a) Identity proofing consists of reviewing federally authorized documentation to ensure authenticity of an individual. Enclosure (1) identifies the credentials that are approved to identify persons seeking access to MCINCR-MCBQ.

(b) Vetting is an evaluation of an individual’s character and conduct, for approval, acceptance or denial onto the installation. MCINCRMCBQ conducts personnel vetting through law enforcement and other security databases. Enclosure (2) identifies the access standards required for base access.

(2) In addition to identity proofing and vetting, MCINCR-MCBQ has established specific access/screening procedures for contractors, commercial vehicles, commissary baggers, hunters, role players, and the USACE waterfront restricted area as identified in enclosures (3) through (8).

c. Tasks

(1) Assistant Chief of Staff, G-3 (Operations)

(a) Exercise staff cognizance for implementation of installation access control policies and procedures.

(b) Coordinate with tenant commands and activities to ensure compliance with the provisions of this order.

(c) Serve as the MCINCR-MCBQ point of contact with the US Army Corps of Engineers for matters pertaining to the Potomac River Restricted Area.

(d) Notify the Mayor of the Town of Quantico of any changes to Access Control procedures that may impact town residents or visitors.

(e) Process requests for access control waivers.

(2) Assistant Chief of Staff, G-F (Installation & Environment)

(a) Conduct bi-annual background checks of all non-affiliated personnel requesting to hunt on

MCBQ IAW the provisions identified in enclosure (6).

(b) Publish hunter screening requirements and procedures in the annual Fiscal Year Hunting Season

Bulletin (MCINCR-MCBQBUL 11015).

(3) Command Inspector. Process recommendations for debarment for individuals that fail to meet/maintain access standards IAW enclosure (2).

(4) Director, Marine Corps Community Services. Ensure that signage identifying the provisions of the

USACE Potomac River Restricted area are maintained/posted at the MCBQ Marina and all MCBQ boat launch facilities.

(5) Commanding Officer, Security Battalion

(a) Conduct background screening for contractors, commissary baggers, and non-affiliated hunters

IAW the procedures identified in enclosures (3), (5), and (6). Provide the results of screening within ten days of initial receipt, to the government official that submitted the data.

(b) Add the names and biographical data of contractors that failed screening to the applicable physical access control system (PACS) database and provide a copy to the MCINCR-MCBQ Command Inspector

General for possible debarment.

(c) Provide trained personnel and required equipment to operate the Commercial Vehicle Inspection

(CVI) Lot IAW enclosure (4). Ensure a minimum of (1) armed law enforcement person is present at all times the

CVI lot is operational.

(d) Conduct commercial vehicle screening at the installation Entry Control Points (ECP) during hours that the CVI lot is not operational.

(e) Develop and publish written CVI procedures.

(f) Support registration in the RAPIDGate® program at the kiosk located at the CVI lot.

(g) Issue RAPIDGate® credentials to authorized patrons at the Russell-Knox Building visitor control center.

(h) Coordinate with the Commanding Officer, MCAF to develop and publish procedures for enforcement of the restricted area IAW enclosure (8). Enforcement shall include random patrols and procedures for both a shoreline/ground and waterborne response.

(i) Coordinate with the AC/S G-F (Environmental Law Enforcement Section), NCIS Quantico, Charles County Sheriff, and other law enforcement/ mutual aid partners for assistance with enforcement of the restricted area.

(j) Appoint a Role Player Program Coordinator (RPPC) to manage the role player screening program IAW enclosure (7).

(6) Commanding Officer, Marine Corps Air Facility

(a) Coordinate with the Commanding Officers of Security Battalion and Presidential Helicopter

Squadron-1 (HMX-1) to develop and publish procedures for a shoreline/ground enforcement of the USACE

Potomac River Restricted Area IAW enclosure (8).

(b) Publish and execute procedures for processing requests by commercial fisherman to access the restricted area.

(c) Plan for required maintenance of restricted area buoys and barriers. Include buoy and barrier inspection, sustainment, repair, and replacement as part of annual MCAF budget submission.

(d) Publish Access Control Policy for MCAF Quantico identifying specific procedures as it relates to the air field and in accordance with reference (e).

(7) Director, Regional Contracting Office. Provide notice of the access control requirements identified in this order in all contract solicitations and awards for all contracts to be performed on MCBQ.

(8) Contracting Officers/Contracting Officer Representatives

(a) Submit the names of all applicable contractor employees to PMO Services for background screening IAW enclosure (3) at the commencement of a contract and NLT the 5th of each month thereafter.

(b) Upon notification that an employee fails to meet access standards, immediately inform the contractor and ensure that the employee is not permitted to continue work on MCBQ.

(c) Forward requests for a waiver to contractor access control screening standards to the MCINCR-

MCBQ G-3 for processing.

(9) Commissary Manager

(a) Ensure compliance with the provisions of enclosure (5) and that all commissary baggers have completed background screening prior to being allowed to work.

(b) Submit a roster that includes names and biographical data on all active commissary baggers to

PMO Services NLT the 10th of each month.

(c) Ensure that all baggers are issued and wear an individual employee identification number at all times while working at the commissary.

d. Coordinating Instructions

(1) All personnel and vehicles entering MCINCR-MCBQ are subject to search. Searches may take place at the entry control point, commercial vehicle inspection lot, or other location as directed by the Provost Marshal.

(2) Specific procedures for commercial vehicle processing are identified in Enclosure (4).

4. Administration and Logistics

a. Waiver Requests. The Commander, MCINCR-MCBQ or designee, may issue a waiver to allow access to an individual who fails the MCINCR-MCBQ vetting process or is prohibited from MCINCR-MCBQ access under this policy. Written requests for waiver shall be submitted to the MCINCR-MCBQ G3 for processing. Upon decision of the Commander, the individual submitting the waiver will be informed of the outcome.

b. Deviations. Requests to change or deviate from the provisions of the order will be submitted to the

MCINCR-MCBQ G-3 (Attention: Director, Installation Protection Branch.

5. Command and Signal

a. Command

(1) This policy applies to all MCINCR-MCBQ tenant commands, organizations, activities, and military members, dependents, government employees, contractors, and private individuals who access MCINCR-MCBQ property.

(2) The Commanding Officer MCAF Quantico shall support the provisions of this order while maintaining additional access control policies and procedures designed to meet the security requirements of that installation.

b. Signal. This order is effective on the date signed and replaces MCBO 5530.1 (Access Control) and

MCBO 4200.3 (Contractor Screening).

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (FEB 2021)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision --

“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except--

(1) PSC 5510, Lumber and Related Basic Wood Materials;

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.

“Reasonable inquiry” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain

Telecommunications and Video Surveillance Services or Equipment.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

“Sensitive technology”--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act

(50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern"--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13

CFR part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.

“Small disadvantaged business concern”, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term

“successor” does not include new offices/divisions of the same company or a company that only changes its name.

The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

“Veteran-owned small business concern” means a small business concern--

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern--

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least

United States.
