STATEMENT OF WORK

AUTOMATED STORAGE KITTING AND RETRIEVAL SYSTEM (ASKARS)

LOCATED AT

FLEET READINESS CENTER EAST CHERRY POINT

(A COMFRC CORPORATE SOLUTION)

1.0 SCOPE

The purpose of this Statement of Work (SOW) is to describe the Government’s requirement for upgrade of an Automated Storage Kitting and Retrieval System to the latest version of Redhat Linux Enterprise Operating System, switch all remaining serial communication to Ethernet communication by modifying the Sub System Controller communication software, replacing DigiBoard hardware with configured Digi ConnectPort servers hardware, remove old components not currently part of the existing or upgraded Automated Storage, Kitting and Retrieval System (ASKARS) and provide corrected communication diagrams for the existing and upgraded Subsystems at the Fleet Readiness Center East (FRCE), Cherry Point.

1.1 BACKGROUND

The ASKARS application allows full range of automated and non-automated material handling functions with real-time updates. To perform the automated material handling functions the application provides instructions to the Material Handling Equipment (MHE), i.e. robotic storage retrieval machines and conveyors, in the form of container/pallet move requests via the unique ASKARS-SubSystem Controller (SSC) application. The ASKARS-SSC working in a parent-child relationship that directs, controls, and monitors the MHE for efficient retrieval and storage of the required storage containers/pallets and reports status back to the parent ASKARS application. Each SSC was designed to uniquely operate in coordination with the ASKARS application. It has no independent function and cannot operate as designed without direction from ASKARS in the form of container/pallet move requests. All information regarding material storage, bin, container locations and status is maintained by the ASKARS application database. ASKARS application requests involving material movement are formatted and transmitted to the SSC. The SSC serves as the primary interface with the stacker/conveyor machinery.

FRCE and FRC Southeast (FRCSE) currently use standardized code as a corporate solution and mandated by COMFRC to operate the ASKARS / AS/RS systems. FRCE currently has four (4) independent storage areas located within two (2) buildings. These areas are used to store aircraft parts in support of FRCE’s operation. Each storage area utilizes mini load and/or unit load stacker cranes for a total of twelve (12) cranes. Conveyors transport loads to cranes for storage and away from cranes when retrieved. The Vertical Lift Modules (VLMs) and other equipment “not” stated below are “not” included in this SOW. Each configuration of MHE comprises a subsystem that has its own SSC computer for equipment synchronization with ASKARS requests. Each is interfaced to the ASKARS software via an SSC. The current ASKARS application was developed for FRCE and FRCSE and is maintained by the government. The government has unlimited access to the standardized configured code. The four (4) existing SSCs include 32 bit Personal Computers (PCs) and O.S that control each storage system and provide an operator interface. The connection upstream to the host is Ethernet while the connections downstream to the storage system components are a mixture of serial connections through DigiBoards and Ethernet. The SSC application provided must be 100% compatible with the current ASKARS system application standardized code and the other SSCs already operating various Automated Storage/Retrieval Systems (AS/RS) at FRCE and Southeast FRCSE. The current system includes the following:

1.1 Building 137 Cranes

1.1.3 LIS 2/5- Large Item Stacker area 2 stacker 5- New Dambach unit load crane

1.1.4 LIS 2/4- Large Item Stacker area 2 stacker 4- New Dambach unit load crane

1.1.5 LIS 2/3- Large Item Stacker area 2 stacker 3- Next New Dambach unit load crane to be replaced

1.1.6 LSIS 2/2- Large Item Stacker area 2 stacker 2- TGW crane

1.1.7 SIS-1 Small Item Stacker one- TGW crane

1.1.8 SIS -2 Small Item Stacker two- New Viastore Mini Load crane

1.1.9 SIS -3 Small Item Stacker three- New Viastore Mini Load crane

2.0 REQUIREMENTS

The contractor shall upgrade to the Redhat Linux Enterprise operating system software to allow for continued use of the current corporate SCC solution standardized by COMFRC and mandated by NAVAIR. The government requires that the standardized COMFRC corporate SCC code shall be modified and configured to provide a 100% compatible seamless interfacing to the existing and upgraded equipment, software and hardware at FRCE. The contractor shall upgrade the current communications and operating system (OS) for three (3) storage areas, two (2) in building 137 and one (1) in building 133 of the FRCE, for the automated storage kitting and retrieval systems (ASKARS). The contractor shall upgrade the communications methods from serial to Ethernet for the FRCE. The contractor shall ensure FRCE remains 100% compatible with the ASKARS operating host.

2.1 The Contractor shall remove three (3) existing DigiBoards and replace them with a combination of 4 and 16 port Digi ConnectPort® terminal servers.

2.1.1 The contractor shall replace one (1) Digi Board with (1) Digi Connect 16 port. ConnectPort serial servers shall provide secure, easy integration of any serial device into wired Ethernet networks. The contractor shall upgrade the warehouse control application software to support FRCE’s upgrade of the existing 32 bit operating systems to 64 bit operating systems.

2.2.1 SSC functions shall include:

2.2.1.2 Receiving, retrieving and storing requests from the host.

2.2.1.3 Maintaining and managing a queue of up to one hundred (100) pending and in-process requests by order of request and in coordination with work station activity.

2.2.1.4 Providing equipment control for the conveyors and stackers

2.2.1.5 Providing the host (ASKARS application) with acknowledgments and status messages regarding requests initiated by the host

2.2.1.5 Maintaining a log and a selection of reports of all significant activity and error conditions

2.2.1.6 Allowing an operator to submit material movement commands in the “SSC Auto” (Get, Put, Move) and the “SSC Semi-auto” (position, pickup, calibrate, deposit, park) modes.

Allows an operator to view the current status of queued requests

2.2.1.7 Allowing an operator to view and modify the enabled/disabled status of work stations and stackers

2.2.1.8 Providing a continuous real time graphics display representation of stacker and conveyor activity and status.

2.2.1.9 Allowing maintenance personnel to identify and correct error conditions including a view of current conditions of individual components.

2.2.1.10 Allowing an operator to access and search a log of all significant activity and access a selection of reports

2.3 SSC software shall:

2.3.1 Utilize Red Hat Linux Enterprise 7.1X as the operating system version 7.1X (OS).

2.3.1.1 Utilize Reflections to permit access of windows based remote maintenance terminals.

2.3.1.2 Have a modular/structured design with definable tasks operating interactively.

2.3.1.3 Have all programs and user interface windows be based in the ‘C’ programming language.

2.3.1.4 Have the primary user interface be Command Entry X-window Screen (CEXSCR) is X-window based.

2.3.1.5 Provide four levels of user groups and a menu interface tailored to the user group level. The desktop and menu allows users to access the Command Entry Screen and perform approved administrative functions (i.e. starting/stopping SSC application, checking status of programs, backups, displaying/changing work queues, accessing logs and reports, etc.).

2.3.1.6 The contractor shall verify the replacement of the Digi Board Cards with Digi ConnectPort servers. The contractor shall also replace one obsolete and unsupported Digi Board card in building 137 and one in building 133 with current readily supported 16-port Digi ConnectPort servers. The existing Digi Board cards shall be removed, replaced with Digi ConnectPort servers, and the remaining serial connections shall be plugged into the Digi ConnectPort servers. All serial connections to the Digi ConnectPort servers shall be provided by the contractor. The Digi ConnectPort servers shall be connected to the SSC network card via Ethernet. For the LIS2 system in building 137, a new Ethernet switch shall be installed after the SSC network card to provide an Ethernet port for the TGW crane and the Digi ConnectPort server since the SSC network card is already utilized. The existing communication diagrams shall be updated to reflect the changes made as part of the proposed work scope.

2.3.1.7 64 Bit Operating System Upgrade Support The contractor shall upgrade FRCE SSC software, using C programming, to support FRCE conversion from 32 bit computers to 64 bit computers in buildings 137 and 133 supporting the 12 ASRMs listed above in paragraphs 2.1 and 2.2. The current code shall be modified to work with Red Hat Linux Enterprise 7.1X for the systems. FRCE will supply the four 64 bit operating system PCs and the eight network cards, two for each PC. The contractor shall install the SSC software to operate on the first 64 Bit Operating System provided by FRCE. The install shall include updates, modifications, testing and verification of the SSC software in the new 64 bit operating system. The first install shall be followed by a day of monitoring to ensure proper operation. The contractor shall install the software on the remaining three PCs followed by a day each of monitoring. The contractor shall be provided two (2) Ethernet cards so that one card can be utilized for the connection to FRCE internal network and the other Ethernet card shall be utilized to connect the new Digi ConnectPort servers to each PC.

2.3.1.8 The contractor shall engineer the software solution within 30 days after receipt of order. Once the software solution is complete, the contractor shall provide a detailed implementation plan and schedule which will be approved by the FRCE technical team, in advance of starting on-site work. The contractor shall replace four existing DigiBoards with Digi ConnectPort® 16 port terminal servers. ConnectPort serial servers provide secure, easy integration of virtually any serial device into wired Ethernet networks.

2.3.1.9 The contractor shall upgrade the warehouse control application software to support FRCE’s upgrade of the existing 32 bit operating systems to 64 bit operating systems. The contractor shall provide the engineering, 1Digi ConnectPorts, delivery of the new materials to site, programming, and commissioning.

2.3.1.10 In order to meet the requirement of FRCE, the contractor shall incorporate ASKARS modernization/update solutions, project management and technical capability to achieve the following requirements:

2.3.1.11 The solution must be an upgrade to the Red Hat Linux Enterprise 7.1X operating system for the corporate suite of depot operating software inclusive of ASKARS and the ASKARS SSC. Further, the solution must meet the technical standards of the Material Handling Institute, ASKARS Section including ANSI MH16.3-2016: SPECIFICATION FOR THE DESIGN, TESTING AND UTILIZATION OF INDUSTRIAL STEEL CANTILEVERED STORAGE RACKS and /or ANSI MH16.1 - SPECIFICATION FOR THE DESIGN, TESTING AND UTILIZATION OF INDUSTRIAL STEEL STORAGE RACKS, as applicable.

2.3.1.12 Contractor shall provide component parts which are commercial, off-the-shelf, with no anticipated obsolescence date that ensures a long-term supply of replacement parts that are current and compatible with existing and future technology.

2.3.1.13 Contractor shall provide a solution that will allow for local daily start-up and routine maintenance of the ASKARS System after upgrade.

2.3.1.14 Contractor shall utilize existing Ethernet drops.

2.3.1.15 Contractor shall provide a list of critical spare parts for all new parts which are susceptible to premature failure. Critical spare parts are defined as a part that may not normally be stocked by a local distributer and has a long lead time (greater than 24 hours). To aid FRCE, the contractor shall provide pricing within their proposal for any critical spare parts.

2.3.1.16 Plan of Action & Milestones: The Contractor shall provide a Plan of Action & Milestones (POA&M) report to identify Contractor performance dates of all major events from contract award to completion of contract requirements. The report will be reviewed by the Government. The milestones shall be prepared using Microsoft Project. The initial report shall be submitted with the contractor's proposal. A final report shall be submitted within ten (10) calendar days after date of contract award. The Government and the Contractor shall review the report periodically on an as-needed basis until Final Acceptance has been accomplished. Any changes to the final approved POA&M must be approved in advance by the Government to ensure adherence to contractual milestones. The POA&M shall detail such items as system design concept, software design concept, software development, engineering, procurement of major hardware, assembly, operational debug, factory acceptance, shipment, installation, and site acceptance test.

2.4 Deliverables -The contractor shall provide:

2.4.1 Configure four (4) 64 bit PCs loaded and configured with 64 bit Linux REDHAT Linux Enterprise 7.2 O.S.

2.4.2 Install eight (8) Ethernet cards, (2) two per PC

2.4.3 Provide one (1) Digi ConnectPort servers (16-port Digi ConnectPort servers standardize on part numbers, to ensure adequate capacity, and to provide spare connections)

2.5. The contractor shall provide the following:

2.5.1 One (1) CD containing the following information as it applies to the work:

3.0 ACCEPTANCE PROCESS

A FRCE representative and contractor representative shall be present during operational acceptance and equipment verification:

3.1 Functionality - Before the upgrade project is accepted, all new operating system/ software installed shall be tested to prove it is functioning as specified in the design and requirement documents the contractor provided. The final functionality testing shall include the following:

3.1.1 The new PLC controller operates ASRMs properly (according the design documents and FRCE’s requirements).

3.2 The new horizontal, vertical, and shuttle positioning systems position the ASRMs to the proper locations.

3.3 The new communication system functions properly along the entire length of the aisle.

3.4 Each ASRM communicates properly to the host computer, the ASRM responds properly to the commands sent.

3.5 Any discrepancies shall be addressed and the system made fully operational prior to acceptance by the FRCE personnel.

4.0 TRAINING

The contractor shall provide both maintenance and operational training for any items which were upgraded for the FRCE and also shall provide upgraded documentation.

4.1 The Contractor shall provide the services of a competent instructor to provide full operator and maintenance to Government personnel in the configuration, adjustment, operation, maintenance, and pertinent safety requirements for systems installed as part of upgrade. Instructor(s) shall speak English, shall be thoroughly familiar with all aspects of the AUTOMATED STORAGE KITTING AND RETRIEVAL SYSTEM (ASKARS), and shall be qualified to give instruction in operation and maintenance functions. Training shall include, at a minimum, technical manual and schematic familiarization, power-up/power-down procedures, ASKARS configuration, diagnostics and troubleshooting, human/machine interface operation, and scheduled/preventive maintenance procedures. All training materials, manuals, tapes, data, etc. shall be furnished by the Contractor and shall become the property of the Government.

4.2 Proposed training requirements shall be for expected class size dependent on FRCE needs, personnel availability, and technical complexity:

a. Eight (8) ASKARS operators

b. Four (4) maintenance technicians

c. Four (4) equipment engineers/engineering technicians

d. Four (4) calibration technicians (if required)

5.0 STANDARD COMMERCIAL WARRANTY

The contractor shall provide a standard one year commercial warranty beginning after final acceptance. Also, where the vendor undertakes to perform or assist in any servicing, installation, demonstration, repair, or replacement, warrants that its performance or assistance shall be free from defect in material or workmanship. The warranty shall cover all parts and labor for the specified period of not less than one (1) year.

6.0 NON-WARRANTY MAINTENANCE SUPPORT

The contractor shall provide a one-year warranty and customer service support during normal business hours. The contractor shall provide a standard one year warranty and support which applies to the Communication and O.S. Upgrade replacement work provided in this SOW. The contractor shall be available to take calls and direct FRCE personnel to take appropriate actions between 7:00 am – 3:30 pm EST (Monday – Friday). This support shall be provided via phone or onsite as applicable. When service requires a hard drive change (or any other service work that affects the application software), the contractor shall interface with FRCE on instructions and procedures for reloading the standardized configuration code application software and its configuration data.

7.0 CONTRACTOR PERFORMANCE REQUIREMENTS:

a. Safety, Environmental, Quality, Security Requirements: All personnel who enter or work in assigned spaces of this facility are required to comply with all federal, state, local, and site specific safety, environmental, quality and security requirements. FRC East has adopted and implemented additional safety programs to improve safety, quality, environmental, and security measures. Any individual found to not comply with this effort will be asked to immediately halt work.

Supervisors, managers, and employees are to report issues of non-conformance through the proper chain of command. Any individual or entity not willing to comply will state such and shall not be authorized to enter the facility. FRC East may take actions that result in removal of individuals or entities from this facility due to issues of non-compliance with stated instructions.

b. Documented proof of all required certification training/licensing listed in the contract shall be available upon request by their Contracting Officer Representative or any auditor.

c. All personnel working on site at the FRC East under this contract shall document their receipt and review of the information listed in reference (a) annually.

d. All contractors performing work on FRC East behalf and who have 10 employees at any time during the past calendar year, whose employees worked 1,000 or more hours in any quarter shall furnish FRC East their Total Case Incidence Rate for recordable nonfatal injuries and illnesses and their Days Away from Restricted work activity, and/or Job Transfer Rate for the past three years.

e. Foreign Object (FO) is defined as any article or substance alien to the aircraft or assembly which is allowed to invade the product. Foreign object damage (FOD) is the damage that occurs due to these FOs. All FRC East work sites shall be maintained in such a manner as to prevent FOD to aircraft and/or aircraft components. Work sites shall be kept clean at all times. All debris, scrap material, tools, and equipment will be cleared from the work site as work progresses. At no time shall hoses, power cords, materials, etc. be permitted to create tripping hazards in areas of the work site.

f. In those cases where a contractor supervisor determines that solving a safety or health problem is beyond their control, but within the control of the FRC East, the contractor shall notify the appropriate point of contact identified in the contract.

g. All contractor employees performing work on site at FRC East shall immediately report any safety, security, or environmental violation to their contractor supervisor, as well as the cognizant FRC East Safety/Security/Environmental Office provided in reference (a). The initial FRC East notification can be made via phone or e-mail and should include as many applicable details as possible (date, time, identification numbers, tags, company, etc.). This initial notification shall be made as soon as possible. A safety incident will require the contractor to complete and submit an incident memo to the appropriate point of contact identified in the contract, with a copy to FRC East Safety Office within twenty-four hours of accident/incident). This incident memo will include the full name of the person involved in the incident, age, sex, job title, the name of the employing company and the contract number and title. In addition, this memo will include the severity of the illness or injury, indirect cause(s) or the accident and whether personal protective equipment was available and used.

h. All contractors and sub-contractors working within FRC East shall develop and operate effective safety and health programs. (CSS contracts only).

i. Contractors are required to wear personal protective equipment (PPE) consisting of hearing protection, eye protection, and safety shoes. PPE will not be provided by the facility. Contractor representatives without the appropriate PPE will not be allowed access to the facility.

j. Work areas utilized by contractors shall be provided an FRC East 5000/10, Contract Work Notice by their project manager before mobilization at the work site. This work notice requires the contractor to notify a point of contact in the shop where they will be accomplishing work and document this notification on the appropriate portion of this notice. One completed notice shall be posted conspicuously in the area prior to performance of work. A copy of this notice will be available by the contractor upon request at all times. Contact project managers will address any issues regarding completion or duplication of this form.

k. Work above or anywhere near aircraft or passageways shall be avoided whenever possible. If this is not possible, the cognizant shop supervisor shall be informed so arrangements can be made to protect, move, or evacuate assets from the area to minimize foreign object debris potential. The area below the elevated work area shall be adequately marked and barricaded at all times. Under no circumstances shall work be performed over unprotected spaces. Standards listed in the Department of the Navy Fall Protection Guide for Ashore Facilities shall be complied with.

l. The contractor shall report completion of required training as well as area/task specific training by nested contractors. Information on completion of this training will be forwarded to the FRC East shop supervisor of the area where the contractor is nested within. A nested contractor is defined as a contractor that has a payroll number and performs/clocks work in the same manner dictated of permanent shop employees.

8.0 Labor Hour Reporting: In accordance with the Navy Marine Corps Acquisition Regulation Supplement (NMCARS) Part 5237.102-90 relating to Enterprise-wide Contractor Manpower Reporting Application (ECMRA):

8.1 The contractor shall report contractor labor hours (including subcontractor labor hours) required for performance of services provided under this contract the Fleet Readiness Center East, MCAS Cherry Point, NC 28533 via a secure data collection site. Contracted services excluded from reporting are based on Product Service Codes (PSCs). The excluded PSCs are:

(1) W, Lease/Rental of Equipment;

(2) X, Lease/Rental of Facilities;

(3) Y, Construction of Structures and Facilities;

(4) S, Utilities ONLY;

(5) V, Freight and Shipping ONLY.

8.2 The contractor is required to completely fill in all required data fields using the following web address https://doncmra.nmci.navy.mi l.

8.3 Reporting inputs will be for the labor executed during the period of performance during each Government fiscal year (FY), which runs October 1 through September 30. While inputs may be reported any time during the FY, all data shall be reported no later than October 31 of each calendar year. 9.0 CONTRACTOR'S UNAUTHORIZED WORK PERFORMANCE. The Contractor shall not perform work that deviates from contract requirements and statement of work. If the Contractor deviates from contract requirements and statement of work without approval of the CONTRACT ADMINISTRATOR/CONTRACTING OFFICER, such deviation shall be at the risk of the Contractor and any cost related thereto shall be borne by the Contractor.

2.0 COMMUNICATIONS

a) Except as specified in paragraph (b) below, no order, statement, or conduct of Government personnel who visit the contractor’s facilities or in any other manner communicate with contractor personnel during the performance of this contract shall constitute a change under the “Changes” clause of this contract.

b) The contractor shall not comply with any order, direction or request of Government personnel unless it is issued in writing and is signed by the Contracting Officer or is pursuant to specific authority otherwise included as a part of this contract.

c) A Contracting Officer for the Marine Corps Installations East Contracting Office is the only person authorized to approve changes in any of the requirements of this contract and, notwithstanding, provisions contained elsewhere in this contract, the said authority remains solely the Contracting Officer’s. In the event the contractor effects any change at the direction of any person other than a designated Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made.

3.0 CONTRACTOR ACCESS TO MARINE CORPS INSTALLATION AND THE FLEET READINESS CENTER EAST

3.1 Performance of this requirement requires access to Marine Corp Air Station (MCAS) Cherry Point and the Fleet Readiness Center (FRC) East. Contractor personnel shall follow all procedures for access to the Air Station in accordance with Air Station Order (ASO) 5560.6A (Attachment 01) and FRC East Instruction 5000.1A, Enclosure 1 (Attachment 02).

3.2 RAPIDGate

(a) MCAS Cherry Point NC has implemented a Contractor-managed security service, RAPIDGate ™. As per the Commanding Officer’s letter dated 24 November 2015 (Attachment 03), all contractors, subcontractors, vendors, suppliers, and service providers requring access to MCAS Cherry Point for a period of more than 30 calendar days must be enrolled in the RAPIDGate Program in accordance with RAPIDGate Program Enrollment Information (included in the Commanding Officer’s letter). During the enrollment process, vendors may obtain a one-time 30-day pass followed by 4-day passes until enrollment is complete.

(b) RAPIDGate is consistent with and complementary to Homeland Security Presidential Directive 12 (HSPD-12) and the Federal Information Processing Standard 201 (FIPS 201).

(c) All gates will be open to RAPIDGate registered Contractor personnel.

(d) Under the RAPIDGate program, Contractor personnel are vetted through a series of national and local record checks to determine whether they meet MCAS Cherry Point’s criteria for access. The determination of whether to authorize a pass (badge) is made by the Government. The badges have Radio Frequency Identification (RFID) capability, and will be scanned upon entry onto the installation. Contractor personnel departure from the installation will be recorded by passive RFID receivers. Contactor personnel who have been screened and are determined to be eligible for access will be required to self register at kiosks located at the Main Gate.

(e) The cost of the RAPIDGate program can be found on the RAPIDGate website, as referenced by the Commanding Offer’s letter.

(f) Contractor personnel who are issued a Common Access Card (CAC) as a requirement for their positions (specifically access to the Navy Marine Corps Intranet), do not need to participate in RapidGate.

Failure to submit the proper visit request information may result in denial of access to the facility.

3.5 The MCAS Cherry Point main gate is located off NC State Highway 101, Havelock, NC. Visitors without proper vehicle identification are required to check-in at the visitor’s center adjacent to the main gate.

3.6 Contractors are required to wear personal protective equipment (PPE) consisting of hearing protection, eye protection, and safety shoes. PPE will not be provided by the facility. Contractor representatives without the appropriate PPE will not be allowed access to the facility.

4.0 IDENTIFICATION OF CONTRACTOR PERSONNEL

Contractor personnel shall identify themselves as contractor personnel by introducing themselves or when being introduced. Contractor personnel shall display distinguishing badges or other visible identification for meeting with Government personnel. Contractor personnel shall appropriately identify themselves as contractor employees in telephone conversations and in formal and informal written correspondence.

5.0 WORK PERFORMED ON MARINE CORP INSTALLATIONS

5.1 The worked described herein shall be performed at the Fleet Readiness Center (FRC) East, Bldg. 133, MCAS Cherry Point, NC and shall be performed during the FRC East’s normal working hours, Monday through Friday 0630 to 1500, unless otherwise requested by the contractor and approved in advance by the Government.

5.2 During the course of contract performance the contractor, as a resident of the installation and facility, shall adhere to all rules and regulations in effect at Marine Corps Air Station Cherry Point and the FRC East. Contractors are required to comply with all Federal and North Carolina State Environmental, Security, and Safety Compliance requirements along with other command policies as stated in the FRC East Information Brochure (FRCE Instruction 5000.1A, Enclosure 1 (attached).

6.0. CERTIFICATE OF INSURANCE REQUIRED. In accordance with the clause entitled “Insurance – Work on a Government Installation” (FAR 52.228-5), the Contractor shall furnish to the Contracting Officer, a certificate or written statement of insurance prior to commencement of work under the contract. The contract number shall be cited on the certificate. The information shall be updated annually. The contractor shall comply with provisions and requirements as contained herein:

(a) Required Insurance (IAW FAR 28.306 (b)): The contractor shall maintain insurance in the minimum amounts specified below and as required by FAR 52.228-5, Insurance – Work on a Government Installation”, at its own expense, procure and thereafter maintain the following kinds of insurance with respect to performance under this contract.

(i) Workmen’s Compensation and Employers Liability Insurance as required by law except that if this contract is to be performed in a state, which does not require or permit private insurance, then compliance with the statutory or administrative requirements in any such state will be satisfactory. The required Workmen’s Compensation insurance shall extend to cover employer’s liability for accidental bodily injury or death and for occupational disease with a minimum liability limit of $100,000.

(ii) General Liability Insurance. Bodily injury liability insurance, in the minimum limits of $100,000 per person and $500,000 per occurrence shall be required on the comprehensive form of the policy.

(iii) Automobile Liability Insurance. This insurance shall be required on the comprehensive form of the policy and shall provide injury liability and property damage liability covering the operation of all automobiles used in connection with the performance of the contract. At least the minimum limits of $200,000 per person and $500,000 per occurrence for bodily injury and $20,000 per occurrence for property damage shall be required.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) Evaluation of quotes will be conducted on a lowest-priced, technically acceptable basis. All quotes will be evaluated first on price. The lowest priced quote will be evaluated for technical acceptability on an acceptable/unacceptable basis. A technically acceptable quote is one that demonstrates the vendor’s ability to perform the services in accordance with the requirements of the Statement of Work within the required period of performance; and at least five (5) years experience in the modification of hardware and software (as identified in paragraph 2.3.1.7 of the SOW), to control industrial hardware systems and automated material handling systems, similar in technical complexity to this requirement. Award will be made on an all or none basis.

(b) If found to be technically acceptable, past performance will be evaluated. If past performance is found to be satisfactory, then no further evaluations will be conducted and award will be made. If the lowest priced quote is not technically acceptable with satisfactory past performance, the next lowest priced quote will be evaluated and so on, until a technically acceptable quote from a vendor with satisfactory past performance is identified.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (FEB 2016) ALTERNATE I (OCT 2014)

The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site accessed through http://www.acquisition.gov . If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (q) of this provision.

(a) Definitions. As used in this provision-- “Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

“Subsidiary” means an entity in which more than 50 percent of the entity is owned—

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Veteran-owned small business concern” means a small business concern—

(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern --

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.
