About this file
This document is a Justification for an Exception to Fair Opportunity for a firm-fixed-price task order under the NASA SEWP V contract vehicle. The Naval Facilities Engineering Systems Command (NAVFAC) has a requirement to purchase Toad software licenses and maintenance from the original equipment manufacturer, Quest Software Inc. Toad is a database management toolset used by NAVFAC developers, database administrators, and data analysts. The justification cites that Toad is a unique and highly specialized solution, and only Quest Software can provide the required products and services. The proposed task order will be a small business set-aside with a one-year base period and two one-year option periods, valued at an estimated $ for the base year and $ for the option years. Prior to award, the Contracting Officer will conduct a price analysis to determine the price is fair and reasonable. The government will continue to conduct market research to identify potential sources for future competition.

I JUSTIFICATION FOR AN EXCEPTION TO FAIR OPPORTUNITY
1. AGENCY AND CONTRACTING ACTIVITY: This is a justification for an exception to fair opportunity. The requiring activity is the Naval Facilities Engineering Systems Command (NAVFAC) Information Technology Center (NITC); the contracting activity is the NAVFAC Expeditionary Warfare Center (EXWC).

4. AUTHORITY AND DEMONSTRATION THAT NATURE OF THE ACQUISITION
REQUIRES USE OF THE AUTHORITY CITED: The statutory authority is 10 U.S.C.
3406c, as implemented by FAR 16.505(b)(2). The Contracting Officer shall give every awardee a fair opportunity to be considered for a delivery/task order exceeding the micro-purchase threshold, unless one of the following statutory exceptions applies:
October 2023 SOURCE SELECTION INFORMATION – SEE FAR 2.101 and 3.104 Page 2 of 3
The agency need for the supplies or services is so urgent that providing a fair opportunity would result in unacceptable delays [FAR 16.505(b)(2)(i)(A)];
Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services are unique or highly specialized [FAR 16.505(b)(2)(i)(B)];
The order-must be issued on a sole-source basis in the interest of economy and efficiency because it is a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original order[FAR 16.505(b)(2)(i)(C)];
It is necessary to place the order to satisfy a minimum guarantee [FAR 16.505(b)(2)(i)(D)];
For orders exceeding the simplified acquisition threshold, a statute expressly authorizes or requires that purchase-be made from a specified source [FAR 16.505(b)(2)(i)(E)];
In accordance with section 1331 of Public Law 111-240 ( 15 U.S.C. 644(r)), contracting officers may, at their discretion, set aside orders for any of the small business concerns identified in 19.000(a)(3). When setting aside orders for small business concerns, the specific small business program eligibility requirements identified in part 19 apply. [FAR 16.505(b)(2)(i)(F)]; or
For DoD, NASA, and the Coast Guard, the order satisfies one of the exceptions permitting the use of other than full and open competition listed in 6.302 ( 10 U.S.C.
3406(c)(5)). [FAR 16.505(b)(2)(i)(G)]
Rationale/explanation to support cited authority: The justification for limiting sources is:
The item is peculiar to one manufacturer – Quest Software Inc. Only Quest products can provide a solution to the command’s requirement. The requirement satisfies the exception at FAR 6.302-1 permitting the use of other than full and open competition.
Quest is a manufacturer and global provider of Information Technology (IT) management software geared toward data protection, database management, performance monitoring, data migration and data consolidation. It provides solutions that manage, modernize and secure an organization’s enterprise across its endpoints, on-premises infrastructure, and in the cloud. Its enterprise software solutions for database and systems management, end-to-end Microsoft solutions, and cybersecurity resilience help users achieve better productivity and security, and help an organization tackle whatever IT challenge arise in order to move to productivity quickly and achieve IT goals more smoothly.
NAVFAC currently owns and maintains Toad for Oracle Suite for developers, database administrator (DBA) Suite and Toad Data Point Professional Edition with term license and maintenance support. Toad software has proven to be an ideal solution to provide the tools required for DBAs to remain proactive in automating database maintenance, ensuring optimal performance, and resolving issues before adversely impacting production applications.
October 2023 SOURCE SELECTION INFORMATION – SEE FAR 2.101 and 3.104 Page 3 of 3
Without this tool, NITC’s DBAs would not be able to effectively manage the Oracle database query tool of choice by NAVFAC Maximo, EXMIS and ieFACMAN users located around the world (CONUS and OCONUS). The Toad DBA Suite for Oracle allows the NAVFAC community the ability to produce on-demand queries of NAVFAC business data directly from hosted Oracle databases.
In comparison to similar options, Toad software as a solution for the Oracle database is the only developer tool that helps to simplify workflow, reduce code defects, improve code quality, and improve performance while supporting team collaboration. It automates administration tasks and proactively manages databases while embracing performance optimization and risk mitigation. The automation of administration tasks offers cost savings for managing the large number of Oracle databases that NITC ensures remain operational. Toad for Oracle is essential for developers to define, search, and protect sensitive data across all Oracle databases quickly and easily. Its suite of features allows for real-time monitoring of database internals and user activities that are crucial for data security of NAVFAC’s Oracle databases.
5. FAIR AND REASONABLE PRICE DETERMINATION: The Government anticipates obtaining adequate competition via NASA SEWP. Adequate competition is expected to result in a price that is fair and reasonable. Prior to award, the Contracting Officer will conduct a price analysis in order to determine that the price is fair and reasonable per FAR part 13.106- 2(b)(4)(i).
6. ANY OTHER FACT SUPPORTING THE JUSTIFICATION: In accordance with FAR
Part 10.001 Policy and FAR Part 10.002 procedures, market research was conducted to determine whether sources capable of satisfying the agency’s requirements exist for the procurement of Toad for Oracle to meet the government’s needs.
This effort did not yield any additional sources that can meet the government’s requirements.
It was determined, however, that competition is viable among authorized resellers that hold NASA SEWP contracts for the required brand name Toad from Quest Software Inc. In accordance with FAR 16.505(a)(4)(iii)(A)(2) this justification will be posted with the solicitation on NASA SEWP.
7. ACTIONS TO INCREASE COMPETITION: The government will continue to conduct market research to ascertain if there are changes in the market place that would enable future actions to be competed.
8. TECHNICAL/REQUIREMENTS/FUNCTIONAL LEAD CERTIFICATION
