About this file

This document is a VA Notice of Limitations on Subcontracting - Certificate of Compliance for Services and Construction, issued in January 2023. The clause requires offerors to certify compliance with specific subcontracting limitations based on their contract's North American Industry Classification System (NAICS) code. For services contracts, contractors cannot pay more than 50% of the government-paid amount to non-certified Service-Disabled Veteran-Owned Small Businesses (SDVOSBs) or Veteran-Owned Small Businesses (VOSBs). For general construction, the limit is 85%, and for special trade construction contractors, the limit is 75%.

The document outlines significant penalties for non-compliance, including potential referral to the VA Suspension and Debarment Committee, fines under the Small Business Act, and prosecution for fraudulent certification. Contractors must be prepared to provide documentation proving their compliance with these subcontracting limitations at any point during or after contract performance. The certification must be completed, signed, and returned with the initial bid, quotation, or proposal, and failure to do so will result in the offer being deemed ineligible for evaluation and award.

Contracting officers may, at their discretion, require the contractor to demonstrate its compliance with the limitations on subcontracting at any time during performance and upon completion of a contract if the information regarding such compliance is not already available to the contracting officer. Evidence of compliance includes, but is not limited to, invoices, copies of subcontracts, or a list of the value of tasks performed.
