About this file

This document is a Sources Sought Notice from the U.S. Department of Energy (DOE) seeking specialized legal services through an Indefinite Delivery Indefinite Quantity (IDIQ) contract. DOE plans to award up to 10 Time-and-Materials contracts to law firms capable of providing services in areas including energy law (Federal Power Act, Natural Gas Act, Strategic Petroleum Reserve), litigation support, financial transactions, intellectual property law, non-profit law, and bankruptcy law. The contract will primarily involve virtual work, with minimal in-person services, and is open to firms of all sizes located throughout the United States.

Potential offerors must be organized under U.S. laws, have majority domestic ownership, and maintain a physical U.S. business location. Mandatory pre-submission requirements include registering in SAM.gov (which can take up to 30 days) and FedConnect (48-72 hours). Interested firms are asked to inform DOE of their intent to submit a proposal by emailing Lars Hankin and Guy Cholmondeley by 5:30 ET on September 12, 2025, though this is not a requirement for proposal submission. DOE will use this information for market research and is considering a waiver of 10 C.F.R. Part 719 in favor of alternate requirements.

Text version

The United States Department of Energy (DOE), Office of Headquarters Procurement Services (MA-64), located in Washington, D.C., intends to issue a solicitation to obtain specialized legal services to support the Office of the General Counsel (OGC) and various DOE program offices in the near future.

This notice is being released to allow interested law firms to prepare to submit a proposal when DOE issues the solicitation. DOE intends to issue a solicitation to establish an Indefinite Delivery Indefinite Quantity contract. It is anticipated that DOE will make up to 10 Time-and- Materials awards, and the awards may be made on a rolling basis.

DOE is seeking highly competitive legal services rates and the most efficient provision of services. It is anticipated that work will be provided virtually, with minimal (if any) in-person services (i.e., attending hearings or in-person meetings). To fulfill its requirements DOE seeks firms of all sizes, including small businesses, which may be located throughout the United States. DOE is considering a waiver of 10 C.F.R. Part 719 in favor of alternate requirements.

The following are areas of specialized legal services which DOE seeks to obtain:

• Energy law

- Specialized legal services related to matters under the Federal Power Act (FPA), including 202(c) orders and associated challenges. This requires highly specialized knowledge of the power grid, transmission policy, congestion rights, Regional Transmission Organization (RTO) market and other policies and procedures.

- Specialized legal services related to the Natural Gas Act and 10 C.F.R. § 590.402. This requires highly specialized knowledge of Liquified Natural Gas (LNG) markets, imports and exports of LNG, and policies and procedures related to LNG.

- Specialized legal services related to the Strategic Petroleum Reserve, including purchases and sales.

- Other areas of energy law.

• Litigation support

- Litigation support regarding disputes related to the termination of financial assistance awards, government contracts, or other agreements.

- Other litigation matters under federal laws or regulations, including but not limited to

Energy Policy & Conservation Act (EPCA) challenges; Freedom of Information Act (FOIA) litigation; environmental compliance; and Executive Order (EO) litigation relating to funding, labor unions, and personnel issues.

• Financial transactions

• Intellectual property law, particularly patent law and copyright law.

• Non-profit law

• Bankruptcy law issues, particularly those where the Federal government is a creditor or has an interest in real or personal property of the entity in bankruptcy.

All offerors must meet the following criteria to be eligible. DOE will use all available tools and authorities to verify eligibility and alignment with the strategic interests and foreign policies of the United States.

Offerors must be organized, chartered, or incorporated (or otherwise formed) under the laws of a particular state or territory of the United States or under the laws of the United States, have majority domestic ownership and control, and a physical location for business operations in the United States.

Requirements before Submission:

SAM.gov Registration (this can take up to 30 days) SAM.gov registration is required in order to be eligible for selection. DOE strongly encourages applicants to opt in to all SAM push notifications to receive updates on this procurement.

Effective January 1, 2020, the System for Award Management (SAM) is the central repository for common government-wide certifications and representations required of Federal solicitation awardees. As registration in SAM is required for eligibility for a Federal award and registration must be updated annually, Federal agencies use SAM information to comply with award requirements and avoid increased burden and costs of separate requests for such information, unless the awardee fails to meet a Federal award requirement, or there is a need to make updates to their SAM registration for other purposes.

Applicants must have an active account with SAM.gov. This includes having a Unique Entity Identifier (UEI). SAM.gov registration can take several weeks. To register, go to SAM.gov Entity Registration and click Get Started. On the same page, the Entity Registration Checklist also has information needed to register.

FedConnect (this can take 48-72 hours)

Registering with FedConnect is fast and easy. Only individuals who are designated as Points of Contact in SAM.gov can create a new company account.

Interested parties are encouraged to click on the “Register to Receive Notifications” button in the middle of the page when viewing the opportunity. If that link is not found, click on the “Join” button in the lower right-hand corner of the screen. This will allow FedConnect to send Applicants any related notifications for this opportunity. Once an entity “joins”, it will register the account as part of the “Response Team”. Applications are submitted as Responses to the opportunity through the FedConnect Message Center. If an applicant experiences technical difficulties with a submission, the applicant should contact FedConnect Support for assistance.

If an offeror intends to respond to the solicitation, please inform the DOE of your firm’s intention to submit a proposal in response to the solicitation by submitting a response to Lars Hankin https://sam.gov/content/entity-registration https://sam.gov/content/entity-registration https://www.fedconnect.net/FedConnect/Default.htm https://fcsupport.unisonglobal.com/support/home

(lars.hankin@hq.doe.gov) and Guy Cholmondeley (guy.cholmondeley@hq.doe.gov) by 5:30 ET on Friday, September 12, 2025. While this is not required to submit a proposal under the solicitation to be issued in the near future, your response will be used to assist DOE in its market research.
