About this file

This is a Justification for Other Than Full and Open Competition (J&A) document for a sole-source contract award by the Department of State, Overseas Post US Embassy Baku.

The Department of State seeks to solicit and award a Firm-Fixed-Priced, IDIQ contract for transportation services supporting a Senior High-Level USG Principal's visit with delegation. The five proposed contractors are AFN Transportation Company, Car Service Agency LLC, Econom Transport AZ LLC, Sixt Car Rental Company, and Trend Transport LLC, all based in Baku. The period of performance runs from January 20, 2026 through February 28, 2026, with an estimated contract value of $379,187. Services include a comprehensive fleet of vehicles with drivers—including 43 full-size sedans, 52 seven-passenger vans, 13 fifteen-passenger vans, 9 fifty-four-passenger buses, 22 7.5-ton box trucks, 10 SUVs, and specialized vehicles such as K9 vans and luxury sedans—along with dispatch support, gas, tolls, and parking. The contract employs FAR 6.302-2 (Unusual and Compelling Urgency) as its legal authority, citing security concerns that prevent advanced notification of VIP travel and the extremely short turnaround time for negotiations and confirmations before the visit occurs.

The Department of State conducted market research within the past 12 months through annual cold-call exercises to local rental vehicle vendors in Baku and an additional RFQ in January 2026 that generated seven cost samples. Two sources—Grand Taxi MMC and S.A. LTD LLC, both of Baku—expressed written interest in the acquisition. The Contracting Officer determined the $379,187 cost to be fair and reasonable based on annual market research, historical pricing data, and independent estimates. The J&A was synopsized on December 15, 2026, with the JOFOC to be published in FedBizOpps. The acquisition was approved by Phong C. Ngo (Director of Presidential Travel), Contracting Officer Michael M. Pitts, and Head of Contracting Activity Mark E. Hernandez on February 12, 2026.

SECTION 5: DEMONSTRATION THAT THE PROPOSED CONTRACTOR’S UNIQUE

QUALIFICATIONS OR THE NATURE OF THE ACQUISITION REQUIRES USE OF THE AUTHORITY

CITED

Security concerns prohibit sufficient advanced notification of VIP travel to allow for sufficient time to conduct full and open competition. The Department of State can only communicate with the staff at Posts abroad when authorization is given due to security concerns. They have an extremely short turnaround time when authorization has been granted for negotiations to commence to be finalized with both the local vendors and Posts before the actual Senior High Level USG VIP visit occurs.

Many of the arrangements for transportation are often not confirmed until just before the actual visit. In addition to supporting a large delegation within a short time frame, last minute and frequent changes of itineraries for supporting personnel often result in significant changes in how Posts work with the vendors.

With the exception of a few trips, contracts are not permitted to be signed until the Department of State (Post) has written confirmation from all supporting agencies, which enables collection of funds from said agencies in the event of cancellation. This results in an unusual and compelling urgency in accordance with 41 U.S.C. 253 (c) (2), FAR 6.302-2.

These unique Senior High Level USG VIP travel requirements result in only a single or a very limited number of responsible sources with no other supplies or services capable of satisfying agency requirement in accordance with 41 U.S.C. 253 (c ) (2), Far 6.302-2.

SECTION 6. DESCRIPTION OF EFFORTS TO ENSURE THAT OFFERS WERE SOLICITED FROM AS

MANY POTENTIAL SOURCES AS IS PRACTICABLE, INCLUDING WHETHER A NOTICE WAS OR

WILL BE PUBLICIZED AS REQUIRED BY FAR SUBPART 5.2 AND, IF NOT, WHICH EXCEPTION

UNDER FAR 5.202 APPLIES

Due to urgency and exception in FAR 25.401(a)(5) this solicitation cannot be posted but the JOFOC will be published in FedBizOpps.

(iii) The proposed contract was synopsized on 12/15/2026. In an effort to identify competitive interest, the Department of State, as part of their market research, contacted more than 6 local entities, on an annual basis and provided a listing of vehicle rental requirements for which it is seeking competitive sources.

SECTION 7. DETERMINATION BY THE CONTRACTING OFFICER THAT THE ANTICIPATED COST

TO THE GOVERNMENT IS FAIR AND REASONABLE

The Contracting Officer has determined the anticipated $379,187 to the Government of the supplies/services covered by this J&A will be fair and reasonable based on annual market research exercises and prior competition, historical prices, and independent estimates. By signing the justification, the Contracting Officer makes a determination that the $379,187 to the Government is expected to be fair and reasonable.

SECTION 8. DESCRIPTION OF THE MARKET RESEARCH CONDUCTED (SEE PART 10) AND THE

RESULTS OR A STATEMENT OF THE REASON MARKET RESEARCH WAS NOT CONDUCTED

An annual cold-call exercise was performed by the US Embassy Baku to all local rental vehicle vendors within Baku to provide their price quotes on an array of different vehicle types to include overtime costs. US Embassy Baku complied this data into a spreadsheet for future reference. Research was conducted within the past 12 months. Additional market research in a form of request for quotes was conducted in January 2026 and received seven cost samples.

SECTION 9. ANY OTHER FACTS SUPPORTING THE USE OF OTHER THAN FULL AND OPEN

COMPETITION

None

SECTION 10. LISTING OF THE SOURCES, IF ANY, THAT EXPRESSED, IN WRITING, AN INTEREST

IN THE ACQUISITION

Grand Taxi MMC (Baku), S.A. LTD LLC (Baku)

SECTION 11. STATEMENT OF THE ACTIONS, IF ANY, THE AGENCY MAY TAKE TO REMOVE OR
