JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION

For 80KSC020P0012

1. Federal Acquisition Regulation (FAR) 6.303-1(b)(1) – Identification of the agency and the contracting activity, and a specific identification of the document as a “Justification for other than full and open competition.”

This document is a justification for other than full and open competition prepared by the National Aeronautics and Space Administration (NASA), John F. Kennedy Space Center

(KSC).

The procuring agency is the National Aeronautics and Space Administration (NASA) and the contracting activity is John F. Kennedy Space Center (KSC)

2. FAR 6.303-2(b)(2) – Nature and/or description of the action being approved:

This justification provides the rationale for contracting by other than full and open competition to award a sole-source contract to Gyro-Stabilized Systems, LLC. (GSS) for the acquisition of a Gyro-Stabilized Cinema Mini Platform. This will be a Firm Fixed Price contract.

3. FAR 6.303-2(b)(3) – A description of the supplies or services required to meet the agency’s needs (including the estimated value):

This procurement will provide delivery of a second 5-axis gyro-stabilized gimbal camera system to Kennedy Space Center for use in imagery of Commercial Crew Program activities as well as SLS/Orion launches and landings. Estimated value of this procurement is $XXXXX with a delivery date 90 days after award.

4. FAR 6.303-2(b)(4) – An identification of the statutory authority permitting other than full and open competition:

The statutory authority permitting other than full and open competition is 10 U.S.C. 2304 (c)(1) Contracts: competition requirements as implemented by Federal Acquisition Regulation (FAR) 6.302-1(2), Only one responsible source and no other supplies or services will satisfy agency requirements, which permits contracting without providing for full and open competition when the supplies or services needed by the agency are available from only one responsible source or only from a limited number of responsible sources and no other type of supplies or services will satisfy the needs of the agency.

5. FAR 6.303-2(b)(5) – A demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires use of the authority cited:

The rationale supporting the use of 10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies will satisfy agency requirements, as described below.

Gyro-Stabilized Systems, LLC is the only responsible source for this acquisition and no other manufacturer or supplier will satisfy NASA Program requirements for this 5-axis gimbal camera system. There are unique requirements only GSS can meet including the following:

a. Concurrent operations: The new GSS system is to be used in concurrent operation with the existing GSS system currently utilized. The common controls and functionality will ensure procedures are common within joint operation.

b. Performance: The GSS system has the ability to internally roll the camera > +/- 90 degrees without changing mounting configuration (installing the camera in a non-normal configuration). This feature is required for imagery acquisition to maximize pixels on target. Other systems on the market only allow for +/- 75 degrees.

c. Form Factor: The GSS system is 39 lbs. without camera and lens payload, weighing less than other systems currently on the market, allowing for ease of storage, transportation and service when needed in the field.

6. FAR 6.303-2(b)(6) – A description of efforts made to ensure that offerors are solicited from as many potential sources as is practicable, including whether a notice was or will be publicized as required by Subpart 5.2 and, if not, which exception under 5.202 applies:

A notice to the Government Point of Entry (GPE) website (beta.sam.gov) will be transmitted in accordance with FAR subpart 5.2. This posting will inform potential sources of NASA’s intent to award this sole-source contract. Any responses received as a result of the published notice will be appropriately dispositioned and documented in an addendum to this document.

7. FAR 6.303-2(b)(7) – A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable:

The Contracting Officer’s signature on this document indicates that the Contracting Officer has determined that the anticipated cost to the government will be fair and reasonable. The Contractor shall be required to submit a proposal to be evaluated and negotiated by the Government.

Prior to execution of the contractual instrument, a proposal analysis will be performed. The proposal analysis will ensure that the final agreed-to price for the contract action is fair and reasonable. The CO will compare prices to historical prices paid for the same or similar items per FAR 15.404-1(b)(2) in determining reasonableness.

8. FAR 6.303-2(b)(8) –Description of the market research conducted,) and the results, or a statement the reasons a market research was not conducted:

a. Request for Information (RFI) – Sources Sought. An RFI (NNK18653501L) was issued in February of 2018 to determine if there was a sufficient number of vendors interested to openly compete a future requirement. It was determined that at least two companies registered in SAM would be able to provide a camera system, and GSS was found to be the only interested party that was classified as a small business.

b. Past competition. A previous 5-axis gimbal camera system was procured under full and open competition determined on a low price technically acceptable basis (80KSC018P0023 - $319,950.00 to GSS)

9. FAR 6.303-2(b)(9) – Any other facts supporting the use of other than full and open competition, such as:

10. FAR 6.303-2(b)(10) – A listing of sources, if any, that expressed, in writing, an interest in the acquisition:

A notice of NASA’s intent to award this sole-source action will be synopsized on the GPE website (beta.sam.gov) per FAR Subpart 5.2 (See Section 6 above).

11. FAR 6.303-2(b)(11) – A statement of actions, if any, the Agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required:

The Agency will continue to examine the market in the future for alternative solutions or new sources before executing any subsequent acquisitions for the same requirements.
