About this file

This document is a Single Source Determination using Simplified Acquisition Procedures (SAP) for an action not exceeding the Simplified Acquisition Threshold. The Department of Commerce, NOAA Acquisition and Grants Office (AGO) intends to award a single source, firm fixed price IDIQ contract to Molecular Devices, LLC for a one-year service plan with two option years for preventative maintenance and repairs on a SpectraMax iD5 multimode plate reader. The rationale provided is that Molecular Devices is the sole source for factory-approved parts, service, and technical expertise required to fully maintain and repair this specialized equipment. The expected start date is August 22, 2024 with a potential contract period of performance through August 21, 2027. This determination is based on market research indicating no other vendors can provide the required level of service and support.

SINGLE SOURCE DETERMINATION USING

SIMPLIFIED ACQUISITION PROCEDURES (SAP)

FOR AN ACTION NOT EXCEEDING THE SIMPLIFIED ACQUISITION THRESHOLD

(AUTHORITY: FAR 13.106-1(b)(1))

143041-24-0282

1. Agency and contracting activity. Department of Commerce, NOAA Acquisition and Grants Office

(AGO), Western Region Acquisition Division Field Delegate, Seattle, WA and Northwest Fisheries Science Center (NWFSC), Environmental Fisheries and Sciences (EFS) Division, Environmental Physiology Program, Seattle, WA 98112

1. Description of supplies or services required to meet agency needs (including the estimated value).

Service plan with Molecular Devices for a SpectraMax iD5 multimode plate reader. This one-year service contract will cover one preventative maintenance visit as well as parts, labor, and travel for repairs.

Molecular Devices offers quotes for up to three years of service including annual preventative maintenance and the cost of parts, labor, and travel for repairs during each year purchased.

Expected start date: August 22, 2024 for one base year with two option years ending on August 21, 2027.

2. Identification of the single source or the brand name to be solicited.

Molecular Devices, LLC 3860 North First Street San Jose, CA 95134

3. Supporting rationale. Only one source or brand name is reasonably available as detailed below:

(Check all applicable boxes and provide supporting rationale under the selection. Delete choices not selected.)

□ Compatibility to existing systems or equipment - The required supplies must be compatible in all aspects (form, fit, and function) with existing systems or equipment, and the source is uniquely qualified to meet the requirement.

The SpectraMax iD5 multimode plate reader requires annual preventative maintenance and on-demand service for repairs to sustain a high level of performance. Molecular Devices is the manufacturer of the SpectraMax iD5 and their service engineers are exclusively trained by Molecular Devices to provide a full and accurate diagnosis of this specific instrumentation and subsequently maintain, update, calibrate and perform repairs on the same. Molecular Devices has provided service to this equipment since it was purchased for the

Environmental Physiology Program at the NWFSC. Therefore, Molecular Devices is entirely aware of the current state and history of this instrument. Molecular Devices agrees to provide priority response time for repairs of this equipment, in addition to annual preventive maintenance, during the contract period at a firm fixed-price.

In addition, Molecular Devices is the sole source for factory-approved replacement parts, service upgrades, and service notes; Molecular Devices does not provide replacement parts or hardware, software and firmware updates to third-party vendors. Because third-party service contractors do not have access to genuine Molecular Devices service training, factory-approved parts, instruments, or hardware, software, and firmware updates they may charge hidden fees when the equipment is too expensive to support.

It is vital that a service contract is in place for the equipment to receive preventative maintenance and allow for necessary, and emergency, repairs that may occur during the duration of the contract. Such service will ensure the equipment is fully functional and at top performance to support mission-critical science associated with hatchery approaches to aid Pacific salmon recovery, decades-long research on Pacific salmon stock status and survival, as well as sustainable aquaculture development for a variety of marine fish and shellfish species.

□ Other - Only one source is capable –

Molecular Devices is the only capable source given our requirement that the contract must include unlimited emergency breakdown visits and we receive priority response time for repairs. Molecular Devices does not supply parts or instruments to third-party vendors and does not train or certify their staff. Therefore, third-party vendors cannot guarantee level of expertise or quality of service provided on Molecular Devices’ instrumentation and their repairs utilize parts of unknown quality. Molecular Devices also provides the use of a loaner unit should repairs become extensive enough to require significant downtime. Third-party vendors cannot guarantee loaner service given that Molecular Devices does not provide instruments to third-party service vendors. We only possess one SpectraMax iD5 multimode plate reader and it is utilized for multiple laboratory protocols and research projects. Repair delays and/or repairs of unknown quality could result in failure to meet contractually-obligated deadlines, loss of associated funds, and even potential loss of sample viability. It is vital that we receive prompt assistance from a knowledgeable service engineer to properly maintain our SpectraMax iD5 multimode plate reader.

4. Market Research.

The Environmental Physiology Program conducted online investigations in June 2024 and discovered that there are other vendors that claim they can supply repair and maintenance services to Molecular Devices’ SpectraMax iD5. However, Molecular Devices is the only suitable source for our needs because other vendors do not have certified service engineers nor do they have factory-approved replacement parts. Molecular Devices offers a 90-day warranty on all repair services while repairs performed by third-party vendors may require corrective procedures resulting in additional delays and increased cost. Finally, third-party sources cannot guarantee priority response time to an emergency repair or preventative maintenance request. Significant delays are not an option given that we only have one SpectraMax iD5 which is required for multiple laboratory protocols and projects that require prompt, accurate results.

Molecular Devices is the only company that can make sole source claims based on the following:

• Molecular Devices is the sole source for factory-approved replacement parts

• Molecular Devices is the sole source provider of factory training and certification for

Molecular Devices service engineers

• Molecular Devices is the sole source provider of technical developments, repair procedures, application updates, and planned maintenance procedures provided to service engineers

Given all of the above reasoning, Molecular Devices is uniquely qualified and is the only suitable source to fully repair the SpectraMax iD5 multimode plate reader in the timeframe and manner required in order to maintain peak performance.

5. Technical/Requirements Representative Certification

I certify that this requirement constitutes the Government’s minimum needs and the supporting data provided herein is accurate and complete to the best of my knowledge and belief.

Note that NOAA Fisheries policy requires these sole source documents to be signed by a regional administrator, science center director, or Deputy director. See MB Guidance: Sole Source Actions.

6. Determination (Required)

I hereby determine that the circumstances of this action deem only one source is reasonably available. This determination is accurate and complete to the best of my knowledge and belief.
