About this file

This is a Justification for Non-Competitive Procurement document for a Federal Acquisition Regulation (FAR) Part 12 commercial acquisition under the Simplified Acquisition Threshold (SAT).

The acquisition procures clinical lighting equipment and installation services to support the Madigan Army Medical Center (MAMC) Dermatology clinic. The requirement includes renovation and installation work to replace exam lights in six rooms and a surgical light in one procedure room. The scope encompasses project management, structural engineering, Infection Control Risk Assessment (ICRA) barriers, structures, and electrical work. The contractor must perform all necessary structural and electrical modifications, including adding support to the lightweight concrete deck using metal plates or angle iron secured with through-bolts to prevent deck damage. The non-competitive procurement justification is based on exclusive licensing agreements, as Skytron was selected as the sole light manufacturer meeting the clinic's specifications and space requirements. CoMedical, the local authorized supplier for Skytron lights, has completed site visits and provided removal and installation quotes. Research of alternative manufacturers including Pelton & Crane (dental-specific lights unsuitable for dermatology) and Midmark (ceiling mount option too large for exam rooms) confirmed that available alternatives on the General Services Administration (GSA) ECAT and other sources did not meet specifications. A Notice of Intent to Sole Source was issued on August 6, 2026, with a closing date of August 13, 2026, allowing potential vendors to submit capability statements. The justification was certified by Brandon Ragil, CNOIC of the Department of Dermatology at MAMC, and approved by Elliott Penetrante, Contracting Officer with the Defense Health Agency (DHA) Contracting Activity.

Justification of Non-Competitive Procurement

– FAR Part 12 Commercial Acquisitions under the SAT

MEMORANDUM TO THE FILE

Subj: JUSTIFICATION FOR USE OF NON-COMPETITIVE PROCUREMENT FOR A

FAR PART 12 COMMERCIAL ACQUISITION UNDER THE SIMPLIFIED

ACQUISITION THRESHOLD

I. BACKGROUND:

1. FAR 12.102(a) states for purchases not exceeding the simplified acquisition threshold, Contracting Officers may solicit from one source if the Contracting Officer determines that the circumstances of the contract action deem only one source reasonably available (e.g., urgency, exclusive licensing agreements, brand-name, or industrial mobilization).

2. As required by FAR 12.102(a), this memorandum explains the absence of competition for this acquisition, as only one source will be solicited for this requirement (or for a portion of the requirement) and the requirement (or portion of the requirement to be sole-sourced) is not expected to exceed the simplified acquisition threshold.

II. DESCRIPTION OF ITEM OR SERVICE:

This requirement is issued in accordance with FAR Part 12 for the acquisition of commercial items. The purpose is to procure clinical lights to support the operations of Madigan AMC Dermatology clinic.

General scope of work is to include: Renovation/installation work in support of replacing exam lights in

(6) rooms and a surgical light in (1) procedure room of the Dermatology Clinic. Provide all necessary work for new exam/surgical lights - including project management, structural engineering, ICRA barriers, structures, and electrical. Any structural or electrical modification needed for this project will be the responsibility of the contractor to perform as part of the installation. Currently there is a base plate secured to the pan deck, their drawing indicates additional support needed for each of the lights. The deck above is of lightweight concrete, so additional support for the lightweight concrete floor will need to be added (i.e. metal plate or angle iron) and attached with through-bolts from the base plate through the deck and deck support material to prevent the deck from damage.

III. THE DETERMINATION FOR USE OF NON-COMPETITIVE PROCUREMENT IS BASED ON

THE FOLLOWING (select all that apply):

A. _X_ ONLY ONE RESPONSIBLE SOURCE (select all that apply

1. __ RESTRICTIVE RIGHTS. The source has established proprietary rights, limited rights in data, patent rights, copyrights or secret processes in the item or service required.

2. _X_ EXCLUSIVE LICENSING AGREEMENTS. The item or service is only available from the Original Equipment Manufacturer (OEM), or there is only one authorized distributor or technical representative for the OEM.

Currently there are no working surgical lights in the procedure room. This presents a staff and patient safety hazard and emergency CEEP forms were submitted last year. Different light manufacturers were researched and due to product specifications, and available clinic space, Justification of Non-Competitive Procurement

– FAR Part 12 Commercial Acquisitions under the SAT

Skytron was selected. CoMedical is the local supplier of Skytron lights with installation and deinstall. The lights offered by Skytron meet necessary requirements for both the surgical procedure room and exam rooms of the clinic. This project required considerable time and coordination with CoMedical to conduct the site visits needed to evaluate installation requirements and provide a quote. CoMedical has completed necessary site visits, provided removal and installation quotes, and is able to proceed with the project.

Research of existing and other available lighting on ECAT and other products did not meet specifications required. Current lights are from Pelton & Crane which manufactures dental specific lights (https://www.peltonandcrane.com/en-us/dental-lights). These lights were not ideal for dermatology use. Also researched lights by Midmark (https://www.midmark.com/medical/products/led-lighting/detail/ritter-255) but the ceiling mount light option was too large for the exam rooms.

A Notice of Intent to Sole Source will be issued on August 6, 2026, and close August 13, 2026, allowing potential vendors to provide capability statements meeting the Government’s minimum requirements.

3. ___OTHER REASONS.

B. ___BRAND NAME:

Item required must be a brand name, product, or feature of a product, particular to one manufacturer.

C. ___URGENT AND COMPELLING.

The supplies or services are of such unusual and compelling urgency that the Government would be seriously injured unless the agency is permitted to limit the number of sources from which it solicits bids or proposals. Urgent requirements are supplies or services that will result in a work stoppage or are mission critical and the routine processing time would result in injury to the Government. The determination that the procurement for the above item/service is an urgent and compelling requirement is based on the following:

1. Date on which the requirement was first identified:

2. Required delivery date/period of performance:

3. Explanation of why delivery/commencement of services by the date mentioned above is required:
