About this file

This is a Justification & Approval (J&A) document for an exception to fair opportunity to extend a bridge contract for System Engineering and Program Support for Teleport (SEPS4T) services with Booz Allen Hamilton (BAH). The modification extends task order HC104718F0017 for six months from February 1, 2025 to July 31, 2025, allowing time to award three new competitive task orders without loss of critical support.

The bridge extension covers critical engineering and program support for the DoD Teleport System, which provides tactical users access to Defense Information Switched Network (DISN) services. The scope includes system design, integration, testing, cybersecurity, and program management support for this ACAT I MAIS program. The three planned follow-on competitive awards are: Transport Services Strategic Advisory Support (TSSAS) via ENCORE III Small Business with projected award March 2025, Cybersecurity Technical and Analytical Services (CTAS) via GSA Multiple Award Schedule HUBZone set-aside with projected award March 2025, and Satellite Communications Engineering Support (SCES) via SETI Full and Open with projected award June 2025. BAH has held this requirement since 2005 through various contract vehicles, with the current task order being competitively awarded via GSA OASIS Unrestricted Pool 1.

surge support). The PoP for the bridge extension is a six-month period (February 1, 2025 – July 31, 2025).

This action is for the procurement of critical engineering and program support for the DoD Teleport System, which provides tactical users access to the Defense Information Switched Network (DISN) services in a seamless, interoperable, and economical manner. Engineering support embodies system and subsystem interoperability and consists of system design, integration, testing and evaluation, cybersecurity, and operations support and safety. Program support encompasses all functions which are included in supporting a Major Automated Information System (MAIS) Acquisition Category (ACAT) I level program including maintaining and updating documentation required by Department of Defense Instruction (DODI) 5000.02, developing baselines, budget support, and internal and external reporting.

The scope includes the effective development and delivery of programmatic and systems engineering capabilities through the implementation of a balanced approach with respect to cost, schedule, performance, and risk. The approach uses integrated, disciplined, consistent systems engineering activities and processes to enable the development of engineered resilient SATCOM based information systems that are trusted, assured, and easily modified.

This bridge ensures continuity of services and SEPS4T support to allow time to work on and complete the realignment of tasks into existing or new task orders without a loss or delay of support.

The system engineering support sustains current teleport capabilities and enhances those capabilities as warfighter information technology needs advance; as such, failure to provide SEPS4T support would be devastating to the warfighter and have worldwide ramifications.

Specifically, this could result in mission failure and unnecessarily endanger lives. Due to the breadth and depth of the requirements, no alternate contractor can develop the work force necessary to replace the current support team and achieve an initial satisfactory level of support expeditiously.

The PoP for the bridge is a nine-month base period (October 1, 2023 – June 30, 2024) with one, three-month option period (July 1, 2024 – September 30, 2024) and two, two- month option periods (October 1, 2024 – January 31, 2025). The total estimated lifecycle of the bridge will be ( labor, ODC, contract access fee, surge).

4. SUPPORTING RATIONALE, INCLUDING A DEMONSTRATION THAT THE

PROPOSED CONTRACTOR’S UNIQUE QUALIFICATIONS OR THE NATURE OF THE

ACQUISITION REQUIRES USE OF AN EXCEPTION TO FAIR OPPORTUNITY:

Exception to Fair Opportunity.

(a) Exception to Fair Opportunity. In accordance with FAR 16.505(b)(2)(i)(C), the order must be issued on a sole-source basis in the interest of economy and efficiency because it is a logical follow-on to an order already issued under the General Services Administration (GSA) One Acquisition Solution for Integrated Services (OASIS) (Unrestricted Pool 1), a multiple-award Indefinite-Delivery, Indefinite-Quantity contract vehicle.

(b) Justification.

(1) Description of the Justification and discussion regarding cause of the sole source situation. The justification is for services that were previously awarded on a competitive basis to Booz Allen Hamilton (BAH). The current task order was competitively awarded via GSA OASIS Unrestricted Pool 1. The PoP end date for

New Task Order #3: Satellite Communications Engineering Support (SCES): This new requirement will provide engineering and test support and expertise for SATCOM and SATCOM Transport related capabilities. The specific goals and expectations of this requirement are designed to provide the maximum integration, reliability, and interoperability for the DISN. The projected award date is June 5, 2025.

Anticipated contract strategy: SETI Full and Open.

Anticipated PoP: 1-year base period with 4, 1-year options.

Estimated task order value:

Funding type: to be determined.

The current task order provides critical engineering and program support for the DoD Teleport System. Failure to maintain the contractor support provided by BAH until the new task orders are awarded will result in a loss of continuity of services and will be detrimental as it will negatively impact mission-critical functionality and services provided to DISA. Specifically, this could result in mission failure and unnecessarily endanger lives. BAH understands the requirements and currently possesses the requisite expertise and relevant experience to continue performance. A gap in the critical SEPS4T that BAH currently provides is unacceptable as it will result in the loss of critical support of national defense and priority missions. Therefore, a bridge extension to the current task order is requested for up to 16 months. This will allow

Page 6 of 10 Pages

CUI

adequate time for the restructuring of contracts, including award of the new task orders, resolve potential protests, and transition efforts to the new contractor(s).

(2) Minimum Government requirements. DISA and its mission partners depend on the

SEPS4T support to provide deployed forces with increased satellite telecommunications for multi-band and multimedia connectivity from deployed locations throughout the world to online DISN service delivery nodes and legacy tactical command, control, communications, computers, and intelligence systems.

Due to the breadth and depth of the requirements and the clearance required to support requirements, no alternate contractor can develop the work force necessary to replace the current support team and achieve an initial satisfactory level of support expeditiously before the expiration of the current SEPS4T task order.

(3) Proposed sole source contractor and demonstration of unique source.

BAH, the incumbent on the existing task order, is the only source that can continue to fulfill this requirement within the necessary time frame and without risk of a substantial break in service/support to DISA and its mission partners.

BAH is uniquely postured to support the current SEPS4T task order without a loss of time and work stoppage starting September 30, 2023. BAH understands the requirements and currently possess the requisite expertise and relevant experience.

BAH currently performs support to provide tactical users access to the DISN services in a seamless, interoperable, and economical manner anywhere in the world

The support requires meticulous and highly technical skillsets which are not readily available in the marketplace in the timeframe necessary.

MOD 01: A sole source action is necessary as the current bridge expires on January 31, 2025. The new follow-on task orders that will assume this support (TSSAS, CTAS, and SCES) are currently in different phases of the procurement process and will not be awarded prior to the expiration of the current bridge.

(4) Procurement discussion. Efforts are currently ongoing to pursue restructuring of contract requirements, including two new competitive task orders. DISA IE is finalizing a performance work statement mapping document to outline the acquisition strategy, which will ultimately determine the timeline for award of the new task orders.

(5) Impact - Failure to maintain the contractor support continuity provided by BAH until the previously discussed actions can be awarded and transitioned will result in a loss of continuity of services and cause detrimental effects as it will negatively impact mission-critical functionality and services to military operations. Specifically, this could result in mission failure and unnecessarily endanger lives. The current contractor provides highly specialized and critical support to DISA and DISA’s mission partners, and a gap in service would cause a decline in quality of services to DISA and its mission partners.

5. COST/PRICE FAIR AND REASONABLE DETERMINATION:

Page 7 of 10 Pages

MOD 01: Determination of fair and reasonable pricing for this extension modification will be based on the independent government cost estimate, and comparison to the previously negotiated HC104718F0017 task order labor rates at the time of initial bridge award. The contracting officer will determine if the price is fair and reasonable by comparing past rates and labor categories to this task order for current work and requirements of the performance work statement being performed.

The final cost/price will be determined fair and reasonable upon completion of negotiations.

Determination of fair and reasonable price for this extension modification will be based on the independent government cost estimate and comparison to the competitively awarded task order labor rates currently on task order HC104718F0017. The contracting officer will determine if the ultimate price is fair and reasonable by comparing past rates and labor categories on this task order for current work and requirements of the performance work statement being performed. The final cost/price will be determined fair and reasonable upon completion of negotiations.

6. MARKET RESEARCH:

MOD 01: This is an extension to the existing bridge to task order HC104718F0017 to ensure continued support until the three new task orders (TSSAS, CTAS, and SCES) have been awarded and support is ready to transition. Market research has been finalized for the new TSSAS and CTAS requirements. TSSAS has been solicited as a competitive small business set-aside via the ENCORE III contract vehicle and CTAS has been solicited as a HUBZone set-aside via GSA Multiple Award Schedule. Market research is being finalized for the new SCES requirement, which is anticipated to be solicited on a competitive basis under the SETI Full and Open Suite. However, it is not currently feasible to award the new task orders prior to the expiration of the current task order.

Therefore, BAH is the only source that can continue providing the necessary level of support without risk of a substantial break in support

BAH is the only contractor at this time with the requisite knowledge and technical personnel capabilities to support the requirement in the timeframe necessary for uninterrupted support. Market research is being finalized for the restructuring of contract requirements, to include two new task orders, which indicates they can be competitively solicited allowing fair opportunity. However, it is not currently feasible to execute the restructuring of contract requirements nor award these two new task orders prior to the expiration of the current task order. The Government has determined that the current level of support can only be provided by the incumbent. Therefore, BAH is the only source that can continue providing the necessary level of support without risk of a substantial break in support.

7. ANY OTHER SUPPORTING FACTS: None.
