About this file

This document is a Justification Review Document for a Sole Source procurement under FAR Part 13.501, seeking six Full Time Equivalent (FTE) Magnetic Resonance Imaging (MRI) Technologists for the U.S. Army Health Contracting Activity. The contract is a six-month bridge contract from 01 July 2025 to 31 December 2025, valued at an undisclosed amount, to be awarded to Legacy Management Solutions, LLC, the incumbent contractor. The sole source justification stems from delays in the Defense Health Agency's Medical Q-Coded Services 2 Next Generation (MQS2-NG) contract, which was under protest until 22 May 2025, preventing a competitive solicitation.

The MRI Technologists will provide healthcare support at Kimbrough Ambulatory Care Center (KACC), Fort Meade, MD, working seven days per week across day, night, and weekend shifts. Contractors must possess current American Registry of Radiological Technologists (ARRT) certification, specific MRI certification, and at least one year of hands-on clinical experience within the past two calendar years. The contract includes FAR Clause 52.217-8 for potential service extension. The procurement is justified to ensure continuity of critical medical imaging services while awaiting the activation of the mandatory MQS2-NG contracting vehicle, with the intent to competitively solicit the requirement by 15 July 2025.

Justification and Approval for Other than Full and Open Competition – FAR Part 13.501

1. Contracting Activity: U.S. Army Health Contracting Activity (USAHCA), Health Readiness Contracting Office (HRCO), East Services Branch (ESB), 9275 Doerr Road, Fort Belvoir, VA 22060

2. Description of Action: This is a Firm Fixed Price Small Business bridge contract replacing W91YTZ22C0018 that ends 30 June 2025. This requirement will be funded with Defense Health Program (DHP) Operation and Maintenance (O&M) appropriation funding.

3. Description of Services: This contract will provide personal services for six Full Time Equivalent (FTE) Magnetic Resonance Imaging (MRI) Technologists. The Contractor shall provide health care support for Kimbrough Ambulatory Care Center (KACC), Ft.

Meade, MD seven days per week during day, night, and weekend shifts. Contractors must possess a current American Registry of Radiological Technologists (ARRT) certification in a state or territory of the United States of America, and specific certification in Magnetic Resonance Imaging. Contractors must also have at least one year experience in hands-on clinical applications within the last two calendar years. The proposed contract will be comprised of a six-month period of performance from 01 July 2025 to 31 December 2025, and inclusive of Federal Acquisition Regulation (FAR) Clause 52.217-8, Option to Extend Services. The estimated total contract value is

4. Authority Cited: 41 United States Code 1901 as implemented in Federal Acquisition Regulation (FAR) Subpart 13.501(a)(1)(ii), sole source (only one responsible source) under the authority of the simplified procedures for certain commercial items.

5. Reason for Authority Cited: The current contract, W91YTZ22C0018 will expire on 30 June 2025 after exhausting the six-month extension under FAR Clause 52.217-8. The intent for this requirement was to solicit against the Defense Health Agency (DHA) Medical Q-Coded Services 2 Next Generation (MQS2-NG), a 10-year, $43B multiple award Indefinite Delivery / Indefinite Quantity (IDIQ) contract covering all medical services. MQS2-NG is mandatory for use for procurement of all DHA-funded contracts supporting MTFs for Medical Q-Coded requirements that are in scope of the contracts as outlined in Public Law 114-328 Section 727. Exemptions to using MQS2-NG require a waiver approved by the DHA Project Management Office (PMO) for MQS2-NG. The new MQS2-NG small business contract availability was delayed due to being under a period of protest through 22 May 2025, and the new contract ordering portal will not be active until 30 June 2025, after post-award conferences are held. A waiver request to source this requirement outside of MQS2-NG was denied on 10 June 2025. The timing of the protest and timing of the activation date of the ordering period prevented solicitation and award of a competitive action starting 01 July 2025, without causing a

(Source Selection Information - See FAR 2.101 and 3.104-4) disruption of services. The intent is to issue a sole source award to the incumbent contractor to ensure continuity of critical services. This bridge contract will allow sufficient time to solicit as required under MQS2-NG once the portal is active and for the new contractor to retain and/or recruit personnel and meet required fill-rates. Transition between contractors requires time for them to negotiate salaries and enter into employment contracts with both new and incumbent staff. If incumbent employees do not agree to terms offered by the new contractor, the timeline for recruiting and onboarding new employees can take upwards of 90 days or more. Due to the requirement for services to begin on 01 July 2025 and Legacy Management Solutions, LLC. currently providing these critical services to the MTF, they are the only source capable of providing uninterrupted services from 01 July 2025 through 31 December 2025.

6. Efforts to Obtain Competition: This bridge contract has been structured for the shortest period of performance possible in order to facilitate the transition to a long-term competitive Task Order (TO) under the MQS2-NG upon availability. No other efforts to obtain competition were possible.

7. Actions to Increase Competition: This short-term bridge contract is structured for the minimum time necessary to competitively solicit a long-term Task Order Proposal Request (TOPR) on the MQS2-NG ordering portal and allow for a sufficient contractor transition period. Solicitation is estimated to be issued by 15 July 2025 with award no later than 15 October 2025 for the required 01 November 2025 phase-in performance start date. No other efforts to increase competition are possible without causing a disruption of services to the MTF.

8. Market Research: Market Research was conducted in accordance with FAR Part 10 and DFARS 210.001 to identify all qualified sources. Research revealed a series of small business and small business 8(a) contracts awarded by multiple agencies for nearly identical services however, MQS2-NG is mandatory for use for all DHA-funded contracts supporting all MTFs for the procurement of Medical Q-Coded requirements.

Waivers to source DHA Medical Service requirements outside of MQS2-NG are approved only in exceptional situations by the DHA PMO.

9. Interested Sources: The incumbent contractor, Legacy Management Solutions, LLC.

currently has employees working at the supported MTF providing these services and are the only source capable of ensuring uninterrupted services from 01 July 2025 through 31 December 2025. Awarding to any other contractor at this time would result in a lapse in services due to the required contractor transition time. An appropriate contractor transition time is necessary to ensure successful staffing of the contract and to ensure continuity of critical services. A new contractor requires time to both negotiate with and try to retain incumbent employees, while also recruiting new employees which can take 90 days or more to fully onboard and begin working at the MTF. Legacy Management Solutions, LLC is the only source able to provide these required services

(Source Selection Information - See FAR 2.101 and 3.104-4) beginning on 01 July 2025. This bridge has been structured with the shortest period of performance possible to allow for the follow-on requirement to be solicited competitively under the Small Business MQS2-NG.
