About this file

This document is a justification and approval for other than full and open competition. The Defense Logistics Agency requires a five-year licensing service and maintenance agreement with Quadient, Inc. for its Impress Automate OMS software from August 1, 2022 to July 31, 2027. The software is used at DLA facilities to automate mailing processes. As Quadient holds proprietary rights and there is no other source for the required license, the contracting officer determined this noncompetitive award represents the best value to the government. The related federal contract opportunity was awarded noncompetitively to an unknown vendor on July 26, 2022 for an unknown amount.

DDEFENSE LOGISTICS AGENCY

DLA CONTRACTING SERVICES OFFICE – NEW CUMBERLAND

5404 J AVENUE, BUILDING 404

NEW CUMBERLAND, PENNSYLVANIA 17070-5059

JUSTIFICATION AND APPROVAL

FOR OTHER THAN FULL AND OPEN COMPETITION

1. IDENTIFICATION OF THE AGENCY AND THE CONTRACTING ACTIVITY:

Requiring Activity: DLA Document Services J67F

Contracting Activity: DLA Contracting Services Office (DCSO)

2. NATURE AND/OR DESCRIPTION OF THE ACTION BEING REQUESTED:

DLA Document Services requests DCSO noncompetitively award a contract to Quadient, Inc. for a licensing service/maintenance agreement (here after “license”) that will allow DLA to operate its Impress Automate OMS software from 01 August 2022 to July 31, 2027.

3. A DESCRIPTION OF THE SUPPLIES AND SERVICES REQUIRED TO MEET

THE AGENCY’S NEEDS/ESTIMATED DOLLAR AMOUNT:

DLA requires an Impress Automate software license from 01 August 2022 to July 31, 2027. DLA Document Services owns Quadient equipment and other equipment at its Great Lakes, IL and Port Hueneme, CA facilities that use Impress Automate OMS software to interoperate and be fully functional (i.e., capable of automated addressing, mail merging, inserting, adding metered postage, etc.). DLA’s current license to operate its Impress Automate OMS software expires on July 31, 2022. Thus, the need for this new requirement.

Estimated Value:

4. IDENTIFICATION OF STATUTORY AUTHORITY PERMITTING OTHER

THAN FULL AND OPEN COMPETITION:

41 U.S.C. § 1901 as implemented by FAR 13.106-1(b).

5. DEMONSTRATION THAT THE PROPOSED CONTRACTOR’S UNIQUE

QUALIFICATIONS OR THE NATURE OF THE ACQUISITION REQUIRES

USE OF THE CITED AUTHORITY:

Quadient, Inc. holds proprietary rights to its Impress Automate OMS software, to include licenses for its use. Thus, as market research has confirmed, there is no other source for the license DLA requires.

6. DESCRIPTION OF EFFORTS MADE TO ENSURE THAT OFFERS ARE

SOLICITED FROM AS MANY POTENTIAL SOURCES AS IS PRACTICABLE:

Currently competition is not practicable as Quadient, Inc. is the only source for Impress Automate OMS software license.

7. DETERMINATION BY THE CONTRACTING OFFICER THAT THE

ANTICIPATED COST TO THE GOVERNMENT REPRESENTS THE BEST

VALUE TO THE GOVERNMENT BASED ON RECOMMENDED ACTION:

The contracting officer has determined that the anticipated cost to the Government will be fair and reasonable. The quote will be analyzed in accordance with FAR 13.106-3. It is anticipated that the Government will use various price analysis techniques including, but not limited to, Market research; Comparison of the proposed price with prices found reasonable on previous purchases; Current price lists, catalogs, or advertisements.

However, inclusion of a price in a price list, catalog, or advertisement does not, in and of itself, establish fairness and reasonableness of the price; A comparison with similar items in a related industry; The contracting officer’s personal knowledge of the item being purchased; Comparison to an independent Government estimate; or any other reasonable basis in order to obtain a fair and reasonable price.

8. DESCRIPTION OF THE MARKET RESEARCH CONDUCTED AND THE

RESULTS OR A STATEMENT OF THE REASON MARKET RESEARCH WAS

NOT CONDUCTED:

Based on current market research, only Impress Automate OMS software fully supports DLA’s need. No competitor software can be utilized without additional costs associated with the change to a new support entity, which would require a total template re-design and purchase of custom solutions to replace those already integrated into DLA architecture. DLA will continue to conduct market research to determine if there are changes or solutions that would enable future competitive actions.

9. ANY OTHER FACTS SUPPORTING THE USE OF OTHER THAN FULL AND

OPEN COMPETITION.

None.

10. A LISTING OF THE SOURCES, IF ANY, THAT EXPRESSED, IN WRITING, AN

INTEREST IN THE FUTURE ACQUISITION:

None
