About this file

This is a FAR Part 12 Sole Source Justification and Approval document for a firm-fixed-price contract with TERRAFORM PHOENIX II ARCADIA HOLDINGS, LLC (CAGE: 8S5W3) located in New York to perform rooftop solar panel removal, storage, and reinstallation services at Joint Base Myer-Henderson Hall. The contract value is $405,017.27 with an estimated 12-month period of performance that includes temporary storage while roof replacement is completed. The contracting activity is the U.S. Army Mission and Installation Contracting Command at Fort Sam Houston, Texas, and the requiring activity is Installation Management Command (IMCOM), Department of Public Works at Joint Base Myer-Henderson Hall, Virginia.

The justification cites warranty and maintenance obligations as the sole source rationale. The solar system serving Building 69 consists of 422 modules and 4 inverters with a total capacity of 147.7 kWdc/133.2 kWac, maintained under existing Contract W9124J-16-F-0040. The Terms and Conditions of that contract specify that only the original contractor is authorized to remove and reinstall solar panels, as unauthorized work by other vendors would void the warranty and risk electrical generation capability degradation and loss of revenue. The roof replacement project, scheduled for approximately nine months, necessitates temporary removal and subsequent reinstallation of all solar equipment including racking and DC wiring. Market research identified four vendors capable of solar panel installation; however, warranty restrictions preclude competitive solicitation. The document notes no subcontracting plan is required as the requirement is below the $900,000 threshold, and indicates the Contracting Officer will publish required FAR 5.101 notices.

total capacity of 147.7 kWdc / 133.2 kWac and consists of 422 modules and 4 inverters located in the Electrical Room, along with associated DC wiring and racking. The solar arrays are situated in four separate locations on the roof, all tied into the same system.

To facilitate the roofing replacement, the solar panels and all associated components (including racking and DC wiring, as required) will be removed and reinstalled in coordination with the roofing phasing. The roofing replacement is anticipated to take approximately nine months to complete and is not part of this requirement.

The solar array is maintained under Contract W9124J-16-F-0040, which specifically states that cost of removal and reinstallation of solar panels due to roof repairs are not included. This requirement was considered to be out of scope for contract W9124J-16- F-0040. Therefore, a separate contract is required for this work. TerraForm Phoenix II was novated to reflect this change on 30 Apr 2020 under W9124J-16-F-0040 P00008 modification.
