DMEA # 21 26
Defense Microelectronics Activity 4234 54th Street, McClellan, CA 95652
PWS #21-1F4
Sole Source Justification
1. Agency and Contracting Activity:
Office of Secretary of Defense, Defense Microelectronics Activity (DMEA).
2. Nature/Description of Action:
New Firm Fixed Price Contract with MicroNet Solutions, Inc. (MSI) to reverse engineer Printed Circuit Boards (PCBs), providing netlists of all board routing, complete circuit schematics, and complete bills of materials for each PCB. The anticipated dollar value of this procurement is
3. Description of Supplies/Services:
Service acquires generated detailed PCB schematics, netlists of all routing within PCBs, bills of materials for all parts on PCBs and CAD files for PCB layouts and assemblies that are compatible with proprietary Pix2Net software without DMEA furnishing any data other than the physical PCB boards to the contractor.
4. Authority Cited:
FAR 13.106-1(b), Soliciting from a single source.
5. Reason for Authority Cited:
DMEA is currently using Pix2Net to reverse engineer the PCB boards in the .
MSI is the only company that is capable of sending Pix2Net compatible netlists, schematics, and images to DMEA, as Pix2Net is proprietary software owned by MSI. MSI is the only known contractor with the proprietary tools required to generate PCB schematics from the PCB boards that are compatible with Pix2Net without any data required from DMEA or the use of MSI as a subcontractor. Moreover, using subcontractors to do these tasks introduces not only security risks for the International Traffic in Arms Regulations (ITAR) controlled NSA certified hardware, but also introduces the risk of schedule slips on mission critical tasks.
6. Efforts to Obtain Competition:
The solicitation, accompanied by this approved justification (redacted), will be posted on beta.SAM.gov in accordance with FAR 13.106-1(b)(3) publication requirement. The Contracting Officer will consider quotations submitted by responsible sources in accordance with FAR 5.207(c)(16)(ii).
7. Fair and Reasonable Cost Determination:
I hereby determine that the anticipated cost to the Government for this contract action will be fair and reasonable based upon previously awarded contracts of similar service for printed circuit board testing and analysis.

8. Market Research:
After conducting market research and reaching out to six different vendors, MSI was identified as the only ITAR registered company with the United States Department of State that mechanically delayers PCB boards that will not have to use a subcontractor to reverse engineer
Also, upon contacting other contractors that have broad purchase agreements with DMEA, they all stated that they would be using subcontractors to either destructively delayer PCB boards, or generate netlists and schematics.
9. Other Facts:
None.
10. Listing of Sources:
MicroNet Solutions, Inc 10501 Research Rd SE Suite C Albuquerque, NM 87123
11. Actions to Increase Competition:
Market research will continue to be conducted to identify if any other vendors possess the capability to meet DMEA’s requirement.
12. Contracting Officer Certification: I certify that this justification is accurate and complete to the best of the contracting officer’s knowledge and belief.
