About this file
This is a Justification and Approval (J&A) document for a sole-source contract award with other than full and open competition.
The Department of Veterans Affairs, VISN 22, VA Greater Los Angeles Healthcare System (VAGLAHS) is establishing a sole-source Firm Fixed Price (FFP) contract with Aire-Master of America for Deodorizer Services. The contractor will provide all necessary labor, equipment, parts, materials, and supplies for odor control services across four VA facilities: VAGLAHS (11301 Wilshire Blvd, Los Angeles, CA), Sepulveda Ambulatory Care Center (16111 Plummer Ave, North Hills, CA), Los Angeles Ambulatory Care Center (351 East Temple, Los Angeles, CA), and Ventura Clinic (5250 Ralston, Ventura, CA). The scope includes installation and replacement of approximately 1,027 wall-mounted dispensers and routine servicing every 21 days consisting of deodorizer and battery replacement, dispenser cleaning, and repair of missing or broken parts. The contractor must also provide emergency repair and replacement services on an as-needed basis. The estimated contract value is $406,200 over five years, with a base year (08/01/2026–07/31/2027) of $81,240 and four option years of $81,240 each, plus a potential six-month extension. The sole-source justification is based on the dispensers and odor control inserts being proprietary to the incumbent vendor, with replacement across multiple facilities creating substantial costs and procurement delays. Market research identified 34 VOSB/SDVOSB vendors in the janitorial services category, and a Sources Sought Notice (36C26226Q0131) posted November 18–December 9, 2025 yielded five responses, but no vendor demonstrated actual capability to perform deodorizer services at the required scope. The Contracting Officer has determined the anticipated cost to be fair and reasonable.

Acquisition ID#: 36C262-26-AP-1500
DEPARTMENT OF VETERANS AFFAIRS
Justification and Approval (J&A) For
Other Than Full and Open Competition (>SAT)
Acquisition Plan Action ID: 36C262-26-AP-1500
1. Contracting Activity:
Department of Veterans Affairs, VISN 22, VA Greater Los Angeles Healthcare System (VAGLAHS), 11301 Wilshire Blvd., Los Angeles, CA 90073.
2. Nature and/or Description of the Action Being Approved: This document serves as the justification for Other Than Full and Open Competition to establish a sole-source contract for Deodorizer Services with Aire-Master of America. The contract will be a Firm Fixed Price (FFP) contract. The procurement is conducted using Acquisition of Commercial Products and Commercial Services, Revolutionary FAR Overhaul (RFO) 12.201-1, Simplified procedures. The justification follows the documentation format of RFO 6.104, with the statutory authority based on 10 U.S.C.
3204(a)(1) or 41 U.S.C. 3304(a)(1).
3. Description of Supplies/Services Required to Meet the Agency’s Needs:
The contractor shall provide all necessary labor, equipment, parts, materials and supplies to provide odor control services to the VA Greater Los Angeles Healthcare System (VAGLAHS). The contractor shall install and replace all dispensers as needed. Dispensers must be wall‑mounted for proper airflow and not placed on tile, metal, or marble. Every twenty‑one (21) days, the contractor must service each unit by replacing the deodorizer and battery, cleaning the dispenser, and fixing any missing or broken parts. The contractor must also always be available to replace or repair non‑working units when called.
The resulting contract has an estimated total value of $406,200.00 over a five (5) year period of performance. The period of performance is August 1, 2026 – July 31, 2031 with one (1) base year and four (4) option years as follows:
Total Estimated Cost:
Base Year: (08/01/2026 – 07/31/2027) $81,240.00 Option Year 1: (08/01/2027 – 07/31/2028) $81,240.00 Option Year 2: (08/01/2028 – 07/31/2029) $81,240.00 Option Year 3: (08/01/2029 – 07/31/2030) $81,240.00 Option Year 4: (08/01/2030 – 07/31/2031) $81,240.00
After this, it is the Government’s option to extend services for no more than six (6) months via RFO 52.217-8.
4. Statutory Authority Permitting Other than Full and Open Competition:
(X) (1) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements per 41 USC §3304(a)(1) as implemented by
RFO 6.103-1;
( ) (2) Unusual and Compelling Urgency per 41 USC §3304(a)(2) as implemented by RFO 6.103-2;
( ) (3) Industrial Mobilization, Engineering, Developmental or Research Capability or Expert Services per 41 USC §3304(a)(3) as implemented by RFO 6.103-3;
( ) (4) International Agreement per 41 USC §3304(a)(4) as implemented by RFO 6.103-4
( ) (5) Authorized or Required by Statute per 41 USC §3304(a)(5) as implemented by RFO 6.103-5;
( ) (6) National Security per 41 USC §3304(a)(6) as implemented by RFO 6.103-6;
( ) (7) Public Interest per 41 USC §3304(a)(7) as implemented by RFO 6.103-7;
5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority):
The VAGLAHS currently uses deodorizer dispensers and inserts for odor control installed and serviced under prior Contract 36C26221C0088 totaling an estimated 1027 units located at the VA Greater Los Angeles Healthcare System (VAGLAHS), 11301 Wilshire Blvd, Los Angeles, CA; Sepulveda Ambulatory Care Center (SACC), 16111 Plummer Ave, North Hills, CA; Los Angeles Ambulatory Care Center (LAACC), 351 East Temple, Los Angeles, CA; and Ventura Clinic, 5250 Ralston, Ventura, CA.
These dispensers are proprietary to the incumbent contractor, and the odor control inserts required for functionality are exclusively available from the current vendor.
Only the current vendor, Aire-Master of America demonstrated the ability to service and supply the proprietary inserts required for the existing dispensers.
Replacement of all current dispensers across several VA facilities and multiple campuses – including VAGLAHS, SACC, LAACC, and Ventura Clinic would require new hardware, installation, and service programming at significant expense, leading to substantial procurement time and cause substantial duplication of cost to the Government, not recoverable through competition.
Replacement would also cause unacceptable delays in deodorizer services across multiple healthcare facilities.
6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as possible (including whether a notice was or will be publicized as required by RFO Part 5 and, if not, which exception under RFO Part 5 applies):
To support this determination, market research was conducted, to include a search on 04/03/2026 of the Small Business Administration’s (SBA) Small Business Search located at: https://veterans.certify.sba.gov under NAICS Code 561720, Janitorial Services for this requirement, which revealed 34 VOSB/SDVOSB vendors under this category. Sources Sought Notice 36C26226Q0131 was posted from 11/18/25 – 12/09/25 to gain a better understanding of capable and interested SDVOSB/VOSB contractors.
7. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable:
The Contracting Officer has reviewed the pricing proposed by the contractor, including supporting documentation, historical rates, market comparison data when available, and the unique program requirements associated with the services. Based on this evaluation, the Contracting Officer determines that the anticipated cost to the Government is fair and reasonable for the purposes of this acquisition.
8. Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted:
As mentioned in Paragraph 6, market research of the Small Business Administration’s (SBA) Small Business Search was conducted for this requirement, which revealed 34 VOSB/SDVOSB vendors. Sources Sought Notice 36C26226Q0131, posted from 11/18/25 – 12/09/25 resulted in five (5) Small Business responses, with 2 out of the 5 currently registered as SDVOSB in the (SBA) Small Business Search. However, no SDVOSB vendors and only 2 Small Business vendors have displayed some evidence of being capable of providing Deodorizer Services. Respondents to the Sources Sought Notice lacked verifiable past performance specific to deodorizer services, and several had experience only in unrelated service areas. No vendor demonstrated actual capability to perform deodorizer services at the required scope.
9. Any Other Facts Supporting the Use of Other than Full and Open Competition:
As mentioned in Paragraph 5, Aire-Master of America has been providing Deodorizer Services for the VAGLAHS with dispensers and inserts that are proprietary to this vendor. Using another vendor would increase procurement time, expense, and delay necessary services.
10. Listing of Sources that Expressed, in Writing, an Interest in the Acquisition:
