About this file

This is a Justification for Other Than Full and Open Competition (J&A) document for a sole-source contract modification to continue bulk fuel services at Laughlin Air Force Base, Texas.

The Defense Logistics Agency (DLA) Energy is justifying a bridge action contract modification to the incumbent contractor, T-Square Logistics Corporation, under existing contract SPE600-16-C-5019. The modification covers comprehensive fuel storage and management services including receipt, storage, quality control, accountability, and issuance of aviation fuel, ground fuel, cryogenics, and related products, as well as operation and maintenance of fuel distribution systems and facilities. The bridge period consists of a three-month base period (July 1, 2026 through September 30, 2026) with three one-month renewal options extending through December 31, 2026. The estimated monthly cost is documented but redacted in the file. The justification for sole-source award is based on 10 U.S.C. § 3204(a)(1) and FAR 6.103-1, citing the critical nature of uninterrupted fuel services and the incumbent's unique qualifications including on-site personnel, specialized training, security vetting, and specific knowledge of Laughlin AFB infrastructure. A pending Court of Federal Claims (COFC) protest has resulted in a stay of performance on the follow-on solicitation SPE603-25-R-0512, which received nine capability responses and proceeded to competitive evaluation. The contracting officer determined pricing is fair and reasonable through comparison with similar Government-Owned Contractor-Operated (GOCO) fuel service contracts at Gila Bend, Arizona and Columbus, Mississippi. Funding will be provided through FY2026 Defense Working Capital Funds (DWCF) via Purchase Request 7017207738.

Justification for Other than Full and Open Competition

Bulk Fuel Services at Laughlin Air Force Base (AFB), TX SPE600-16-C-5019

1. Summary/Introduction:

The Defense Logistics Agency (DLA) Energy, a Major Subordinate Command of DLA, is the contracting activity for bulk petroleum products and services for the Department of War (DoW).

This Justification & Approval (J&A) is for the award of a bridge action by contract modification on contract SPE600-16-C-5019 for fuel storage and management services at Laughlin AFB, TX.

The contract provides for all DLA Energy contracted bulk fuel, operations, and management services on the installation. This includes providing the necessary personnel and resources to ensure the safe, accurate, and timely receipt, storage, transfer, and issue of all Defense Working Capital Fund (DWCF)-owned petroleum and cryogenic products. The contractor will perform required maintenance to ensure facilities, associated systems, vehicles, and equipment remain operational to meet the U.S. Air Force's mission.

The original contract, SPE600-16-C-5019, was awarded competitively on September 30, 2016 for the period of November 1, 2016 to October 31, 2020. Due to a protest, the base period of performance was revised to January 1, 2017 through December 31, 2020 via modification P00001. The five-year option was from January 1, 2021, through December 31, 2025. The contract also authorized six one-month extensions, which were exercised via modifications P00019, P00020, and P00021, and extended the period of performance to June 30, 2026. All options and extension periods available under the contract have been exhausted, necessitating this bridge action to ensure continued support. A sole-source bridge action via contract modification to the incumbent, T-Square Logistics Corporation, is vital to prevent a disruption in critical fuel services as authorized under DLAD 17.9601(a).

The period of performance for this bridge action consists of a three-month base period and three, one-month options. The new performance period will begin July 1, 2026, through September 30, 2026, with three one-month options to extend the contract from October 1, 2026 through October 31, 2026, November 1, 2026 through November 30, 2026, and December 1, 2026 through December 31, 2026. The total estimated value for the three-month base period of performance (July 1, 2026, through September 30, 2026) is . If the three additional one-month options are exercised, the total estimated value of the bridge action will be . If both the three-month bridge and three-month option periods are utilized, the total contract value would increase from . Funding will be provided via Purchase Request 7017207738 with FY2026 Defense Working Capital Funds (DWCF).

2. Nature and/or description of the action being approved (FAR 6.104-1(a)(2)):

Justification for Other Than Full and Open Competition (Cont’d) (SP0600-16-C-5019 – T-Square Logistics Services Corporation)

The bridge by contract modification of these services for three months with three, one-month options, is being conducted using procedures under FAR 6.103-1, Only one responsible source and no other supplies or services will satisfy agency requirements and DFARS PGI 206.103-

170. This action approves the use of other than full and open competition to award to the incumbent contractor, T-Square Logistics Corporation, via a modification to contract SPE600- 16-C-5019.

3. Description of supplies or services required to meet the agency’s need (including estimated value) (FAR 6.104-1(a)(3)):

The commercial services required are for comprehensive DLA Energy contracted operations and management services as detailed in the Performance Work Statement (PWS) for Air Force Installations. Major services include, but are not limited to, the receipt, storage, quality control, accountability, and issue of aviation and ground fuel, cryogenics, and related products. The contractor is also responsible for the operation and maintenance of the fuel distribution systems and facilities. The estimated value of this action is for the three-month bridge period, and with the three one-month options.

4. Identification of the statutory authority permitting other than full and open competition (FAR 6.104-1(a)(4)):

This J&A is based upon the authority of 10 U.S.C. § 3204(a)(1), as implemented by Federal Acquisition Regulation (FAR) 6.103-1. The services required by the agency are only available from one responsible source and no other type of service will satisfy agency requirements.

5. Demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires using the authority cited (FAR 6.104-1(a)(5)):

The mission at Laughlin AFB is dependent upon the current fuel services provided by the incumbent contractor. The customer requires continuous, high quality bulk storage services and fuels management services and T-Square Logistics Corporation is uniquely qualified to meet this requirement without causing unacceptable delays to the Air Force mission.

The nature of this acquisition dictates that there can be no gap in service. Due to a pending COFC protest there is a stay of performance for the follow-on solicitation (SPE603-25-R-0512).

T-Square Logistics Corporation, as the incumbent, possesses unique qualifications essential for the uninterrupted performance of these highly specialized fuel management services during this stay. As the incumbent, their personnel are already on-site, fully trained, properly vetted, and possess specific knowledge of Laughlin AFB’s infrastructure and operational procedures. The unknown duration of the stay and potential litigation over SPE603-25-R-0512 makes it impracticable to change to another contractor.
