About this file

This document is a Justification for an Other Than Full and Open Competition (J&A) for the Defense Logistics Agency (DLA). The agency requires software maintenance for iText Suite by Apryse, a brand-name PDF integration software essential for DLA Information Operations' application needs. The procurement is for technical support and software maintenance, with a performance period from December 24, 2025, through December 23, 2028, consisting of a 12-month base period and two 12-month options.

The acquisition is being pursued under 10 U.S.C. 2304(c)(1), which allows for non-competitive procurement when only one source can meet agency requirements. Tandesa is identified as the only authorized reseller capable of providing the specific iText by Apryse software maintenance. The Bill of Materials details multiple line items for technical support across different software configurations, with quantities ranging from 1-5 units per line item. The base year will be funded using FY26 funds, and the contracting officer will determine pricing fairness through various analysis techniques, including comparison with published price lists and market research.

BILL OF MATERIALS (BoM):

The Period of Performance

(PoP) for this requirement is December 24, 2025, through December 23, 2028, as a 12-month base and two 12-month options. The requirement base year will be funded utilizing FY26 funds.

4. IDENTIFICATION OF STATUTORY AUTHORITY PERMITTING OTHER

THAN FULL AND OPEN COMPETITION:

The statutory authority permitting other than full and open competition is 10 U.S.C.

2304(c)(1), as implemented by FAR 6.302-1 “Only one Responsible Source and no other supplies or services will satisfy agency requirements”. iText Suite by Apryse software is a brand name product of Apryse. No other US reseller can provide maintenance for this brand name product due to the proprietary nature of the software. Use of this brand name description in the acquisition is essential to the Government’s requirements, thereby precluding consideration of a product of another company. No other brand name software maintenance is compatible with brand name iText by Apryse software licenses. Only Tandesa will support the existing licenses owned by DLA.

5. DEMONSTRATION OF CONTRACTOR’S UNIQUE QUALIFICATIONS

iText by Apryse products and services are essential to the Government’s requirements, and market research indicates other companies’ similar products and services do not meet, and cannot be modified to meet, the Government’s needs. A brand- name item, whether available on one or more contracts, is an item peculiar to one manufacturer and may be procured by brand-name specification if essential to the Government’s requirements. In this case, the required products and services are peculiar to Apryse, the original equipment manufacturer

(OEM), and only the OEM and their certified resellers (Tandesa) can provide the necessary products and services at the level of quality required because the products and services are unique and highly specialized.

6. POTENTIAL SOURCES:

Tandesa is the only known firm that provides iText by Apryse software and maintenance. All authorized dealers will be given an opportunity to submit an offer. Only one vendor is known to provide software support based on procurement history.

After a review of the software products available under the NASA SEWP GWAC it has been determined that the required iText by Apryse cannot be procured through any other sources.

7. DETERMINATION OF FAIR AND REASONABLE COST:

As the Contracting Officer, I hereby determine that pricing will be fair and reasonable based on pricing analysis in accordance with FAR 15.404-1. It is anticipated that the Government will use various price analysis techniques including, but not limited to: 1) comparison of proposed prices received in response to the solicitation (FAR 15.404-l(b)(2)(i)); 2) comparison with competitive published price lists (FAR 15.404-l(a)(2)(iv)); and 3) comparison of proposed prices within prices obtained through market research of the same or similar items (FAR l 5.404- l(b)(2)(vi)) in order to obtain a fair and reasonable price. The contracting officer will determine prices fair and reasonable prior to award using price history, IGCE, and published price lists (if available).

8. MARKET RESEARCH:

Based on current market research, it has been determined that only iText by Apryse can fully satisfy the Government’s requirements. No competitor’s functional replacement products or services exist in the market currently meet the Government's needs. The Government will continue to conduct market research to determine if there are changes in the marketplace that would enable future competitive actions, e.g., if there are similar products and/or product support in the marketplace that provides the same functionality, if the original equipment manufacturer releases ownership rights of product, or if it is economically feasible to procure a new system.

Currently, the required iText by Apryse is the only product capable of meeting the Government’s needs. However, DLA continues to exercise competition as often as possible and is required to conduct ongoing reviews to keep abreast of new technology, both in industry and in the Government. DLA uses a variety of vendors, manufacturers, and contracts/orders to fulfill its requirements and will continue its practice of surveying the market to ensure full and open competition to the maximum extent practicable.
