About this file

This is a Justification and Approval (J&A) document for a contract modification issued by the Department of Navy's Naval Facilities Engineering and Expeditionary Warfare Center (NAVFAC EXWC) on November 26, 2025. The modification increases the ceiling capacity of Single Award Indefinite Quantity/Indefinite Quantity (ID/IQ) contract N39430-23-D-4050 by $20,000,000, from $129,990,000 to $149,990,000, with the incumbent contractor Oceanetics, Inc. The action is being pursued under other than full and open competition authority pursuant to 10 U.S.C. 3204(a)(2) and FAR 6.302-2 (Unusual and Compelling Urgency).

The contract covers Ocean Infrastructure Support Services (OISS), which encompasses engineering and technical support solutions, vessel services, logistical support, facility support, environmental support, and equipment for marine and nearshore operations across all water depths. The Navy has identified twenty critical projects planned for Fiscal Year 2026 with an estimated total value of $49,000,000, including offshore equipment recovery, cable route planner conversion, system development and hardware prototypes, vessel and custodian support, and vessel repair. The Government determined that delay in expanding contract capacity would jeopardize critical worldwide Navy capabilities and national security, as a new competitive procurement would require 11–14 months for award plus an additional 6–12 months for contractor transition. No market research was conducted or alternative offers solicited due to the urgent nature of the need. The Government plans to award a competitive follow-on contract by September 2026 structured as a single award ID/IQ with a small business set-aside. The J&A was approved by the Chief of the Contracting Office and the Commanding Officer (Acting) of NAVFAC EXWC and will be posted on SAM.gov within 30 days of contract modification award.

DEPARTMENT OF NAVY

NAVAL FACILITIES ENGINEERING AND EXPEDITIONARY WARFARE CENTER

1000 23RD AVENUE

PORT HUENEME CA 93043-4301

JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity.

IN REPLY REFER TO:

JA-26-0001

26 Nov 25

The requiring activity is Naval Facilities Engineering and Expeditionary Warfare Center (NA VF AC EXWC), Port Hueneme, CA. The contracting activity is NA VF AC EXWC Acquisition Operations Team 4 (CON74).

2. Description of the Action Being Approved.

This justification and approval (J&A) is to increase the ceiling capacity by $20,000,000.00 from $129,990,000.00 to $149,990,000.00 using other than full and open competition for the Single Award Indefinite Quantity/Indefinite Quantity (ID/IQ) contract N39430-23-D-4050 - Ocean Infrastructure Support Services - awarded to Oceanetics, Inc.

3. Description of Supplies/Services.

The requirements for Ocean Infrastructure Support Services (OISS) includes engineering and · technical support solutions for projects and programs within NAVFAC EXWC' s Oceans Programs. Solutions may require providing vessel(s), vessel services, engineering services, logistical support, facility support, environmental support, and equipment. Work will be performed in environments ranging from both marine and nearshore locations in all water depths .

Twenty (20) projects are planned for FY26 with a total estimate of $49,000,000.00. Some highlights of the projects are offshore test and equipment recovery, cable route planner conversion, system development and hardware prototype, vessel and custodian support, logistic depot, and vessel repair.

These services provided through the OISS contract support the Navy ' s worldwide need for the development, manufacturing, integration, test and evaluation, survey, installation, repair, and recovery of ocean infrastructure and/or its components, platforms, and related equipment.

FY26 Projects + Yessel Repair Mod Funds Type Pre-Priced CLINs

FY26 Other Procurement, Navy, (OPN) $49,000,000.00

4. Statutory Authority Permitting Other Than Full and Open Competition.

The statutory authority permitting other than full and open competition is 10 U.S.C. 3204(a)(2), as implemented by FAR 6.302-2, When the agency's need for these services is of such an unusual and compelling urgency that the Government would be seriously injured unless the agency is permitted to limit the number of sources from which it solicits bids or proposals and waive synopsis requirements pursuant to FAR 5.202(a)(2).

5. Rationale Justifying Use of Cited Statutory Authority.

The application of FAR 6.302-2, Unusual and Compelling Urgency, is justified because a delay in increasing the capacity of the Ocean Infrastructure Support Services (OISS) contract would severely jeopardize the Navy ' s critical worldwide capabilities. This contract enables NAVFAC EXWC to quickly execute task orders for specialized services essential for maintaining and improving undersea infrastructure. The existing contract capacity cannot support the projected workload before a new contract is in place. Specifically, twenty (20) critical projects planned for FY26, with an estimated value of $49,000,000.00, are at risk. These projects include vital activities such as offshore equipment recovery and system prototyping. Without sufficient contract capacity, the government faces a significant risk of failing to meet critical objectives related to the Navy's strategic posture in the Pacific, potentially undermining national security.

The urgency .is further underscored by a recent $21 ,000,000.00 modification to a Vessel Repair task order, which required rapid execution to avoid harming fleet readiness .

Denying this capacity increase would necessitate procuring remaining projects through less efficient means. Standalone procurements are not in the government's best interest, given that delays would seriously harm the Navy and its mission under FAR 6.302-2(b)(2). This alternative approach would hinder the ability to fulfill critical mission requirements and potentially compromise personnel safety. •

The timeline for a new competitive action presents an unacceptable delay. Historical data shows that awarding a similar IDIQ contract takes between 11 and 14 months. An incoming contractor would then require an additional six to twelve-month transition period to achieve operational proficiency. Pursuing this path would create a significant gap in service capability, directly threatening the Navy's mission-critical objectives, its strategic position in the Pacific, and the nation's defense posture. To mitigate these risks and ensure the uninterrupted delivery of essential services, expanding the current contract's capacity is the most prudent and necessary action to safeguard the Navy' s operational effectiveness and military readiness.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

Due to the nature of this urgent need for the capacity increase, no other offers for this contract action have been solicited. No market research was conducted because it is not practicable, for the reasons discussed in Paragraph 5 above. This J&A supports the need for the expedited execution of this contract action to avoid severe impact to mission critical operations.

Synopsis of the proposed modification was not published on SAM.gov due to an applicable exception under FAR 5.202(a) (2). However, in alignment with FAR 6.305, the approved Justification & Approval (J&A) will be posted on SAM.gov within 30 days after the award of the contract modification.

7. Determination of Fair and Reasonable Cost.

Cost for supplies and services required by the Government were determined to be fair and reasonable at the basic contract level. It is anticipated that the costs under future task orders issued under this contract will be fair and reasonable, and they will be evaluated on an individual task order basis to confirm this by conducting price/cost analysis in accordance with the procedures listed in FAR 15.401 , Proposal Analysis Techniques .

. 8. Actions to Remove Barriers to Future Competition.

A competitive follow-on contract will be awarded by September 2026. The follow-on will be a single award, IDIQ contract with a small business set-aside for small business participants requiring additional approvals in accordance with NPGI 16.504(c)(l)(ii)(D)(l). Furthermore, the technical team is analyzing both historical and anticipated future program needs to ensure the follow-on contract' s capacity ceiling is adequate to handle forecasted workload for future mission critical requirements.
