Justification and Approval (J&A) for Sole Source Contract Award

This J&A supports a sole source Indefinite Delivery Indefinite Quantity (IDIQ) contract award to Caley Ocean Systems Ltd. by the Naval Sea Systems Command (NAVSEA), Fleet Support Contracts Division. The contract covers repair, maintenance, and overhaul of Caley Boat Davit systems installed on San Antonio-class (LPD 17) naval ships. Scope of work includes 36-month and 72-month boat davit overhauls, upgrade to MK II configuration, field services for planned and unplanned maintenance, material supply, warehouse management, testing, and quality assurance. The contract structure consists of a one-year base ordering period with up to four one-year option periods.

Caley Ocean Systems Ltd. is the sole source because it is the original equipment manufacturer (OEM) and sole proprietor of the detailed design, manufacturing drawings, and proprietary data package for the Caley Boat Davit systems. The Navy does not possess licensed rights to the technical data required for competitive overhaul, upgrade, or repair. The boat davits perform a mission-essential role in Anti-Terrorism/Force Protection (AT/FP) operations and are vital for ready-lifeboat capability; inoperability creates hazardous situations and jeopardizes sailor safety. Market research, including a Sources Sought notice posted September 11, 2025, and a synopsis posted October 10, 2025 (closing October 24, 2025), confirmed no other responsible sources exist. The contracting officer determined anticipated costs to be fair and reasonable. The J&A was approved on November 7, 2025, pursuant to 10 U.S.C. 3204(a)(1).

Text version

The proposed contract action was synopsized on the website for federal contracting opportunities, SAM.gov, on 10 October 2025 in accordance with FAR 5.2 and FAR 6.305. The synopsis expressed the Government’s intent to contract on a sole source basis for the system engineering services, maintenance, material, and repair and rebuild of Caley boat davit systems. The synopsis closed on 24 October 2025 and to date, no other interested parties have responded.

Market research conducted in accordance with FAR Part 10 confirms that Caley Ocean Systems Ltd. is the only responsible source capable of meeting the Government’s requirements. The Sources Sought notice posted on 11 September 2025 resulted in interest from two companies:

No additional market research was conducted because it is not practicable, for the reasons discussed in paragraph 5 above, for any company other than Caley Ocean Systems Ltd. to provide the required supplies, services, and repairs.

7. Determination of Fair and Reasonable Costs

The Contracting Officer has determined the anticipated cost to the Government for the supplies/services covered by the J&A will be fair and reasonable.

8. Actions to Remove Barriers to Competition

For the reasons set forth in Paragraph 5, NAVSEA has no plans at this time to compete future contracts for the types of supplies/services covered by this document. If another potential source emerges, the Contracting Office will assess whether competition for future requirements is feasible.

J&A Number: 0244/010 APPROVAL BLOCK (FAR 6.304 and DFARS 206.304 for Approving Official)

Upon the basis of the above justification, I hereby approve, as Designee of the Head of the Contracting Activity, the solicitation of the proposed procurement using other than full and open competition, pursuant to the authority of 10 U.S.C.

3204(a)(1).
