About this file
Justification and Approval for Sole-Source Contract Modification
This is a Justification and Approval (J&A) document authorizing a sole-source contract modification to a Naval Air Systems Command (NAVAIR) task order. The modification is a bilateral amendment to Task Order N0001925F0933 under Basic Ordering Agreement (BOA) N0001921G0007 awarded to Insitu, Inc. (Bingen, Washington). The contracting activity is NAVAIR Headquarters, and the document number is CJ&A No. 26-0355.
The modification adds specialized engineering services, Field Service Representative (FSR) support, hardware integration, and logistics support for a 12-month Period of Performance from September 30, 2026, through September 29, 2027, with an estimated total value of $743,000. The scope consists of two distinct testing events: Track Quality (TQ) flight testing utilizing a complete, operational Flying Launch and Recovery System (FLARES) Scan Eagle Unmanned Aircraft System (UAS), and Environmental Shock qualification testing for specific FLARES Scan Eagle hardware components. The sole-source justification is based on Insitu being the proprietary designer, developer, and sole Original Equipment Manufacturer (OEM) of the FLARES Scan Eagle UAS, holding all proprietary technical data packages, flight control software code, and airframe integration schematics. No other source possesses the technical capability or data rights to interface required sensor payloads or build custom mass modules and test fixtures. The contracting officer determined the anticipated cost to be fair and reasonable. A Pre-Solicitation Notice was published on SAM.gov on September 16, 2026, for 15 days; to date, no responses have been received. NAVAIR plans to promote future competition through successor multi-award contract vehicles and ongoing market research, including Sources Sought notices and industry days.

JUSTIFICATION AND APPROVAL
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity
Naval Air Systems Command (NAVAIR) Headquarters
2. Description of the Action Being Approved
This Justification and Approval (J&A) authorizes and approves, on a sole-source basis to Insitu, Inc. (Bingen, Washington), a bilateral modification to Task Order N0001925F0933 under Basic Ordering Agreement (BOA) N0001921G0007.
The primary purpose of this modification is to add Track Quality (TQ) flight test support and Environmental Shock qualification testing for a twelve (12) month Period of Performance (POP), effective from 30 September 2026 through 29 September 2027.
The parent sole-source Class J&A authorizing task orders under BOA N0001921G0007 expired in March 2026. Consequently, this standalone modification represents a new sole-source testing requirement and requires an individual sole-source J&A to authorize the addition of this specialized scope to the task order.
3. Description of Supplies/Services
This contracting action adds engineering services, Field Service Representative (FSR) support, hardware integration, and logistics to Task Order N0001925F0933. Under this modification, the contractor will support two distinct testing events:
TQ Flight Testing: Direct engineering and FSR support to execute TQ flight testing utilizing a complete, operational Flying Launch and Recovery System (FLARES) Scan Eagle Unmanned Aircraft System (UAS).
Environmental Shock Testing: Engineering support to prepare and transport specific FLARES Scan Eagle hardware components for a one-week environmental shock qualification test.
The estimated total proposed value of this modification is $743,000.00 as is set forth in the table below.
Estimated Dollar Value
CJ&A No. 26-0355
7. Determination of Fair and Reasonable Cost
The Contracting Officer has determined that the anticipated cost to the Government of the services covered by this J&A will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition
To the greatest extent practicable, NAVAIR continues to promote competition for small tactical unmanned aircraft systems and services. Follow-on operational and testing requirements for the fleet are planned to be competed under successor multi-award contract vehicles currently being structured by the program office. PAE RAS AIR PMO continues to perform extensive market research, including issuing Sources Sought notices and participating in industry days, to identify and qualify capable alternative vendors for future requirements.
As this is a follow-on for supplies and services previously awarded on a non-competitive basis, in accordance with DFARS 206.104-71 (DPCAP CD 2026-O0017 Rev. 2), the prior J&A was provided to the approval authority for review. Approval of this J&A signifies the approval authority has made the determination required by DFARS 206.104- 72 (DPCAP CD 2026-O0017 Rev. 1).
