About this file

This is a Class Justification and Approval (CJ&A) document issued by the Naval Air Systems Command (NAVAIR) for sole-source contract modifications to Textron Systems Corporation (TSC) under Basic Ordering Agreement (BOA) N0001921G0008. The CJ&A, numbered 26-0354, authorizes three bilateral modifications to separate task orders with a total estimated value of $3 million for Fiscal Year 2026, with authority to act expiring on 30 September 2027.

The three modifications address critical operational requirements for the Aerosonde Unmanned Aircraft System (UAS). Task Order N0001924F5000 involves transitioning shipboard Aerosonde UAS support from one vessel to another in response to an urgent AFRICOM requirement, including pre-deployment and post-deployment support CLINs and B-kit installation. Task Order N0001924F0023 reinstatement addresses a CENTCOM-directed relocation of land-based operations from Site 11 to secure alternate classified locations due to deteriorating security conditions on 24 July 2026, including reinstatement of fully terminated operational CLINs for Sites 11 and 12, plus a new Site Survey CLIN at pre-established rates. Task Order N0001924F5002 establishes a directed change order with a not-to-exceed budget for non-recurring engineering and fielding of the Aerosonde Mine Countermeasures (MCM) Sensor, requiring updates to performance specifications and payload sensor configurations. TSC is justified as the sole source due to exclusive proprietary control over the Aerosonde UAS technical data packages, shipboard integration designs, avionics configurations, and flight control software; alternative sources would require approximately 270 days of recertification, creating unacceptable operational delays. A pre-solicitation notice was published on 16 September 2026 with a 15-day response period, and the CJ&A will be publicly posted on SAM.gov within 14 days after award. The Contracting Officer determined anticipated costs are fair and reasonable, with pre-negotiated monthly rates for most CLINs and detailed cost-price analysis forthcoming for the MCM Sensor directed change prior to definitization.

CLASS JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity

Naval Air Systems Command (NAVAIR) Headquarters

2. Description of the Action Being Approved

This Class Justification and Approval (CJ&A) authorizes and approves, on a sole-source basis, the award of bilateral, Firm-Fixed-Price (FFP) modifications to three separate Task Orders under Basic Ordering Agreement (BOA) N0001921G0008 to Textron Systems Corporation (TSC). Authority to act under this CJ&A expires on 30 September 2027.

The parent CJ&A for BOA N0001921G0008 expired in March 2026. Therefore, this CJ&A is required to authorize these non-competitive, urgent modifications.

The modifications will be executed under the following Task Orders:

Bilateral Modification to Task Order N0001924F5000: Transition of place of performance from to and the creation of new transition and support CLINs.

Bilateral Modification to Task Order N0001924F0023: Bilateral reinstatement of fully terminated Option Period 1 operational CLINs for Sites 11 and 12, relocation of the place of performance to new alternate classified CENTCOM sites, and the addition of a new Site Survey CLIN.

Bilateral Directed Change Modification to Task Order N0001924F5002: Issuance of a directed change order under CLIN 1004 to authorize non-recurring engineering and fielding of the Aerosonde Mine Countermeasures (MCM) Sensor.

3. Description of Supplies/Services

This class contracting action adds supplies and services to three distinct task orders under BOA N0001921G0008 to execute three critical, non-competitive operational requirements:

Shipboard Transition & Support CLINs (Task Order N0001924F5000): This action transitions the place of performance for shipboard Aerosonde UAS support currently provided aboard to

TSC is the sole designer, developer, and OEM of the Aerosonde UAS and maintains exclusive proprietary control over the system's technical data package, shipboard mechanical/electrical integration designs, avionics configurations, and flight control software

The specific technical and operational rationales justifying this follow-on sole-source action for each of the three affected task orders are detailed below:

a) Shipboard Transition (Task Order N0001924F5000) - Textron is the proprietary designer, developer, and sole OEM of the Aerosonde UAS and the shipboard B-kit integration hardware. The support aboard was required for a limited-duration Marine Expeditionary Unit deployment. Following completion of that deployment, and in response to an urgent AFRICOM requirement for UAS support aboard this modification enables the installation of the B-kit and continuation of required UAS support

No other source possesses the proprietary data packages (TDPs), shipboard integration drawings, or engineering data necessary to transition, install, and support the Aerosonde B-kit Attempting to utilize an alternative source would require a complete, 270-day engineering re-design of the shipboard integration, resulting in unacceptable delays in meeting AFRICOM's urgent operational requirements.

b) Land-Based Relocation & Site Surveys (Task Order N0001924F0023) - On 24 July 2026, CENTCOM directed the immediate evacuation of Textron personnel from Site 11 due to deteriorating security conditions, leaving the physical airframes and Ground Control Stations (GCS) on-site. CENTCOM has since issued direct operational guidance to halt the retrograde of these systems.

The is physically relocating Textron's remaining assets to a secure, alternate classified location to support emerging combat operations.

Textron is the only source with the proprietary technical data, trained personnel, and in-theater infrastructure capable of resuming operations immediately upon the delivery of the equipment. Furthermore, because the Site Survey CLIN is a mandatory safety and technical prerequisite to resuming flights, and the original pre-priced survey CLINs under Option Period 1 have been fully exhausted on Task Order N0001924F0023, adding this CLIN at the pre-established rate of is the only method to prevent severe operational delays.

c) MCM Sensor Directed Change (Task Order N0001924F5002) - Textron is the proprietary designer and developer of the Aerosonde UAS and owns the flight control source code and avionics interface data needed to integrate the MCM sensor. No other source possesses the proprietary data required to perform the non-recurring engineering and fielding of the MCM Sensor. Attempting to utilize an alternative source would void critical NAVAIR airworthiness certifications, requiring a complete recertification of the platform that would take an estimated 270 days, causing a catastrophic gap in critical theater ISR and mine-countermeasure capability.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable

In accordance with FAR 5.101(a) and FAR 5.201, a Pre Solicitation Notice was published on the Governmentwide Point of Entry (SAM.gov) on 16 September 2026 under notice number N00019-26-RFPREQ-WPM263-0281 for a period of fifteen (15) days. Any capability statements received in response to this notice will be evaluated by the contracting officer to determine if competition is feasible. In accordance with FAR 5.301, this CJ&A will be publicly posted on SAM.gov within fourteen (14) days after contract modification award.

To date, no responses have been received. Any responses received prior to award will be evaluated to determine whether the potential sources are technically acceptable to adequately satisfy the Government’s requirement.

7. Determination of Fair and Reasonable Cost

The Contracting Officer has determined that the anticipated cost to the Government of the supplies and services covered by this CJ&A will be fair and reasonable.

The new operational CLINs and the new Site Survey CLIN on Task Order N0001924F0023, and the shipboard transition CLINs on Task Order N0001924F5000, will utilize the exact pre-negotiated, competed, monthly rates that are already established.

The directed change order for the MCM Sensor (CLIN 1004) on Task Order N0001924F5002 will be established with an NTE budget. A detailed cost and price analysis will be performed, utilizing DCMA and DCAA support as necessary, to negotiate a fair and reasonable final price prior to definitization.

8. Actions to Remove Barriers to Future Competition

To the greatest extent possible, NAVAIR awards UAS ISR services on a competitive basis. Future follow-on requirements for land-based and sea-based ISR services will be competed under successor multi-award contract vehicles currently being planned by the program office. PAE RAS AIR PMO continues to conduct extensive market research, including hosting industry days and issuing Sources Sought notices, to identify capable alternative vendors for future requirements.

As this is a follow-on for supplies and services previously awarded on a non-competitive basis, in accordance with DFARS 206.104-71 (DPCAP CD 2026-O0017 Rev. 2), the prior J&A was provided to the approval authority for review. Approval of this J&A signifies the approval authority has made the determination required by DFARS 206.104- 72 (DPCAP CD 2026-O0017 Rev. 1).
