About this file
This is a Justification and Approval (J&A) document for a contract modification issued by the Naval Facilities Engineering and Expeditionary Warfare Center (NAVFAC EXWC) in Port Hueneme, California.
The document justifies an increase to the ceiling capacity of a Single Indefinite Delivery/Indefinite Quantity (IDIQ) contract (N39430-21-D-2229) awarded to Marine Ventures International, Inc. for Motor Vessel Independence Support services. The contract supports research, development, testing, and evaluation (RDT&E) of undersea surveillance systems, load handling systems, acoustic array systems, cable system components, and other maritime technologies. The original contract period runs from March 9, 2021 to March 8, 2026, with a current 6-month extension through September 8, 2026. Eight FY26 projects remain with RDT&E funding, including ocean vessel support, naval exercises, tests, range area support, and Remotely Operated Vehicle (ROV) operations. The modification was justified under 10 U.S.C. 3204(a)(2) citing unusual and compelling urgency, as the capacity increase is essential to fund critical Subsea and Seabed Warfare (SSW) mission task orders required by August 2026 that align with the Navy's SSW Campaign Plan. The document notes that no market research was conducted due to impracticability, and a competitive follow-on IDIQ contract will be awarded as a small business set-aside by September 2026. Costs were determined fair and reasonable at the basic contract level, with future task orders to be evaluated individually using FAR 15.401 price/cost analysis procedures.

the critical execution windows for the task orders requiring award this fiscal year. This J&A supports these urgent current fiscal year task orders which cannot be delayed without causing immediate and severe impacts to mission-critical operations. No market research was conducted because it is not practicable, for the reasons discussed in Paragraph 5 above.
Synopsis of the proposed modification was not published on SAM.gov due to an applicable exception under FAR 5.101(b)(2). However, in alignment with FAR 6.301, the approved J&A will be posted on SAM.gov within 30 days after the award of the contract modification.
7. Determination of Fair and Reasonable Cost.
Costs for supplies and services required by the Government were determined to be fair and reasonable at the basic contract level. It is anticipated that the costs under future task orders issued under this contract will be fair and reasonable, and they will be evaluated on an individual task order basis to confirm this by conducting price/cost analysis in accordance with the procedures listed in FAR 15.401, Proposal Analysis Techniques.
8. Actions to Remove Barriers to Future Competition.
A competitive follow-on contract will be awarded by September 2026. The follow-on will be a Single Award, IDIQ contract as a small business set-aside. Furthermore, the technical team is in the continuous process of analyzing future program requirements to ensure the Government estimate is accurate and in-line with current industry pricing. The follow-on will have adequate capacity capable to handle forecasted workload for future mission requirements.
