ALLIANT 3 RFP ATTACHMENT J.P-9 MODEL

INDIVIDUAL SUBCONTRACTING PLAN TEMPLATE

INSTRUCTIONAL REMINDERS

The solicitation document serves as the primary source of authority and prevailing document for the Alliant 3 request for proposal and procurement process. It outlines the requirements, instructions, and criteria for submission and evaluation of proposals. NOTE: The Model Individual Subcontracting Plan template is a tool contractors may choose to use when preparing their Individual subcontracting plans and reflects the objectives GSA encourages contractors to adopt. The Model Individual Subcontracting plan:

-Is NOT a fill-in-the-blank template.

-Does NOT replace the FAR requirements listed in clause 52.219-9.

Before preparing the subcontracting plan:

1. Review the FAR requirements set forth in the FAR subpart 19.7, The Small Business Subcontracting Program, particularly:

-FAR 19.704, Subcontracting Plan Requirements.

-FAR clause 52.219-8, Utilization of Small Business Concerns.

-FAR clause 52.219-9, Small Business Subcontracting Plan.

-FAR clause 52.219-16, Liquidated damages - Subcontracting Plan.

2. Understand the statutory requirements in FAR 19.702:

-Any contractor receiving a contract for more than the simplified acquisition threshold must agree in the contract that Small Business (SB) (including Alaska Native Corporations [ANCs] and Indian tribes), veteran-owned small business (VOSB), service-disabled veteran-owned small business (SDVOSB), HUBZone small business, small disadvantaged business (SDB), and women-owned small business (WOSB) concerns will have the maximum practicable opportunity to participate in contract performance consistent with its efficient performance.

-Timely pay amounts due pursuant to the terms of their subcontracts with SBs, VOSBs, SDVOSBs, HUBZone, SDBs (including ANCs and Indian tribes), and WOSB concerns.

-Each contract modification that causes the value of a contract without a subcontracting plan to exceed the subcontracting plan threshold listed in FAR 19.702, will require the Contractor to submit a subcontracting plan for the contract, if the Contracting Officer determines that subcontracting opportunities exist .

-Failure to submit and negotiate the subcontracting plan will make the Offeror ineligible for award of the contract.

Description of Supplies or Services: The Alliant 3 Governmentwide Acquisition Contract (GWAC) is a Multiple Award, Indefinite Delivery, Indefinite Quantity (IDIQ) contract which provides information technology solutions through performance of a broad range of services, which may include the integration of various technologies critical to the services being acquired. A Task Order is defined as “an order for services placed against an established contract or with Government sources,” FAR 2.101. Task Orders are issued by federal agencies off the GSA Alliant 3 GWAC. The Contractor must provide all management, supervision, labor, facilities and materials necessary to perform on a Task Order basis.
FAR 19.704(a)(7) and FAR Clause 52.219-9(d)(7) require the name of an individual employed by the offeror who will administer the offeror’s subcontracting program, and a description of the duties of the individual. Please add the contact information for this person (telephone number, fax number and/or email address), in case of questions and provide an alternate point of contact if applicable.

Program Administrator Description of Duties: In accordance with FAR Clause 52.219-9(e), in order to effectively implement this plan to the extent consistent with efficient contract performance, the contractor shall perform the following functions:
1) Assist SB, VOSB, SDVOSB, HUBZone, SDB and WOSB concerns by arranging solicitations, time for the preparation of bids, quantities, specifications, and delivery schedules so as to facilitate the participation by such concerns. Where the Contractor’s lists of potential SB, VOSB, SDVOSB, HUBZone, SDB and WOSB subcontractors are excessively long, reasonable effort shall be made to give all such small business concerns an opportunity to compete over a period of time.
2) Provide adequate and timely consideration of the potentialities of SB, VOSB, SDVOSB, HUBZone, SDB and WOSB concerns in all “make-or-buy” decisions.
3) Counsel and discuss subcontracting opportunities with representatives of SB, VOSB, SDVOSB, HUBZone, SDB and WOSB firms. Counsel and discuss subcontracting opportunities with representatives of SB, VOSB, SDVOSB, HUBZone, SDB and WOSB firms.
4) Confirm that a subcontractor representing itself as a HUBZone small business concern is identified as a certified HUBZone small business concern by accessing the System For Award Management (SAM) database, by accessing the Dynamic Small Business Search (DSBS), or by contacting SBA.
5) Provide notice to subcontractors concerning penalties and remedies for misrepresentations of business status such as identifying as an SB, VOSB, SDVOSB, HUBZone, SDB and WOSB for the purpose of obtaining a subcontract that is to be included as part or all of a goal contained in the Contractor’s subcontracting plan.
6) For all competitive subcontracts over the simplified acquisition threshold, as defined in FAR 2.101 on the date of subcontract award, in which a small business concern received a small business preference, upon determination of the successful subcontract offeror, prior to award of the subcontract the contractor must inform each unsuccessful small business subcontract offeror in writing of the name and location of the apparent successful offeror and if the successful subcontract offeror is a SB, VOSB, SDVOSB, HUBZone SB, SDB, or WOSB concern.
7) Assign each subcontract the NAICS code and corresponding size standard that best describes the principle purpose of the subcontract.
Other ways the Plan Administrator will ensure the company meets the goals of the plan demonstrating “good faith effort” [Include all that will be done under this plan]:
____ Develop and maintain bidders’ lists of SB, VOSB, SDVOSB, HUBZone, SDB and WOSB concerns from all possible sources.
____ Ensure periodic rotation of potential subcontractors on bidders’ lists.
____ Ensure that SB, VOSB, SDVOSB, HUBZone, SDB and WOSB concerns are included on the bidders’ list for every subcontract solicitation for products and services they are capable of providing participation by such concerns. Where the Contractor’s lists of potential SB, VOSB, SDVOSB, HUBZone, SDB and WOSB subcontractors are excessively long, reasonable effort shall be made to give all such small business concerns an opportunity to compete over a period of time.
____ Ensure that subcontract procurement “packages” are designed to permit the maximum possible participation of SB, VOSB, SDVOSB, HUBZone, SDB and WOSB concerns.
____ Review subcontract solicitations to remove statements, clauses, etc., which might tend to restrict or prohibit SB, VOSB, SDVOSB, HUBZone, SDB and WOSB concerns.
____ Ensure that the subcontract bid proposal review board documents its reasons for not selecting any low bids submitted by SB, VOSB, SDVOSB, HUBZone, SDB and WOSB concerns.
____ Oversee the establishment and maintenance of contract and subcontract award records.
____ Attend or arrange for the attendance of company counselors at Business Opportunity Workshops, Minority Business Enterprise Seminars, Trade Fairs, etc.
____ Directly or indirectly counsel SB, VOSB, SDVOSB, HUBZone, SDB and WOSB concerns on subcontracting opportunities and how to prepare bids to the company.
____ Conduct or arrange training for purchasing personnel regarding the intent and impact of Section 8(d) of the Small Business Act on purchasing procedures.
____ Develop and maintain an incentive program for buyers that support the subcontracting program.
____ Monitor the company’s performance and make any adjustments necessary to achieve the subcontract plan goals.
____ Prepare and submit timely reports as outlined in RFP Section G.22.2.
____ Develop and promote company/division policy statements that demonstrate the company’s/division’s support for awarding contracts and subcontracts to SB, VOSB, SDVOSB, HUBZone, SDB and WOSB concerns.
____ Coordinate the company’s activities during compliance reviews by Federal agencies.

SUBCONTRACTING PLAN UTILIZATION GOALS
The purpose of the small business subcontracting plan is to ensure Other Than Small Businesses (OTSBs), any business that is not considered a small business, are setting aside part of the federal money they receive to subcontract to small businesses. In other words, this plan covers exactly how your company wants to allocate contract requirements between your company and subcontractor(s).
Federal contracts awarded to “other than small” businesses over a certain dollar threshold must contain a subcontracting plan (Plan) showing how small businesses will have a practicable opportunity to participate in the award. In this Plan, which follows the requirements of FAR 52.219-9, the prime contractor sets goals for how much of the total contract value it plans to subcontract to both small businesses and to other than small businesses (OTSB). The goals will be stated as a percentage of the prime contract value. This template assists an Offeror in calculating the percentage of the total contract dollars that will be subcontracted to small businesses and OTSB concerns. Please refer to RFP paragraph G.22 Individual Small Business Subcontracting Plan for details.

GSA subcontracting goals listed in this template are the agency’s goals and are provided for information only because these goals are set annually and are subject to change.

Data Entry Instructions: Offerors should complete both Tabs 1_SubcontractingPlan and 2_SmBusinessSubcontractingPlan of this template.

Results are linked to Tab 3_Table6SubcontractingGoals which can be used to complete Attachment J-7 Individual Small Business Subcontracting Plan.

Instructions for this tab are:

1) Enter the name of your company name (in Cell B4). This should match what is shown in SAM.gov.
2) Data entry is only required in cells B22, B23, B26, B27 for Tab 1_SubcontractingPlan of this template.
3) You will need to input the dollars your company plans to subcontract to all small business concerns for the contract's base period in cell B22 and for the option period in cell B26. These are the dollars your company plans to subcontract or set-aside for all small business regardless of socioeconomic category.
4) Next, you will need to input the dollars your company plans to subcontract to other than small business (OTSB) concerns for the contract's base period in cell B23 and for the option period in cell B27. These are the dollars your company plans to subcontract to all other than small business concerns.
5) The total dollars your company plans to subcontract will automatically total and show in Cells B24 (base period) and B28 (option period). These numbers should equal the total dollars your company has planned to subcontract to other business concerns. If the number is not what was planned, make sure the dollars inputted show the correct values, and change as needed.
6) Once the dollars have been inputted, the percentage of the prime contract's subcontracting dollars will automatically calculate. These percents show how the total subcontracting dollars are split between small business and OTSB concerns.
7) This completes your data entry for Tab 1_SubcontractingPlan. The values entered into this Tab are linked to both Tab 2_SmBusinessSubcontractingPlan and Tab 3_Table6SubcontractingGoals.
8) Move onto Tab 2_SmBusinessSubcontractingPlan.

SMALL BUSINESS SUBCONTRACTING GOALS
The purpose of the small business subcontracting plan is to ensure Other Than Small Businesses (OTSBs), any business that is not considered a small business, are setting aside part of the federal money they receive to subcontract to small businesses. In other words, this plan covers exactly how your company wants to allocate contract requirements between your company and subcontractor(s).
Federal contracts awarded to “other than small” businesses over a certain dollar threshold must contain an Individual Subcontracting Plan (Plan) showing how small businesses will have a practicable opportunity to participate in the award. In this Plan, which follows the requirements of FAR 52.219-9, the prime contractor sets goals for how it plans to allocate subcontracting dollars to each of the five small business subcategories or socioeconomic categories. Separate goals must be established for each socioeconomic categories listed below:

• Veteran-Owned Small (VOSB)

• Service-Disabled Veteran-Owned Small (SDVOSB)

• HUBZone (HUBZone)

• Small Disadvantaged Business (SDB)

• Women Owned Small Business (WOSB)

• Other Small Business

This template assists an Offeror in calculating what part, or percentage, of the dollars being planned for subcontractors will be allocated to each of the five socioeconomic categories. Small business subcategory subcontracting goals are calculated as a percentage of the total available subcontracting dollars (a part of 100%) not as a percentage of dollars allocated for all small business subcontracted dollars (part of 50%). As an independent calculation, the percentages will not add up to 100% nor will they add up to the Small Businesses Subcontracting Goals (e.g. 50%).

Data Entry Instructions: Offerors should complete both Tabs 1_Subcontracting Plan and 2_SmBusinessSubcontractingPlan of this template. Results are linked to Tab 3_Table6SubcontractingGoals which can be used to complete Attachment J-7 Individual Small Business Subcontracting Plan.

Instructions for this tab are:

1) The total planned subcontracting dollars that you entered in Tab 1_SubcontractingPlan are linked to this Tab: Base Period subcontracting dollars in cell B:24 and Option Period subcontracting dollars in cell B:32.
2) Data entry is only required in cells B26: B30 and B34: B38 for Tab 2_SmBusinessSubcontractingPlan of this template. Enter values into cells B31 and B39 only if your company plans to subcontract to an Other Small Business category such as Minority institutes.
3) You will need to enter the amount (dollars) of the total contract value your company plans to allocate to each of the five small business socioeconomic categories. Each category must show an amount because zero dollars is not an acceptable amount.
4) Once you have entered the dollar amount for a category, the percentage or proportion of the total available subcontracting dollars will automatically calculate. This represents the planned goal for that particular socioeconomic category.
5) Totals are not included intentionally because each category should be considered independently.
6) This completes data entry. The values entered into this Tab are linked to Tab 3_Table6SubcontractingGoals.
7) Move onto Tab 3_Table6SubcontractingGoals to review and verify your planned goals.

PRINCIPAL TYPES OF SUPPLIES AND SERVICES TO BE SUBCONTRACTED: Per FAR Clause 52.219(d)(3), describe the principal types of supplies and services to be subcontracted and an identification of types of supplies or services planned for subcontracting to all small business concerns throughout the entire contract periods. (The list must include the NAICS Code, description of service or supplies, and business size seperately.)
Due to Small Business Association (SBA) regulation 13 C.F.R. § 121.402(b)(2), North American Industry Classification System (NAICS) codes for Wholesale Trade and Retail Trade are not permissible for use in federal contracting. Specifically, prohibited NAICS codes for Wholesale Trade and Retail Trade begin with the prefixes 42, 44, and 45. Moreover, Sector 44 - 45 pertains specifically to Retail Trade. These NAICS codes shall not be used to classify Government acquisitions for supplies. They also shall not be used by Federal government contractors when subcontracting for the acquisition of supplies. The applicable manufacturing NAICS code shall be used to classify acquisitions for supplies. SMALL BUSINESS SUBCONTRACTING PLAN STATEMENTS, ASSURANCES, AND SIGNATURES
With respect to the Alliant 3 GWAC Individual Subcontracting Plan, acknowledgement and certification of the following statements must be made:
1) Payment Basis ONLY (See RFP Section L.5.1.3.1 Payment Basis Reporting on eSRS)
2) Recognize that the negotiated subcontracting plan will become a material part of the contract upon award, subject to monitoring by the federal government after award. (FAR 19.702 and FAR 19.705)
3) Indirect costs: HAVE BEEN (or) HAVE NOT BEEN included in the dollar and percentage subcontracting goals provided in this plan. (FAR clause 52.219-9(d)(6))
NOTE: indirect costs represent the expenses of doing business that are NOT easily identified with a specific project (i.e. contract or grant) but are generally recognized as ordinary and necessary for the general operation of the contractor’s organization and the conduct of activities it performs. Types of indirect costs include overhead (e.g. facility/utility & supplies cost), general and administrative (G&A), and fringe benefits (e.g. services or benefits provided to employees such as health insurance, payroll taxes, pension contribution, etc.).
4) As stated in 15 U.S.C. 637(d)(9), any contractor or subcontractor failing to comply in good faith with the requirements of the subcontracting plan is in material breach of its contract. Further, 15 U.S.C. 637(d)(4)(F) directs that a contractor’s failure to make a good faith effort to comply with the requirements of the subcontracting plan shall result in the imposition of liquidated damage.
With respect to the Alliant 3 GWAC Individual Subcontracting Plan, acknowledgement and certification of the following assurances must be made:
1) Assurance that the Offeror will ensure "flow down" of FAR Clause 52.219-8 is in all subcontracts that offer further subcontracting opportunities.
2) Assurance that the Offeror will require all subcontractors (except SB concerns) that receive subcontracts in excess of the subcontracting plan threshold listed in FAR 19.702 with further subcontracting possibilities to adopt a plan that complies with the requirements of FAR clause 52.219-9.
3) Assurance that the Offeror will cooperate in studies or surveys, submit Periodic Reports, include subcontracting data for each order issued under indefinite delivery/indefinite quantity contracts used by multiple agencies, submit Individual Subcontract Reports (ISR) and Summary Subcontract Reports (SSR) using eSRS.gov., ensure that subcontractors with plans agree to submit the ISR/SSR using eSRS.gov, Provide a Prime Contract Number, UEI umber, and E-Mail Address of Officials Responsible, etc., and submit all revised reports within 30 days of receiving notice of rejection by the Contracting Officer.
4) Assurance that the Offeror will make a good faith effort to acquire articles, equipment, supplies, services, or materials, or obtain the performance of construction work from the small business concerns that it used in preparing the bid or proposal, in the same or greater scope, amount, and quality used in preparing and submitting the proposal.
5) Assurance that the Offeror will provide the Contracting Officer with a written explanation if the Contractor fails to acquire articles, equipment, supplies, services or materials or obtain the performance of construction work as described in FAR Clause 52.219-9(d)(12). This written explanation must be submitted to the Contracting Officer within 30 days of contract completion.
6) Assurance that the Offeror will NOT prohibit a subcontractor from discussing with the Contracting Officer any material matter pertaining to the payment to or utilization of a subcontractor.
7) Assurance that the Offeror will pay small business subcontractors on time and in accordance with the terms and conditions of the subcontract and notify the Contracting Officer if the company pays a reduced or an untimely payment to a small business subcontractor, per FAR Clause 52.242-5.
8) Assurance that the Offeror will provide detailed and accurate record keeping. The Offeror will describe the types of records to be maintained such as source lists, lists of organizations contacted, records to support internal activities to promote and implement subcontracting initiatives, records on the results of each subcontract solicitation above the SAT threshold as defined in FAR 2.101 when small businesses were solicited, records supporting award data submitted to the government for each award, and other records supporting compliance with the subcontracting plan.
