About this file
This is a Justification and Approval (J&A) document for a brand-name procurement under Federal Acquisition Regulation (FAR) 12.102 for commercial items.
The U.S. Department of Navy, Naval Research Laboratory (NRL) Contracting Division, Code 1320, seeks to procure a Keysight Technologies, Inc. UXG Agile Signal Generator and two Signal Studio software applications for the Tactical Electronic Warfare Division (TEWD), Systems Development Section, Code 5744. The procurement is valued greater than the Simplified Acquisition Threshold but below $9.0 million and will be funded by FY26 OPN (Other Procurement, Navy) funds. The UXG Agile Signal Generator system includes multiple components such as KeysightCare support packages, frequency range modules (10 MHz to 40 GHz), phase modulation capabilities, wideband chirp, pulse modulation, PDW update rates, enhanced phase noise, mechanical attenuators, 10 Gigabit Ethernet interfaces with trigger ports, SSD drive assemblies, value discount bundles, and calibration plans. The two Signal Studio software applications include multi-emitter capabilities and multi-channel functionality for angle-of-arrival, kinematics, and polarization with node-locked perpetual licenses and 12-month KeysightCare support subscriptions. Delivery is required approximately eight weeks after order receipt. The Contracting Officer approved procurement on a brand-name basis under 41 U.S.C. 1901(e)(2) because Code 5744 designed custom radar signal processing software specifically interfaced with Keysight's UXG hardware and APIs; procuring alternative equipment would require substantial software rewrite, engineering duplication, and unacceptable project delays. Market research confirmed Keysight and authorized resellers are the only vendors capable of meeting specifications, and the items are not available through GSA or NASA SEWP contracts. The procurement will not be set-aside for small businesses, and no plans exist to compete future similar procurements unless alternative sources emerge.

, which will be funded by FY26 OPN (Other Procurement, Navy) funds.
4. Statuary Authority Permitting Other than Full and Open Competition
The authority for permitting other than full and open competition is 41 U.S.C. 1901(e)(2), implemented by
FAR 12.102.
41 U.S.C. 1901 41 U.S.C. 1903
5. Rationale Justifying Use of Cited Authority
The UXG device will be used to simulate complex, high-density Electronic Warfare (EW) environments and threat scenarios to support advanced design and testing across EW, radar, and antenna testing applications.
Capable of generating high-fidelity, real-world operational waveforms, the UXG will integrate directly into Code 5744's existing suite of electronic test and measurement equipment and will run custom software applications. Requiring these specific units ensures native compatibility with the established Keysight programming commands, preserving full interoperability with the previously procured hardware and allowing seamless integration into the current test architecture without software redevelopment or modification.
The source for the requirements listed in Paragraph 3 has been selected to ensure the overall system meets TEWD’s configuration needs. This procurement must be restricted to Keysight due to the strict hardware and software compatibility requirements. Code 5744 has designed a custom radar signal processing suite that was designed and coded specifically to interface with Keysight's UXG. The software application programming interfaces (API), triggering mechanisms, and physical interfaces are directly mapped to this unit's specification. Procuring an alternative signal generator from a different manufacturer would require significant rewrite of custom tool's control software resulting in unacceptable duplication of engineering hours and substantial delays to design project timelines. These resultant costs could not be recovered through full and open competition.
The Contract Specialist has determined through market research that the required products offered by Keysight are commercial in nature, valued greater than the SAT, but less than $9.0 million, and as such, this action permits the use of FAR 12.201-1.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable
Market research was performed through contacting knowledgeable individuals in Government, conducting internet searches, and contacting the original equipment manufacturer (OEM), Keysight. In accordance with FAR 10.001, market research was conducted to determine if sources capable of fulfilling the requirement for a commercially available UXG Agile Signal Generator and two Signal Studio software applications which meet the Government’s specifications exist. Additionally, market research was conducted to determine if the Government’s need can be met using any of the mandatory or non-mandatory sources listed at FAR 8.101 -
8.104. Based on market research, it was determined that Keysight and its authorized resellers/distributors are the only known vendors capable of meeting the Government’s specifications.
In accordance with FAR 8.104, agencies are encouraged to consider satisfying requirements from or through non-mandatory sources, which includes the use of Federal Supply Schedules (e.g. GSA), before considering commercial sources in the open market. The Contract Specialist verified within GSA Advantage that the required items were not available via this source. Further, the Contract Specialist verified Keysight is not a NASA SEWP contract holder. Following this market research, the Contract Specialist also verified with Keysight’s point of contact that Keysight is not a GSA Schedule or NASA SEWP contract holder on 15 JUL 2026. Since there are no vendors presently authorized to resell Keysight’s equipment via GSA, the Government intends to procure the required equipment on a brand name basis via SAM.gov.
The Contract Specialist independently identified Keysight authorized resellers/distributors potentially able to deliver the Government’s requirement. Many of these authorized resellers/distributors have been used to successfully fulfill previous NRL requirements for similar equipment within TEWD.
Additionally, identified several supplemental vendors capable of providing the required equipment.
This acquisition does not meet the requirement at FAR 19.104-1(a) and therefore will not be set-aside for small businesses. Additionally, the Non-Manufacturer Rule (NMR) requires small businesses to either manufacture the product itself, supply a product manufactured by another small business if it is a nonmanufacturer, or supply the product of any sized manufacturer if the Small Business Administration (SBA) has granted a waiver to the NMR. Keysight, the OEM, is a large business, and the SBA has not granted a waiver under NAICS 334515.
7. Determination of Fair and Reasonable Cost
The Contracting Officer has determined the anticipated cost to the Government for the equipment covered by this J&A will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition
For the reasons set forth in Paragraph 5, NRL has no plans at this time to compete future contracts for the type of equipment covered by this document. Code 5744 routinely monitors the commercial marketplace using the internet and publications to stay informed on current state-of-the-art laboratory equipment alternatives that could be used to further work at NRL. If another potential source emerges, NRL will assess whether competition for future requirements is feasible.
In accordance with FAR 12.202(b)(1)(iii), this justification, redacted as necessary, will be made publicly available with the solicitation.
