Offers will publicly opened and read aloud at the Opening on the Closing date and time. Only the name of the Offeror(s) and the bid amounts will be read. It is optional for Offerors to attend the Public Bid Opening. The security requirements for facility access (see
C.1.3) apply. Award decisions will not be made at the Opening. Bids received after the date and time for Closing will not be considered for award.
C.8 PRELIMINARY BID RESULTS
Prior to the Intent-to-Award Announcement, OMD may post preliminary bid results on OregonBuys. Such postings may not be correct and are not final. The posting of the preliminary Bid results is not a representation by Contracting Agency that any Bid submitted was complete, sufficient, lawful in any respect, or otherwise in substantial compliance with the ITB requirements.
C.9 TIME FOR OFFER ACCEPTANCE
An Offeror’s Offer is a firm Offer, irrevocable, valid and binding on the Offeror for not less than sixty (60) calendar days after the
Closing date.
C.10 EXTENSION OF TIME FOR OFFER ACCEPTANCE
DOJ Approved 4-28-26 Version ITB #260037C001 Page 11 of 53
OMD may request that Offerors extend, in Writing, the time during which OMD may consider their Offers. If an Offeror agrees to such extension, the Offer shall continue as a firm Offer, irrevocable, valid and binding on the Offeror for the agreed-upon extension period.
C.11 METHOD OF AWARD
C.11.1 Provided OMD does not cancel the solicitation or reject all Bids pursuant to OAR 137-049-0270, award will be made to the responsible Bidder submitting the total of the lowest responsive bid calculated per C.11.2. OMD may award by Bid item, groups of bid items or the entire Bid provided such award is in the public interest. OMD reserves the right to withdraw any item from award consideration if it is in the best interest of the State to do so.
If the ITB requires a lump-sum Bid, without additive or deductive alternates, or if OMD elects not to award additive or deductive alternates, Bids will be compared on the basis of lump-sum prices, or lump-sum base Bid prices, as applicable.
If the ITB calls for a lump-sum base Bid, plus additive or deductive alternates, the total Bid price must be calculated by adding to or deducting from the base Bid those alternates selected by OMD, for the purpose of comparing Bids.
OMD reserves the right to reject all Bids.
C.12 OFFER EVALUATION
C.12.1 RESPONSIVENESS
For its Bid to be considered responsive, the Offeror must substantially comply in all material respects with applicable solicitation procedures and requirements and the solicitation documents. Examples of why Bids may be considered nonresponsive and rejected:
• includes non-approved equivalents where approval is required;
• takes exception to the Specifications or Plans or contractual terms of the ITB;
• is contingent upon Contracting Agency’s acceptance of Specifications, Plans, or Contract terms that conflict with or are in addition to those advertised in this ITB; or
• is unreadable.
In making such evaluation, OMD may waive minor informalities and irregularities as described in OAR 137-049-0350, and
Contracting Agency may seek clarification of any response that, in its sole discretion, it deems necessary or advisable. However, Bidders may not supplement their Bids to provide for missing information..
C.12.2 RESPONSIBILITY
Prior to award of a Contract, OMD will evaluate whether the apparent successful Offeror meets the applicable standards of responsibility identified in ORS 279C.375(3) and OAR 137-049-0390. In doing so, OMD may investigate Offeror and request information in addition to that already required in the ITB, when OMD, in its sole discretion, considers it necessary or advisable.
OMD shall notify the apparent successful Offeror, in Writing, of any other documentation required for it to complete its responsibility inquiry, which may include, but is not limited to: recent profit-and-loss history, current balance statements, assets-to-liabilities ratio, (including number and amount of secured versus unsecured creditor claims), availability of short and long-term financing, bonding capacity, credit information, material, equipment, facility and personnel information, performance record of Contract performance, and similar information. Submission of a signed Offer shall constitute approval for OMD to obtain any information OMD deems necessary to conduct the evaluation.
Failure to promptly provide this information shall result in Offer rejection. OMD may postpone the award of the Contract after announcement of the apparent successful Offeror in order to complete its investigation and evaluation. Failure of the apparent successful Offeror to demonstrate responsibility as required under OAR 137-049-0390, shall render the Offeror non-responsible and shall constitute grounds for Offer rejection, as required under OAR 137-049-0440.
C.12.3 RECIPROCAL PREFERENCES
In determining the lowest Responsive Bid, OMD will, in accordance with OAR 137-046-0310, add a percentage increase to the Bid of a nonresident Bidder equal to the percentage, if any, of the preference given to that Bidder in the state in which the Bidder resides.
Adjustments made to account for reciprocal preferences will be for Bid evaluation purposes only. No such adjustments shall operate to amend Bidder’s Bid or any Contract awarded pursuant thereto.
C.13 PROCESSING OF BIDS
Neither the release of a Bid Security, nor acknowledgement that the selection process is complete (whether by posting of a Bid tabulation sheet, issuance of notice of intent to award, or otherwise), shall operate as a representation by OMD that any Offer submitted was complete, sufficient, lawful in any respect, or otherwise in substantial compliance with the ITB requirements.

C.14 REJECTION OF OFFERS
C.14.1 REJECTION OF ALL OFFERS
OMD may reject Offers for good cause upon its finding that it is in the public interest to do so. Agency will issue written findings if all offers are rejected.
C.14.2 LIQUIDATED AND DELINQUENT DEBT
Contracting Agency may reject a particular Bid if a Bidder has liquidated and delinquent debt owed to the State or any department or agency of the State.
C.14.3 REJECTION OF PARTICULAR OFFERS
OMD may reject a particular Offer for any of the reasons listed under OAR 137-049-0440.
C.15 INTENT-TO-AWARD
OMD will issue to each Bidder or post, electronically or otherwise, Notice of Intent to Award identifying the apparent successful
Bidder (“Awarded Bidder”), pursuant to ORS 279C.375. OMD reserves the right to announce its intent to award prior to formal
Contract award by posting the tabulation sheet of Bid results on OregonBuys (“Intent-to-Award”). The Intent-to-Award shall serve as notice to all Offerors that OMD intends to make an award.
C.16 PROTEST OF INTENT-TO-AWARD
Adversely-affected or aggrieved Offerors have Three (3) calendar days from the date of the Intent-to-Award within which to submit a protest. Protests submitted after this date will not be considered. Protests must be made in Writing (email acceptable) and must specify the grounds upon which the protest is based.
In order to be an adversely affected or aggrieved Offeror, the Offeror must claim to be eligible for award of the Contract as the lowest responsible Offeror submitting the lowest responsive Offer and that any and all lower Offerors are ineligible to receive Contract award.
C.17 RESPONSE TO INTENT-TO-AWARD PROTESTS
OMD will respond to properly submitted Intent-to-Award protests. However, any response provided by OMD is not intended to, and shall not in and of itself constitute, confirmation that the Offeror is, in fact, adversely affected or aggrieved, and therefore entitled to protest an intent to award, or that the protest was timely filed.
C.18 FINAL AWARD
After expiration of the Intent-to-Award protest period in Section C.16 (or after the affirmation of the Award following a protest, if any), OMD will proceed with final Contract award. (If OMD receives only one Bid, OMD may dispense with the intent-to-award protest period and proceed directly with award of a Contract.)
C.19 COMMENCEMENT OF WORK
Contractor shall not commence Work under the Contract under OMD has issued a Notice to Proceed.
C.20 REVIEW OF AWARDED BID FILES
Upon issuance of the Intent-to-Award, Bid files will be available for review in accordance with Oregon Public Records Law at the

C.21.1 INSURANCE
The apparent successful Offeror shall provide all required proofs of insurance to OMD within fourteen (14) calendar days from the date of the Intent-to-Award. Failure to present the required documents within this period may result in Offer rejection. Offerors are encouraged to consult their insurance agents(s) about the insurance requirements as identified in Section G.3 of the General
Conditions for Public Improvement Contracts in Exhibit 8 and the Supplemental General Conditions in Exhibit 9 prior to Offer submission.

RESULTING CONTRACT.
The apparent successful Offeror shall provide all required bonding to the POC within seven (7) calendar days from the date of the

C.21.6 EXECUTION OF PUBLIC IMPROVEMENT AGREEMENT

OMD will then sign the
Public Improvement Agreement Form and email a fully executed copy of it to the Bidder.
Should apparent successful Bidder, working in good faith, be unable to comply with the timeframes set forth in this Section, apparent successful Bidder shall in Writing via email to SPC explain the circumstances and request an extension for the number of days needed to achieve compliance, which OMD, in its sole discretion, may allow.
