The Department may, at its sole discretion, develop a format for the Contractor to use in reporting the required information. If so, the Contractor shall utilize any format developed by the Department for this purpose. Failure to provide an annual report within 30 Days following the end of each Contract year shall result in the assessment of financial consequences.

4.1.5 Water Storage Tank Repair Quote Requirements

The prices of parts shall not exceed 100% of the Contractor’s price for the parts. All backup documentation must be provided to include a detailed invoice from the supplier with unit price, description of parts, etc., in order to verify markup. b) Formal: Written communications related to significant issues such as Breach of Contract, failure to provide satisfactory performance, assessment of financial consequences, change in Service Locations, or Contract termination.

Formal communications will be clearly marked as a "formal communication" and must be acknowledged upon receipt and responded to within seven (7) Days of receipt via email. A date and numbering system will be used to track these communications.

If there is an urgent administrative problem, the Department’s Contract Manager or designee shall contact the Contractor, and the Contractor shall verbally respond to the Department’s Contract Manager or designee within two (2) hours. If a non-urgent administrative problem occurs, the Department’s Contract Manager or designee will contact the Contractor, and the Contractor shall verbally respond to the Department’s Contract Manager or designee within 48 hours.

The Contractor, or Contractor's designee, shall respond to inquiries, complaints, or grievances from or about Inmates by providing all information or records that the Department deems necessary within three (3) Business Days of receipt of the request.

4.1.12 Estimated Quantities

The quantities provided in this ITB are given as an estimate for Vendors to prepare their Bids and the Department to make an award. Quantities should not be construed as representing the actual quantities to be purchased by the Department. The Department may purchase more or fewer services than indicated in this ITB.

4.1.13 Minimum Order

There will be no minimum order under the Contract.

4.1.14 Delivery

The Vendor shall ensure project materials are purchased from one (1) manufacturer and are delivered to the work site in original, new, and unopened

FDC ITB-24-011 Page 18 of 69 containers, and, if applicable, labeled with the manufacturer’s name, stock number, product number, brand name, contents by volume, instructions for mixing and reducing, and product application instructions.

Product(s) shall be shipped as Free on Board Destination to the appropriate destination and arrive within 10 Days of PO issuance, or at the time mutually agreed upon between both Parties, as reflected in the PO. Deliveries of items or provision of services must be made between 8:30 a.m. and 4:00 p.m., local time, Monday through Friday, excluding State holidays and other official closures, unless otherwise stated herein or on a subsequent PO.

4.2 Warranty

Materials and installation workmanship shall be warrantied by the awarded Vendor against defects for a warranty period of at least two (2) years after installation. This warranty is in addition to the Manufacturer’s material warranty. Warranty is limited to repair or replacement of materials deemed to have failed under conditions of normal use and excludes failures attributed to misuse, vandalism, acts of God, fire, explosions, earthquakes, floods, lightning, acts of public enemy, war, riots, civil disturbances, or insurrections.

Should defects become evident within the warranty period, the Vendor shall either repair the defective parts and materials or replace the Contract item at no additional cost to the Department. The warranty period shall start on the date installation is complete and shall be extended to include times during which the products are out of service for warranty repair.

4.3 Performance Measures and Financial Consequences

The Department desires to contract with a Vendor who demonstrates its willingness to be held accountable for the achievement of successful Contract performance. By submitting a Bid, the Vendor agrees to the Department’s assessment of financial consequences, which are not intended to be a penalty but to incentivize the Vendor’s performance under the Contract.

The performance measures below list the key expectations most critical to the success of the Contract and the financial consequence the Department will assess if an expectation is not met. If a Vendor is unable to achieve a performance measure expectation because of unforeseen circumstances outside of its control, the Vendor may submit a written request, in advance, to the Department’s Contract Manager to waive the assessment of the associated financial consequence. The Department’s Contract Manager will then review the request to determine whether mitigating circumstances existed beyond the Vendor’s control. For the Department to approve the request, the Vendor must not have contributed to the failed expectation in any manner. The Department does not waive its ability to assess financial consequences by allowing the delivery of an item(s) or completion of services after the time allowed. Nothing in this section shall limit the Department’s right to pursue other remedies available at law or in equity.
