2. Scope of Work

The Town of Farragut is seeking pricing for the installation of trees at Town parks, greenways, rights-of-way, and other public properties. The total bid price for each line item shall include plant material and other necessary materials (soil, amendments, mulch, etc.), labor, and staking as necessary. The planting locations, species, sizes, and quantities are listed in the Bid Form. See also Exhibits A and B for map locations.

General Planting Requirements The Town of Farragut is currently seeking pricing for the installation of trees for our local parks, greenways, rights of ways, and other public property. This packet includes a listing of each Town of Farragut facility where plantings are to be installed. When completing this packet, the total price should reflect:

1. Plant material and other necessary materials (soil, amendments, mulch, etc.)

2. Labor

3. Staking, as necessary

Requirements for plants and labor include the following:

• Planting Hole: All planting holes must be hand dug. Mechanical diggers such as augers may not be used unless approved by the Town or in order to initiate the planting hole. Planting hole shall be excavated and finished with sloped side 2 times the diameter of the container or rootball. Town staff will inspect to ensure no sod is within 24 inches of the tree.

Replacement trees will be marked. The Installer shall pull out the existing dead tree (including the root ball) and replace it with the new tree according to these specifications. The removed tree must be disposed of properly by the installer.

• Rootball Planting Depth: Before placing the rootball in the hole, the installer shall determine if the depth of the hole is the same as, or slightly less, than the distance between the topmost structural root (root flare) and the bottom of the rootball.

Installer must also be able to identify the difference between a root graft and the root flare. It can be expected that trees received from the nurseries may have a buried root flare up to four inches or more below the top of the rootball.

In no case, shall the root flare be lower than the adjacent grade. All excess soil must be removed from above the root flare.

The installer must make sure the root flare is visible at grade level. Tree installations with root flares planted too deep or buried will be rejected. Trees planted too high (root flares greater than 2 inches above existing grade) will also be rejected.

• Backfill: After putting roughly one-quarter (1/4) of the backfill soil in the hole, all burlap, twine, rope, and wire baskets shall be cut off and removed at least 8 to 10 inches below the topmost structural root. If roots are circling or girdling, they shall be cut and removed. The hole shall be backfilled with the same soil removed from the hole. Soil shall be tamped slightly to pack rootball firmly within the planting hole in order to prevent settling or shifting of the rootball. The remaining portion of the hole shall be filled with remaining excavated soil. No soil shall be placed above the topmost structural root or root flare. If excess soil dug from the planting hole is not necessary for the backfill of the rootball or creates an unnecessary mound of soil in a limited planting space, it shall be removed from the site by the installer. Soil around the rootball must be tamped at each lift in order to prevent root ball from shifting. Trees that shift or lean will be rejected and fixed by the installer.

• Staking: Trees shall not be staked unless necessary. However, there are certain trees that may be required to be staked as determined by the Town staff. Stakes must be 2” x 2” x 4’ or greater wooden stakes and placed at 120 degrees around the planting hole. Stakes must be installed at least 24 inches deep and installed outside of the planting hole where the soil was not disturbed. The Town recommends the use of Arbor Tie or similar tie strap designed for tree staking. There must be enough space left around the trunk of the tree to allow the tree to grow. Staking materials must be approved by the Town before installation. All trees leaning, shifted, or not properly tied will be rejected.

• Mulch: A light layer of mulch should be around the tree but shall not be in contact with the tree trunk. Mulch shall be free from fire ants.

• Containerized Trees: Containerized trees shall be removed from the container before installation. All sides of the root ball shall be shaved with a hand saw or electric saw (reciprocating saw) in order to cut circling roots. Cuts should be made approximately one to two inches (1" to 2") from the sides of the root ball. Shaving shall be done just prior to the trees being installed.

• Weather: Tree timing installation shall be coordinated with the Town. If weekend installations are proposed it must be approved by the Town. Trees shall not be planted if the ground is frozen.

• Site Clean-up: The installer shall be responsible for the clean-up of the site including the removal of excess soil not needed for the planting hole; debris such as bricks, rocks, and other items uncovered while digging the hole; and excess mulch misplaced or dumped during the installation of the tree. The installer is also responsible for removing any mud skid left on the road or sidewalk and filling any ruts caused during the installation of the tree. The Installer should avoid or minimize having to drive on any greenspace, sod, or inundated areas to prevent damage. The installer shall remove all

Town of Farragut – ITB No. 2027-06 – Fall/Winter 2026 Tree Planting Page 7 of 23 planting stakes used to mark planting locations and remove all tags, ribbons, and bags from around the trees unless specified by the Town. The installer is responsible for the disposal of all waste material, debris, soil, rocks, and other items left over from planting the tree.

• Tennessee One-Call and Pre-Installation Site Meeting: The installer is responsible for performing a Tennessee One-

Call prior to installation. An on-site review with the Town staff of the planting locations and to discuss any installation-related questions is also required at least two weeks prior to the installation.

All trees listed in the bid form are required to be planted by no later than Monday, January 11, 2027, unless an extension has been granted by the Town. The Town will inspect each tree and installation as part of the project.

3.6 Additions and Deletions of Work

The Town reserves the right to increase, decrease, or omit quantities and work items identified in this solicitation, before award or during contract performance, when determined to be in the Town's best interest. The Vendor will be paid a reasonable termination charge consisting of a percentage of the order price reflecting the percentage of the work performed before the notice of termination, plus actual direct costs resulting from termination. The Vendor will not be paid for any work done after receipt of the notice of termination, nor for any costs incurred by the Vendor's suppliers or s which Vendor could reasonably have avoided. The Vendor must not unreasonably anticipate the requirements of this order.

22. TERMINATION FOR CAUSE. The Town of Farragut may also cancel this order, or any part of this order, with seven (7) days written notice for cause in the event of any default by the Vendor, or if the Vendor fails to comply with any of the terms and conditions of this offer. Late deliveries, deliveries of products which are defective, or which do not conform to this order, and failure to provide the Town, upon request, with adequate assurances of future performance are all causes allowing the Town to cancel this order for cause. In the event of cancellation for cause, the Town is not liable to the Vendor for any amount, and the Vendor is liable to the Town for any and all damages sustained by reason of the default which gave rise to the cancellation. If it should be determined that the Town has improperly cancelled this contract for a default, the cancellation is considered a termination for convenience.

23. DISPUTE RESOLUTION. Claims, disputes, or other matters in question between the parties to this Agreement arising out of or relating to this Agreement, or breach thereof, shall be subject to mediation in Farragut. Tennessee, in accordance with the following provisions:

a. The mediation shall be conducted by a mediator mutually acceptable to both parties.

b. The parties agree to share equally in the expense of the mediation.

c. Such mediation may include the Vendor or any other person or entity who may be affected by the subject matter of the dispute.

d. Unless the parties agree otherwise, mediation shall be a condition precedent to the exercise of any legal remedy other than a proceeding seeking an immediate injunction or restraining order to protect the rights of a party pending litigation. Notwithstanding the issuance of an injunction or restraining order, or the refusal of a court to issue such an order, the dispute shall continue to be subject to mediation.

If the Vendor is delayed in the performance of the services for more than three hundred sixty-five (365) calendar days, either by the Town or circumstances beyond his control, an equitable adjustment to the contract amount can be made to compensate for additional costs incurred.

For delays in performance by Vendor caused by circumstances which are within its control, such delays shall be documented and presented to the Purchasing Department at the conclusion of Project and acknowledged by both Town and Vendor. The completed form shall be retained by the Town for a period of seven years and reviewed prior to Vendor selection for future Town projects.
