ITD requires these vehicles to support statewide highway maintenance, construction, and traffic control operations as critical work-zone safety assets. The initial order consists of twenty-four (24) trucks, with anticipated follow-on orders of one (4) to four (4) trucks annually thereafter, with configurations to be determined by ITD at the time of each purchase order. The pre-bid conference is scheduled for September 11, 2026, at 11:00 AM MT (non-mandatory but encouraged), with a question submission deadline of September 18, 2026, at 11:59 PM MT. The bid closing date is specified in the IPRO Event Main Page, with public opening scheduled for the first business day following closing at 10:30 AM MT. The initial contract term is one (1) year with an anticipated total contract term of five (5) years, subject to mutual written agreement for renewal, extension, or amendment. Delivery must occur within two hundred twenty-five (225) calendar days after receipt of order (ARO) to ITD headquarters in Boise, Idaho.

The award will be made to the lowest responsive and responsible bidder based on the combined total extended cost of pricing tables in Submittal Form B, with unit prices required for all four line items. Estimated quantities are for bid comparison only and do not constitute guaranteed purchase commitments. Each truck must be delivered with a minimum three-quarter (3/4) tank of fuel, fully cleaned, and accompanied by a Manufacturer's Statement of Origin. The contractor must provide a two (2) year warranty on all truck components and accessories, with a five (5) year warranty specifically required for all lighting components. 7. Vendors are strongly encouraged to submit any proposed modifications to the requirements, terms, or conditions of the ITB on Exhibit 7 – Contract Modifications and Exceptions prior to the deadline to submit questions. Questions regarding these requirements must contain the following:

0. The rationale for the specific requirement being unacceptable to the party submitting the question (define the deficiency).

0. Recommended verbiage for the State’s consideration that is consistent in content, context, and form with the State’s requirement that is being questioned.

0. Explanation of how the State’s acceptance of the recommended verbiage is fair and equitable to both the State and to the party submitting the question.

7. In the event that a Bid contains modifications or exceptions to any Solicitation requirements, terms, or conditions which are not addressed during the question and answer period, they must be identified and submitted on Exhibit 7 - Modification and Exception Form and must contain the same information outlined in Section 1.8, above. The State will not consider any modifications or exceptions that are not identified specifically on Exhibit 7.

7. The State has sole discretion to determine if the modifications or exceptions submitted by a Bidder would result in a material change or otherwise threaten the integrity of the procurement process. See Idaho Terms and Conditions Background and Limitations. Pursuant to IDAPA 38.05.01.084.e, the State may only negotiate non-material modifications or exceptions. Modifications or exceptions which the State determines to be material, or which otherwise threaten the integrity of the procurement process, will not be accepted or negotiated. If the Bidder has conditioned its Bid on the State’s acceptance or negotiation of its proposed modifications or exceptions, and the modifications or exceptions are deemed material, the Bidder will be given the opportunity to retract the proposed modifications or exceptions from its Bid. Failure to do so will result in the Bidder’s Bid being found non-responsive, after which it will receive no further consideration.

7. Non-material modifications or exceptions may be discussed with the apparent successful Bidder, at the discretion of the State; however, the State shall have the right to reject any and all such modifications and/or exceptions, or to call an end to such discussions, and to instruct the Bidder to amend its Bid and remove the modifications and/or exceptions. Failure to do so may result in the State finding the Bid non-responsive.

7. Except as otherwise provided within the Solicitation, the State will not consider modifications or exceptions to the requirements, terms, or conditions which are proposed after the ITB Closing Date.

1.9 Amendments

The State may issue amendments to make changes to the ITB, or to respond to any questions. Amendments will be posted on IPRO. Bidders are responsible for monitoring IPRO for updates and amendments. All published amendments must become part of this ITB, and must be considered by the Bidder in its Bid. Oral interpretations or clarifications of this ITB are not binding and should not be relied upon. Any verbal responses or informal communications from the State regarding this ITB are considered unofficial and will not be binding.

1.10 Authority

This procurement is conducted in accordance with IDAPA 38.05.01 and pursuant to Title 67, Chapter 92 of the Idaho Code.

Section 2 Format & Submission Requirements

2.1 Adherence to Requirements

The Bid must be submitted in accordance with the requirements set forth in this document. Any Bid that does not adhere to the requirements may be deemed non-responsive and rejected. The State reserves the right, in its sole discretion, to waive any minor informalities or immaterial non-compliance.

2.2 Deadline to Submit

All Bids are due at the date and time specified in the Procurement Schedule (Section 1.2). Late Bids must not be accepted or considered. The State must not be responsible for any technical issues, difficulties, or delays. Bidders are strongly encouraged to begin the process of submitting the Bid response far enough in advance of the Closing Date/Time to allow for resolution of any technical difficulties.

2.3 General Format Requirements

The Bid response must meet the following requirements:

2.3.1 The Bidder must not embed information, embed files, or embed any links within the Submittals.

2.3.2 The Bidder must not attach additional information to any Submittal Form (unless it has been explicitly requested). Any additional attachments submitted will not be considered in the evaluation process.

2.5 Trade Secrets and Non-Public Information

The Idaho Public Records Act, Idaho Code title 74, chapter 1 (the “Act”) defines trade secrets to “include a formula, pattern, compilation, program, computer program, device, method, technique or process that derives economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by other persons and is subject to the efforts that are reasonable under the circumstances to maintain its secrecy.” The Act also defines other records that may be exempt from public disclosure.

In addition to marking each page of the document with a trade secret or other exemption notation (as applicable; and as provided in Paragraph 28 of the Solicitation Instructions to Vendors), Bidders must also:

1.

2.

2.1.

2.2.

2.3.

2.4.

2.5.

2.5.1. Identify with particularity the precise text, illustration, or other information contained within each page marked “trade secret” or “exempt from disclosure” (it is not sufficient to simply mark the entire page). The specific information you deem “trade secret” or “exempt” within each noted page must be highlighted, italicized, identified by asterisks, contained within a text border, or otherwise clearly delineated from other text/information and specifically identified as a “trade secret” or “exempt from disclosure.”

2.5.2. Provide a separate document entitled “List of Redacted Trade Secret and Exempt Information” which provides a succinct list of all trade secret and exempt information noted in your Bid; listed in the order it appears in your submittal documents, identified by Page #, Section #/Paragraph #, Title of Section/Paragraph, specific portions of text/illustrations; or in a manner otherwise sufficient to allow the State’s procurement personnel to determine the precise text/material subject to the notation. Additionally, this list must identify with each notation the specific basis for your position that the material be treated as exempt from disclosure and how the exempting the material complies with the Act.

2.5.3. Submit a redacted copy of any Bid response document (e.g. Scope of Work Response) with all trade secret and exempt information removed or blacked out. The redacted copy must be submitted electronically in the Supplier Attachments section of IPRO, with the word “redacted” in the file name.

Section 3 Evaluation & Award Procedures

3.1 Mandatory Submission Requirements

All Bids will be reviewed on a "pass" or "fail" basis to ensure compliance with all mandatory submission requirements. Bids determined by the State, at its sole discretion, to be responsive in this regard will proceed to the evaluation process outlined in this Section. Bids that do not meet the mandatory submission requirements will be deemed non-responsive. Mandatory submission requirements include, but are not limited to, the following:

3.1.1 The Bid was submitted prior to the specified Closing Date and Time.

3.1.2 The Bid complies with the submission instructions detailed in Section 2.4.

3.1.3 The Bid includes a fully completed and signed Submittal Form A.

3.1.4 The Bid includes all required Submittal Forms.

3.1.5 The Bid includes a separate Submittal Form C for each distinct product offered, if applicable (see Section 2.4.9).

3.2 Clarification Discussions

The ITB Lead may, in the State’s sole discretion, perform clarification discussions with the Bidder(s) to verify and validate that the Bid will meet the needs of the Agency. At any time during this period, if it is discovered that the Bidder has not met a mandatory requirement, or has failed to adequately respond to an item below, the State may find the Bidder non-responsive.

1.

2.

3.

3.1.

3.2.

3.3.

3.2.1. The Bidder may be required to provide documentation to demonstrate its responsibility. Failure to provide the requested documentation may result in the Bidder being deemed non-responsible. IDAPA 38.05.01.81

3.2.2. If requested, provide any additional documentation that may be requested, which may include a detailed project/work plan, testing and commissioning plan, training, change management plan, safety plan, staffing plan, operational plan, maintenance plans, warranties, bonding and insurance, background checks, etc.

3.2.3. The clarification discussion cannot materially alter the Bid. The State does not expect to negotiate any terms or conditions requested by the Bidder, unless they were submitted by the Bidder prior to the deadline for submitting questions (see Section 1.2), or they provide the State an opportunity to secure more advantageous terms or pricing.

3.3 Best-And-Final-Offer (BAFO)

The State reserves the right to request Best and Final Offers (BAFOs) from Bidders. If BAFOs are requested, the State will issue written instructions to the selected Bidders identifying the scope of the BAFO request and the deadline for submission. Bidders must not modify any aspect of their Bid except as specifically requested by the State. BAFO responses must be submitted in accordance with the instructions provided. Failure to submit a BAFO, if requested, may result in the Bidder’s original Bid being considered as its final offer.

3.4 Manufacturer Brand Component Equivalency Evaluation

3.5.1. Bidders are encouraged to use the question period (Section 1.7) to seek clarification from the State regarding whether a specific product would satisfy the "or equal" standard defined in Exhibit 4, Section 1 prior to submitting a bid.

3.5.2. At the time of bid submission, Bidders must identify all offered products on Submittal Form C. For any product that differs from a named Manufacturer Brand Component in Exhibit 4, the Bidder must include an explanation of functional equivalence and supporting manufacturer documentation with its Submittal Form C.

3.5.3. ITD will evaluate all products identified on Submittal Form C against the specifications in Exhibit 4 following bid opening and prior to award. Products that do not meet the "or equal" standard to ITD's satisfaction may result in the bid being deemed non-responsive for the affected configuration. The State reserves the right to seek clarification from the Bidder per Section 3.2 during this evaluation.

3.5 Award

An award will be made to the lowest responsive and responsible Bidder based on the Combined Total Extended Cost of Tables 1 and 2 of Submittal Form B. Unit Prices must be provided for all four items; failure to provide a Unit Price for any line item may result in the Bid being deemed non-responsive. Estimated quantities are for bid comparison purposes only and do not constitute a guaranteed purchase commitment. Actual configurations and quantities will vary at ITD's discretion.

3.6 Resulting Contract

If the State awards a Contract from this solicitation, it will do so by issuing a Blanket Purchase Order (BPO) from the State's ERP system (Luma). The Contract will incorporate the Terms and Conditions, Exhibit 3 - General Requirements, Exhibit 4 - Specifications, Insurance Requirements, and any additional documents from the solicitation.

Background Information

1. About The Department / Agency The Idaho Transportation Department (ITD) has a vision of enhancing quality of life through transportation. We are committed to improving the quality of life of people in the communities we serve by delivering on our mission of Your Safety. Your Mobility. Your Economic Opportunity.

ITD is responsible for operating and maintaining more than 12,300 lane miles and 1,830 bridges; 2,523 miles of Idaho Byways and 32 state backcountry airstrips. The state highway system includes 34 rest areas and 12 ports of entry. The Division of Motor Vehicles registers more than two million vehicles and trailers and is responsible for the credentials of more than a million drivers.

The Division of Purchasing (DOP), on behalf of ITD, manages procurement processes to acquire equipment and services that support these objectives in compliance with Idaho Code and IDAPA regulations.

2. Background Information ITD utilizes Attenuator Trucks to support statewide highway maintenance, construction, and traffic control operations. These vehicles are critical work-zone safety assets designed to protect maintenance personnel and the traveling public during roadway activities.

3. Summary of Specifications ITD is preparing for its ongoing road maintenance and work-zone safety equipment needs. This procurement event addresses ITD’s requirements for the purchase of Attenuator Trucks to support statewide highway maintenance and traffic control operations.

4. Objectives and Expectations The State of Idaho expects the successful Bidder to deliver the specified equipment by the required delivery date as stated in the General Requirements sections of this document.

EXHIBIT 3

General Requirements

The following provisions establish the contractual performance requirements applicable to the resulting contract. These requirements are mandatory and will be incorporated into the contract upon award. Bidders should carefully review each provision and ensure their bid reflects the ability to comply.

Note: In the event of conflict with the State's Standard Terms and Conditions, or other terms, conditions or requirements contained in this ITB, the following provisions will take precedence. In the event of conflict between the installation and workmanship standards in Exhibit 4 and the component manufacturer's installation instructions, the more stringent requirement applies unless the Exhibit 4 requirement would void the manufacturer's warranty, in which case the manufacturer's requirement governs and the Contractor must notify ITD in writing at or before the pre-build meeting.

1. Contract Term The initial term of this Contract will be for one (1) year. Upon mutual, written agreement, the Contract may be renewed, extended or amended. The anticipated total Contract term is five (5) years.

2. Orders

2.1. Orders will be placed on an as-needed basis by ITD via a Purchase Order (PO).

2.2. Within seventy-two (72) hours after receiving the PO from ITD, the Contractor must confirm receipt of the order. Within five (5) business days after receipt of the PO, the Contractor must provide ITD with a written estimated time of delivery (ETA). The Contractor may update the ETA in writing if chassis allocation or supply conditions change materially, with supporting documentation. Failure to confirm orders or provide an ETA within the required timeframes may subject the Contractor to corrective actions, which may include a cure notice or default proceedings as provided in Section 1.4 of the State of Idaho Terms & Conditions.

2.3. The initial order, placed upon award, will be for twenty-four (24) Trucks. The allocation among awarded engine types and traffic control equipment configurations will be determined by ITD and specified in the Purchase Order. Following the initial order, ITD anticipates ordering between one (1) and four (4) Trucks per year, with annual quantities and configurations determined by ITD and specified in each Purchase Order. Beyond the initial twenty-four (24) Trucks, no minimum or maximum order quantity or configuration mix is guaranteed or implied.

3. Pre-Build Meeting

3.1. The Contractor must coordinate and conduct a pre-build meeting with ITD's Maintenance Services Manager, or designee, at the ITD Headquarters facility located at 3311 West State Street, Boise, ID 83703. The pre-build meeting may also be held as a Teams meeting. This meeting must be conducted within fourteen (14) calendar days after award of the Contract and prior to beginning the manufacturing process of the Truck. The purpose of this meeting is to review the requirements of the Contract, detailed specifications, component placement, and drawings. The following items, at minimum, must be finalized and documented in the pre-build meeting record:

3.1.1. Warning light flasher mounting location (Exhibit 4, Section 5.2.2.2);

3.1.2. Grill-mounted work light downward angle (Exhibit 4, Section 5.2.2.5);

3.1.3. Any manufacturer warranty conflicts identified by the Contractor with the installation and workmanship standards in Exhibit 4;

3.1.4. Overhead warning light mounting placement and separation (Exhibit 4, Section 5.2.2.3);

3.1.5. Grill-mounted warning light separation and placement (Exhibit 4, Section 5.2.2.4);

3.1.6. Auxiliary switch circuit groupings (Exhibit 4, Section 5.2.2.1); and

3.1.7. Any other component placement or configuration details requiring ITD input prior to manufacturing.

3.2. Engineered design Drawing(s) of the Truck must be provided to ITD after its approval to proceed with the manufacturing process of the Truck. Drawing(s) must show structural design and placement of all installed components. Drawing(s) must be provided at the time of the pre-build meeting; Drawing(s) are not required with the bid submittal.

3.3. Pilot Inspection: Upon completion of the first Truck on the first-year order, ITD will conduct a virtual inspection to verify compliance with specifications. The Contractor must provide reasonable access to the vehicle, supporting documentation, and personnel familiar with the build. Manufacturing of the remaining first-year order must not begin until the inspection has been conducted and approved by ITD in writing. ITD will provide inspection approval or a punch list of deficiencies within ten (10) business days after inspection. If ITD does not provide inspection approval or a punch list within the ten (10) business day period, the Contractor may submit a written request for status, and ITD must respond within five (5) business days after receipt of the request. The specific virtual inspection method, including platform and required participants, will be determined and coordinated by ITD with the Contractor in advance of the inspection date. For the initial twenty-nine (29) Truck order, the two hundred twenty-five (225)-day delivery requirement under Section 7.3 for Trucks 2 through 29 begins upon ITD's written approval of the pilot inspection. The delivery clock for Truck 1 of the initial order begins upon receipt of the Purchase Order.

4. Installation Requirements

4.1. Installation of all platform equipment and systems must be performed by an entity actively engaged in the installation of truck chassis equipment, including the installation, calibration, customization, diagnostic, and troubleshooting of all systems and associated auxiliary components, and authorized or certified by the equipment manufacturers to install and service the specified equipment. Where installation is performed by a subcontractor, the Contractor remains solely responsible for compliance with all requirements of this Contract. Approval of a subcontractor by the State or payment for subcontracted work does not relieve the Contractor of any obligation under this Contract.

4.2. All equipment, including standard and supplemental components, must be installed per the manufacturer's specifications and in compliance with the installation and workmanship standards in Exhibit 4, in a manner that promotes ease of maintenance, and must be serviced and ready for continuous operation at the time of delivery. The entire Truck chassis with installed equipment must be cleaned prior to delivery.

5. Warranty

5.1. The Contractor is solely responsible for ensuring the Truck, including all accessories and installed equipment, is warranted against defects in material and workmanship for the minimum periods specified herein. The Contractor may satisfy this requirement through the manufacturer's warranty, the Contractor's own warranty, or a combination of both, provided the total coverage meets the minimum period and covers all required costs under Section 5.3. Where a manufacturer's warranty does not cover the full minimum period from the date ITD accepts the Truck, the Contractor must provide direct warranty coverage for the remainder of the required period. The minimum warranty periods are as follows: not less than two (2) years for the Truck and all accessories, with the exception of all lighting components specified in Exhibit 4, Sections 5.2.2, 5.2.3, 6.1, and 6.2, which must be warranted for a period of not less than five (5) years. In all cases, the minimum warranty periods established in this Section govern over any shorter manufacturer warranty period.

5.2. Warranty period must commence on the date that the Trucks are accepted by ITD. If manufacturer’s warranty for any product installed does not cover the minimum warranty period from the date ITD accepts delivery, Contractor must warranty and be responsible for repairing or replacing the products for the remaining period of the minimum warranty required in this contract.

5.3. Warranty must include all parts, labor, and freight to replace a defective warranted item. The Contractor must acknowledge receipt of each warranty claim in writing within three (3) business days after notice from ITD. The Contractor must commence warranty work within fourteen (14) calendar days after notice from ITD and must complete warranty work within thirty (30) calendar days after notice from ITD. Where parts required to complete warranty work are documented as on backorder from the OEM at the time of notice or become so during performance, the thirty (30) day completion deadline will be extended by the documented duration of the OEM backorder plus five (5) business days. Contractor must submit written OEM documentation of the backorder to ITD within five (5) business days after Contractor learns of the backorder. Failure to provide such documentation within the required timeframe may result in denial of the extension at ITD's discretion.

5.4. For any warranty work, the Contractor may elect to authorize a dealer of its choice or authorize ITD to perform the necessary repairs in accordance with the manufacturer's standards. The Contractor must communicate its election in writing to ITD within five (5) business days after acknowledging receipt of the warranty claim under Section 5.3. If the Contractor fails to communicate an election within this period, ITD may proceed with repairs at the Contractor's expense in accordance with the manufacturer's standards, and the Contractor's reimbursement obligations under this Section apply. If the Contractor authorizes ITD to perform any warranty work: 1) it is the responsibility of the Contractor to guarantee that the work is completed in accordance with the manufacturer's standards at the expense of the Contractor, 2) completion of warranty repairs by ITD which are authorized by the Contractor will not adversely affect the warranty, and 3) the Contractor must reimburse ITD for the cost of the warranty repairs (parts, labor, and materials) within sixty (60) calendar days after receipt of ITD's itemized cost statement. If the Contractor disputes the cost, the Contractor must notify ITD in writing within thirty (30) calendar days after receipt of the cost statement identifying the specific items in dispute, and the parties must work in good faith to resolve the dispute. Undisputed amounts must be paid within the sixty (60) calendar day period.

6. Manuals

6.1. The Contractor must provide two (2) operator’s manuals, two (2) parts manuals, and two (2) service manuals with each Truck at the time of delivery in the following format(s).

6.2. Paper printed manuals (if available) must be bound or installed in a binder. Boxed, shrink wrapped, or otherwise loose, unbound papers are not acceptable.

6.3. Electronic manuals must be electronic PDF copies provided via email, or free website download (hyperlink must be provided at or before delivery).

7. Delivery

7.1. Deliveries must be made to the delivery location below during their hours of operation (listed below), FOB Destination, freight prepaid and allowed, Monday through Thursday (unless otherwise noted). No deliveries will be accepted outside of the assigned hours of operation, on weekends, or on State recognized holidays (https://idaho.gov/government/state-holidays/). 7.3. The State of Idaho requires the successful Bidder to deliver the specified equipment within two hundred twenty-five (225) days after receipt of order (ARO) to the delivery location above. For the initial twenty-nine (29) Truck order, the two hundred twenty-five (225)-day delivery requirement for Trucks 2 through 29 begins upon ITD's written approval of the pilot inspection pursuant to Section 3.3; the delivery clock for Truck 1 of the initial order begins upon receipt of the Purchase Order. If the Contractor cannot meet the agreed-upon delivery timeline, the Contractor must notify ITD in writing as soon as practicable and, upon written mutual agreement with ITD, develop a revised delivery plan. The revised plan may include measures such as partial deliveries, adjusted sequencing, or an extended delivery schedule, and must be designed to minimize disruption to ITD's operations.

7.4. Delivery hours are 8:00 am to 4:00 pm Mountain Time. Deliveries outside of these hours may only be accepted with prior written approval by the Contract Management Team (CMT).

7.5. The Contractor must deliver each truck chassis with the installed Equipment to ITD's location as outlined above. For Contractors with an installation facility within a fifty (50) mile radius of the delivery location at 3311 West State Street, Boise, ID 83703, the Contractor may drive the completed unit to the delivery location. Risk of loss or damage remains with the Contractor until acceptance by ITD at the delivery location.

7.6. For the Contractor with an installation facility beyond a fifty (50) mile radius of the delivery location at 3311 West State Street, Boise, ID 83703, the Contractor must haul (not drive) and unload ITD's Truck chassis with the completed Equipment to the delivery location. The Contractor must store ITD vehicles in a locked and secure manner either inside a fenced parking area or inside the Contractor's facility when Contractor personnel are not on site to ensure protection of the vehicles.

7.7. All vehicles must be washed (exterior), cleaned (interior), and delivered with a minimum of three-quarters (3/4) tank of fuel. Diesel-equipped vehicles must additionally be delivered with the Diesel Exhaust Fluid (DEF) tank filled to at least three-quarters (3/4) capacity. Dirty vehicles will not be accepted. The Contractor must clean and re-present the vehicle for delivery within five (5) business days after rejection.

The automatic acceptance provision of Article 2.2.2 of the State Terms and Conditions does not apply to this Contract. The warranty period under Section 5 and the invoicing obligation under Section 9 both commence upon ITD's written acceptance of each Truck.

8.2. In the event that any specifications are not met, the Contractor must pick up, correct any discrepancies, and re-deliver within thirty (30) calendar days after written notification from ITD, at no additional cost to ITD.

8.3. If approved by ITD, the Contractor may correct discrepancies on-site at ITD’s location in lieu of a pick-up and return process.

8.4. Where a non-conformity affects more than three (3) Trucks delivered under a single PO, the corrective-action timeframe will be extended to sixty (60) calendar days, or such longer period as mutually agreed in writing, not to exceed ninety (90) calendar days, commensurate with the scope of the correction.

8.5. Latent Defects and Post‑Acceptance Nonconformance. Acceptance under Sections 8.1 through 8.4 does not relieve the Contractor of responsibility for defects, damage, malfunctions, or nonconformities that were not reasonably detectable at the time of delivery, inspection, or acceptance; or that are reasonably determined to have occurred during shipment or transit to ITD.

8.5.1. If ITD identifies any such latent defect or post‑acceptance nonconformance, ITD will provide written notice to the Contractor specifying the issue. Upon receipt of ITD’s notice, the Contractor shall, at no additional cost to ITD, promptly repair, replace, or otherwise correct the affected Truck within a timeframe mutually agreed in writing, commensurate with the nature and scope of the correction.

8.5.2. If the Contractor fails to complete corrective action within the agreed timeframe, ITD may exercise any remedy available under this Contract, including revocation of acceptance pursuant to Idaho Code section 28‑2‑608.

9. Billing Procedure The Contractor must provide a signed delivery receipt upon delivery of each Truck. The delivery receipt documents physical handoff and is not a payment instrument. DOP will notify the Contractor whether the request is approved within thirty (30) calendar days of receipt of the request.

10.2. If there is an industry wide price decrease, Contractor must notify ITD immediately of the decrease and make the price decrease effective for ITD on the same day it becomes effective for the Contractor. If the State is not properly notified of price decreases, the pricing at the time of order will be used for invoice payment and the Contractor will provide refunds or credits as necessary.

11. Records Maintenance Contractor must maintain or supervise the maintenance of all records necessary to properly account for all payments made to the Contractor pursuant to the Contract.
