About this file
Summary
This Invitation for Bids (IFB) is issued by the Southwest Virginia Regional Jail Authority (SWVRJA), an independent political subdivision comprised of nine counties (Buchanan, Dickenson, Lee, Russell, Scott, Smyth, Tazewell, Washington, and Wise) and two cities (Bristol and Norton). SWVRJA seeks to contract with one or more qualified vendors to furnish and deliver assorted equipment repair parts, specifically food service equipment components, to four regional jail facilities located in Abingdon, Duffield, Haysi, and Tazewell, Virginia. The contract scope includes parts only—no repair services or equipment purchases—with vendors required to submit formal quotes within two business days of SWVRJA's request, including part descriptions, part numbers, total dollar amounts, shipping costs, and estimated delivery dates. Sealed bids are due by July 9, 2026, at 2:00 PM, submitted to Danyelle Moore at the Meadowview, Virginia address or via eVA portal. Questions must be submitted in writing by June 30, 2026, with answers provided by July 6, 2026. The initial contract term runs through June 30, 2027, with options for two additional successive one-year renewals at SWVRJA's discretion. Bidders must submit five physical copies plus two electronic copies on flash drive, include a completed and signed IFB cover sheet with all addenda acknowledgements, and provide qualification statements, cost proposals, detailed product specification sheets, product literature, delivery terms, and references from similar accounts.
Vendors must furnish new, genuine manufacturer-recommended or authorized replacement parts, with used parts prohibited without prior written consent; manufacturer rebuilt parts may be authorized case-by-case if they carry equivalent warranties. All parts are guaranteed for a minimum of 30 days or the manufacturer's warranty period, whichever is longer, with replacement at no cost for the same defect within this period. Vendors must maintain sufficient inventory or ready access to parts to prevent equipment downtime and clearly identify whether delivery is FOB shipping point or FOB destination. SWVRJA reserves the right to award the contract to the lowest responsive and responsible bidder, though the lowest price does not guarantee award. The evaluation criteria include vendor qualifications and experience, item specifications, minimum order requirements, and proposed pricing. No quantities are guaranteed; vendors must supply actual quantities ordered at the discounted contract rate regardless of whether totals exceed or fall short of estimates. The contract may be cancelled by SWVRJA without penalty upon 60 days' written notice, or by the contractor without penalty after the initial 12 months upon 60 days' notice. Price escalation is prohibited for the first 365 days and thereafter only for verified material cost changes using the Consumer Price Index as a guide, with 30 days' advance notice required. Under Virginia's Cooperative Procurement statute, other regional jail members of the Procurement Professionals of Virginia Regional Jails (PPVRJ) consortium and local governments in SWVRJA's region may utilize this contract at the same terms and prices.

a. The Vendor will not discriminate against any employee or applicant for employment because of race, religion, color, sex, national origin, age, disability, or any other basis prohibited by state law relating to discrimination in employment, except where there is a bona fide occupational qualification reasonably necessary to the normal operation of the contractor. The Vendor agrees to post in conspicuous places, available to employees and applicants for employment, notices setting forth the provisions of this nondiscrimination clause.

D. Ethics in Public Contracting
By submitting their proposals, Proposers certify their proposals are made without collusion or fraud and they have not offered or received any kickbacks or inducements from any other Proposer, supplier, manufacturer or subcontractor in connection with their proposal, and they have not conferred on any public employee having official responsibility for this procurement transaction any payment, loan, subscription, advance, deposit of money, services or anything of more than nominal value, present or promised, unless consideration of substantially equal or greater value was exchanged.
E. Immigration Reform and Control Act of 1986
By signing their proposals, the Proposers certify that they do not and will not during the performance of this contract employ illegal alien workers or otherwise violate the provisions of the Federal Immigration Reform and Control Act of 1986.

H. Clarification of Terms
If any prospective Proposer has questions about the specifications or other proposal documents, the prospective Proposer should submit a written request to the person whose name appears on the face of the IFB, no later than July 7, 2015. Any revisions to the IFB will be made only by addendum issued by the purchasing agent.

A. To Prime Contractor:
a. Invoices for items ordered, delivered and accepted shall be submitted by the Vendor directly to the payment address shown on the purchase order/contract.

c. All goods or services provided under this contract or purchase order, that are to be paid for with public funds, shall be billed by the Vendor at the contract price, regardless of which public agency is being billed.
d. Unreasonable Charges: Under certain emergency procurements and for most time and material purchases, final job costs cannot be accurately determined at the time orders are placed. In such cases, Vendors should be put on notice that final payment in full is contingent on a determination of reasonableness with respect to all invoiced charges.
INVITATION FOR BIDS –EQUIPMENT REPAIR PARTS PAGE 10
Charges which appear to be unreasonable will be researched and challenged, and that portion of the invoice held in abeyance until a settlement can be reached. Upon determining that invoiced charges are not reasonable, SWVRJA s shall promptly notify the Vendor, in writing, as to those charges which it considers unreasonable and the basis for the determination. A contractor may not institute legal action unless a settlement cannot be reached within thirty (30) days of notification. B. To Subcontractors:
a. A Vendor awarded a contract under this solicitation is hereby obligated:
i. To pay the subcontractor(s) within seven (7) days of the contractor’s receipt of payment from SWVRJA for the proportionate share of the payment received for work performed by the subcontractor(s) under the contract; or

The date of mailing of any payment by U. S. Mail is deemed to be payment to the addressee.
These provisions apply to each sub-tier contractor performing under the primary contract. A Vendor’s obligation to pay an interest charge to a subcontractor may not be construed to be an obligation of SWVRJA.
J. Precedence of Terms
The following General Terms and Conditions, APPLICABLE LAWS AND

SWVRJA reserves the right to inspect Proposer’s physical plant prior to award to satisfy questions regarding the Proposer’s capabilities. L. Testing and Inspection
SWVRJA reserves the right to conduct any test/inspection it may deem advisable to assure supplies and services conform to the specifications.

The Vendor shall comply with the notice upon receipt. The Vendor shall be compensated for any additional costs incurred as the result of such order and shall give SWVRJA a credit for any savings.
Said compensation shall be determined by one of the following methods:
By mutual agreement between the parties in writing; or

If the parties fail to agree on an amount of adjustment, the question of an increase or decrease in the contract price or time for performance shall be resolved in accordance with the procedures for resolving disputes provided by the Disputes Clause of this contract. Neither the existence of a claim or dispute resolution process, litigation or any other provision of this contract shall excuse the Vendor from promptly complying with the changes ordered by SWVRJA with the performance of the contract generally.
The parties may agree in writing to modify the scope of the contract. An increase or decrease in the price of the contract resulting from such modification shall be agreed to by the parties as a part of their written agreement to modify the scope of the contract.
O. Default
In case of failure to deliver goods or services in accordance with the contract terms and conditions, SWVRJA, after due oral or written notice, may procure them from other sources and hold the Vendor responsible for any resulting additional purchase and administrative costs. P. Taxes
Sales to SWVRJA are normally exempt from State sales tax. State sales and use tax certificates of exemption, Form ST-12, will be issued upon request. Deliveries against this contract shall be free of Federal excise and transportation taxes. The SWVJRA’s tax exemption registration number is 54-2061321.

Such causes may include, but are not restricted to, acts of God or the public enemy, fires, floods, epidemics, quarantine restrictions, strikes, freight embargoes, and unusually severe weather, but in every case the failure to perform must be beyond the reasonable control and without the fault or negligence of the SWVRJA.
Z. Non Responsive Proposals
Modification of or additions to any portion of the Request for Proposals may be cause for rejection of the proposal; however, SWVRJA reserves the right to decide, on a case by case basis, in its sole discretion, whether or not to reject such a proposal as nonresponsive. As a precondition to its acceptance, SWVJRA may, in its sole discretion, request that the Proposer withdraw or modify nonresponsive portions to a proposal which do not affect quality, quantity, price or delivery. No modification of or addition to the provisions of the contract shall be effective unless reduced to writing and signed by the parties. Modification of or additions to the General Terms and Conditions of the solicitation may be cause for rejection of the proposal; however SWVJRA reserves the right to decide, on a case by case basis, in its sole discretion, whether to reject such a proposal.

4. Additional Users
Under the authority of the Code of Virginia 2.2-4304. Cooperative Procurement, it is the intent of this solicitation and resulting contract(s) to allow for cooperative purchasing by only the members of the Procurement Professionals of Virginia Regional Jails (PPVRJ). Participation in this cooperative procurement is strictly voluntary. If authorized by the Contractor(s), the resultant contract(s) will be extended to the public bodies indicated above to purchase at contract prices in accordance with contract terms.
No modification of this contract or execution of a separate contract is required to participate. Participating public bodies shall place their own orders directly with the Contractor(s) and shall fully and independently administer their use of the contract(s) to include contractual disputes, invoicing and payments without direct administration from the lead-issuing institution. The lead-issuing member shall not be held liable for any costs or damages incurred by any other participating public body as a result of any authorization by the Contractor to extend the contract. It is understood and agreed that the lead-issuing member is not responsible for the acts or omissions of any PPVRJ member, or public body and will not be considered in default of the Agreement no matter the circumstances.
Use of this contract(s) does not preclude any participating public body from using other contracts or competitive processes as required by law.

quote is not withdrawn at that time it remains in effect until an award is made or the solicitation is canceled.
6. Price Escalation/De-Escalation
Price adjustments may be permitted only for changes in the contractor’s cost of materials. The Consumer’s Price Index should be used as a guide to determine increase or decrease. No price increases will be authorized for 365 calendar days after the effective date of the contract. Price escalation may be permitted only at the end of this period and each 365 days thereafter and only where verified to the satisfaction of the purchasing department. However, “across the board” price decreases are subject to implementation at any time and shall be immediately conveyed to the SWVRJA Purchasing Department.
The contractor shall give not less than 30 days advance notice of any price increase to the purchasing department. Any approved price changes will be effective only at the beginning of the calendar month following the end of the full 30 day notification period. The contractor shall document the amount and proposed effective date of any general change in the price of materials. Documentation shall be supplied with the contractor’s request for increase which will: (1) verify that the requested price increase in general in scope and not applicable just to the SWVRJA; and (2) verify the amount or percentage of increase which is being passed on to the contractor by the contractor’s suppliers. The purchasing department will notify the using department and the contractor in writing of the effective date of any increase which it approves. However, the contractor shall fill all purchase orders received prior to the effective date of the price adjustment at the old contract prices. The SWVRJA Purchasing Agent may cancel without liability to either party, any portion of the contract affected by the requested increase and any material, supplies, or services undelivered at the time of such cancellation.
The contractor is further advised that decreases which affect the cost of materials are required to be communicated immediately to the purchasing department.
7. Product Availability/Substitution
Substitution of a product, brand or manufacturer after the award of contract is expressly prohibited unless approved in writing by the Contact Officer. The SWVRJA may, at its discretion, require the contractor to provide a substitute item of equivalent or better quality subject to the approval of the Contract Officer, for a price no greater than the contract price, if the product for which the contract was awarded becomes unavailable to the contractor.
8. Product Information
The Offeror shall clearly and specifically identify the product being offered and enclose complete and detailed descriptive literature, catalog cuts and specifications with the bid to enable the SWVRJA to determine if the product offered meets the
