Any contract resulting from this solicitation will be established and managed by Catawba Hospital.
IIBACKGROUND

III PERIOD OF CONTRACT AND RENEWAL

3.1. The initial term of this contract shall be from March 1, 2025, to February 28, 2026, with the option to renew for three (3) successive one-year periods under the terms and conditions of the original contract. Written notice for intention to renew shall be given approximately 90 days prior to the expiration date of each contract period.

3.2. The pricing mechanism should be based on an escalation/de-escalation clause tied to the Northeast Marketing Area market bulletin (Fixed Price contract with Economic Price adjustment). All prices shall be firm for 30 days, after which prices for milk can increase or decrease in accordance with changes in Class 1 raw milk prices based on monthly Federal Milk Order Announcements for the Northeast Marketing Area/Baltimore, MD.

3.3. PRICE ESCALATION/DE-ESCALATION: Price adjustments may be permitted only for changes in the Contractor’s cost of materials not to exceed the increase in the Consumer Price Index. However, “across the board” price decreases are subject to implementation at any time and shall be immediately conveyed to Catawba Hospital. The contractor shall give not less than thirty (30) days’ advance notice of any price increase to the Purchasing Office. Any approved price change will be effective only at the beginning of the calendar month following the end of the full thirty (30) day notification period. The Contractor shall document the reasoning for the amount increase and proposed effective date of any general change in the price of materials. Documentation shall be supplied with the Contractor’s request for increase which will: (1) verify that the requested price increase is general in scope and not applicable to Catawba Hospital and (2) verify the amount or percentage of increase which is being passed on to the Contractor by the Contractor’s suppliers in writing. The Purchasing Office will notify the individual departments and Contractor in writing of the effective date of any increase which it approves. However, the Contractor shall fill all purchase orders received prior to the effective date of the price adjustment at the old contract prices. The circumstances must be beyond the control of the Contractor and fully documented.

3.4.1. At the time of the contract renewal, if costs to Catawba Hospital are restricted by the current percentage increase/decrease of the CPI-U for the last twelve months, any unusual circumstances that could not have been foreseen by Contractor occur, and those circumstances significantly affect the Contractor’s cost in providing the required items or services, the Contractor may request adjustments to the costs to Catawba Hospital beyond the current CPI-U cap to reflect the circumstances. The circumstances must be beyond the control of the Contractor and fully documented.

3.4.1.1. Documentation for pricing increases above the CPI-U cap must be provided as follows:

3.4.1.1.1. For items, documentation supporting the increased costs must be provided by the manufacturer on their letterhead.

3.4.1.1.2. For services, the Contractor must provide documentation of the circumstances causing the increased costs, including substantial proof supporting the claims made, to warrant any price increases.

3.4.1.2. After reviewing the documentation provided, the Supervisor of Food Services, may accept the increased costs or refuse them if they are considered to be excessive.
