About this file

Walled Lake Consolidated Schools has issued an Invitation for Bid (IFB #25-0403) for the purchase of musical instruments for its district. The IFB seeks to procure a comprehensive range of band and orchestra instruments, including saxophones, trumpets, trombones, timpani, cymbals, marching percussion, audio equipment, and string instruments. The bid covers approximately 95 different line items with specific manufacturer and model requirements, with estimated quantities ranging from 1 to 24 units per item. The bid submission deadline is April 3, 2025 at 2:00 p.m. EDT, with bids to be submitted electronically through BidNet Direct. Bidders are required to maintain firm pricing for twelve months from the bid award date and must disclose any delivery lead times exceeding 30 days.

The pricing must be net and include all associated charges such as freight, shipping, handling, and delivery. Bidders are expected to provide detailed specifications matching or exceeding the listed manufacturer models, with the option to propose voluntary alternates for consideration. The bid requires completion of additional documentation, including a Familial Disclosure Affidavit and an Iran Economic Sanctions Act Affidavit of Compliance. The School District reserves the right to accept or reject any bid, in whole or in part, and is not obligated to select the lowest financial bid. Notably, Michigan state sales and use taxes, as well as federal excise taxes, do not apply to this procurement.

II. SUBMISSION OF BIDS

2.1. BID SUBMISSION DEADLINE AND REQUIREMENTS

The Due Date for receipt of Bids is:

2.1.1. Electronic Bid Submission: Bids shall be submitted via BidNet Direct (https://bidnetdirect.com). Each Bid must be submitted by an authorized member of the Bidder’s company. This member should be the highest-ranking officer at the local level. NO ORAL, FAX or E-MAILED Bids will be accepted. Each Bid must be submitted through BidNet Direct Electronic Bid Submission System.

2.1.2. Late Bids: Each Bidder is responsible for submission of its Bid. Bids or Bid revisions received after the Due Date will not be accepted or considered. The School District is not liable for any delivery delays. All Bids received after the Due Date will be rejected.

2.1.3. Questions or Clarifications: The School District intends to communicate with Bidders via BidNet Direct Electronic Bid Submission System (e.g., IFB clarifications and addenda). Prospective Bidders may request that the School District clarify information contained in this IFB. 2.1.4. Restrictions On Communication: From the issue date of this IFB until a Bidder is selected and the selection announced, a prospective Bidder shall not communicate about the subject of this IFB or an Bidder’s Bid with the School District, its Board of Education, or any individual member, administrators, faculty, staff, students, or employees except for additional Requests For Clarification in accordance with Paragraph 2.1.3 above, or as otherwise required by applicable law.

2.1.5. Addenda to the IFB: If it becomes necessary to revise any part of this IFB, notice of the revision will be e-mailed to all parties that requested a copy of this IFB. All addenda will be issued through the BidNet Electronic Bid Submission System and the School District’s website and all addenda shall become a part of this IFB. Each Bidder must in its Bid, to avoid any miscommunication, acknowledge all addenda which it has received, but the failure of a Bidder to receive or acknowledge receipt of any addendum shall not relieve the Bidder of the responsibility for complying with the terms thereof.

2.1.6. Sole Bidder: It is the School District’s intent that this IFB permit competition. It shall be the bidder’s responsibility to advise the School District, in writing, if any language, requirements, scope specifications, etc. or any combinations thereof, inadvertently restricts or limits the requirements stated in this IFB to a single source. The School District shall receive such notification no later than five (5) days prior to the date set for acceptance of bids.

2.1.7. IFB/Bid Information Controlling: The School District intends that all Bidders shall have equal access to information relative to this IFB, and that this IFB contains adequate information. No information communicated, either verbally or in writing, to or from a Bidder shall be effective unless confirmed by written communication contained in an addendum to this IFB, a Request For Clarification or other written response thereto, or in the Bid.

2.1.8. Finality of Decision: Any decision made by the School District, including the Bidder selection, shall be final.

2.1.9. Reservation of Rights: The School District reserves the right, in its sole and absolute discretion (for this provision and all other provisions contained in this IFB), to accept or reject, in whole or in part, any or all Bids with or without cause.

The School District further reserves the right to waive any irregularity or informality in the IFB process or any Bid, and the right to award the Contract to other than the Bidder(s) submitting the best financial Bid (low bidder). The School District reserves the right to request additional information from any or all Bidders. The School District reserves the right to select one or more Bidders to fulfill the specifications of the IFB. In the event Bidder’s Bid is accepted by the School District and Bidder asserts exceptions, special considerations or conditions after acceptance, the School District, in its sole and absolute discretion, reserves the right to reject the Bid and award the Contract to another Bidder.

2.1.10. Release of Claims: Each Bidder, by submitting its Bid, releases the School District from any and all claims arising out of, and related to, this IFB process and selection of a Bidder.

2.1.11. Bidder Bears Bid Costs: A recipient of this IFB is responsible for any and all costs and liabilities incurred by it or others acting on its behalf in preparing or submitting a Bid, or otherwise responding to this IFB, or any negotiations incidental to its Bid or this IFB.

2.1.12. Irrevocability of Bids: All Bids submitted shall not be withdrawn and shall be irrevocable for a minimum period of ninety (90) calendar days following the Due Date for receipt of Bids set forth above.

2.1.13. Collusive Bidding: The Bidder certifies that its Bid is made without any previous understanding, agreement or connection with any person, firm or corporation making a Bid for the same Work and is in all respects fair, without outside control, collusion, fraud or otherwise illegal action.

2.2. BID REQUIREMENTS AND FORMAT

This outlines the information that must be provided by each Bidder and the required format for its Bid. Any Bid not providing the required information, or not conforming to the format specified, may be disqualified on that basis. Please also refer to Sections 2.1,

3.1 and 3.2 of this IFB for additional Bid requirements.

Any exceptions to the terms and conditions contained in this IFB, or any other special considerations or conditions requested or required by the Bidder MUST be specifically enumerated by the Bidder and be submitted as part of its Bid, together with an explanation as to the reason such terms and conditions of the IFB cannot be met by, or, in the Bidder’s opinion, are not applicable to, the Bidder. The Bidder shall be required and expected to meet the specifications and requirements as set forth in this IFB in its entirety, except to the extent exceptions or special considerations or conditions are expressly set forth in the Bidder’s Bid and those exceptions or special considerations or conditions are expressly accepted by the School District. All Pricing factors must be clearly indicated in the Bid Forms provided as part of the Bidder’s Bid.

Each Bid must include, at a minimum, the following:

2.2.1 A detailed list setting forth any exceptions to this IFB, or other special considerations or conditions of the Bidder, including explanations of such exceptions or the reason such terms and conditions of the IFB cannot be met by, or on the Bidder’s opinion are not applicable to, the Bidder.

2.2.2 A completed Bidder’s Bid Form provided in BidNet Direct’s Electronic Bid Submission System. Manufacturer and product specifications are provided for reference in ATTACHMENT A.

2.2.3 The price quoted on the Bid Form must be net and include all freight and miscellaneous charges including, but not limited to, shipping, handling, delivery, and fuel charges. Discounts, rebate, and allowances will be used as criteria of evaluation, but must be stated separately.

2.2.4 Unit prices should remain firm (fixed) for a period of twelve (12) months from the date of the bid award. If the Bidder, however, believes it necessary to include an economic price adjustment, the bidder shall give the maximum price increase (either % or $) and the date and/or event at which the increase would be effective.

Manufacturer price reductions must be passed on to District during the contract term.

2.2.5 Bidder shall provide disclosure if the anticipated delivery lead time for any item is expected to be greater than 30 days from the order date, taking into consideration standard lead times for the items and the expected quantity to be ordered.

2.2.6 Michigan State sales and use taxes and Federal excise taxes do not apply. Prices shall be net and not include the amount of any such tax. Exemption certificates will be furnished upon request.

2.2.7 A completed Familial Disclosure Affidavit provided as ATTACHMENT B. The signed and notarized form should be uploaded to the BidNet Direct Electronic Bid Submission System.

2.2.8 A completed Iran Economics Sanctions Act Affidavit of Compliance provided as ATTACHMENT C. The signed and notarized form should be uploaded to the BidNet Direct Electronic Bid Submission System.

2.3. SPECIFICATIONS

2.3.1 See ATTACHMENT A for manufacturer and product specifications.

2.3.2 Bidder shall make every attempt to bid as per the specifications. In the event that a particular item must be bid differently from the specifications, the bidder shall clearly indicate such on the bid form. In the event that a bidder wishes to bid a voluntary alternate in addition to the base bid (and as a cost savings consideration for the School District), such alternate shall be submitted with the bid, on separate sheets, and labeled as such, with a brief description of the differences and rationale. Such bids will be accepted and reviewed. However, if any substitution or departure is not clearly noted and described, it will be understood that the bid intends to exactly meet the specifications.
