Addendum to FAR Provision 52.212-1 (DEVIATION 2020-O0018), Instructions to Offerors-Commercial Items
Solicitation/Request for Proposal Requirements – Instructions, Conditions, and Notices to Offerors
A. Request for Proposal Submittal and Inquiries:
A.1. The Offeror shall provide the following information:
A.2 This Request for Proposal (RFP) is issued as a commercial acquisition using a combination of Federal Acquisition Regulation (FAR) Part 12, Acquisition of Commercial Items, and FAR Part 15, Contracting by Negotiation. This solicitation is a 100% Set-Aside for a small business. The government anticipates award of a firm fixed price requirements type contract from this solicitation. In accordance with FAR 15.101-2, this acquisition will utilize the Lowest Price Technically Acceptable (LPTA) source selection procedures.
A.3 The Mission and Installation Contracting Command (MICC) – Fort Knox points of contact responsible for providing information and responding to inquiries is the Contracting Officer (KO) and the Contract Specialist (CS).

A.4 Proposals shall be submitted no later than the closing date 29 April 2021 and time identified on SF 1449 block eight (8), to the CS and the KO via email. Offeror’s proposal shall remain valid for a period of 90 days after the closing date and time identified on SF 1449 block eight (8).
A.5. Offeror’s proposal shall consist of a completed SF 1449 (Adobe pdf), Technical/Experience Volume, and Pricing Data (Microsoft Excel). Files attached in the email that are larger than 20mb cannot be accepted. It is the offeror’s responsibility to ensure files are not too large and are Adobe and Microsoft excel formats only. Multiple emails may have to be sent in order to not exceed the size limit.
A.6. Offerors shall submit any questions regarding this solicitation in writing to the CS and KO no later than 10:00 AM Eastern Time (ET), 12 April 2021, in order to allow a written response prior to the proposal due date. No remarks or written responses to questions by government personnel shall change the terms or conditions of this RFP. The RFP shall only be changed by a formal written amendment issued by the KO.
B. General Instructions:
B.1. The selection of a source for award purposes will be conducted in accordance with FAR Part 12, “Acquisition of Commercial Items,” in conjunction with FAR Part 15, Contracting by Negotiation” procedures and supplemented by the Defense Federal Acquisition Regulation Supplement (DFARS), and the Army Federal Acquisition Regulation Supplement (AFARS).
Proposals will be evaluated using the criteria in FAR Clause 52.212-2, “Evaluation – Commercial Items.”
B.2. Award will be made to a single Offeror who is deemed responsive to the solicitation and responsible in accordance with FAR Part 9, the award will be made on the basis of the lowest evaluated price of proposal meeting the acceptability standards for non-price factors.
B.3. If an offeror believes that the requirements in these instructions contains an error, ambiguity, omission, or are otherwise deemed unsound, the offeror shall immediately notify the KO in writing with supporting rationale.
C. Proposal Preparation Instructions:
C.1. The Offeror’s proposal shall consist of three (2) parts:
C.1.a. Part I – Factor 1: Technical/Experience C.1.a.i. Subfactor 1: Mortuary Services C.1.a.ii. Subfactor 2: Shipping of Human Remains
C.1.b. Part II – Factor 2: Price
C.2. Proposal Format:
C.2.a. The Offeror’s proposal shall be readable and presented in Adobe pdf and Microsoft Excel.
All text pages shall be oriented in portrait; however, landscape orientation is acceptable for tables and/or charts if required to present the information. The Offeror shall number each page.
In the event the Offeror creates an ambiguity in their numbering, the Government may exercise its own discretion on counting pages.
C.2.b. Proposal Limitation: The Offeror’s proposal pages in excess of the limit shall not be evaluated. Page limits includes all appendices, charts, graphs, diagrams, tables, photographs, drawings, and other information provided in the proposal. Page limitation does not include the FAR provision 52.212-3, Offeror Representations and Certifications-Commercial Items Alternate 1, cover letter, and table of content. The proposal shall not exceed the following page limits:

D. Proposal Content:
D.1. The Offeror shall provide the name, title and telephone number of the company/division point of contact regarding decisions made with respect to your proposal and who can obligate your company contractually.
D.2. Factor 1: Technical/Experience – The technical/experience portion shall be clear, concise and include sufficient detail for effective evaluation and for substantiating the validity of stated claims in the Offeror’s proposal. The proposal will be evaluated against the technical factors defined in FAR Clause 52.212-2, “Evaluation – Commercial Item.” The proposal should not simply rephrase or restate the Government’s requirements, but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements. Statements that the Offeror understands, can, or will comply with the Performance Work Statement (PWS) (including referenced publications, technical data, etc.), statements paraphrasing the PWS or parts thereof (including applicable publications, technical data, etc), and phrases such as “standard procedures will be employed” or “well known techniques will be used” shall be considered unacceptable. The Offeror shall address as specifically as possible the actual methodology used for accomplishing the PWS tasks identified below. The technical/experience portion shall be organized according to the following general outline:
D.2.a. Subfactor 1: Mortuary Services: – The offeror shall provide a minimum of six (6) representative examples where it has performed mortuary services, of these examples one each must be from Alaska, Hawaii and Puerto Rico; and in three (3) or more from the following geographic regions within the United States IAW PWS 5.1: Northeast, Southeast, Southwest, Midwest, and West. Example(s) of performance in one U.S. State within a geographic region is sufficient proof of performance within that region. For evaluation purposes, States are assigned to the following geographic regions within the United States:

Offeror shall provide representative examples from these three areas. Not providing the minimum six examples (Alaska, Hawaii, Puerto Rico, and at least three geographic regions within the U.S. will result in the proposal being rendered unacceptable.

D.2.b. Subfactor 2: Shipping of Human Remains: The offeror shall provide representative examples that demonstrates that they have performed national and international shipping of human remains and secured permits, certificates and other documents necessary to ship human remains worldwide. Representative examples shall include but are not limited to, bills of lading, or other information substantiating that the offeror has performed shipping of human remains.
D.3 Factor 2: Price - Price will not be rated. The Offeror shall submit prices for each Contract Line item (CLIN) and in format, as identified in the CLIN schedule of this RFP. Price proposal shall include price for base period and four (4) 12-month option periods. The offeror shall use the plug number provided by the Government for the special circumstances CLIN’s; if plug number is not used the Offeror’s will be deemed noncompliant in accordance with the solicitation. No other figure will be accepted. If anything other than the plug number is used in the offeror’s proposal, the proposal shall be found unacceptable. The offeror shall make a statement that its firm takes no exception to policies and procedures implementing the provisions of 41 U.S.C chapter 67, Service Contract labor Standards (formerly known as the Service Contract Act of 1965).

FAR Provision 52.212-2 Evaluation-Commercial Item
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. Award shall be made to a single Offeror who is deemed responsible in accordance with the FAR, whose proposal is judged by an overall assessment of the evaluation criteria and other considerations specified in this solicitation, represents the LPTA proposal. The following factors and subfactors shall be used to evaluate offers:
Factor 1 is comprised of two (2) non-price subfactors that shall each receive a separate rating, which shall subsequently be considered in a roll-up rating at the Factor –level which supports acceptability or unacceptability. A rating of “Acceptable” must be achieved for an Offeror to be considered for award. Ratings of “Unacceptable” will not be given further consideration. A rating of “Unacceptable” for any non-price factor will render a proposal unacceptable.

Factor 1: Technical/Experience -The Government will evaluate in accordance with the following:
Subfactor 1: Mortuary Services: The Government shall review information from each representative example provided by the offeror to verify that the offeror has performed mortuary services within the locations identified in each representative example.
Subfactor 2: Shipping of Human Remains: The Government shall review the information from the representative examples provided by the offeror that the offeror has performed national and international shipping of human remains and secured permits, certificates, and other documents necessary to ship human remains worldwide.
Factor 2: Price -Price will not be rated. The Government will evaluate the offeror’s price to determine if the offeror’s proposed price is fair, reasonable, and balanced utilizing price analysis techniques in accordance with the guideline in FAR 15.404, Proposal Analysis. Reasonableness is defined as, a price is reasonable if, in its nature and amount it does not exceed that which would be incurred by a prudent person in the conduct of competitive business. Unbalanced is defined as, despite an acceptable total evaluated price, the price of one or more contract line items is significantly over or understated as indicated by application of cost or price analysis techniques. The Government will confirm that the offeror has provided a statement that their firm takes no exception to policies and procedures implementing the provisions of 41 U.S.C.
chapter 67, Service Contract Labor Standards (formerly known as the Service Contract Act of 1965).
(b) Options. The government will evaluate proposals for award by adding the total price for the base period and all options. The Government may determine that a proposal is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the options(s). As part of the price evaluation, the Government will evaluate its option to extend services by adding one-half of the Offeror’s final option period price to the Offeror’s total price. The Government will evaluate the total price by adding the base period, first option period, second option period, third option period, fourth option period, and one-half of the fourth option period. The Government evaluation of option periods will not commit the Government to extend the terms of the contract. The option provision may be exercised more than once, but the total extension of performance here under the -8 shall not exceed 6 months.
(c) A written notice of award or acceptance of a proposal mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the proposal, shall result in a binding contract without further action by either party. Before the proposal's specified expiration time, the Government may accept a proposal (or part of a proposal), whether or not there are negotiations after its receipt, a written notice of withdrawal is received before award.

CLAUSES INCORPORATED BY FULL TEXT
52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (NOV 2020)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.
(a) Definitions. As used in this provision --
“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
"Forced or indentured child labor" means all work or service-
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
“Inverted domestic corporation” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C.
