About this file
This is a Justification and Approval (J&A) document for procurement of MK39 Expendable Mobile Anti-Submarine Warfare (ASW) Training Target (EMATT) Mod 3 units from Lockheed Martin under a sole source contract authority.
The Naval Undersea Warfare Center Division Newport seeks a one-time procurement of 450 MK39 EMATT Mod 3 units from Lockheed Martin using FY26 Weapons Procurement, Navy (WPN) funds. The Government intends to procure two lots of 150 units each for a total of 300 units at the time of award. The procurement is justified under 41 U.S.C. 1901 due to the current contracted manufacturer for the next-generation MK39 EMATT Mod 4 experiencing production delays and inability to meet delivery schedules. Lockheed Martin is identified as the sole known source capable of immediately providing the proven and compatible ASW training target, having delivered over 12,000 EMATT units historically and maintaining active production lines for the Mod 3 variant. The MK39 EMATT Mod 3 is classified as a Commercial Off-the-Shelf (COTS) product that Lockheed Martin actively sells to domestic and foreign partners. A combined synopsis and solicitation notice was published on SAM.gov on June 2, 2026, inviting responsible sources to submit capability statements, though no additional research was conducted as other sources were deemed impracticable. The Contracting Officer has determined the anticipated cost to be fair and reasonable, and the procurement was approved by a Level above the Contracting Officer authority.

JUSTIFICATION AND APPROVAL FOR USE OF OTHER THAN FULL AND
OPEN COMPETITION UNDER FAR SUBPART 12.1, ACQUISITION OF
COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES
1. Contracting Activity.
Naval Undersea Warfare Center Division Newport, Code 02.
2. Description of the Action Being Approved.
This is a justification for other than full and open competition to procure MK39 Expendable
Mobile Anti-Submarine Warfare (ASW) Training Target (EMATT) Mod 3 units from Lockheed
Martin (LM).
3. Description of Supplies/Services.
The US Navy requires a consistent supply of MK39 EMATTs to conduct realistic and effective
ASW training for surface, air, and submarine forces.
This requirement is for a one-time procurement of 450 MK39 EMATTs from LM for a total amount of utilizing FY26 Weapons Procurement, Navy (WPN) funds. Based on the current market conditions and production capacity for the lot size, the unit cost is expected to be . IN REPLY REFER TO
4. Statutory Authority Permitting Other Than Full and Open Competition.
41 U.S.C. 1901
5. Rationale Justifying Use of Cited Statutory Authority.
The current contracted manufacturer for the next-generation MK39 EMATT Mod 4, which was awarded on a competitive basis, is experiencing production delays and is unable to meet the contracted delivery schedule.
As the predecessor contractor currently has active production lines of MK39 Mod 3 units for the
Navy LM is the only known source that can immediately provide this proven and compatible
ASW Training target They have a long-standing history of producing EMATT systems for the US Navy, having delivered over 12,000 units. LM’s MK39
EMATT Mod 3 is a Commercial Off-the-Shelf (COTS) product that they actively sell to domestic and foreign partners.
LM’s active established production line and commercially available Mod 3 variant make them uniquely qualified to fulfill this urgent requirement without unacceptable delays and significant degradation of mission effectiveness of Navy platforms. Therefore, it is in the best interest of the
Government to award this contract on a sole source only basis with LM.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.
A combined synopsis and solicitation notice was published publicly on the Government-wide
Point of Entry (GPE), SAM.gov, on 02 June 2026. The notice stated the intention of
NUWCDIVNPT to award a contract on a brand name basis to Lockhead Martin. The notice also invited all responsible sources to submit a capability statement for the consideration of the
Government.
No additional research was conducted because it is not practicable, for the reasons discussed in paragraph 5 above, for any source other than Lockhead Martin to fulfill this requirement. No challenges were presented to the sole source justification nor alternatives suggested. If a responsible source submits a capability statement for consideration by the Government prior to contract award, it will be brought to the attention of the Competition Advocate.
7. Determination of Fair and Reasonable Cost.
The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by this J&A will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition.
For the reasons set forth in Paragraph 5, NUWCDIVNPT has no plans at this time to compete in the future contracts for the types of supplies/services covered by this document. If another potential source emerges, NUWCDIVNPT will assess whether competition for future requirements is feasible.
