II. PROPOSAL PREPARATION INSTRUCTIONS INFORMATION TO OFFERORS

(1) General Instructions

(1) The Government reserves the right not to award a contract based on the quality and quantity of proposals received. The Government intends to evaluate proposals and award contracts without discussions with Offerors (except clarifications as described in FAR 15.306(a)). Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a technical and a price standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary.

(2) The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the government's requirements but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience, and will base its evaluation on the information presented in the offeror's proposal.

(3) Timing of IDIQ and initial Task Order Awards. To be eligible to receive an initial contract and subsequent task orders pursuant to this solicitation, offerors will be required to have DOD approval pursuant to HQ AMC Commercial Airlift Division (AMC/A3B) standards, IAW para. 1.1.13 of the PWS, DOD Approval and Additional Standards. However, because this approval is necessary, contract award will be delayed until final DoD approval is received. Therefore, the Government anticipates awards of IDIQ contracts could be staggered over the course of six to seven months after proposal evaluations have been completed. Offerors who are selected for a contract award through the best value process will be contacted by the contracting officer to facilitate the approval process.

(4) Validity Statement: The Offeror’s proposal shall be valid 180 days after the proposal due date.

(5) The offeror shall make a clear statement in the proposal documentation that the proposal is valid until the applicable date as referenced in para (4) above. Past Performance must be received in the designated USTRANSCOM office not later than the date proposals are due.

(6) In accordance with FAR Subpart 4.8 (Government Contract Files), the government will retain one copy of all unsuccessful proposals. Unless the offeror requests otherwise, the government will destroy extra copies of such unsuccessful proposals.

(7) Proposal Submission: Offers shall be submitted via commercial mail service (USPS, UPS, Fed-X, etc.) or hand carried. Please use the addresses stated in paragraph 1.0 above. All offers must be received not later than the proposal due date and time stated in the solicitation

(8) The proposal shall consist of Parts I-IV as detailed below.

(1) Solicitation/Contract Form. Offerors shall complete blocks 12, 17a, and 30a, b, and c, of the SF 1449. Signature by the offeror on the SF 1449 constitutes an offer, which the Government may accept.

(b) Pages, Typing, and Page Numbering - The contents of the above sections shall be typed single-spaced, on 8-1/2 by 11 inch white paper, with one inch margins on all sides. Twelve point type shall be used except for figures and diagrams, where smaller size is acceptable as long as it is readable. Pages shall be printed head-to-head if both sides are used. All page numbers shall be sequential for each volume and centered at the bottom of each page. If additional pages must be added after page numbers are applied, offeror shall use a numeric/alpha designation to number the added pages. Example: Designate a single insert page added after page 10 as 10A, and two added insert pages as 10A and 10B. Each page shall identify the offeror and the date of submission in the upper right hand corner. A cover sheet shall be applied to each binder, clearly marked as original, copy number 1 or 2, RFP number, and offeror's name. The same identifying data shall be placed on the spine of each binder to facilitate rapid accountability when placed on a shelf in a vertical position.

(3) Requests for Information The Government will make the final determination as to whether a proposal is acceptable or unacceptable, and may accept a proposal as initially submitted without requesting further information from any offeror. However, should the Government request additional information via Evaluation Notices (EN), the offeror shall provide a written response. If any response to Government initiated correspondence generates a change to the offeror's proposal, offerors shall annotate such changes and submit page changes to their proposal along with their response.

(4) Proposal Content The offeror's proposal shall respond to all requirements of this solicitation clearly and completely. The proposal shall be prepared simply and economically, providing a straight forward and concise delineation of the offeror's promise to comply with RFP terms and conditions, and satisfactorily perform the contract. Information supplied in the proposal must be free from ambiguities. Offerors who fail to respond adequately, or fail to clarify or correct their proposals after having been notified or questioned by the Government, may be eliminated from the source selection process without further discussions. The proposal (offer) submitted in response to this solicitation shall consist of the following:

PART I – Technical Proposal: Offerors are required to comply with the following format and content requirements for Part I of their proposal.

Technical Proposal. The technical proposal will be used to make an evaluation and arrive at a determination as to whether the contractor’s proposed approach is capable of meeting the minimum requirements as stated in the RFP

a. Technical Approach: Describe your techniques, procedures and program for achieving the objectives of the specifications/performance work statement. Proposals that merely paraphrase the requirements of the Government’s specifications/Performance Work Statement, or use such phrases as “will comply” or “standard techniques will be employed” may be considered unacceptable and may not be considered further. Responses to this subfactor shall be limited to 10 pages.

b. Aircraft Technical Capability: Provide the following information for each proposed aircraft: Make, Model and Variant and Aircraft Registration Number. If the aircraft has been modified, provide the description of the Supplemental Type Certificate approved by the FAA or CAA and what if any, additional capabilities are achieved with the modification. Examples of this might include a letter of intent to sell or purchase aircraft, or an option to lease or purchase. Proposal Evaluation

Criteria and Procedures This acquisition will be conducted as a best value source selection in accordance with FAR 15.1 Source Selection Process and Techniques, and USTRANSCOM source selection procedures. The objective of the source selection is to select the offeror(s) that represents the best value to the Government, price and other factors considered. The Government intends to award approximately three (3) IDIQ contract as a result of this solicitation. To receive an IDIQ award, an offeror must (1) be deemed responsible IAW FAR Part 9, (2) conform to all required terms and conditions, (3) be DOD Approved pursuant to HQ AMC Commercial Airlift Division (AMC/A3B) standards as stated (4) be the entity that will operate the aircraft under this contract, unless subcontracting is required by international agreement and (5) represent a best value to the Government, price and other factors considered.

The Government intends to evaluate proposals and award contract(s) without conducting discussions, however the Government reserves the right to conduct discussions, written and/or oral, with offerors if it is determined to be in the Government’s best interest. The Government reserves the right to award no contract(s) at all, depending on the quality of the proposals submitted and availability of funds.

In addition to meeting all terms and conditions of the solicitation, each offeror's proposal will be evaluated against the following evaluation criteria:

Factor 1 – Technical. Each offeror’s Technical Proposal will be evaluated on an Acceptable (Pass) or Unacceptable (Fail) basis at the subfactor level. Offeror’s proposals must receive an Acceptable (Pass) rating under all of the following technical subfactors in order to be considered for award:

Technical Subfactor 1 – Technical Approach: The offeror’s proposed technical approach clearly describes the techniques, procedures and programs required for achieving the objectives of the performance work statement (PWS). The proposed approach effectively demonstrates the offeror’s ability to comply with the PWS requirements.

Technical Subfactor 2 – FAA Certification Documentation: The offeror’s FAA or CAA Certification Documentation is current and complete demonstrating their ability to comply with the FAA or CAA requirements of this solicitation.

Technical Subfactor 3 – Proof of Aircraft Ownership: The offeror’s signed agreement is current, binding upon both parties, and demonstrates their ability to provide aircraft available for the entire term of the contract period of performance.

Factor 2 – Past Performance. Will be evaluated as a measure of the Government’s confidence in the offeror’s ability to successfully perform the requirements of the solicitation based on recent past performance efforts. The government will consider recent past performance information identified by each offeror, as well as any additional past performance information obtained by the Government, in determining an overall past performance confidence assessment rating for each Offeror.

The Government will begin its evaluation by first determining the recency and the relevancy of each past performance effort being evaluated. To be considered a recent effort, the effort must be currently on-going, or have been completed within three years of proposal submission.

The following definitions will be utilized to determine the relevancy of each past performance effort:

Very Relevant (VR) – Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant (R) – Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant (SR) – Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant (NR) – Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

After the Government has determined the recency of each past performance effort being evaluated, along with the relevancy of those efforts, one of the following overall Past Performance Confidence Assessment ratings will be assigned to each offeror:

Substantial Confidence - Based on the Offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence - Based on the Offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Limited Confidence - Based on the Offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence - Based on the Offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

Unknown Confidence (Neutral) - No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

Note: If an Offeror does not have any relevant past performance, that offeror will receive an overall Past Performance rating of “Neutral/Unknown Confidence” which will be considered neither favorably of unfavorably.

Relevant performance is defined as having experience in aircraft passenger service. Performance should be similar in size, scope, and complexity as the work described in this RFP and may include contracts with the federal government, state and local government agencies, and commercial customers.

In addition to past performance information submitted by the offeror, past performance information may be obtained through the (1) Contractor Performance Assessment Reporting System (CPARS), the (2) Past Performance Information Retrieval System (PPIRS), (3) questionnaires tailored to the circumstances for this acquisition, (4) through Defense Contract Management Agency channels, (5) through interviews with program managers and contracting officers or (6) other sources known to the Government.

Offerors are cautioned to submit sufficient information and in the format specified. Offerors may be asked to clarify certain aspects of their proposal (for example, the relevance of past performance information) or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comments received from sources without a formal rating system. Communication conducted to resolve minor or clerical errors will not constitute discussions and the Contracting Officer reserves the right to award a contract without the opportunity for proposal revision.

Factor 3 – Price: For IDIQ award(s), the Government will first determine whether the proposed price for each individual CLIN (with the exception of reimbursables CLINs 0003, 1003 and 2003), is fair, reasonable, and realistic. After price determination of individual CLIN’s the Government will evaluate the offerors total proposed price to determine whether its fair, reasonable, and realistic. The total evaluated price will be calculated by adding the max amount for CLIN’s 0001, 0002, 1001, 1002, 2001 and 2002. The fair and reasonable determination will be accomplished by conducting a price analysis using one or more of the techniques set forth in FAR 15.404-1(b)(2). The Government will also consider price realism to determine whether the specific elements of the proposal reflects a clear understanding of the requirements and are consistent with the unique methods of performance described in the offeror’s technical proposal.

Factor 4 - Fly America Act and Civil Reserve Air Fleet (CRAF) Preferences – Offers shall be evaluated to determine the Fly America Act and Civil Reserve Air Fleet (CRAF) Preferences participant category. Fly America Act and CRAF Preferences participant categories will be assigned as follows (listed in order from highest priority to lowest priority):

Category 1. US Flagged Aircraft (pursuant to, Title 49, Subtitle VII, Part A, subpart I, Chapter 401, 40118-Government-Financed Air Transportation that has been incorporated into the FAR Part 47.4 Air Transportation by U.S. Flag Carriers) and have aircraft dedicated to the Civil Reserve Air Fleet (pursuant to Title 49 USC 41106(c) ).

Category 2. US Flagged Aircraft

Category 3. Foreign Flag Aircraft The 52.217-8 extension of services option will be evaluated as part of the total evaluated price based on the pricing submitted for the last 6-months of option year 2.

Order of Importance. Past performance is more important than price. However, the Government will not pay a price premium that is disproportionate to the margin of increase in Past Performance ratings.

Offerors must submit acceptable technical proposals and propose fair and reasonable prices to be considered for award.

After an evaluation of all remaining offeror’s past performance and price, the Government will identify proposals that are considered best value to the Government.

After identifying those offerors determined to be the best value offerors, the Government will then apply the appropriate Fly America/CRAF Participant Category Ratings to each of those offerors to determine which offeror(s) have a preference to receive contract award.

If the Government can fill the requirement with an acceptable, reasonably available Category 1 (US Flagged & Fly CRAF) offeror then award will be made to that offeror that is considered to be the best value to the Government.

If a sufficient Category 1 offeror is not available to fulfill the Government’s requirement, the Government will make an award to a reasonably available Category 2 (US Flagged) offeror that is considered to be the best value to the Government.

If a sufficient Category 2 offeror is not available to fulfill the Government’s requirement, the Government will make an award to a reasonably available Category 3 (Foreign Flag) offeror that is considered to be the best value to the Government.

Options. The contract will include a base and two option periods. The Government will evaluate the price for the base plus two option periods including the extension of services option in accordance with the terms of the RFP. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). The contract may be extended for up to six months in accordance with FAR 52.217-8, Option to Extend Services.

An offeror must be an approved Department of Defense (DOD) contractor—and not in a suspended or temporary non-use status—prior to receiving a contract award. The offeror’s DOD approval must be for service equivalent to the service described in this solicitation. To obtain DOD approval, the offeror must satisfy the obligations contained in the clause entitled “Air Safety” as well as the quality and safety requirements set forth in 32 CFR Part 861 “Department of Defense Commercial Air Carrier Quality and Safety Review Program.

If an offeror is not a DOD approved air carrier, but otherwise appears eligible for award, the Contracting Officer will initiate a Survey and Analysis by HQ AMC Commercial Airlift Division in order to seek DOD Approval. Once DOD approval is granted, the Contracting Officer will consider the offeror’s approved status along with the offeror’s ability to meet other solicitation requirements in determining eligibility for award. In particular, an offeror must satisfy the 32 CFR Part 861 requirements (i.e. have performed 12 months of continuous service equivalent to the services sought herein) not later than the closing date of this solicitation, in order to be considered for DOD Approval.

Offerors who are selected for a potential contract award through the best value process will be contacted by the Contracting Officer to facilitate the DOD approval process.

ADDENDUM TO FAR 52.212-4

Paragraph (a) entitled “Inspection/Acceptance” is tailored to read: The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any services that have been tendered for acceptance, including on-site capability surveys, pre-flight and in-flight quality assurance surveillance observations, ramp inspections and/or cockpit observations during flights. Contracting Officer Representatives (COR) will provide credentials to the carrier's representative before embarking on the plane. The Government may also initiate performance evaluations of the contractor during all phases of this contract. The Government may require reperformance of nonconforming services at no increase in contract price. When the nonconforming services cannot be corrected by reperformance, the Government may--

(1) Require the Contractor to take necessary action to ensure that future performance conforms to contract requirements; and

(2) Reduce the contract price to reflect the reduced value of the services performed. If the Contractor fails to promptly perform acceptable services or to take the necessary action to ensure future performance is in conformity with contract requirements, the Government may by contract or otherwise, perform the services and charge to the Contractor any cost incurred by the Government that is directly related to the reperformance of such service.

Paragraph (f) entitled “Excusable Delays” is tailored to include the following: “In the event of an excusable delay, management must make every effort to mitigate the effects of the delay and perform in accordance with the schedules established pursuant to this contract.”

Paragraph (v) is added to this clause as follows: “DIVERSIONS, AND SCHEDULE CHANGES”

(1) Diversions. The en route rerouting of a trip due to the threat of, or actual hostilities, weather, medical emergency or natural disaster, constitutes a diversion. Both the Government and the Contractor have the right to divert any trip for these reasons. The Contractor shall be paid the contract rate for Government directed diversions.

(2) Schedule Changes. Schedules may be revised upon request of either the Government or the Contractor provided the requester provides a minimum of 12 hours notice prior to the scheduled departure of the trip involved and the requested change is mutually agreed upon.
