PART 1
1.0 GENERAL INFORMATION
1.1. Description of Service/Introduction: The contractor shall provide Video Conferencing Equipment for Installation and required hardware provided for Expeditionary Medical Facility (EMF) KILO located at NAVAL MEDICAL CENTER CAMP LEJEUNE, 100 Brewster Blvd, NH100, Camp Lejeune, NC, 28547.
1.2. Background: EMF KILO conducts daily conferencing with other EMF units and forward deployed elements.
As a result, the unit requires on-premises system where Microsoft TEAMS is not convenient or appropriate for meeting.
1.3. Completion Date: 30 September 2024
1.4. Objectives:
a. Install a Cisco Room Bar Pro with wall mount and table standing Cisco 10” Navigator Touch control panel.
b. Wall Mounted Dual 65-inch Display Screens.
c. Mount Ceiling microphone array.
d. Mount required Room Bar speakers.
1.5. Scope: Install Cisco Video Conferencing System consisting of Dual two (2) 65-inch display screens, Cisco Room Bar Kit, Ceiling Microphone, two (2) audio speakers, and one Room Bar speakers with desktop control module. All equipment must be properly connected and tested to ensure connectivity. Post installation contractor will provide system training as follows: An hour of instructional time for a group of eight or less. Training sessions shall occur at the end of the installation. Additional video training sessions after the installation shall be available for 1 -year. All equipment and installation shall come with a warranty.
1.6. Federal Regulations: Not Applicable.
1.7. Geographical Location: Not Applicable.
1.8. Quality Control (QC): The contractor shall develop and maintain an effective QC program to ensure services are performed in accordance with this PWS. The contractor shall develop and implement procedures to identify, prevent, and ensure nonrecurrence of defective services.
1.8.1. Quality assurance (QA): The government will evaluate the contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan (QASP). This plan provides a systematic method for the Government to evaluate performance and to ensure that the contractor has performed in accordance with the performance standards. It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable defect rate(s).
1.9. Technical Point of Contact (TPOC): The TPOC monitors all technical aspects of the contract. The TPOC is authorized to perform the following functions: assure that the contractor performs the technical requirements of the contract; perform inspections necessary in connection with contract performance; maintain written and oral communications with the contractor concerning technical aspects of the contract; issue written interpretations of technical requirements, including Government drawings, designs, specifications; monitor contractor's performance and notifies both the Contracting Officer (CO) and contractor of any deficiencies; coordinate availability of government furnished property; and provide site entry of contractor personnel. The TPOC is not authorized to change any of the terms and conditions of the resulting contract.
1.10. Contractor Identification: Contractor personnel performing services in a contractor capacity in a government facility are required to possess and wear an identification badge that displays his or her name and the name of their company.
1.10.1. The contractor shall report to Information Management Department, Information technology Division, 100 Brewster Blvd, NH100, C136 to meet with Information Technology Specialist and Telecommunications Officer.
Once contractor team is vetted and badges acquired, the contractor will be escorted to the installation site location.
All received equipment must be inventoried and checked before any services are performed under this contract.
1.10.2. After services are completed, the contractor shall report to Information Management Department, Information technology Division, 100 Brewster Blvd, NH100, C136, to meet with Information Technology Specialist and Telecommunications Officer before departure.
PART 2
2.0 SPECIFIC TASK
2.1. Video Conferencing Equipment:
A Cisco Room Bar Pro with wall mount and table standing Cisco 10” Navigator Touch control panel.
a. A network connection is required for the codec at their installation location and shall be provided by
GOVERMENT.
b. An energized 20a 120v power outlet to be provided by GOVERMENT at the camera location.
2.1.1 Display Devices
Dual 65’’ Display Screens
a. Wall Mounted, at the front of the room that will support requested 65” displays.
b. An energized 20a 120v power outlet shall be provided by GOVERMENT at each display location.
2.1.2 Audio Devices
Audio devices will be required to function properly in all areas of the room which is outlined in the attached diagram. The room dimensions are 24x22 with an 8ft drop ceiling.
a. One (1) ceiling microphone array will be installed above the conference table as shown on the room diagram.
b. One (1) Dante audio interface will be installed.
c. One (1) Room Bar speakers will be used for room audio.
d. Two (2) Additional speakers will be required on the opposite end of the conference room to ensure properly audio clarity for all meeting members.
2.2. Installation: The contractor is responsible for completing installation within seven (7) calendar days from the start of installation.
2.3 Training.
2.3.1. An hour of instructional time for a group of eight or less. Training session shall occur at the end of the installation.
2.3.2. Additional video training sessions after the installation shall be available for 1 -year via video conference up-to 6 sessions.
2.4. Warranty: All equipment and installation shall come with a warranty.
PART 3
3.0 GOVERNMENT FURNISHED PROPERTY, EQUIPMENT, AND SERVICES
The Requiring Activity Authority has assessed the need for Government Furnished Property, Utilities, and Materials and determined:
3.1. Services: The Government:

ADDENDUM TO FAR 52.212-1
INSTRUCTIONS TO OFFERORS
FAR 52.212-1, Instructions to Offerors – Commercial Products and Commercial Services (Mar 2023)
1. GENERAL INSTRUCTIONS AND NOTICES. This requirement is being solicited in accordance with FAR Part 12 and FAR Part 13.5. In addition to FAR 52.212-1, this section specifies the format and content that Offerors shall use in responding to this Request for Proposal (RFP). The intent is to ensure a certain degree of uniformity in the format in the response for evaluation purposes. The proposal should be legible and comprehensive enough to provide the rating standards for a sound evaluation by the Government. Information provided should be precise, factual, and complete. Legibility, clarity, completeness, and responsiveness are of the utmost importance. If the proposal does not provide, at a minimum, that which is required in this solicitation it may be determined to be substantially incomplete and not warrant any further consideration. The offer shall also be compliant with all requirements as stated in the Performance Work Statement (PWS).
The Offeror’s initial proposal should contain the Offeror’s best terms from a cost or price and technical standpoint.
All offer information is subject to verification by the Government. Falsification of any offer submission, documents, or statements may subject the Offeror to civil or criminal prosecution under Section 1001 of Title 18 of the United States Code.
The Offeror shall comply with FAR 52.204-7, System for Award Management (SAM). In complying with this clause, the Offeror shall ensure that all representations and certifications contained in this solicitation are completed and uploaded to its SAM record at http://www.sam.gov by the date specified for receipt of the proposal. If the Offeror does not have an active SAM record or has a record that does not include all representations and certifications required in this solicitation, they may be considered ineligible for award.
Any data previously submitted in response to another solicitation to DHA SEM-CD or another agency shall be assumed to be unavailable during this proposal evaluation and source selection process. The Government will not reimburse the Offeror for costs incurred as a result of preparation and submission of an offer in response to this solicitation.
2. SPECIFIC REQUIREMENTS. This requirement is for commercial, non-personal services and will result in a Firm Fixed-Price type contract. Performance requirements are provided in the Performance Work Statement (PWS) of this solicitation which also includes the Quality Assurance Surveillance Plan (QASP) that indicates how the Contractor will be assessed throughout contract performance by the Government.

d) ELECTRONIC SUBMISSIONS: Quote information shall be electronically submitted to the POC listed above.
Proposal content shall be no smaller than Times New Roman font 12 pitch; Exhibits, graphics, charts, captions, etc., shall be no smaller than Times New Roman font 10 pitch. Spacing: Single-spacing between lines of text. Margins:
1.0 inches on all sides. Acronyms: Spell out all acronyms the first time when they are used. One page, following the quote body, is allocated to spell out acronyms, abbreviations and symbols and will be excluded from the total page limits. Language: English.
e) Page Limitations. Volume I – Technical is limited to 6 pages single sided. Pages shall be numbered consecutively throughout the document and not by sections. For Volume I, pages exceeding the specified limit will be removed and not forwarded for evaluation. The page limitation does not include a title page, table of contents or Acronym/Abbreviations/Symbols page.
f) Your submission as a minimum, shall include three (3) separate parts: Volume I: Technical Approach Proposal (Minimum Requirements, Enhancing Factors, Warranty, and Installation Information), Volume II: Past Performance Proposal (Attachment 1), Volume III: Business Proposal (Pricing Sheet (Attachment 2), Offer, Amendments, Business Information Sheet (Attachment 3), and Certifications & Representations (OACR)).
NOTE: All volumes shall be submitted in MS Word 2013 or searchable PDF format; expect the Pricing sheet shall be submitted in MS Excel 2013. The firewall utilized by the Government contracting office does not authorize or accept zip files. Files shall not contain classified data. The use of hyperlinks in proposals is prohibited.

Offeror’s quote must include a statement that the pricing shall remain valid for a minimum of 60 calendar days from the date of submission.
5. VOLUME CONTENT
a. TECHNICAL
The Offeror MUST provide a written technical approach which effectively demonstrates the Offeror’s clear understanding of all the tasks and how the approach is likely to yield the required results set forth in the performance work statement (PWS). The Offeror’s proposal response shall demonstrate the Offeror's understanding of tasks to be performed, as well as the basic functional approach and methodology that will be utilized in accomplishing any resultant award. Proposal MUST be clear, coherent, and prepared in sufficient detail for effective evaluation of the Offeror’s proposal against the evaluation criteria. The Government will evaluate only one (1) proposal from the prime Offeror and maximum page limit for Technical Capability is six (6) pages. If Volume I contain more than 6 pages, only the first 6 pages will be evaluated.
The Government will not accept alternative proposals. Pages MUST be numbered consecutively throughout the document and not by sections.
b. PAST PERFORMANCE
The Offeror shall submit a Past Performance Information Sheet (PPIS), Attachment 1. The PPIS requires the offeror to identify contract/task orders that will be evaluated in accordance with the evaluation criteria identified herein.
References cited shall be for work performed with the Federal Government and/or commercial customers that demonstrate recent and relevant past performance.
Contract Performance Assessment Reporting System (CPARS) reports may also be submitted in lieu of PPIS as long as they were completed no more than three years prior to the closing date of this solicitation. For the purposes of this solicitation, the completion date of the CPARS report will be the date the Assessing Official signs the report. If a completed PPIS or CPARS report does not contain enough information to make a relevancy determination, the past performance reference cited may be determined to be not relevant and not evaluated.
The PPIS is set-up to allow three (3) contract/task orders to be cited. The PPIS shall identify no more than one Point of Contact (POC) and if more than one POC is provided, only the first POC will be considered. The Government may contact the POCs listed on the PPIS. POCs must be either Government personnel (civil service or military) or employees of private sector clients for whom you have provided services. Information provided by or for POCs who work directly for your company, or indirectly (i.e., in a prime/subcontractor or mentor/protégé relationship, etc.), will be determined not relevant.
The Government may use information already in its possession to evaluate past performance.
Recent is defined as within the last three (3) years. Contracts/Task Orders cited must be current or have ended not more than three (3) years prior to the closing date of the solicitation. If the contract performance ended more than three (3) years prior to the closing date of the solicitation it will be determined to not be recent and not evaluated further. Relevant is defined as work similar to complexity and magnitude of the work described in the Performance Work Statement related to this solicitation.
The Government may also consider information obtained through other sources. Past performance information will be utilized to determine the quality of the offeror’s past performance as it relates to the probability of success of the required effort.
If the offeror does not possess relevant past performance, the offeror shall check the section on Attachment 1- Past Performance Information Sheet.
c. BUSINESS The Offeror’s Business Volume shall be a separate volume from the Technical and Past Performance and shall include the following:
1. The Offeror’s proposed price will be evaluated/analyzed separately from Technical Capability. Pricing shall be submitted in the Excel workbook provided with the solicitation (Attachment 2- Pricing Sheet). Offerors shall enter pricing in the highlighted cells only. The offeror shall complete all pricing required in the electronic workbook.
a) The price quote shall remain valid for a minimum of 60 days from the date of submission.
b) Price will be evaluated in accordance with FAR 12.209 and 13.106-3 for fair and reasonableness in terms of:
- Pricing is proposed based on level of effort within the solicitation
- Pricing is proposed for all CLINs
2. The Offeror shall provide a Business information sheet (Attachment 3), containing: Complete company name and address, Company Point of Contact (POC), Email, Phone Number, Cage Code, and DUNS number.
3. Acknowledgement of all solicitation amendments (if applicable). An Acrobat PDF file shall be created to capture the signatures for submission. It is the offeror’s sole responsibility to periodically check the website for amendments and to ensure that all amendments issued prior to the closing date are acknowledged in accordance with instructions in Block 11 of the SF 30. If an offeror fails to acknowledge a material amendment, the offeror’s proposal will be determined incomplete and will result in rejection of the offeror’s entire proposal.

The Offeror shall complete and submit only paragraph (b) of FAR 52.212-3 if annual representations and certifications has been completed electronically through the System for Award Management (SAM) at https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall compete and submit only paragraphs (c) through (u) of FAR 52.212-3. The Offeror shall also complete and return FAR 52.204-24, FAR 52.229-11, DFARS 252.204-7016 and
DFARS 252.204-7017.
5. System for Award Management (SAM) Registration. The offeror must be registered in SAM, in accordance with FAR 52.204-7. The offeror shall verify its SAM record is current, accurate, complete, and applicable to this solicitation as of the date of the offer and is incorporated in the offer by reference.
A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful Offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.
Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

Evaluation Factor E: Offer, Amendments, Business Information Sheet (Attachment 3), and Certifications & Representations (OACR)
Evaluation Factors A and B will be evaluated individually basis. If an offeror's technical proposal fails under Evaluation Factor A the offer will receive no further consideration for award. If an offeror’s technical proposal fails
Evaluation Factor B, either initially or following discussions or clarifications, if they are conducted, the offer will receive no further consideration for award unless there are no other technically compliant proposals.
If an offeror’s technical proposal passes both Evaluation Factors A and B, then the offeror will advance in the proposal evaluation process to Factors C, D, and E.
Factor C is considered more important than Factor D (Price). Factor D is more important than Factor E (Offer, Amendments, Business Information Sheet, and OACR).
1. Volume I: Technical Approach Proposal
1.1 Evaluation Factor A: Minimum Requirements and Enhancing Factors documentation of compliance with Performance Work Statement (PWS) Sections 2.1 through 2.1.2 shall be provided with the offeror’s proposal.
1.1. Rating Scale for Evaluation Factor A: Minimum Requirements and Enhancing Factors
Rating Description Outstanding Proposal indicates an exceptional approach and understanding of the requirements and contains multiple strengths.
Good Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength.
Acceptable Proposal indicates an adequate approach and understanding of the requirements.
Marginal Proposal has not demonstrated an adequate approach and understanding of the requirements.
Unacceptable Proposal does not meet requirements of the solicitation and, thus, contains one or more deficiencies and is un-awardable.
1.2. Evaluation Factor B: Warranty, and Installation Information. Package inserts shall contain complete, accurate, and verifiable information including:
(a) Detail description of equipment warranty.
(b) Description overview of installation.
Rating Scale for Evaluation Factor B: Warranty, and Installation Information.
Rating Description Pass Package inserts contain complete, accurate, and verifiable information as listed in section 2.2 and
2.4 of the PWS.
Fail Offeror failed to provide package inserts or package inserts does not contain complete, accurate, and verifiable information as listed in section 2.2 and 2.4 of the PWS.
2. Volume II: Past Performance Proposal
2.1. Evaluation Factor C - Past Performance. The Past Performance evaluation is a three-step process. The offeror’s Past Performance volume will be evaluated to determine recency, relevancy, and a confidence assessment. The evaluation of relevant past performance will result in a single, overall confidence assessment of the offeror’s probability of meeting the solicitation requirements.
2.2. The Government will first evaluate each past performance reference submitted to assess if it is recent.
Rating Scale for Evaluation Factor C: Recency Rating Description Recent Past performance information that is within three years of the closing date of the solicitation is considered recent.
Not Recent Past performance information that is older than three years of the closing date of the solicitation is considered not recent.
2.3. The Government will then evaluate recent past performance for Relevancy or how pertinent a recent effort accomplished by the offeror is to the effort to be acquired through the source selection.
Rating Scale for Evaluation Factor C: Relevancy Rating Description Relevant Past performance information that is for Conference Room equipment set up/installation provided in a volume/dollar value similar to that required by this solicitation.
Not Relevant Past performance information that is not for conference room equipment set up/installation provided in a volume/dollar value similar to that required by this solicitation.
2.4. The Government will further evaluate recent, relevant past performance references to establish an overall past performance confidence assessment. The Government reserves the right to utilize other information not provided by the offeror and will evaluate information readily available. It is the responsibility of the offeror to ensure names and phone numbers of points of contact are verified and accurate. A Substantial Confidence and a Satisfactory Confidence assessment will be evaluated as a higher rating than a Neutral Confidence assessment rating.
Rating Scale for Evaluation Factor C: Confidence Assessment
Rating Description Substantial Confidence Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.
Satisfactory Confidence Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.
Limited Confidence Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.
No Confidence Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.
Unknown Confidence (Neutral) No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.
3. Volume III: Business Proposal
The Government will conduct a price analysis in accordance with FAR 12.209 and 13.106-3. Adequate price competition is expected to support the determination of reasonableness. Price analysis techniques may be utilized to further validate price reasonableness. If adequate price competition is not obtained or if price reasonableness cannot be determined using price analysis of Government obtained information, additional cost data IAW FAR 12.209 and 13.106-3 will be required to support the proposed price.
Evaluation Factor D: Price - The factors to be considered in evaluating proposed prices will include:
A. Completeness. The Government will evaluate if Attachment 2- Pricing Sheet is complete, and all required pricing has been submitted. If any of the pricing is incomplete, the Contracting Officer may exclude the offeror’s proposal from further evaluation.
B. Reasonableness. The degree to which the proposed prices compare to the prices a reasonably prudent person would expect to incur for the same or similar services.
An offeror with pricing that is determined to be questionable for reasonableness may not be further considered for award.
Offer, Amendments, Business Information Sheet (Attachment 3), and Certifications & Representations: The Government will review the proposal to see if the offeror completed FAR 52.212-3 Offeror Representations and Certifications-Commercial Items. The Government will check SAM.gov to make sure the vendor is registered in SAM.gov. By the offeror maintaining an active entity registration in SAM, the entity complied with requirements to report proceedings data in accordance with FAR 52.209-7 Information Regarding Responsibility Matters and with requirements to report executive compensation data in accordance with FAR 52.204-10 Reporting Executive Compensation and First-Tier Subcontract Awards.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND
COMMERCIAL SERVICES (MAY 2024)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.
(a) Definitions. As used in this provision --
"Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
"Economically disadvantaged women-owned small business (EDWOSB) concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an https://www.sam.gov/ approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
"Forced or indentured child labor" means all work or service-
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
"Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
"Immediate owner" means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
"Inverted domestic corporation" means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
"Manufactured end product" means any end product in product and service codes (PSCs) 1000-9999, except--
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and
(10) PSC 9630, Additive Metal Materials.
"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
"Predecessor" means an entity that is replaced by a successor and includes any predecessors of the predecessor.
"Reasonable inquiry" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
"Sensitive technology"--
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
"Service-disabled veteran-owned small business (SDVOSB) concern" means a small business concern—
(1)(i) Not less than 51 percent of which is owned and controlled by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran; or
(2) A small business concern eligible under the SDVOSB Program in accordance with 13 CFR part 128 (see subpart 19.14).
(3) Service-disabled veteran, as used in this definition, means a veteran as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16), and who is registered in the Beneficiary Identification and Records Locator Subsystem, or successor system that is maintained by the Department of Veterans Affairs' Veterans Benefits Administration, as a service-disabled veteran.
"Service-disabled veteran-owned small business (SDVOSB) concern eligible under the SDVOSB Program" means an SDVOSB concern that--
(1) Effective January 1, 2024, is designated in the System for Award Management (SAM) as certified by the Small Business Administration (SBA) in accordance with 13 CFR 128.300; or
(2) Has represented that it is an SDVOSB concern in SAM and submitted a complete application for certification to SBA on or before December 31, 2023.
"Service-disabled veteran-owned small business (SDVOSB) Program" means a program that authorizes contracting officers to limit competition, including award on a sole-source basis, to SDVOSB concerns eligible under the SDVOSB Program.
"Small business concern"--
(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.
(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.
"Small disadvantaged business concern, consistent with 13 CFR 124.1001", means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding the threshold at 13 CFR 124.104(c)(2) after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and
(2) The management and daily business operations of which are controlled (as defined at 13 CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.
"Subsidiary" means an entity in which more than 50 percent of the entity is owned--
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
"Successor" means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.
"Veteran-owned small business concern" means a small business concern--
(1) Not less than 51 percent of which is owned and controlled by one or more veterans (as defined at 38 U.S.C.
101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.
"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
"Women-owned small business concern" means a small business concern--
(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and
(2) Whose management and daily business operations are controlled by one or more women.
"Women-owned small business (WOSB) concern eligible under the WOSB Program" (in accordance with 13 CFR part 127), means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300.
(b) (1) Annual Representations and Certifications. Any changes provided by the Offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM.
