The following have been modified:

ADDENDUM TO 52.212-1

FAR 52.212-1 is hereby amended to reflect the changes shown below as to the specific paragraph revised.

Para (b) Submission of Offers. The following amends this paragraph with respect to the information and documents required for submission in response to this solicitation and requirements for oral presentation of those proposals determined to be in the competitive range.

(1) ELECTRONIC OFFERS. Offeror’s shall only submit electronic offers in response to this solicitation. The offer must arrive by the time specified in the solicitation to the following email address:

(2) Offeror’s must submit email to verify receipt of the offer, if receipt is not received within 24 hours of proposal submittal. The Government will not be responsible for any failure of transmission or receipt of the offer, or any failure of the Offeror to verify receipt of the emailed offer.

(3) The Government intends to award a firm fixed-price non-personal services contract under the authority of 10

USC Section 2304 and 41 U.S.C. 253, and the implementing provisions of DFAR 237.104(b) (ii). Offerors must quote a firm-fixed price for each Contract Line Item.

(4) Any questions with respect to the solicitation shall be submitted via e-mail in the attached Q&A format to:

guibert.a.ramirez.ctr@mail.mil and martin.rios15.civ@mail.mil and must arrive at this email address, by not later than 12:00 PM EST Thursday, 11 Jun 2015. Telephone inquiries will not be accepted. All questions submitted;

and, the Government’s answers thereto, will be posted as a supplemental notice in FedBizOpps. The Government may amend the solicitation if it so chooses.

(5) PROCESS FOR AWARD. Award will be made on a Lowest Price Technically Acceptable basis. Award will be made to the Offeror provided its technical proposal conforms to the requirements of the solicitation; it has an acceptable record of past performance; its price is determined to be fair and reasonable by the contracting officer;

and the contracting officer determines the Offeror is responsible.

The Contracting Officer intends to award without discussion, but reserves the right to do so in his or her sole discretion.

(6). The Government may reserve the right to reject a proposal if the Offeror misrepresents or withholds past performance information or information regarding its certifications or business condition, or its capability to perform the requirements of this contract.

(7). BASIS FOR AWARD. The award decision will be based on the evaluation of all factors set forth in this solicitation. Award will be made to the responsible Offeror whose proposal conforms to the solicitation requirements and represents the lowest price technically acceptable to the Government.

(8) CONTENT OF OFFERS. The Solicitation response should be completed, signed and received at this office not later than the date/time specified in Block 8 of the solicitation (Standard Form [SF] 1449). Please note that to be deemed responsive, your offer must be constructed in the manner stated below, and include all of the following requested information:

Proposal Formats and Copies:

SIZE: The Offeror’s Proposal documentation shall not exceed the equivalent of forty (40) 8.5” x 11.0” single-spaced type written pages (with all diagrams, charts and/or figures contained therein). Any other pertinent information that the Offeror may feel helps explain his technical approach or technical description of his proposal shall be contained within this presentation space as well.

COPIES: Offerors shall provide two separate electronic copies of their proposals. Copy One (1), Not-Sanitized;

Copy Two (2), Sanitized. Copy two shall not contain the name of or reference to the Offeror, any Joint Venture

Partner, or any Subsidiaries. This copy will be used in the Evaluations. Offerors are advised hereby that without a

Sanitized copy of their Proposal their submission must be deemed as non-responsive, as it cannot be evaluated.

FORMAT. Submit your proposal in three (3) separate parts:

FACTOR I: TECHNICAL

Sub-factor 1: STAFF COMPENSATION AND RETENTION PLAN. The Offeror shall describe his proposed plans, processes, procedures and system(s), and all of his supporting data & documentation in which he describes his technical response to the technical requirement posed in the Government’s RFP. The Offeror’s

Technical Proposal shall be contain a Staff Compensation & Retention Plan, and Appendix if necessary. The

Compensation and Retention Plans must address the following:

The Offerors’ in their Staff Compensation and Retention Plan shall describe their planning assumptions, key decisions, and the strategy they propose that will both initially staff; and, throughout the life of the contract retain, the quantity and quality of workforce as is called for by the requirements of the PWS and required by the Scope of the Work, that the Government requires, as the Offeror understands it.

The Offeror in their Staff Compensation and Retention Plan shall also complete a Compensation Plan Spreadsheet

(constructed according to the Excel-Spreadsheet template which is provided with this Solicitation), and insert their complete spreadsheet, in this chapter of their response to Solicitation. The spreadsheet should be constructed to identify the Offeror’s proposed staff compensation plan for the base year; and all option years of the contract (limit of 10 pages).

Sub-factor 2: QUALIFICATION OF PERSONNEL. Résumés of contractor personnel proposed to be assigned must be submitted with the proposal to ensure that the key position qualifications comply with the PWS.

Sub-factor 3: TECHNICAL APPROACH. The technical approach will be evaluated as how well the contractor can comply with the PWS. Please include proposed equipment to be used and your planned maintencance for the equipment.

FACTOR II: PAST PERFORMANCE. Offeror’s are required to submit information, on a single page, identifying federal, state and local government and private contracts performed within the past three years, which are similar in scope, type of work, and complexity to the effort described in this solicitation. If none, Offeror should so state and provide information on other references. The Information provided by the contractor in his Part II Past

Performance response shall state:

a.) The type of service provided, (should be similar to services being requested) b.) Name, telephone and fax numbers of a point of contact in the administering contracting office;

c.) Award/contract number, the term of the contract, the total dollar amount of the contract.

The government will contact the Offeror’s sources as part of its past performance assessment. The government is not responsible for the failure of any source to respond to a request for a past performance assessment on a timely basis.

All Offeror’s must submit a copy of the PAST PERFORMANCE QUESTIONNAIRE (contained in this

Solicitation) to each individual enterprise that they list in their Part II Past Performance response to this solicitation.

The questionnaire should be emailed or faxed directly to the individual enterprise. Offeror’s shall state to each enterprise that their responses should be emailed to: guibert.a.ramirez.ctr@mail.mil and martin.rios15.civ@mail.mil.

The Offeror should instruct their past performance POCs not to send the completed copy back to the Offeror, but to the POC listed on the questionnaire.

FACTOR III: PRICE. Pricing data shall be filled in on the Schedule on the Government’s RFP document as it is requested be stated therein and as described to be done in the PWS. If additional space is needed for a description of price breakout it should be included as part of the Technical Compensation Plan Breakout which is described above.

The price data provided in the schedule will be used to assist in the price analysis that is described in

EVALUATION OF THE PROPOSED PRICES, in ADDENDUM TO FAR 52.212-2, EVALUATION –

COMMERCIAL ITEMS OF THIS RFP. In the preparation of this documentation the Offeror is requested to observe the following:

(e) Price Schedule. Pricing should include the required staffing and associated equipment rental and maintenance, malpractice medical liability insurance, supplies and other associated costs with the PWS in the hourly rates.

DO NOT round figures in the pricing schedule.

(f) Complete and sign SF 1449, page 1, Blocks 17a & b, 30a, b & c.

(g) Signed amendments (if any).

(h) Representations and Certifications found at FAR 52.212-3 Alt 1 and 52.209-7 MUST be completed.

Para (g) Contract award. This paragraph is amended to state that the Government may conduct discussions prior to contract award.

Para (m) Proposal Preparation Costs. This Solicitation does not commit the Government to pay any costs incurred in the submission of a RFP, or in making any necessary studies for the preparation thereof, or for any visit(s) the

Contracting Officer may request for the purpose of clarification of the offer.

Para (n) The non-FAR Part 12 discretionary FAR, DFARS, AFARS, and LOCAL provisions included herein are incorporated into this solicitation either by reference or in full text. If incorporated by reference, see provision

52.252-1 herein for locations where full text can be found.

EVALUATION--COMMERCIAL ITEMS (NOV 2007)

Paragraph (a) is hereby supplemented as follows:

Impartial consideration will be given to all offers received in response to this solicitation. Offers will be evaluated to determine compliance with all requirements of the solicitation, including any attachments and exhibits. The evaluation criteria will be applied to all offers in the same manner. Each proposal will be evaluated strictly in accordance with its content and the Government will not assume that performance will include areas not specified in the Offeror’s proposal.

Factor 1 TECHNICAL. Each Offeror’s Technical Proposal will be evaluated on an Acceptable/Unacceptable

Technical Acceptable/Unacceptable Ratings

Rating Description

Acceptable Proposal clearly meets the minimum requirements of the solicitation.

Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation.

Sub-factor 1: STAFF COMPENSATION AND RETENTION PLAN.

A. The Staff Compensation and Retention Plan will be evaluated to determine the adequacy of the Offerors proposed compensation and retention plan to recruit and retain quality individual contract employees. The primary determinant will be the base salary paid to the individual contract employee. Offerors must propose a base salary which is at least commensurate with salaries paid for similar positions in the local area in order to be technically acceptable. This salary in almost all instances exceeds the prevailing wage rates in the Department of Labor’s wage determination for a locality. The Government has developed an independent government estimate (IGE) based upon its assessment of base salaries paid in the local area as well as salaries paid on current contracts. The IGE will be used as the baseline in determining the adequacy of the salaries proposed by the offerors. Compensation plans will be evaluated as realistic in terms of its impact upon recruitment and retention. A low, or no compensation plan, may be viewed as evidence of failure to comprehend the complexity of the contract requirements or appropriate compensation levels for geographic area where performance will take place. Offerors which propose low base salaries, particularly below rates paid in the local area, will have the burden of establishing that their plans will result in the recruitment and retention of quality personnel and the uninterrupted performance of services throughout the life of the contract. In addition, the Staff Compensation and Retention Plan is evaluated.

Sub-factor 2: QUALIFICATION OF PERSONNEL.

The résumé(s) will be evaluated as how well the personnel assigned to, or utilized by, the contractor in performance of work shall be fully capable of performing the work in an efficient, reliable, and professional manner in accordance with the PWS.

Sub-factor 3: TECHNICAL APPROACH.

The technical approach will be evaluated as how well the contractor can comply with the PWS. This will include the acceptability of proposed equipment and maintenance plan. The contractor’s overall approach will be graded acceptable or unacceptable.

FACTOR II: PAST PERFORMANCE RISK (PAST AND PRESENT PERFORMANCE)

The Government will evaluate the Offerors and, if appropriate, its proposed subcontractors’ past performance information to determine its relevance to the current requirements and the extent to which it demonstrates that the offeror has successfully completed relevant contracts in the past 3 years from the date of issuance of this solicitation.

The past performance evaluation will be accomplished by reviewing the Offerors recent and relevant, present and past performance, focusing on and targeting performance which is relevant to this solicitation. Areas of relevance include having provided coding services in contracts of similar size and scope as the solicitation.

Past Performance.– Past Performance Questionaire. Provide information sheet to a minimum of two and a maximum of four references to complete and return to the contracting office. References must be able to verify that your company and/or proposed sub-contractor(s) provided recent performance either as a prime contractor or a subcontractor. “Recent is defined as “within the past three years.” If your company and/or proposed subcontractor do not have relevant past performance as a prime or subcontractor, the Contracting Officer intends to rate your past performance as “neutral.” Past performance must be providing Intraoperative Monitoring contracts of this type and scope.

In assessing the Offeror’s past performance, the Government will assess the relative risks associated with an

Offeror’s likelihood of success in performing the solicitation's requirements as indicated by that Offeror’s record of past and present performance. In this context, “Offeror” refers to the proposed prime contractor and all proposed major subcontractors or team members. A major subcontractor or team member is defined as one who will be providing at least 25 percent of the contract effort. In either case, the proposed prime contractor and proposed major subcontractors will be assessed individually and the results will then be assessed in their totality to derive the prime

Offeror’s past performance rating. The Government may consider the Offeror’s past performance as an entire team including subcontractors, joint ventures and/or teaming partners, aggregately, rather than an individual contractor

The Government will conduct a performance risk assessment based on the quality, relevance and recency of the

Offeror’s past and present performance, as well as that of its major subcontractors, as it relates to the probability of successful accomplishment of the required effort. The evaluation may also take into account past performance information regarding predecessor companies that have relevant past performance. When assessing performance risk, the Government will focus its inquiry on the past performance of the Offeror and its proposed major subcontractors as it relates to all solicitation requirements. These requirements include all aspects of quality performance and supportability, management, and timeliness/schedule.

Offerors are cautioned that in conducting the performance risk assessment, the Government may use data provided in the Offeror’s proposal and data obtained from other sources. Since the Government may not necessarily interview the sources provided by the offerors, it is incumbent upon the Offeror to explain the relevance of the data provided.

The Government will assign a neutral rating to Offerors with no relevant past performance information within the past three (3) years, or when past performance information regarding the offeror is not available or the information is inadequate to make an adjectival rating of the Offeror’s past performance.

Each contractor will also be evaluated based upon the relevance and quality of performance. Each Offeror will be rated on an “acceptable” basis as follows:

PAST PERFORMANCE EVALUATION RATINGS

ACCEPTABLE Based on the Offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the performance record is unknown (see note below)

UNACCEPTABLE Based on the Offeror’s recent/relevant performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.

Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meanfull past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305(a)(2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”

FACTOR III: PRICE.

A. That the prices are consistent with and reflect the proposed staffing requirement and associated costs with rental and maintenance of equipment, malpractice medical liability insurance, supplies and other required costs outlined in the PWS.

B. Offerors are cautioned that an unbalanced pricing of line items, as proposed initially or subsequently, may be grounds for eliminating a proposal, either on the basis that the offeror does not understand the required services, or he has made an imprudent offer.

C. Impartial consideration will be given to all offers received in response to this solicitation. Offers will be evaluated to determine compliance with all requirements of the solicitation, including any attachments and exhibits.

The evaluation criteria will be applied to all offers in the same manner. Each proposal will be evaluated strictly in accordance with its content and the Government will not assume that performance will include areas not specified in the offeror's proposal.

D A written notice of award or acceptance of an offer mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.

Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

E. Price analysis techniques will be used to evaluate an offeror’s proposal, but will not be scored. Pricing will be evaluated for the extent to which it is fair and reasonable in terms of the Government’s requirements. The

Government is interested in proposals that meet the requirements with acceptable risk, at a fair and reasonable price.

F. Given that FAR 52.217-8 provides that the Government may exercise the Option to Extend Services at the rates specified in the contract (i.e., the rates in effect when the Extension of Services option is exercised), for purposes of evaluating the Option to Extend Services, the Contracting Officer will consider the prices submitted for the base year and each option year, since those are the binding prices should the Option to Extend be exercised.

1. 0. INTRODUCTION.

1.0.1. The Contractor shall provide Direct Health Care Provider (DHCP) Medical Services for the

National Capital Region at the following locations: National Capital Region Medical Directorate (NCRMD) at Fort

Belvoir Community Hospital (FBCH) and Walter Reed National Military Medical

Center (WRNMMC), Bethesda, MD. The contract employee will work in conjunction with other health care providers, professionals, and non-contract personnel. The contract employee shall provide services of the nature and scope described in this Performance Work Statement (PWS). Only U.S. Citizens can perform services under this contract.

Anticipated Period of Performance: 1 Aug 2015 through 31 Jul 2020

1.0.1.1. The quality of services provided by the contract employee shall be of a quality meeting or exceeding currently recognized national standards as established by the Joint Commission (JC). Contract employee shall give the highest regard to patient dignity and observe the precepts of the American

Hospital Association’s Bill of Rights for Patients. The contract employee shall abide by the Medical

Treatment Facility (MTF) rules, regulations and by laws, including Medical Staff By laws, as well as applicable Army regulations governing such things as medical records.

1.0.2. The Government designated official is the Contracting Officer’s Representative (COR).

1.1. GENERAL.

1.1.1 This contract is a non-personal services contract under which the personnel rendering the services are not subject, either by the contract’s terms and conditions, this PWS, or by the manner of its administration, to the supervision and control usually prevailing in relationships between the government and its employees. Government management shall provide general instructions on limitations and deadlines. Additional instructions shall be provided for any unusual assignments or those which vary from established procedures. The contractor’s employees shall independently carry out the assignments. Completed work shall be spot-checked by Government management for adherence to procedures, accuracy, and completeness.

1.1.1.1 All contractor personnel shall be sufficiently competent in reading, writing, speaking, and understanding

English to perform the work.

1.1.1.2 Responsibility and Procedures. If any suit or action is filed, or any claim is made against the contract employee, occurring as a result of work performed by the employee under this contract, the employee shall

immediately notify the contractor and the Contracting Officer and the chief of the appropriate services and promptly furnish them copies of all pertinent papers received.

1.1.1.3 For the contracts awarded as non-personal service contracts, the Government will not be liable for malpractice allegations against contract providers based upon performance of this contract. The contractor shall be required to carry malpractice insurance for its contract providers, at a level stated in the solicitation and included in any resulting contract for subject acquisition in tailored FAR Clause 52.237-7. If an apparent successful offeror, the contractor shall provide evidence of insurability concerning medical liability insurance prior to contract award.

Upon contract award, the contractor shall provide evidence of insurance demonstrating the required coverage prior to commencement of performance. In accordance with Federal Acquisition Regulation (FAR) Clause 52.237-7, the contractor shall indemnify the Government for any liability producing act or omission by the contractor, its contract employees, and agents occurring during contract performance. If the contractor uses subcontractors in the performance of this contract, the contractor shall be required to ensure that its subcontracts contain provisions for healthcare services containing the requirements of FAR 52.237-7, including the maintenance of medical liability insurance.

1.1.4. Removal of Contractor employees. At any time during the performance of this contract, the Contracting

Officer or COR may direct the contractor to immediately remove any Contractor employee whose actions or impaired state raises reasonable suspicion that clear and present danger of physical harm exists to a patient, other

Contractor employees, government personnel or to the impaired individual. This provision will be used in emergency situations only and not for the purpose of bringing performance issues or other non-urgent concerns to the attention of the contractor.

1.1.4.1. If the need for a removal occurs, the COR will contact the contractor's point of contact and direct the contractor to remove that individual from the military facility and to not use that individual to perform any healthcare services required under this contract until the issue has been resolved by the Contracting Officer. The contractor shall formally meet with the COR to discuss further action in accordance with the MTF Quality
