Fixed Unit Price CLINs
A.1.2.1.1 Sustainment of TSE (CLIN X001) The contractor shall provide the labor, materials and equipment to provide sustainment of TSE in accordance with the requirements set forth in Part C, Performance Work Statement. All maintenance, repair and other related actions to sustain TSE will be included in the fixed unit pricing established in Section A.1.2.1, Pricing Schedule, of this Part. It is the Government’s intent that the fixed unit pricing for TSE Sustainment Services include all estimated costs for preventive and corrective maintenance as defined in C.8.1, Preventive Maintenance (PM), C.8.2 Radiation Surveys (RS) and Radioactive Tests (RLTs), and C.8.3, Corrective Maintenance (CM), of Part C, respectively, during the period of performance identified. Fixed-unit pricing for sustainment of TSE shall not include requirements as defined in C.8.4, Catastrophic Response and Additional Support (CLIN X007B), of Part C.
The sustainment services fixed unit price CLIN structure is designed to provide flexibility to the Government in order to accommodate differing quantity amounts throughout the life of the contract. Unit pricing for CLIN X001 only applies to deployed, in-service TSE, as defined in Section C.8.8, Deployed Equipment, of Part C, that are not covered under the manufacturer’s warranty and unit quantity totals may fluctuate at any given month. The TSA continues to evaluate the use of all TSE deployed in the field and reserves the right to move, remove, or add any technology/model of equipment to any federal airport or TSA designated facility required to meet TSA’s constantly evolving screening objectives and policies. For example, older models of technology may be gradually reduced or completely removed as newer versions of the same technology are acquired and deployed. This is just one example of how the quantity of a particular technology may fluctuate with the evolving security needs of TSA and the individual airports. The Government reserves the right to modify or discontinue the phase out process as it deems necessary in such instances. Accordingly, Contractors shall provide fixed unit prices for the TSE identified in Section A.1.2.1, Pricing Schedule, of this Part, accounting for this dynamic and shall invoice using the procedures set for in Section B.3.4.6, Development of Invoices, of Part B.
TSA reserves the right to modify the contract to include provisions for new equipment and future technologies not listed in Section A.1.2.1, Pricing Schedule, of this Part, as they are procured and deployed.
A.1.2.1.2 Preventive Maintenance (PM) Consumables Pricing (CLIN X004) The following fixed unit prices shall apply when ordering PM consumables, in accordance with Section C.8.6.2, Preventive Maintenance Consumables, of Part C. The CO will notify the contractor in writing of additional consumables required to support newly fielded technologies, and negotiated prices will be implemented via a modification. The Contractor shall notify the CO and COR of any changes to Part Numbers by the OEM or other approved sources.
A.1.2.1.3 Radioactive Leak Tests in TSALC (CLIN X005) CLIN X005 shall include all program related costs required to perform the requirements in Section C.8.2, Radiation Surveys (RS) and Radioactive Leak Tests (RLT), of Part C.
A.1.2.2 Firm Fixed Price CLINs A.1.2.2.1 Sustainment Support Program Management ( CLIN X002) CLIN X002 shall include all program management related costs required to perform the requirements in Section C.7, Sustainment Support Program, of Part C, including submission of Contract Data Requirement Lists (CDRLs) as required in Section C.3, Document Submission and Compliance, of Part C. This CLIN shall also include costs for other sustainment support

A.1.2.3 Provisional Items CLINs A.1.2.3.1 Ancillary Logistics Service (CLIN X007A) The Government intends to establish a provisional CLIN for logistics related ancillary services that may be ordered on an as needed basis via modification to this contract. The Contracting Officer may use FFP and T&M pricing as appropriate for each order. The Contractor shall provide labor in accordance with the fully burdened Fixed Labor Rates established in Section A.1.2.7, Labor Categories for Services (CLINs X007A and X007B), of this Part. The Contractor shall utilize the unit pricing established in Section A.1.2.2.2 Preventive Maintenance (PM) Consumables Pricing (CLIN X004), of this Part, to the maximum extent practical, as appropriate.
For T&M orders, the Contractor will be reimbursed for all allowable, allocable and reasonable costs for Materials and Travel in accordance with Federal Acquisition Regulation (“FAR”) 31.2, Contracts with Commercial Organizations, and Section B.3.5.1, Travel and Per Diem, of Part B.
No profit or fee will be paid on costs for Materials and Travel.
A.1.2.3.2 Catastrophic Response and Additional Support (CLIN X007B) The Government intends to establish a provisional CLIN in the event TSA requires the Contractor to respond to events outside the scope of CLIN X001, Sustainment of TSE. The scope of this CLIN is limited to catastrophic events and acts of nature. The purpose of this CLIN is to allow the Government to quickly respond to emergency situations and events where requirements could not be reasonably planned for but services are required immediately. The CO will determine whether the nature of the occurrence does or does not provide the opportunity to estimate accurately the extent or duration of the work. Based on the time available to reasonably anticipate costs, the CO may authorize the Contractor to perform services on a FFP or T&M basis.
To ensure the rapid response required in these situations, the Contractor shall provide a Rough Order of Magnitude (ROM) estimate within 24 hours of being notified of the requirement by the Contracting Officer. The Government may request work to begin while the ROM is being generated or as prices are being negotiated.
The Contractor shall provide labor in accordance with the fully burdened Fixed Labor Rates established in Section A.1.2.7 Labor Categories for Services (CLINs X007A and X007B) of this Part, and utilize the unit pricing established in Section A.1.2.2.2, Preventive Maintenance (PM) Consumables Pricing (CLIN X004), of this Part, to the maximum extent practical, as appropriate.
The Contractor will be reimbursed for all allowable, allocable and reasonable costs for Materials and Travel in accordance with FAR 31.2, Contracts with Commercial Organizations, and Section B.3.5.1, Travel and Per Diem, of Part B. No profit or fee will be paid on costs for Materials and Travel.
A.1.2.3.3 Supplemental Support (CLIN X007C) There are frequent, predictable National Security Special Events (NSSE) designated by the Secretary of Homeland Security. Examples include, but are not limited to, presidential inaugurations, major international summits held in the United States, major sporting events, and presidential nominating conventions. These events cause a temporary period of significantly increase the passenger enplanements at affected locations, and are highly visible to the nations leadership and members of the press. It is incumbent upon the contractor to provide enhanced maintenance support during these periods, and the contractor shall ensure that sufficient staffing and parts support are available and in place to support these events. This enhanced support shall be considered within the scope of this contract. The contractor shall coordinate with local TSA, the COR, and the CO to establish and implement enhanced support for these locations for any event officially deemed an NSSE by the federal government. Support plans shall be prepared and submitted in accordance with CDRL A027, Holiday and Supplemental Support Plans.
There may be infrequent, unpredictable events that require additional support but are not officially deemed as NSSE. The contractor shall ensure that sufficient surge capacity to provide labor and material in support of these events is available. Although it is incumbent upon the contractor to meet the Service Level Agreement at affected airports in accordance with the base contract at all times, in these instances additional support may be procured on a Time and Materials basis by the TSA via contract modification. The hourly rate proposed by the contractor in these cases shall be fully burdened and include travel costs in accordance with FAR 31.2, Contracts with Commercial Organizations and Section B.3.5.1, Travel and Per Diem, of part B.
A.1.2.4 Emerging IT Requirements (CLIN X008) The Government intends to establish a provisional CLIN in the event TSA requires the Contractor to respond to emergent IT requirements. The purpose of this CLIN is to allow the Government to quickly respond to unforeseen IT compliance requirements not addressed in Section B.3.5.14, Sensitive Information Required Special Contract Terms (MAR 2015) and Safeguarding of Sensitive Information (MAR 2015), of Part B, and Section C.2, Applicable Documents, of Part C. The CO will determine if a requirement qualifies under this CLIN. The CO will determine whether the requirement does or does not provide the opportunity to estimate accurately the extent or duration of the work. Based on the time available to reasonably anticipate costs, the CO may authorize the Contractor to perform services on a FFP or T&M basis.
A.1.2.5 DHS Sustainment Support (CLIN X009) The Government intends to establish a provisional CLIN in the event DHS Components require sustainment support services. If determined to be in the best interest of the Government, equipment sustainment services for DHS Components may be procured throughout the life of this contract. All orders under this CLIN will be approved by the CO and issued via task order.
Any additional DHS Component requirements will be negotiated at the time when requirements are known.
A.1.2.6 Labor Categories for Services (CLINs X007A and X007B) The following labor rates are fully burdened with Overhead, General and Administrative Costs, Profit/Fee and any appropriate Escalation charges. These rates shall apply for all Option Years (OY) commencing with Option Year 1 on February 1, 2018.

52.246-11 Higher-Level Contract Quality Requirement (Dec 2014)
(a) The Contractor shall comply with the higher-level quality standard(s) listed below.
Title Number Date Tailoring
AMERICAN NATIONAL STANDARD
Quality Systems – Model for Quality Assurance in Production, Installation, and Servicing
ANSI/ISO/ASQC
Q9001-2008
Quality management and quality assurance standard – Part 3: Guidelines for the application of ANSI/ISO/ASQC Q9001:
2008 to the development, supply, installation and maintenance of computer software
ANSI/ISO/ASQ
Q9000-3-2008
(1) The Contractor shall establish and maintain a Quality System in accordance with the above referenced standard(s) and the contractor's Quality Management System (QMS).
The QMS shall be submitted in accordance with CDRL A011 and Section B.3.8 of the PWS. This QMS is hereby incorporated into this contract when approved by the Contracting Officer. If the QMS is submitted as part of a response to a Screening Information Request (SIR) submission and approved before award, then the QMS is hereby incorporated into this contract at time of award. The QMS shall describe the Contractor's provisions for quality assurance, inspection and test of all supplies to be provided under this contract, in accordance with the terms of this contract, including but not limited to the contract specifications and the above referenced standard. (Note;
Formal third-party ISO9001 registration is not required. Formal third-party ISO9001 registration does not relieve the contractor from the requirements of submitting a QMS.)
(2) In the event of conflict between the Quality Management System (QMS) and the above referenced standard(s), the applicable standards shall control.
(3) Calibration systems and measuring and test equipment shall be controlled in accordance with a nationally recognized standard, such as ISO 10012.
(4) Government Furnished Property shall be controlled to assure acceptability upon receipt, preclude degradation, damage or misuse during storage, use or test, and assure proper final disposition in accordance with the contract.
(5) Site installation activities, maintenance, and support services shall be controlled in accordance with contract requirements.
(b) The Contractor shall include applicable requirements of the higher-level quality standard(s) listed in paragraph (a) of this clause and the requirement to flow down such standards, as applicable, to lower-tier subcontracts, in—
(1) Any subcontract for critical and complex items (see 46.203(b) and (c)); or
(2) When the technical requirements of a subcontract require—
(i) Control of such things as design, work operations, in-process control, testing, and inspection; or
(ii) Attention to such factors as organization, planning, work instruction, documentation control, and advanced metrology.
(End of Clause)
(End of Part B, Section 1)
SECTION 2 – HOMELAND SECURITY ACQUISITION
REGULATION (HSAR) CLAUSES
B.2.1.1.1 Disincentives Disincentives for not meeting the requirements of Section C.8.10, CLS Service Level Agreement (SLA) Performance Requirements, shall be applied as described below. The disincentives are additive. For example, if an ‘airport - equipment type’ did not meet the required Ao, six of the units in that combination did not receive PM as required, and three units in the combination did not receive a Radiation Survey or Radioactive Leak Test as required, the total disincentive for that ‘airport - equipment type’ is -10%*[(‘airport - equipment type’ reporting period total)] - 10% *(6*TSE reporting period cost prior to any other disincentives being applied)] -10% *(3*10%*TSE reporting period cost prior to any other disincentives being applied)]. If in this example there are total of 20 pieces of TSE and the monthly FUP is $75 (20*$75=1,500), then the disincentive is calculated as: [-10%*20*$75] + [-10%*6*$75] + [-10%*3*$75] = -$217.5.
Therefore, the invoice would reflect $1,500 - $217.5 = $1,282.5 for that ‘airport - equipment type’ for that reporting period.
(a) Operational Availability (AO)
The following shows the amount (in percentage terms) of the downward adjustment of the CLIN X001 unit price if the contractor is not able to meet the threshold set forth in Section C.8.10.1 Operational Availability (Ao), of Part C.
Operational Availability
Equipment Type (by airport) As Calculated in Attachment 7
Threshold Disincentive
AIT, ATXray > 99.00% -10% for each technology by airport
WTMD, ETD, BLS > 98.00% -10% for each technology by airport
As an example, if an airport has ETDs from 2 or more manufacturers, then the Ao for that airport’s ETDs is derived from combining all ETD performance data regardless of manufacturer. For example, in a 100 hour reporting period, if airport ABC has one ETD from OEM-A and one ETD from OEM-B, and the monthly performance respectively was 97% (with 97 hours of uptime and 3 hours of downtime) and 98.9% (with 98.9 hours of uptime and 1.1 hours of downtime), the ABC-ETD Ao equals 97.95% [(97 hours + 98.9 hours) / (100 hours + 100 hours). Since the ‘airport-equipment type’ is less than the threshold of 98%, the Ao 10% disincentive is applied to both units.
Payment to the Contractor for sustainment services (X001) rendered during any given invoice period will be based on the product of the number of deployed, in-service machines as defined in Section C.8.8, Deployed Equipment, of Part C, that are not covered under manufacturer’s warranty and the unit pricing established in Section A.1.2, Contract Pricing, of Part A. For example, if the Contractor performed sustainment services for 100 OEM-A ETD Systems located at Airport ABC at $1 per unit per day in a 31 day month (e.g. October), the Contractor shall invoice (100 units * $1 per day * 31 days) for a total of $3,100 for OEM-A ETDs at Airport ABC minus any applicable disincentives.
The Contractor shall invoice for actual days in service, taking into account days units may have been taken out of service or added for service in any given month. For example, in the scenario described above, if 50 OEM-A ETD systems located at Airport ABC were maintained for 31 days and 50 were only maintained for 12 days, the Contractor shall invoice 50 units for 31 days (50 units * $1 * 31 days =$1,550) and 50 units for 12 days ($600), for a total of $2,150 minus any applicable disincentives.
The Contractor’s database shall have the ability to adjust the date an asset is brought on or removed from the contract. An approved DD1149 indicates the intent to move a unit, and the date on the DD1149 is the first date to be recorded in the Contractor’s database as the “as-of” date for adding or removing the unit from the contract. However, several days or weeks may elapse between the DD-1149 date and the actual date the unit departs its current location and / or arrives at a new location. If the TSE moved from one deployed location to another, the unit will be brought taken off contract as of the date on the decommissioning checklist provided by the SI and will be placed on contract only after the Contractor receives the Site Acceptance Test (SAT), Readiness Acceptance Test (RAT), or Operational Readiness Test (ORT) from the System Integrator (SI). The date the Contractor receives the SI paperwork is the second date to be recorded in the Contractor’s database; this date is the official on or off contract date and shall be used when calculating invoices. If the Contractor receives the DD1149 but not the SI paperwork during the reporting period, the Contractor shall use the date on the DD1149.
Any differences between that date and the subsequent SI document will be invoiced (credit or debit) on a quarterly reconciliation invoice.
The Contractor shall provide a single email address to the Government for receipt of SI documentation and GPM DD1149s.
In certain circumstances the COR may direct, in writing, the contractor to add or remove an asset without an associated SAT, RAT, ORT, or DD Form 1149 (e.g. MMTDs may remain at a location but not be in use; a unit may be used as a prop in a training scenario;
etc.).
(b) Preventive Maintenance
For any TSE for which the Preventive Maintenance is not performed within the requirements of C.8.1 Preventive Maintenance, the Contractor shall decrement the monthly invoice as follows. Disincentives for TSE with monthly PM requirements shall only apply the disincentive to the current month. For TSE with PM periodicities greater than monthly, the disincentive shall be applied for the month missed and each subsequent month until the PM is complete. For example, if a semi-annual PM is due July 2018 and is not completed until October 2018, then a 10% disincentive will be applied to that unit in July, August, and September 2018.
Preventive Maintenance
Performance Level Disincentive
Section 8.1 -10% for each unit
(c) Radiation Surveys (RS) and Radioactive Leak Tests (RLT)
For any TSE for which the RS or RLT is not performed within the requirements of C.8.2 Radiation Surveys (RS) and Radioactive Leak Tests (RLT), of Part C, the Contractor shall decrement the monthly invoice as follows. The 10% disincentive shall be applied for the month missed and in each subsequent month until the RS or RLT is completed.
For example, if an annual RLT is due July 2018 and is not completed until October 2018, then a 10% disincentive will be applied to that unit in July, August, and September 2018.
Radiation Surveys and Radioactive Leak Tests
Performance Level Disincentive
Section 8.2 -10% for each unit
B.2.1.1.2 Incentives Incentives may be earned for meeting the requirements of C.8.10.2, Parts Availability Supporting Performance Metric, and C.8.10.3, Technician Response Time, of Part C.
