About this file
This document is a Statement of Work (SOW) template for DARPA's Commercial Solutions Opening (DCSO) Embedded Entrepreneurship Initiative (EEI). The SOW outlines a comprehensive framework for transitioning and commercializing innovative technologies derived from DARPA R&D programs, with a focus on closing military and civilian capability gaps. Offerors are required to complete a series of detailed tasks including identifying and hiring an Embedded Entrepreneur (EE), defining commercial opportunities, developing commercialization strategies, performing competitive analyses, creating financing plans, and executing market entry strategies.
The template provides three milestone payment structure options (Typical EEI, Spin-Out Company, and Regulatory Needs) with varying milestone percentages and completion timelines, all centered around a 12-month base contract period. Key requirements include monthly status reporting, a final comprehensive report, and potential development of a Minimum Viable Product (MVP). Proposals must be submitted by 7/14/2024, with the SOW template dated 7/14/2025, and are expected to demonstrate approaches for transitioning DARPA-funded technologies into practical commercial and government capabilities across different technical, scientific, and business domains.

COMMERCIAL SOLUTIONS OPENING
Transition of DARPA-Funded Technologies Using Commercial Solutions Attachment 1: Statement of Work (SOW) Template {Red Text should be removed and/or edited and changed to black text by each offeror before proposal submission. Offerors submitting a stand-alone MVP should remove SOW Section B and if key personnel are not proposed, Section G}
A. [REQUIRED] BACKGROUND/INTRODUCTION.
Provide applicable background/introduction for proposed SOW.
B. [REQUIRED] TASKS. (WITH ASSOCIATED SCHEDULE/REPORTS)
Provide a detailed task breakdown by Offeror Fiscal Year, citing specific tasks and their connection to proposed milestones and metrics. The following list specifies high-level tasks typically found in Embedded Entrepreneurship Initiative (EEI) SOWs. EEI tasks should be focused on reducing business risk. Tasks that reduce technical risk are discouraged. For each proposed task, include a detailed description of the task to include specific task completion criteria, the schedule, and the reports (e.g., data, reports, presentations, etc.). Define metrics and milestones that will demonstrate the achievement of each task and the proposed schedule for the achievement of the corresponding metrics and milestones.
(NOTE: With the exception of Tasks B.1 and B.15, not every task below will be relevant to a proposed commercial solution, therefore proposed SOWs shall include only tasks relative to the proposed commercial solution. Identify any tasks/subtasks that will involve human subjects research or animal research, involve the collection, retention, or use of personally identifiable information, be performed on campus at a university, be performed by a sub-awardee or consultant, be classified as controlled unclassified information (CUI), (optional) be aimed at the development of a Minimum Viable Product (MVP)).
1. [REQUIRED] Identify highly qualified, entrepreneurially experienced individual(s) to lead the execution of the SOW tasks and engage this(ese) individual(s) as Embedded Entrepreneur(s). This(ese) individual(s) will work with the Offeror to execute the tasks below. The Offeror will create a job description and description of the opportunity that can be used to help find appropriately skilled EEs. If needed, the Offeror shall proceed with the remaining tasks in this SOW after receiving concurrence on the Embedded Entrepreneur candidate by the DARPA Contracting Officer’s Representative.
2. Define & Validate the Commercial and Government Opportunity(ies)
3. Define the Value Proposition of the product or service.
4. Perform a Competitive Analysis.
5. Develop/Execute a Commercialization Strategy.
6. Identify features and functionality demanded by customers for the commercial solution.
7. Develop/Execute a Financing/Investor Engagement Plan (including a Pitch Deck).
8. Develop/Execute an Intellectual Property/Freedom to Operate Plan.
9. Complete a Techno-Economic Analysis to disaggregate risk and project outcomes from various business models/product versions.
10. Develop/Execute a plan for dual-use markets.
11. Develop/Execute a Regulatory Plan.
12. Develop/Execute a Manufacturing Scale-up Plan.
13. Develop/Execute a Marketing Strategy.
14. Develop/Execute a Reimbursement Strategy.
15. [REQUIRED] The Contractor shall complete EEI Close Out Questions and participate in a Feedback session upon EEI completion.
C. [OPTIONAL] Develop/Execute a Plan to build a Minimum Viable Product (MVP).
If an MVP is proposed, the proposed tasks for the SOW shall include the collection of feedback on Government and civilian customer requirements for features and functionality and describe how feedback will be collected. If an MVP is not proposed, then offeror shall change this section of their proposed SOW to “RESERVED” and note this is “N/A”.
MVP tasks should be focused on entering a target market, further proving out a service, product or capability, and demonstrating utility to an end user. Tasks that reduce technical risk are highly discouraged.
D. [REQUIRED] MILESTONE PAYMENT SCHEDULE TABLE. Either select one of the milestone payment structures OR provide a milestone payment schedule that describes the associated task from the statement of work, a milestone title, measurable and meaningful exit criteria, milestone completion date, and milestone price. For proposals with an MVP option or stand-alone MVP please provide a milestone payment schedule (separate from the base EEI milestones) that describes the associated task from the statement of work, a milestone title, measurable and meaningful exit criteria, milestone completion date, and milestone price. Government will replace “Milestone % of Price” with “Milestone Price” at contract award. Proposals that do not select one of the pre-filled milestone payment structures will take longer to evaluate and award, if selected. Therefore, offeros are highly encourages to select one of the pre-filled milestone payment structures for their proposed EEI.
