1.0 BLANKET PURCHASE AGREEMENT (BPA) TERMS AND CONDITIONS
1.
1.1 Description of Agreement
The purpose of this Blanket Purchase Agreement (BPA) is to provide emergency vehicle equipment purchase and installation services as detailed within the BPA price list and the Statement of Work. This BPA provides for the award of individual orders, defined hereinafter as "Calls," to assist with the delivery of items stated above for the Pentagon Force Protection Agency. All BPA administration will be effected by the Contracting Officer. Communications pertaining to contract administration will be addressed to the Contracting Officer. No changes to the agreement are authorized without a written modification to the BPA executed by the Contracting Officer.
1.2 Description of Services or Supplies
The Contractor will provide all labor, supervision, transportation, and quality control necessary to provide the types of goods and services as detailed within the BPA price list. Prices to the government are in accordance with the price list submitted by the contractor and approved by the contracting officer. Price lists must be updated yearly by the anniversary of the BPA issuance and evaluated for fair and reasonableness by the Contracting Officer. If at any time during the period of performance there is a price change, or a new item added, a new price list must be submitted. Please allow up to 5 calendar days grace period between submissions of the new price list, if any.
1.3 Extent of Obligation
The Government is obligated only to the extent of authorized purchases actually made under the BPA. Funds will be obligated on individual calls placed against the BPA. In accordance with FAR 16.702(c), no monetary obligation in the form of a minimum guarantee or otherwise will be made with the establishment of the BPA. Additionally, all orders will be placed over the phone or via email. The Government reserves the right to cancel this BPA at anytime, and is bound only to the extent the Contractor must be given 30 days written notification prior to exercising this right.
1.4 Authorized BPA Callers
For decentralized BPA’s, individuals authorized to place calls against this BPA shall be appointed and identified to the contractor in writing. The appointment letter shall identify individuals either by title of position or by name of individual. The letter will include organizational component, and the dollar limitation per purchase for each position title. For centralized BPA’s, all calls will be generated from the contracting office.
1.5 Purchase Limitations
This BPA will have a performance period of 5 years from the time of agreement. The combined value of all Calls (Master BPA Limit) issued under this BPA will not exceed $5,000,000.00. Should the combined value of all Calls issued under this BPA reach $5,000,000.00 at any time during the period of performance, no additional Calls will be issued unless the agreement is modified. Unless otherwise identified, each individual call shall not exceed $150,000.00.
1.6 Delivery Tickets
All completed calls shall be documented on delivery tickets or sales slips that contain, at a minimum:
1. Name of supplier.
2. BPA number.
3. Date of purchase.
4. Purchase number.
5. Itemized list of supplies or services furnished.
6. Quantity, unit price, and extension of each item, less applicable discounts (unit prices and extensions need not be shown when incompatible with the use of automated systems, provided that the invoice is itemized to show this information).
7. Date of delivery or shipment
1.7 Invoices
Fast payment procedures for supplies and services are based on the contractor’s submission of an invoice constituting certification that the contractor has delivered the supplies to a point of receipt by the Government and shall replace, repair or correct supplies not received at destination, damaged in transit or not conforming to purchase agreements. All supplies shall be shipped transportation or postage prepaid. Invoices shall be submitted via Wide Area Workflow (WAWF) for all calls issued.
1.8 Issuance of Calls
Calls will be solicited from the awardee of the BPA in accordance with FAR 13.303-2(a)(3) and procedures described herein. The Government will utilize Request for Quotation (RFQ) procedures which may require the contractor to submit a price quote and delivery schedule for an anticipated Call award. Upon issuing an RFQ for Calls, the BPA holder will typically have two (2) to ten (10) days to submit its quote, depending on complexity. All proposed calls will be reviewed to determine which BPA represents the most advantageous method of fulfilling the Government’s requirement considering price and other factors.
