52.204-17 OWNERSHIP OR CONTROL OF OFFEROR (JUL 2016)
(a) Definitions. As used in this provision--
Commercial and Government Entity (CAGE) code means—
(1) An identifier assigned to entities located in the United States or its outlying areas by the Defense Logistics Agency (DLA) Commercial and Government Entity (CAGE) Branch to identify a commercial or government entity;
or
(2) An identifier assigned by a member of the North Atlantic Treaty Organization (NATO) or by the NATO Support and Procurement Agency (NSPA) to entities located outside the United States and its outlying areas that the DLA Commercial and Government Entity (CAGE) Branch records and maintains in the CAGE master file. This type of code is known as a NATO CAGE (NCAGE) code.
Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
Immediate owner means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

52.204-22 ALTERNATIVE LINE ITEM PROPOSAL (JAN 2017)
(a) The Government recognizes that the line items established in this solicitation may not conform to the Offeror's practices. Failure to correct these issues can result in difficulties in acceptance of deliverables and processing payments. Therefore, the Offeror is invited to propose alternative line items for which bids, proposals, or quotes are requested in this solicitation to ensure that the resulting contract is economically and administratively advantageous to the Government and the Offeror.
(b) The Offeror may submit one or more additional proposals with alternative line items, provided that alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation. However, acceptance of an alternative proposal is a unilateral decision made solely at the discretion of the Government. Offers that do not comply with the line items specified in this solicitation may be determined to be nonresponsive or unacceptable.
52.209-2 PROHIBITION ON CONTRACTING WITH INVERTED DOMESTIC CORPORATIONS--
REPRESENTATION (NOV 2015)
(a) Definitions. Inverted domestic corporation and subsidiary have the meaning given in the clause of this contract entitled Prohibition on Contracting with Inverted Domestic Corporations (52.209-10).
(b) Government agencies are not permitted to use appropriated (or otherwise made available) funds for contracts with either an inverted domestic corporation, or a subsidiary of an inverted domestic corporation, unless the exception at 9.108-2(b) applies or the requirement is waived in accordance with the procedures at 9.108-4.
(c) Representation. The Offeror represents that--

52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (OCT 2018)
Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.
Federal contracts and grants with total value greater than $10,000,000 means--
(1) The total value of all current, active contracts and grants, including all priced options; and
(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).
Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

B. INSTRUCTIONS FOR PROPOSAL SUBMITTAL
Proposals submitted in response to the solicitation shall be formatted as follows:

(1) Text –Text shall be single-spaced, with a minimum one-inch margin all around. Pages shall be numbered consecutively.
(2) Font Size –Minimum of 10-point font size. Bolding, underlining, and italics may be used to identify topic demarcations or points of emphasis. Graphic presentations, including tables, though not subject to the same font size and spacing requirements, shall have spacing and text that is easily readable.

The proposal due date is as stated on block 8, page 1 of the SF 1449. Ensure that the solicitation number and project name (“Fleet Management and Logistics Support”) are stated in the subject line. The proposal volumes shall be submitted as email attachments. Text and graphics portions of the electronic copies shall be in a format readable by Adobe (.PDF), MS Word. Data submitted in spreadsheet format shall be readable by Adobe (PDF), MS Excel.
VOLUME I ADMINISTRATIVE
The Offeror shall present all cover letters, certifications, NDA’s and completed provisions in this Volume.
VOLUME II PAST PERFORMANCE & TECHNICAL APPROACH
FACTOR 1: PAST PERFORMANCE: The Offeror shall provide information on up to three (3) previous government contracts/projects for each task (task 5.1 and 5.2) whose effort was recent and relevant to the breadth and scope of the effort required by the PWS.
The Offerer shall complete the Data Summary as described below, for no more than three (3) relevant projects for each of the two (2) tasks. The projects should be at least of similar size, scope and complexity as the work described in this solicitation. “Recent” projects are defined as those support contracts ongoing or completed within the last three (3) years from the date quotes are due with comparable levels of complexity to the services required under this solicitation.
For each of the relevant projects selected, Offerers shall submit the Past Performance Data Sheet summarizing the following information, not to exceed two pages for each project:
• Identify the customer for the project and provide the name, title/role, phone number, and email address of a customer POC that is knowledgeable of the Quoter’s performance on the contract. Provide the date the Past Performance Questionnaire (see factor below) was requested and to whom it was sent.
• If a Government contract, identify the contract number.
• Describe the nature of the project and the specified tasks performed by the Quoter. Also identify if the
Quoter was the prime contractor or a subcontractor on the project.
• Describe the relevance to this requirement.
The Offerer shall complete the Past Performance Data Sheet (Attachment 5) for each of the projects used above. The Offerer shall complete blocks 1 through 14 on the form.
NOTE: Past Performance Questionnaire. The Government will initiate the Past Performance Questionnaires (see Attachment 6) for each of the projects used above. The Government will complete the form, contact the customer representative indicated on each relevant Past Performance Data Sheet to assess the overall past performance of each project. Offerers are responsible for ensuring that the telephone numbers and email addresses provided for the owner’s representative indicated on each Past Performance Data Sheet are accurate and that the representative is aware that the WHS Acquisition Directorate may be contacting them regarding the questionnaire. Attachment 6 is provided for information purposes only.
NOTE: The Government reserves the right to obtain information for use in the evaluation of past performance from any and all sources including sources outside of the Government. FACTOR 2: TECHNICAL APPROACH & STAFFING
The Offeror shall submit the following:
Technical Approach – The Offeror shall submit a detailed technical approach that reflects practical and feasible methods to accomplish all PWS tasks, and which includes reliable methods for ensuring quality deliverables.
Technical responses shall contain sufficient content for the Government to determine whether the Offeror understands the PWS requirements.
Staffing Mix – The Offeror shall submit a table showing its proposed labor mix. The Offeror’s labor mix must include the two full-time key personnel listed at PWS Section 1.6.12. The Offeror’s labor mix shall also include any mix of additional non-key personnel that the Offeror deems optimal. All non-key personnel must meet the applicable minimum requirements listed in PWS Section 1.6.11. The Offeror’s labor mix shall be listed in a table with a format similar to the following:

KEY PERSONNEL: The Offeror shall submit a resume for each of the two key positions (limit two (2) pages per resume). The Offeror shall submit exactly two resumes. (The Offeror shall not submit resumes for non-key personnel.) Each resume shall include the following information:
• Name
• Key position name (i.e., Project Manager III or Subject Matter Expert Level III); Security Clearance (if applicable)
• Experience - For each experience, the Offeror shall include the name of the employer, the position held, the date range, and a description of the duties and responsibilities. The Offeror may also provide additional explanation as to how the experience is relevant to the key personnel position for which the resume is submitted.
• Education - Name of institution, degree conferred (including, if applicable, any specialization), and year that degree was conferred.
• Professional or other specialized certifications - Include the issuing institution and the year obtained. For each professional or other specialized certificate, explain how the certification is relevant to the key position for which the individual is proposed.
NOTE: The Offerer is responsible for ensuring that each resume clearly references each of the qualified standards specified in the PWS 1.6.12
VOLUME III
FACTOR 3: PRICE
The Offeror shall propose a firm-fixed price by submitting Price Volume III using the attached Pricing Template.
The completed price worksheet must contain all tabs included in the worksheet to include basis for price and all options.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
The contract will be awarded as a WOSB set-aside to the Offeror that represents the best value, proposes a fair & reasonable price, and is a responsible contractor.
The Government will determine best value using the following evaluation factors (listed in descending order of importance):
Factor 1: Past Performance Factor 2: Technical Approach & Staffing Factor 3: Price: (total evaluated amount of the base year and all options combined)
Factors 1 and 2, when combined, are significantly more important than Factor 3.
The acquisition will be conducted using the procedures of FAR Subpart 13.5 and FAR Part 12.
FACTOR 1: PAST PERFORMANCE EVALUATION
The Government will evaluate how well the Offeror has performed on contracts that have been determined to be both recent and relevant to the PWS. The evaluation will examine the recency, relevancy, and quality of performance of the Offeror’s past projects.
Step 1 – Recency. The first step is to evaluate the recency of each of the Offeror’s past performance projects.
Recency is generally expressed as a time period during which past performance references are considered relevant, and is critical to establishing the relevancy of past performance information. Performance of each reference must be completed within the previous three (3) years of the quotation due date to be considered recent. Projects which are not recent will not be further considered and will not be factored into the Offeror’s overall Performance Confidence Assessment Rating.
Step 2 – Relevance. The second step is to determine how relevant each of the Offeror’s past projects are to the solicited work. Each project will be assigned a relevancy rating from Table 2. Projects which are rated “Not Relevant” will not be further considered and will not be factored into the Offeror’s overall Performance Confidence Assessment Rating. All other considerations being equal, projects where the Offeror performed as the prime contractor will be considered more relevant than projects it performed in the role of subcontractor.
Step 3 – Quality of Products or Services. The third step of the past performance evaluation is to establish the quality of the Quoter’s performance on each past performance project. The government may determine quality of performance through a variety of methods to include reviewing PPQs, contacting customers, reviewing databases such as the Contractor Performance Assessment Reporting System (CPARS), or reviewing other sources of information. The Government’s evaluation documentation will discuss the Quoter’s quality of performance on each of the projects, however it will not assign a quality of performance rating for each individual past project.
Step 4 – After assessing the recency, relevancy, and quality of performance of the Quoter’s individual past projects, the Government will assign one overall Performance Confidence Assessment Rating to the Quoter (Table 3, below). This rating is based on the Quoter’s overall record of regency, relevancy, and quality of performance across the reviewed past projects. In conducting a performance confidence assessment, each Quoter shall be assigned one of the ratings in Table 3.
In the case of a Quoter for which there is no information on past contract performance or where past contract performance information is not available, the Quoter may be evaluated neither favorably or unfavorably on the factor of past contract performance (see FAR 15.305(a)(2)(iv).) In such case, the Quoter’s past performance is unknown and is assigned an overall Performance Confidence Assessment rating of "Neutral."

FACTOR 2: TECHNICAL APPROACH & STAFFING
The Government will evaluate the Offeror’s Factor 2 submissions as follows:
Technical Approach – The proposed technical approach will be evaluated to determine the extent to which it demonstrates the Offeror’s understanding of the PWS requirements, the extent to which it details practical and feasible methods to accomplish the required tasks, and the extent to which it details reliable methods for ensuring quality deliverables.
Staffing Mix – The Government will evaluate the proposed labor mix to determine the extent to which it is sufficient to properly perform the PWS tasks.
Key Personnel Qualifications – The Government will evaluate each of the two key personnel resumes to determine whether the proposed individual meets the requirements of the applicable position listed at PWS Section 1.6.12. Failure to meet a minimum key personnel requirement will result in a deficiency and will result in a rating of “Unacceptable.” The Government will also evaluate each resume to determine the extent to which the individual possesses additional qualifications relevant to the tasks to which the individual is assigned.
The Government will assign one of the following overall ratings to the Offeror for Factor 2 (the Government will not assign an individual rating to each subfactor):
Rating Technical Approach/Capability Outstanding Proposal meets requirements and indicates an exceptional approach and understanding of the requirements. Proposal contains strengths which significantly outweigh any weaknesses. Risk of unsuccessful performance is very low.
Good Proposal meets requirements and indicates a thorough approach and understanding of the requirements. Proposal contains strength(s), which outweigh any weaknesses. Risk of unsuccessful performance is low.
Acceptable Proposal meets requirements and indicates an adequate approach and understanding of the requirements. Weaknesses and strengths are offsetting or will have little or no impact on contract performance. Risk of unsuccessful performance is moderate.
Unacceptable Proposal does not clearly meet requirements or has not demonstrated an adequate approach and understanding of the requirements. The proposal has one or more weaknesses, which are not offset by strengths. Risk of unsuccessful performance is high. The proposal is unawardable.
FACTOR 3 PRICE
The Total Evaluated Price (TEP) will represent the vendor’s proposal under Factor 3 in the best value tradeoff.
The Offeror’s TEP will be calculated as the sum of the following:
• The firm-fixed price labor CLINs (x001) will be factored into the TEP by multiplying the proposed labor rates by the proposed labor hours for all proposed personnel across the base period and the four 12-month option periods. (Evaluation of options will not obligate the Government to exercise any options.)
• The expected price of the 52.217-8 extension period will be factored into the TEP by adding in one-half of the price of the final 52.217-9 option period. (Evaluation of the 52.217-8 extension price will not obligate the Government to exercise the period.)
As a pre-condition to receiving award, the awardee’s price must be fair & reasonable. The Government will determine whether a price is fair & reasonable based one or more of the techniques listed at FAR 15.404-1.
52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (MAR 2020)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.
(a) Definitions. As used in this provision --
“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
"Forced or indentured child labor" means all work or service-
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
“Inverted domestic corporation” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except--
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and
(10) PSC 9630, Additive Metal Materials.
“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.
“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
“Sensitive technology”--
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
“Service-disabled veteran-owned small business concern”--
(1) Means a small business concern--
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
“Small disadvantaged business concern”, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and
(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.
“Subsidiary” means an entity in which more than 50 percent of the entity is owned--
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name.
The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.
“Veteran-owned small business concern” means a small business concern--
