Summary: Sole Source Justification Form – Illinois Integrated Eligibility System

This Sole Source Justification Form, issued by the Illinois Department of Healthcare and Family Services (HFS) in conjunction with the Department of Human Services (DHS) and Department of Information Technology (DoIT), documents the intent to award a one-year sole source contract to Deloitte Consulting LLP for continued operation and maintenance of the Illinois Integrated Eligibility System (IES). The IES is a joint venture system used to determine eligibility for medical assistance programs (Medicaid, CHIP), Supplemental Nutrition Assistance Program (SNAP), and cash assistance, serving approximately three million Illinois residents. The contract is effective October 15, 2026, through October 14, 2027, with no renewal options. The contract encompasses multiple task orders including maintenance and operations (TO001), network and hosting services (TO003), support services (TO004, TO014), security and compliance work (TO006, TO017), system modernization (TO021, TO022, TO024), and transition activities (TO025). The sole source justification is based on compatibility and operational continuity, as Deloitte is the incumbent vendor with exclusive knowledge of the system's six million lines of code, 1,500+ screens, 1,800 data tables, and 100+ interface connections. The transition to the successor vendor (Accenture, awarded through competitive procurement) requires a minimum of six months following federal Centers for Medicare and Medicaid Services (CMS) review and contract execution.

The not-to-exceed contract value is $126,320,430.40, comprised of a blended hourly rate of $155.70 for approximately 808,982 hours ($125,958,497.40), monthly hosting costs of $246,475.00, and estimated software costs of $115,458.00. The state determined this pricing fair and reasonable by comparing it to NASPO contract rates of $175–$215 per hour for similar services. Funding sources include both state appropriated funds and federal funds, with federal partners providing approximately $275–$300 million annually to support IES operations through matching funds from the USDA Food and Nutrition Administration and CMS. The contract includes a 15% subcontracting goal for minority-owned, women-owned, and disability-owned businesses. The primary justification for sole source procurement is that Deloitte, as the current system operator since 2012, possesses irreplaceable system-specific knowledge, documentation, and operational expertise necessary to maintain uninterrupted service and execute a safe knowledge transfer to the successor vendor. Without continuity of service during the competitive procurement finalization, federal review, contract execution, and transition period, the state risks system outages, benefit processing delays, loss of federal matching funds, and harm to millions of beneficiaries and over 4,300 state employees dependent on the system.

Section VI - Business Rationale

Version 7.01 Page 4 of 8

Bulletin Reference Number 27-478HFS-DIREC-B-54165

Requesting Agency/University Healthcare and Family Services

1. Provide a detailed explanation of the need for the supplies or services:

Illinois’ Integrated Eligibility System (IES) is a joint venture used by HFS, DHS, and DoIT. HFS is the lead agency for procurement and payments related to the IES vendor contract, but the contract and all vendor work are managed by the three agencies. The USDA Food and Nutrition Administration (FNA) and the Centers for Medicare and Medicaid Services (CMS) provide funding for this contract and both agree that the contract is needed to ensure medical, nutritional, and financial benefits continue to be distributed to the Illinois residents who depend on them.

The three agencies involved are seeking approval of an additional one-year sole source contract with Deloitte to operate the system until the contract as a result of a competitive procurement (BidBuy#24-478HFS-DIREC-B-38467) has been executed and the system has been transfered to the successor vendor. Deloitte’s current one-year contract will expire on October 14, 2026.

An award was made to another Vendor, but the subsequent protest paused contract negotiations until the protest process was resolved. Now that the protest decision has been issued, HFS can proceed with negotiations. The contract will also require an approximately 60-day federal CMS review before execution and transition can begin. The transition is estimated to take at a minimum 6 month.

HFS is not requesting the one-year term because it anticipates that another full year will be required for transition. Rather, the one-year term is intended to provide a not-to-exceed continuity period so there is no interruption in IES operations while the competitive contract is finalized, executed, and the operational transfer is safely completed. The State retains the ability to terminate the contract, in whole or in part if the services are no longer required.

The current IES supports and distributes medical, nutritional, and financial benefits for approximately 3 million Illinoisans. If there is no vendor in place at any time during this procurement and transition process, it would have a detrimental impact on millions of lives. Not having a vendor in place would also disrupt the work efforts of approximately 4,300 HFS and DHS staff, who would no longer be able to complete their work or manually approve benefits, which would prove difficult and not cost-effective. Most of the work subject to this contract is federally matched at rates between 75 – 90%, with the state’s federal partners providing approximately $275-300 million per year to the state budget for the IES. The state will lose these funds if the system does not comply with federal requirements.

2. Provide a list and describe in detail the specifications required to satisfy the need:

This contract will ensure the continued efficient operations of the Illinois Integrated Eligibility System (IES) by providing continued maintenance, operation, and development of the IES. IES operations includes determination of eligibility for Illinois medical programs (Medicaid, Children’s Health Insurance Program, and other State sponsored medical assistance), Supplemental Nutritional Assistance Program (SNAP) and cash assistance. Deloitte will continue to support existing IES operations and previously authorized work while the State completes the transition to the successor vendor.

This sole source contract includes a 15% goal of to include businesses owned and controlled by minorities, women, and persons with disabilities to comply with BEP.

Task Orders to be utilized under the new contract:

• TO001: Maintenance and Operations

• TO003: SNET Includes hosting of Atlassian products

• TO004: DHS Ticket Support

• TO006: Security - Scanning and Remediation

• TO014: Medicaid M&O Ticket Support

• TO017: Security - ARC-AMPE Compliance

• TO021: Elixir Replacement Project

• TO022: Application Interfaces Externalization

• TO024: Technology Modernization

• TO025: Transition Activities

Requesting Agency/University Healthcare and Family Services

3. Provide detail explaining the justification selected in Section IV to explain why the requested supplies or services are the only ones available that can satisfy the agency or university requirements?

The State purchased a transfer system from Deloitte in 2012 that was modified and customized to create the State's Integrated Eligibility System (IES). IES is the State's single system used to determine eligibility for medical assistance, cash assistance, and SNAP.

Deloitte has been the vendor involved with IES design, development, and implementation work (DDI) since 2012 and is uniquely qualified to provide the maintenance, operations, development, and any transition services needed to ensure the IES remains operational. IES cannot be transferred to a new vendor without assurances that there will be no degradation or stoppages of the system. Deloitte currently operates IES and must continue operations while providing the system knowledge, documentation, access, and knowledge transfer necessary for an orderly transition. The successor vendor will participate in the transition and ultimately assume responsibility for IES, but cannot perform Deloitte’s incumbent transition obligations before the transfer is complete. The competitive procurement has concluded; the remaining steps include contract negotiations, required federal review, execution, and transition. Any gap in services during contract negotiations, federal review, execution, and transition could disrupt IES operations and jeopardize compliance with applicable federal requirements.

4. What are the unique features of the supplies or services that are not available in any other product or by any other vendor? Provide specific quantifiable factors/qualifications:

Deloitte is the current IES operator and has the system-specific knowledge, documentation, code familiarity, and operational experience necessary to transition the system to the successor vendor while maintaining uninterrupted operations. The successor vendor can receive the transition, but cannot replace Deloitte’s role as the incumbent in transferring that knowledge and operational responsibility.

The IES contains over six (6) million lines of computer code, over 1,500 screens, and approximately 1,800 data tables. The system must interface efficiently with over 100 upstream and downstream systems. It is used by over 4,000 State employees and partner entities. It must satisfy requirements of multiple federal authorities: Centers for Medicare & Medicaid Services (CMS), Food and Nutrition Service (FNS), Social Security Administration (SSA), as well as State requirements, and must satisfy the current MARS-E V2.2 requirements for connection to the federal data services hub. Maintaining Deloitte’s support during the transition is necessary to complete knowledge transfer, system documentation, troubleshooting, and stabilization until responsibility is transferred to the successor vendor.

5. Has the Agency or University considered alternative supplies or services to satisfy their need? Yes No

5a. If no, why weren't alternatives evaluated?

Alternatives were not considered because the competitive procurement process had already identified the successor vendor. The State issued a Request for Proposal, resulting in an award to Accenture. Following the award, a vendor protest suspended contract negotiations with the selected vendor until the protest was fully resolved. The State must now resume and complete contract negotiations. Additionally, prior to execution, the contract must be submitted to the Centers for Medicare & Medicaid Services (CMS) for federal review and approval. Once CMS approval is obtained and the agreement is executed, transition activities may commence.

The successor vendor will begin participating in knowledge-transfer activities and will ultimately assume responsibility for the Illinois Eligibility System (IES). However, the successor vendor cannot fulfill Deloitte’s incumbent transition obligations until the knowledge-transfer process is complete. The transition period is estimated to require a minimum of six months.

Given these requirements, the State must continue to engage Deloitte as the current IES operator. Deloitte possesses the system-specific knowledge, documentation, code familiarity, and operational experience necessary to ensure an effective transition to the successor vendor while maintaining uninterrupted system operations.

6. Are there resellers or distributors?

Yes No N/A

7. What efforts were made to get the best possible price (i.e. did the agency/university negotiate) and how did you determine the price for this purchase is considered fair and reasonable?

The blended hourly rate shall be $155.70 for the following task orders TO001, TO004, TO006, TO014, TO017, TO021, TO022, TO024 and TO025. Estimated 808,982 hours X $155.70 = $125,958,497.40

Task Order 003 includes monthly hosting costs totaling $246,475.00.

Task order 006 also include estimated software costs at $115,458.00

The state recently executed a NASPO contract for IES Procurement Assistance and IT Support Services, and those hourly rates were between $175 and $215 per hour. In reviewing these contracts, the state has determined that Deloitte provides the best possible price while also having the required expertise to run a system of this size and complexity.

8. Will this purchase obligate the State to this vendor for future purchases such as maintenance, licensing or continuing need?

Yes No

9. What will be the financial or other impact to the State if this sole source is not approved and a competitive bid is required?

Failure to have this sole economically feasible contract in place will cause the IES to operate without sufficient technical oversight, which could lead to serious outages of the system, delays in processing eligibility applications and changes, possible inaccurate enrollment, loss or delay of benefits for customers, overpayment by the state, harm to approximately three (3) million Illinoisans who receive health, SNAP, or cash assistance benefits, financial harm to approximately 120,000 individual medical providers unable to receive payment on processed claims, non-compliance with federal regulations, and loss of federal matching funds. Federal partners, CMS and FNS provide approximately $275-300 million per year to the State budget for the IES system.

10. Is there any additional information you would like to add to justify this sole source?

Q1Answer: Illinois’ Integrated Eligibility System (IES) is a joint venture used by HFS, DHS, and DoIT.

Q2Answer: This contract will ensure the continued efficient operations of the Illinois Integrated Eligibility System (IES) by providing continued maintenance, operation, and development of the IES. IES operations includes determination of eligibility for Illinois medical programs (Medicaid, Children’s Health Insurance Program, and other State sponsored medical assistance), Supplemental Nutritional Assistance Program (SNAP) and cash assistance. Deloitte will continue to support existing IES operations and previously authorized work while the State completes the transition to the successor vendor.

This sole source contract includes a 15% goal of to include businesses owned and controlled by minorities, women, and persons with disabilities to comply with BEP.

Task Orders to be utilized under the new contract:

• TO001: Maintenance and Operations

• TO003: SNET Includes hosting of Atlassian products

• TO004: DHS Ticket Support

• TO006: Security - Scanning and Remediation

• TO014: Medicaid M&O Ticket Support

• TO017: Security - ARC-AMPE Compliance

• TO021: Elixir Replacement Project

• TO022: Application Interfaces Externalization

• TO024: Technology Modernization

• TO025: Transition Activities

Q3Answer: The State purchased a transfer system from Deloitte in 2012 that was modified and customized to create the State's Integrated Eligibility System (IES).
Q4Answer: Deloitte is the current IES operator and has the system-specific knowledge, documentation, code familiarity, and operational experience necessary to transition the system to the successor vendor while maintaining uninterrupted operations.

Q5aAnswer: Alternatives were not considered because the competitive procurement process had already identified the successor vendor.

The successor vendor will begin participating in knowledge‑transfer activities and will ultimately assume responsibility for the Illinois Eligibility System (IES). However, the successor vendor cannot fulfill Deloitte’s incumbent transition obligations until the knowledge‑transfer process is complete. The transition period is estimated to require a minimum of six months.

Given these requirements, the State must continue to engage Deloitte as the current IES operator. Deloitte possesses the system‑specific knowledge, documentation, code familiarity, and operational experience necessary to ensure an effective transition to the successor vendor while maintaining uninterrupted system operations.

Q7Answer: The blended hourly rate shall be $155.70 for the following task orders TO001, TO004, TO006, TO014, TO017, TO021, TO022, TO024 and TO025.

Q9Answer: Failure to have this sole economically feasible contract in place will cause the IES to operate without sufficient technical oversight, which could lead to serious outages of the system, delays in processing eligibility applications and changes, possible inaccurate enrollment, loss or delay of benefits for customers, overpayment by the state, harm to approximately three (3) million Illinoisans who receive health, SNAP, or cash assistance benefits, financial harm to approximately 120,000 individual medical providers unable to receive payment on processed claims, non-compliance with federal regulations, and loss of federal matching funds. Federal partners, CMS and FNS provide approximately $275-300 million per year to the State budget for the IES system.
