The following have been modified:
ADDENDUM TO FAR 52.212-1 -- PROPOSAL PREPARATION AND SUBMISSION
INSTRUCTIONS
1. General
a. Addendum to Paragraph (c) Period for acceptance of offers: Paragraph (c) is changed to read as follows: The Offeror agrees to hold the prices in its offer firm for 120 calendar days from the proposal due date, unless another time period is specified in an amendment to the solicitation.
b. Addendum to Paragraph (e) Multiple offers. Paragraph (e) is changed to read as follows:
Multiple offers presenting alternative terms and conditions will NOT be accepted.
c. Addendum to Paragraph (h) Multiple awards. Paragraph (h) is changed to read as follows:
The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations.
The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
The Government may accept any item or group of items of the offer. DoDEA intends to award a single contract as a result of this solicitation. Multiple awards will not be made as a result of this solicitation.
d. Addendum to Paragraph (g) Contract award. Paragraph (g) is changed to read as follows: The Government intends to award without discussions. Therefore, the offeror’s initial proposal should contain the offeror’s best approach/terms for technical, past performance, and price.
However, despite this intent, the Government reserves the right to conduct discussions if the Source Selection Authority (SSA) determines they are necessary. If the SSA determines that discussions are necessary, a competitive range will be established. In the event issues pertaining to this award cannot be resolved to the SSA's satisfaction, the Government reserves the right to withdraw and cancel the solicitation. In such event, offerors will be notified in writing.
e. Addendum to Paragraph (l) Debriefing. Paragraph (l) is changed to read as follows: The offeror is reminded that the Government reserves the right to award this effort based on the initial proposal without discussions. The Contracting Officer (KO) will notify unsuccessful offerors of the source selection decision in accordance with FAR 15.503. Upon such notification, unsuccessful offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable. Unsuccessful Offerors are only entitled to one debriefing. This includes offerors who submit multiple proposals.
However, if discussions are required, the KO will notify offerors of any decision to exclude them from the competitive range; whereupon, they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. Offerors excluded from the competitive range are entitled to no more than one debriefing. The KO will notify unsuccessful offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.
f. Addendum to Paragraph (b) Submission of Offers: In addition to those requirements as stated in paragraph (b),the following are added and shall apply to the submission requirements in response to this solicitation:
2. Offeror Structure, Content and Additional Instructions
a. General Guidance
This section provides general guidance for preparing proposals as well as specific instructions on the format and content of the proposal. The offeror’s proposal must include all data and information requested by the RFP and must be submitted in accordance with these instructions. Non-conformance with the instructions provided in this Information to offerors may result in removal of the proposal from further evaluation.
The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but rather shall provide convincing rationale to address how the offeror intends to meet all requirements.
Offerors shall assume that the Government has no prior knowledge of their capabilities and experience, and the Government will base its evaluation solely on the information presented in the offeror’s proposal. The staffing plan shall be incorporated into the contract.
Additional portions of the successful offeror’s proposal may be incorporated into the contract as an attachment in the award document.
b. Point of Contact
The contracting officer (KO) and the contract specialist (CS) are the sole points of contact for this procurement. Address any questions or concerns you may have to the KO and CS.
Written requests for clarification must be sent to the KO at the email address located below.

All such requests must be made in writing and submitted to the KO and CS as directed above. All questions/comments provided in a timely manner will be answered in writing and provided to all offerors via FBO. However, because of administrative time, written inquiries may not be answered when requests are received by the Government points of contact after the original due date for receipt of questions as specified in this solicitation. The timeframe for submitting inquiries will not be extended as a result of an extension to the due date for the receipt of offers unless authorized by the KO.
f. Page Size and Format
A page is defined as each face of a sheet of paper containing information. When both sides of a sheet display printed material, it shall be counted as two pages. Page size shall be 8.5 x 11 inches. The technical and past performance volumes of the proposal are to be submitted as an MSWord or PDF document. The price volume shall be submitted via MS Excel. The font size and type for proposal submission shall be no smaller than 10 point Times New Roman (to include tables and graphs). The margins shall be 1 inch (all 4 sides). The Government is not responsible for correcting formulas in the offeror’s price volume.
g. Page Limitations
Page limitations shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal. Page limitations shall not be circumvented by including inserted text boxes/pop-ups or internet links to additional information; such inclusions are not acceptable and will not be considered part of the proposal. The Government reserves the right not to consider for award any proposal that does not adhere to the administrative requirements of this solicitation. Cover pages, tables of contents, Past Performance Questionnaire, and glossaries shall not be counted as part of a proposal’s page count. The following page limits have been established for all proposals in response to the solicitation:
Table 1 (Page Limitations)
VOLUME TITLE PAGE LIMIT
Cover Letter 2 Factor I (Technical Acceptability) 30 Factor II (Past Performance) 25 Factor III (Price) No Limit Reps and Certs No Limit Contract Documentation No Limit
h. Proposal Submission
Proposals may only be submitted electronically via email to both the Contracting Officer and Contract Specialist listed in the solicitation by the due date and time on the solicitation.
DoDEA’s file size limit per email is 10MB. Offeror’s whose proposals require the submission of more than one email shall use the subject line to identify the number of emails being sent. For example, “ABC Company Proposal e-mail 1 of 3”.
i. Proposal Organization Each proposal shall be organized and presented following format and page limits identified in Table 2 (Proposal Organization) below. The following are the specific details required to be submitted with each offer in response to this solicitation:
Table 2 - Proposal Organization
VOLUME VOLUME TITLE
Cover Letter I Factor I (Technical Acceptability) II Factor II (Past Performance) III Factor III (Price) IV Reps and Certs V Contract Documentation
COVER LETTER
The Cover Letter shall include:
a. Complete Business Mailing Address
b. Tax identification number (TIN)
c. Dun & Bradstreet Number (DUNS)
d. Cage Code/NAICS Code
e. Contact Name, Phone, Fax, and email address
f. Clear statement that the proposal is valid for a minimum of 120 days from the closing of the
RFP.
g. Statement of Facility Clearance Level for Prime and any subcontractors. Offerors must clearly address their current clearance level within their cover letter. There is no specific document required just a statement identifying the offeror’s current clearance level along with the clearance level of any subcontractors. This information will be verified by the DoD OIG Industrial Security Program Manager (ISPM). All offerors must possess a Facility Clearance Level (FCL) of Top Secret/SCI level by the closing date of the solicitation. Any subcontractor(s) shall possess the necessary FCL based on the CLIN/SCLIN supported by the subcontractor(s) by the closing date of the solicitation.
VOLUME I– TECHNICAL PROPOSAL (FACTOR I)
The offeror’s Technical Proposal shall address the following three (3) Sub-factors in separate sections, each printed independently. A reading of these sections should leave an evaluator with a detailed understanding of the offeror’s technical capacity for meeting all aspects of the technical requirements of the solicitation without having to search throughout the entire proposal to piece together the offeror’s response. A poorly written response creates confusion for the evaluator and decreases the likelihood of an offeror being deemed acceptable.
a. Subfactor one (1) – Technical Capability: The offeror shall submit a proposal that clearly demonstrates the offeror’s ability to perform each objective in the PWS. All objectives are clearly numbered and identified as objectives in the PWS and are expected to be addressed individually in the offeror’s proposal. It is important to note that each objective in the PWS is considered a CLIN. Some objectives have multiple levels of performance which are categorized as SCLINS in the RFP. The offeror must address each CLIN and SCLIN in the PWS with regard to technical capability. The travel objective is the lone exception. Offerors are not required to provide any information with respect to travel.
b. Subfactor two (2) – Prior Experience: The offeror shall submit a proposal that clearly demonstrates the offeror’s prior experience performing similar services to those outlined in the PWS. The evidence of prior experience shall be linked to each objective in the PWS. Offerors must clearly outline such experience in their proposal since the Government will not search outside of an offeror’s proposal for information related to an offeror’s prior experience. It is important to note that each objective in the PWS is considered a CLIN. Some objectives have multiple levels of performance which are categorized as SCLINS in the RFP. The offeror must address each CLIN and SCLIN in the PWS with regard to prior experience. The travel objective is the lone exception.
Offerors are not required to provide any information in response to travel.
c. Subfactor three (3) – Staffing Plan: The offeror shall provide a detailed explanation of how the offeror will staff all positions in the PWS within 10 calendar days of the effective date of any issued task order. The detailed explanation must demonstrate the offerors ability to staff a qualified workforce with the appropriate clearance levels for full performance of all positions (CLINS/SCLINS) outlined in the PWS. The required security clearance levels for each position are outline in section 3.1 of the PWS.
Objective 18 (Travel) is not considered a position and does not require any information from the offeror with regard to staffing plan. The offeror’s proposed staffing plan shall be incorporated into the contract as an attachment.
The Government is including in the solicitation a document titled “Level of Effort_ITSS”. This document identifies the Government’s estimated need for the first task order issued under the contemplated contract. This document is for information purposes only. The document represents an estimate on the level of support for the first task order and in no way obligates the Government to purchase the quantities identified.
Offeror’s are advised to avoid focusing their staffing plans on the LOE document and as a result fail to address how they will staff all positions listed in the PWS within 10 calendar days of the effective date of any issued task order.
VOLUME II – PAST PERFORMANCE PROPOSAL (FACTOR II)
a. The offeror shall prepare a proposal that will include Past Performance information that is not older than three years from the date the solicitation is issued.
b. The offeror shall only submit Past Performance information where the offeror or its subcontractors were listed as the Prime Contractor on the identified past performance.
Past performance information from an offeror or its subcontractors for which the offeror or its subcontractors where not listed as a prime will not be considered relevant.
c. Offeror’s shall complete sections I & II of the included Past Performance Questionnaire.
The Offeror shall then forward the questionnaire to the appropriate point of contract listed in section II of the form for the completion of section III or provide the questionnaire to the Government with sections I & II completed. It is important that the information provided in section I & II of the questionnaire is complete and accurate as the Government will not search for missing contact information outside of the proposal.
d. The offeror may also separately describe any quality awards or certifications that indicate the offeror possesses high-qualities for providing the services required. Offerors shall identify the segment of the company (one division or the entire company) that received the award or certification, and indicate when the award or certification was bestowed. If the award or certification is over three (3) years old, the Offeror should present evidence that the qualification/commendation still applies.
VOLUME III – PRICE PROPOSAL (FACTOR III)
a. The offeror’s prices shall be complete with an accurate reflection of all aspects of the requirement. Offerors shall submit pricing for the estimated quantities identified in each CLIN and or SCLIN within the RFP.
b. The price volume shall be submitted using the Government provided Microsoft Excel worksheet labeled “HE1254-17-R-9002_Price Guide_Final.xls”. Any other formats shall not be accepted. All fields, except for the columns labeled “Unit Price”, are locked. The worksheet is designed to allow offerors the ability to input their Unit Price for each priced CLIN/SCLIN in the RFP. The worksheet will automatically calculate the total price for each CLIN/SCLIN based on the maximums established in the RFP. The worksheet will also calculate a total price for each performance period.
Offerors may submit additional price information at their discretion. However, the Government provided MS Excel worksheet shall take precedence over any other pricing information provided by an offeror, unless the offeror informs the Government (Prior to the closing of the RFP) of any mathematical discrepancies identified within the provided worksheet.
c. The offeror shall submit pricing for the base period and all option periods, including option pricing that may be authorized IAW FAR clause 52.217-8. FAR clause 52.217-8 allows the Government to order services after a period of performance in the contract has ended. Therefore, offerors should note that there is no specific quantity required for the prices submitted under the FAR clause 52.217-8. Instead, the Government is seeking a single monthly rate for each priced CLIN/SCLIN which may be used to order services at any time the clause may be exercised. The Government provided MS Excel sheet provides a section for the offeror to input a monthly price for the FAR clause 52.217-8 option.
d. Offerors should look at each CLIN/SCLIN and provide a unit price. The unit price represents the price for one month worth of service performed by one full time equivalent (FTE). The total price represents the price for the maximum quantity the Government would ever order for that specific CLIN/SCLIN during that specific period of performance. For example, CLIN 0002 has two SCLINS. SCLIN 0001 has a max of 156 months. This means that the maximum the Government would order for the base period of SCLIN 0001 under CLIN 0002 is about 13 FTEs working for 12 months for a total of 156 months. SCLIN 0002 under CLIN 0002 has a maximum of 12 months. This means that the maximum the Government would order for the base period of SCLIN 0002 under CLIN 0002 is one (1) FTE working for 12 months for a total of 12 months.
Note, “Info CLINS” are not to be priced.
e. Travel – Travel will not be priced or evaluated during the solicitation phase. All travel will be negotiated and determined prior to every travel event. An explanation on the process is identified in section 2.18 of the PWS. Offerors are not required to provide any information regarding travel in response to this solicitation.
VOLUME IV – REPRESENTATIONS AND CERTIFICATIONS
Offeror’s must provide all applicable business representations and certifications required by the solicitation. Please review all clauses and provisions requiring information from Offerors.
VOLUME V – CONTRACT DOCUMENTATION
The offeror's proposal must include a signed copy of the solicitation and any amendments issued.
ADDENDUM TO FAR 52.212-2 - EVALUATION—COMMERCIAL ITEMS
Addendum to Paragraph (a). Paragraph (a) is changed to read as follows:
The Government will award a single Firm-Fixed-Price (FFP), Indefinite-Delivery Indefinite- Quantity (IDIQ) contract from this solicitation to the responsible offeror whose offer, conforming to the solicitation requirements, is most advantageous to the Government. The
Government will determine the best value by trading off the following three evaluation factors:
Factor I (Technical), Factor II (Past Performance), Factor III (Price).
In order to be eligible for award, offerors must comply with the Facility Clearance requirement.
Offerors must possess a Top Secret/SCI FCL by the time the solicitation closes. Any subcontractor(s) shall possess the necessary FCL based on the CLIN/SCLIN supported by the subcontractor(s) by the closing date of the solicitation. Upon closing of the RFP, the Contracting Officer will forward a list of all offerors to the Industrial Security Program Manager (ISPM) for the DoD OIG so that the ISPM can verify the security clearance level for each offeror.
Any offeror found not to possess a Top Secret/SCI FCL, by the time the solicitation closes, will not be evaluated nor considered for award. Thus, the Government will not continue to evaluate any offeror that fails to meet this requirement as part of its tradeoff evaluation of the factors listed below, and will eliminate the offer from consideration for award. Any subcontractors proposed by an offeror must also possess the necessary facility clearance requirements for any and all CLINS/SCLINS they will support. Any offeror whose subcontractor does not meet the required security clearance level by the closing date of the solicitation will not be considered for award. It is important to note that any single employee placed to support a Top Secret/SCI position will necessitate that the employee’s parent company (Employer) also possess a Top Secret/SCI facility clearance level. This is applicable to the Prime and any Subcontractors as well as any other clearance levels specified in the solicitation. The Government will consider all offerors that meet the Facility Clearance requirement, applying the following tradeoff evaluation factors:
Factor I, (Technical) is significantly more important than Factor II (Past Performance). All subfactors under Factor I (Technical) are of equal importance. All evaluation factors other than price, when combined, are approximately equal to price (FAR 15.101-1).
To be eligible for award, an offeror must obtain a rating no lower than of “Acceptable” for Factor I (Technical), as well as a rating of no lower than “Satisfactory Confidence/Neutral Confidence” for Factor II (Past Performance), and present a price that is determined fair and reasonable IAW the evaluation of Factor III (Price). Since the tradeoff process may be used between factors I, II, and III, the lowest price offered will not necessarily represent the best value to the Government.
The overall evaluation criteria for this solicitation is as follows:
TECHNICAL (FACTOR I) – Proposals will be evaluated to determine whether the offer demonstrates an ability to meet the technical requirements specified in the solicitation. The following three subfactors will be evaluated by the Government to assess an offerors’ ability to meet the technical requirements of the solicitation.
a. Subfactor one (1) – Technical Capabilities: The Government will evaluate the offeror’s response to performing each of the objectives in the Performance Work Statement (PWS). All objectives are clearly numbered and identified as objectives in the PWS.
b. Subfactor two (2) – Prior Experience: The Government will evaluate the offeror’s prior experience at performing similar services as those outlined in the PWS. The Government’s evaluation of an offeror’s prior experience is geared toward ensuring that an offeror has similar experience performing the services in the PWS. Similar is defined as experience that can be determined to be comparable in complexity and magnitude to the work described in the PWS.
c. Subfactor three (3) – Staffing Plan: The Government will evaluate the offeror’s plan for staffing all positions for full performance of all services (CLINS/SCLINS) outlined in the PWS. The purpose of this evaluation is to ensure the offeror has the ability to staff all the positions (CLINS/SCLINS) outlined in the PWS. The evaluation of this subfactor will be based on the offeror’s ability to demonstrate how the offer will staff a qualified workforce with the appropriate clearance levels for full performance of all positions (CLINS/SCLINS) outlined in the PWS within 10 calendar days of the effective date of any task orders placed on the contract.
The Government is including in the solicitation a document titled “Level of Effort_ITSS”.
The Level of Effort (LOE) document identifies the Government’s estimated need for the first task order issued under the contemplated contract. This document is for information purposes only. The document represents an estimate on the required level of support for the first task order and in no way obligates the Government to purchase the quantities identified. The Government is not looking for a staffing plan that solely focuses on the LOE. Offerors are reminded that they must demonstrate how they will staff all positions to support performance in accordance with the PWS. Offerors are advised to avoid focusing their staffing plan on the Level of Effort (LOE) document and as a result fail to address how they will staff all positions listed in the PWS.
Combined Technical/Risk Ratings
The Government will utilize the combined technical/risk rating system for the evaluation of all proposals against Factor 1 (Technical) of the source selection criteria. Table 1 below outlines the ratings and their descriptions:
Table 1. Combined Technical/Risk Ratings
Rating Description Outstanding Proposal indicates an exceptional approach and understanding of the requirements and contains multiple strengths, and risk of unsuccessful performance is low.
Good Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength, and risk of unsuccessful performance is low to moderate.
Acceptable Proposal meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.
Marginal Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.
Unacceptable Proposal does not meet requirements of the solicitation, and thus, contains one or more deficiencies, and/or risk of unsuccessful performance is unacceptable. Proposal is unawardable.
PAST PERFORMANCE (FACTOR II) – Proposals will be evaluated to assess the degree of confidence the Government has in an offeror’s ability to perform the contract successfully based on relevant past performance information.
Relevancy – Past performance evaluation will consist of three elements. The first element is relevancy. An evaluation of the offeror’s past performance is done to determine how relevant a recent effort accomplished by the offeror is to the effort to be acquired through the source selection. Recent is defined as a performance that is no older than three years from the date the solicitation is issued. Past performance information from an offeror or its subcontractors for which the offeror or its subcontractors where not listed as a prime will not be considered relevant.
In conducting a performance relevancy assessment, each offeror shall be assigned one of the ratings in Table 2.
Table 2. Past Performance Relevancy Ratings Rating Definition Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.
Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.
Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.
Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.
Confidence Assessments – The second element of the past performance evaluation is to determine how well the contractor performed on the previous relevant contracts. The Government will review past performance information and determine the quality and usefulness as it applies to performance confidence assessment.
Quality – The third element of the past performance evaluation is to establish the overall quality of the offeror’s past performance. A separate quality assessment rating will not be used for this evaluation. Instead, all past performance information collected will be assessed for quality of the offeror’s performance, general trends, and usefulness of the information and incorporated into the performance confidence assessment.
In conducting a performance confidence assessment, each offeror shall be assigned one of the ratings in Table 3.
Table 3. Performance Confidence Assessments Rating Description Substantial Confidence Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.
Satisfactory Confidence Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.
Neutral Confidence No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The offeror may not be evaluated favorably or unfavorably on the factor of past performance.
Limited Confidence Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.
No Confidence Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.
a. The information presented in the offeror’s past performance documentation, together with information from the performance survey and other sources available to the Government, e.g.: Past Performance Information Retrieval System (PPIRS) will be the basis of evaluation for this factor. The Government may use any and all available sources that allow for an accurate assessment of an offeror’s past performance record.
b. In the event that an offeror without a record of relevant past performance or for whom information on past performance is not available, the offeror will not be evaluated favorably or unfavorably on past performance. In this event the offeror shall receive a rating of “Neutral Confidence”.
c. The Government may reject a proposal if it is found that the offeror deleted, misrepresented, or withheld any information that might have a negative impact on its past performance record.
d. In the event negative or adverse performance information is reported to or obtained by the Government, the offeror will be given an opportunity to submit a written rebuttal in response to the negative or adverse performance information received. The offeror’s written rebuttal will be included as part of the Government’s past performance assessment prior to any final rating being assigned.
PRICE (FACTOR III) – The objective of the price evaluation is to ensure that prices are fair and reasonable. Price proposals will be evaluated by combining all CLIN items for the total award value over the entire potential contract period. In the event a mathematical error is discovered for any CLIN/SCLIN, the “Unit Price” provided shall govern in reaching the total extended amount. Prices for Options, except for FAR 52.217-8 (Option to Extend Services), will be evaluated as part of the total price of the proposal.
The prices proposed for FAR 52.217-8 (Option to Extend Services), will be evaluated separately for fair and reasonableness and will not be counted as part of the total price. The prices provided for FAR 52.217-8 (Option to Extend Services) represent a single monthly rate to be used at the quantities deemed necessary to continue services in the event the Government requires continued performance of any services after the conclusion of any period of performance. The quantities deemed necessary shall not exceed the limitations of the FAR Clause 52.217-8 (Option to Extend Services) nor any single CLIN/SCLIN maximum established by the base period of the contract.
a. The Government may utilize the proposal analysis techniques and procedures as defined in FAR 15.404-1 to ensure fair and reasonable pricing. Examples of such techniques include, but are not limited to the following:
(i) Comparison of proposed prices received in response to the solicitation.
(ii) Comparison of proposed prices with independent Government cost estimates.
(iii) Comparison of proposed prices with prices obtained through market research for the same or similar items.
b. If the Government does not have sufficient information to find the price fair and reasonable, the Government may request other than certified cost or pricing data information from offerors.
